THE STATEMENT OF CORPORATE GOVERNANCE SETS OUT THE FRAMEWORK AND PROCESS THROUGH WHICH THE MEMBERS OF AUTHORITY AND THE MANAGEMENT OF ISKANDAR REGIONAL DEVELOPMENT AUTHORITY (IRDA) ENSURE INTEGRITY AND SOUND OPERATIONAL POLICIES AND PROCEDURES IN ACCORDANCE WITH PREVAILING LAWS, RULES, REGULATIONS, BEST PRACTICES AND ETHICAL BUSINESS CONDUCT.

THE MEMBERS OF AUTHORITY

The Members of Authority is the highest decision making body in IRDA and comprises eight members. It is co-chaired by the Prime Minister of Malaysia and the Menteri Besar of Johor.

The Members of Authority are eminent individuals from the public and private sectors, who are appointed by virtue of Section 8(1) of the Iskandar Regional Development Authority Act 2007 (Act 664). They are committed to ensure IRDA practices the highest standards of corporate governance, in keeping with the Malaysian Code of Corporate Governance.

The Members of Authority provide strategic directions, reviews and approves policies and decisions for the development and promotion of Iskandar Malaysia, ensure proper financial administration and human capital management and oversee the overall management of IRDA.

In 2015, IRDA continued to work towards its long-term goals as it navigates the final year of its “Strengthening and Generating Growth” phase (i.e. Phase 2 of the CDPii) whilst preparing itself to enter the final phase of the development in the following year. This is evidenced by the development expenditures in Iskandar Malaysia, which were predominantly on infrastructure and enablers to support and enhance the attractiveness of this region to both domestic and foreign investors.

DETAILED FINANCIAL ANALYSIS Income & Expenditure Statement

In 2015, the excess of expenditure over income for IRDA increased further to RM6.01 million (2014: RM2.60 million) due to:

• Carried-forward committed projects from previous years which were expensed in 2015 due to timing differences and project implementation progress.

• A reduction in operational government grant by a further 10% to RM44.94 million (2014: RM49.67 million). Included in this operational government grant for 2015 is RM19.1 million transferred from the development fund, as approved by the Ministry of Finance (MOF) on 14 July 2015.

• A reduction in other income, primarily profit-sharing income, in line with the reduction in grant received.

Despite the deficit, IRDA was able to continue operating normally as the deficit was funded by the accumulated surplus generated from previous years’ other income.

As reflected above, the reduction in the government grant received has resulted in lower amounts spent on marketing and promotions, as IRDA had to utilise more affordable means of promoting Iskandar Malaysia. Nevertheless, IRDA continued to excel in realising the vision and mission of Iskandar Malaysia in accordance with the updated CDPii, as reflected by the commendable balanced scorecard results achieved for the year.

Revenue

For the financial year ended 31 December 2015, the Group registered a higher revenue of RM6.23 million (2014: RM5.88 million) on account of the rental income generated by its subsidiary, Prisma Harta Sdn Bhd (PHSB). The increase in PHSB’s revenue was due to the yearly rental increment imposed on occupied units (1,036 units as at 31 December 2015), as well as an improvement in PHSB’s credit management.

Other Income

One of IRDA’s long-term objectives is to be a self-sustaining organisation. This explains its drive to generate its own income. In 2015, RM1.96 million was generated from a wide range of chargeable services, products and facilities provided by IRDA, such as the comprehensive facilitation services offered by the one-stop Iskandar Service Centre, hall rentals, publications, as well as sponsorships from strategic partners. This amount represents 61% of total other income.

Other contributors to this form of income were management fees, tender fees, and profit-sharing income from the Islamic banking investment (in the form of Repurchase Agreements and Fixed Deposits), bringing total other income for 2015 to RM3.24 million (2014: RM6.93 million).

Employee-related costs remained as IRDA’s biggest operational expenditure item in 2015 at RM38.06 million, representing 70% of total operating expenditure.

However, overall operating expenditure decreased by 8% from the previous year on the back of the following:

i. Continued pursuit of austerity measures through the close monitoring of established budgets and prudent spending.

The austerity measures focused on:

1. Enhancing the cost effectiveness of official travel by leveraging on cost-effective methods of booking and travelling, like advance online bookings and carpooling;

2. Consolidating event management resources, with dedicated persons-in-charge to lead the establishment of strategic marketing collaborations and procurement of sponsorships for IRDA-led events;

3. Economising on food and beverages served at meetings; and

4. Optimising the usage of IRDA’s facilities like meeting rooms and halls for focus-group discussions and events.

IRDA’s prudent cost management successfully yielded a 39% reduction in accommodation and travelling costs to RM1.71 million (2014: RM2.79 million).

ii. A reduction in promotional costs by 33% to RM2.90 million (2014: RM4.34 million), in line with IRDA’s enhanced strategic marketing approach that focuses on:

• Establishing targeted promotional activities to attract foreign investment into the nine promoted sectors of Iskandar Malaysia; and

• Collaborating with strategic partners through cost-sharing arrangements for participation in international trade missions and events to promote Iskandar Malaysia on the global stage.

iii. A significant decrease in professional consultation fees by 58% to RM0.78 million (2014: RM1.84 million). This was because in 2015, IRDA’s professional fees were mainly on necessity services such as outsourcing of ICT services, review/audit of IRDA’s balanced scorecard achievement, and implementation of employee engagement surveys, aside from the yearly maintenance of IRDA’s existing systems.

Share of Equity Losses in Associate Company

As at 31 December 2015, no further equity losses on IRDA’s shares in associate company IMSEC Sdn Bhd were recognised in the Group Financial Statements, as the accumulated losses had exceeded the amount invested. This practice is in accordance with the Malaysian Accounting Standards Board.

Fixed assets decreased by 37% due to the annual depreciation of RM0.61 million (2014: RM0.68 million). There were no major asset purchases during the year as IRDA had continued with its prudent drive of limiting its capital expenditure to replacements and improvements only.

The investment in subsidiaries category accounts for the newly acquired subsidiary My Iskandar Sdn Bhd (MISB) wholly owned by IRDA with a total shareholding of 100% from the total issued paid-up capital of RM2.00. This company is presently dormant.

Included in receivables, deposits and prepayments are IRDA’s share of the costs of promotional activities held in collaboration with strategic partners in Iskandar Malaysia. This amount is contingent on IRDA’s degree of participation in such activities. The various deposits for the infrastructure and enabler projects under the Ninth and Tenth Malaysia Plans form another major item in this category.

A significant portion of cash and cash equivalents was for the Special Development Fund largely reserved for contractual obligations under the Tenth Malaysia Plan projects, Social Project initiatives, Corridors & Cities projects, Creative Industry Talent Development Programmes and National Talent Enhancement Programme (NTEP).

Amount owing from subsidiaries mainly comprises expenses paid by IRDA on behalf of subsidiaries, which have been settled in full by said subsidiaries subsequent to the balance sheet date.

Payables and accruals consists of contractual obligations under the operating fund that have been settled after the year end, as well as contractual obligations under the Special Development Fund mainly due to the retention sum on progress payment for the Tenth Malaysia Plan projects, such as the Safety & Security Initiatives (installation of closed-circuit television cameras), construction of the Pandan Bridge, Sungai Segget river revitalisation, as well as infrastructure works for the Data Centre in .

The Special Development Fund is mainly reserved for contractual obligations under the Tenth Malaysia Plan projects, Corridors & Cities projects, Creative Industry Talent Development Programmes and NTEP.

The Social Project Fund is to be utilised in accordance with the social projects approved by the Social Development Committee, consistent with the strategies and initiatives stated in the CDPii.

The Facilitation Fund, funded by and managed on behalf of the Federal Government through TERAJU@Iskandar Malaysia, supports qualified Bumiputera companies in their pursuit of viable projects through the provision of facilitation funds (Dana Mudahcara) and the implementation of the High-Performing Bumiputera Companies (TeraS) Programme.

The Johor International Youth Hub Fund is managed on behalf of the youth in Iskandar Malaysia and is earmarked to support initiatives related to the implementation of the Youth Hub project. Contributions to this fund originate from strategic investors in Iskandar Malaysia.

The Entrepreneur Fund, funded by and managed on behalf of the Federal Government through TERAJU@Iskandar Malaysia, is to be used to support Micro Entrepreneur Bumiputera Development programmes to develop Bumiputera entrepreneurs in the state of Johor in accordance with specified criteria.

1. GENERAL INFORMATION

ISKANDAR REGIONAL DEVELOPMENT AUTHORITY ("IRDA") was established on 12th February 2007. The main activity of IRDA is to act as the authority empowered to plan, promote, process, stimulate, facilitate and undertake the development of lskandar Malaysia.

The principal activity of the subsidiary company is disclosed in Note 4.

The total number of employees of IRDA at year end was 138 (2014: 145).

The principal place of operation of IRDA is located at #G-01, Block 8, Danga Bay, Jalan Skudai, 80200 Johor Bahru, Malaysia.

The financial statements for the year ending 31 December 2015 was approved by the Members of Authority through a Circular Resolution dated 8 June 2016.

2. SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES

The following accounting policies are adopted by IRDA and are consistent with applicable approved accounting standards for private entities issued by the Malaysian Accounting Standards Board ("MASB").

(a) Basis of Accounting

The financial statements of IRDA are prepared on the historical cost basis except as disclosed in the notes to the financial statements and in compliance with the provisions of the Iskandar Regional Development Authority Act, 2007 and applicable approved accounting standards for private entities in Malaysia.

(b) Basis of Consolidation

(i) Subsidiary

The financial statement of subsidiary company is included in the consolidated financial statements from the date that control effectively commences until the date that control effectively ceases. Subsidiary company is the enterprise controlled by IRDA. Control exists when IRDA has the power, directly or indirectly, to govern the financial and operating policies of an enterprise so as to obtain benefits from its activities.

The purchase method of accounting is used to account for the acquisition of subsidiary by IRDA. The cost of an acquisition is measured as the fair value of the assets given, equity instruments issued or liabilities incurred or assumed at the date of exchange, plus costs directly attributable to the acquisition. Identifiable assets acquired and liabilities and contingent liabilities assumed in a business combination are measured initially at their fair value on the date of acquisition, irrespective of the extent of any minority interest.

In preparing the consolidated financial statements, transactions, balances and unrealised gains on transactions between IRDA and subsidiary are eliminated. Unrealised losses are also eliminated but considered an impairment indicator of the asset transferred.

Minority interests are that part of the net results of operations and of net assets of a subsidiary attributable to interests which are not owned directly or indirectly by IRDA.

Where necessary, adjustments are made to the financial statements of subsidiary to bring accounting policies into line with those used by IRDA.

(ii) Loss of control

Upon the loss of control of a subsidiary, IRDA derecognises the assets and liabilities of the subsidiary, any non- controlling interests and the other components of equity related to the subsidiary. Any surplus or deficit arising on the loss of control is recognised in profit and loss. If IRDA retains any interest in the previous subsidiary, then such interest is measured at fair value at the date that control is lost. Subsequently it is accounted for as an equity-accounted investee or as an available-for-sale financial asset depending on the level of influence retained.

(iii) Associate

Associate company is the entity in which IRDA has significant influence, but no control over the financial and operating policies.

Investment in associate is accounted for in the consolidated financial statements using the equity method less any impairment losses. The consolidated financial statements include IRDA's share of the profit or loss and other comprehensive income of the equity accounted associate, after adjustments if any, to align the accounting policies with those of IRDA, from the date that significant influence commences until the date that significant influence ceases.

When IRDA's share of losses exceeds its interest in an asociate, the carrying amount of the interest including any long-term investments is reduced to zero, and the recognition of further losses is discontinued except to the extent that IRDA has an obligation or has made payments on behalf of the associate.

Where necessary, adjustments are made to the financial statements of associate to bring accounting policies into line with those used by IRDA.

(c) Income Recognition

Government Grants

Operating grants are recognised in the income statement when the rights to receive the grants are approved and the grants will be received during the financial year.

(d) Property, Plant and Equipment

Property, plant and equipment are stated at cost less accumulated depreciation and any accumulated impairment losses.

Depreciation

Property, plant and equipment purchased at cost of RM5OO and below are expensed as incurred. The straight line method is used to write off the cost of the property, plant and equipment over the term of their estimated useful lives at the following principal annual rates:

(e) Receivables

Receivables are carried at anticipated realisable values. Bad debts are written off in the financial year in which they are identified. An estimate is made for doubtful debts based on a review of all outstanding amounts at the financial year end.

(f) Taxation and Deferred Taxation

Current tax is the expected amount of income taxes payable in respect of dividend income pursuant to the tax exemption obtained from the Ministry of Finance as mentioned in Note 21. It is measured using the tax rate that have been enacted by the Inland Revenue Board at the balance sheet date.

No deferred taxation is recognised for the financial year due to the tax exemption.

(g) Other Payables

Other payables are stated at the amounts which the Authority is contracted or obligated to settle plus any incidental legal expenses.

(h) Provision for Liabilities

Provision for liabilities is recognised when the Authority has a present legal and contractual obligation as a result of past event, when it is probable that an outflow of resources embodying economic benefits will be required to settle the obligation, and when a reliable estimate can be made of the amount of the obligation. Provisions are reviewed at each balance sheet date and adjusted to reflect the current best estimate. Where the effect of the time value of money is material, the amount of a provision is the present value of the expenditure expected to be required to settle the obligation.

(i) Cash and Cash Equivalents

Cash and cash equivalents consist of cash and bank balances, and deposit which are readily convertible to known amount of cash and which are subjected to insignificant risk of change in value.

(j) Impairment of Assets

At each balance sheet date, the Authority reviews the carrying amounts of its assets to determine whether there is any indication of impairment. If any such indication exists, the impairment is measured by comparing the recoverable amount with the carrying amount of an asset and when the latter amount is higher, the asset is written down to the recoverable amount. The recoverable amount of an asset is the higher of its net selling price and its value in use, which is measured by reference to discounted future cash flows.

An impairment loss is charged to the income statement immediately, unless the asset is carried at revalued amount. Any impairment loss of a revalued asset is treated as a revaluation decrease to the extent of previously recognised revaluation surplus for the same asset. Should the impairment loss of an asset exceeds its revaluation surplus, the surplus impairment loss is charged to the income statement.

Subsequent increase in the recoverable amount of an asset if carried at cost, is treated as a reversal of the accumulated impairment loss previously recognised in the income statement but the reversal is limited to the accumulated impairment loss previously recognised, and if carried at revalued amount, is credited directly to revaluation surplus.

(k) Operating Fund

Operating Fund is the grant received from the Federal Government to finance IRDA's operating expenditures requirements as the authority empowered to plan, promote, process, stimulate, facilitate and undertake the development of Iskandar Malaysia.

(I) Special Development Fund

Special Development Fund is managed on behalf of and funded by the Federal Government under Ninth Malaysian Plan (RMKe-9) and Tenth Malaysian Plan (RMKe-10) for infrastructure development project, Creative Fund used for Creative Industry Talent Development Programmes and National Talent Enhancement Programme (NTEP) Fund used for Human Capital Development Programmes.

All receipts are credited and all payments are debited to the account. Unutilised amounts at the balance sheet date are shown as balance of the above fund.

(m) Social Projects Fund

Social Projects Fund managed by the Authority is funded by third parties and utilised for certain purposes in accordance with the provisions of Section 37 of Iskandar Regional Development Authority Act, 2007.

All receipts are credited and all payments are debited to the account. Unutilised amounts at the balance sheet date are shown as balance of the above fund.

Facilitation Fund is managed on behalf of and funded by the Federal Government through TERAJU to be used in initiatives undertaken by qualified Bumiputera companies in accordance to the specified criteria.

(o) Johor International Youth Hub Fund

Johor International Youth Hub Fund managed by the Authority is funded by government and third parties will be used for initiatives undertaken by the Youth Hub in accordance to the specified criteria for a future-ready and resilient youth community.

All receipts are credited and all payments are debited to the account. Unutilised amounts at the balance sheet date are shown as balance of the above fund.

(p) Entrepreneurship Fund

Entrepreneurship Fund is managed on behalf of and funded by the Federal Government through TERAJU to be used for Micro Entrepreneur Bumiputera Development programme aimed for Bumiputera entrepreneurs in the state of Johor in accordance to the specified criteria.

All receipts are credited and all payments are debited to the account. Unutilised amounts at the balance sheet date are shown as balance of the above fund.

(q) Foreign Currency Transactions

Transactions in foreign currencies are recorded in at rates of exchange ruling at the time of the transactions.

Assets and liabilities in foreign currencies are translated into Ringgit Malaysia at the approximate rates of exchange ruling at the balance sheet date. Assets and liabilities not in foreign currencies are determined on fair value which translated into Ringgit Malaysia at the approximate rates of exchange ruling at the balance sheet date. Exchange differences arising from foreign currency are recognised in the income statement.

(r) Employee Benefits

Short Term Benefits

Wages, salaries, bonuses and social security contributions are recognised as an expense in the year in which the associated sevices are rendered by employees of IRDA. Short term accumulating compensated absences such as paid annual leave are recognised when services are rendered by employees that increase their entitlement to future compensated absences. Short term non-accumulating compensated absences such as sick leave are recognised when the absences occur.

Defined Contribution Plan

IRDA is required by law to make monthly contributions to Employees Provident Fund ("EPF"), a statutory defined contribution plan for all its eligible employees based on certain prescribed rates of the employees' salaries. IRDA contributions to EPF are disclosed separately. The employee's contribution to EPF are included in salaries and wages.

(s) Cash Flow Statement

IRDA adopts the indirect method in the preparation of the cash flow statement. Cash equivalents comprise short-term, highly liquid investments with maturities of less than three months from the date of acquisition and that are readily convertible to known amounts of cash and which are subject to an insignificant risk of changes in value.

The establishment of Facilitation Fund is to be used for qualified Bumiputera companies under the TERAJU's Entry Point Project (EPP) initiatives. The Fund is managed by the Facilitation Fund Review Committee (FFRC) comprising of independent members and chaired by IRDA's Chief Executive. The FFRC Committee task is to review the application received from all the companies applying for the fund and make recommendation for the qualified companies to the Teraju Delivery Committee (TDC) for final approval.

Johor International Youth Hub Fund was established to undertake initiatives related to the implementation of Youth Hub project. The project is a plan under the youth social development programme and will be a platform for the youths to gather, exchange ideas and organise recreational activities among them. The Hub shall be managed by youth but in the early stages, IRDA as a government agency will provide support and facilitate this initiative via public, private and community participation. The hub also provides opportunities for entrepreneurship in creative and technology sectors and encourages social enterprise.

The source of fund is from contributions made by strategic investors (e.g. Khazanah Nasional Berhad and landowners), other sources such as sponsorship, donations, fund raising activities and also grants from the government. The Fund is managed by the Iskandar Malaysia Youth Advisory Council ("IMYAC") comprising of government agencies and business stakeholders and is lead by IRDA. The task of IMYAC is to review, provide direction and/or approve activities proposed by the Youth Hub committee. Upon completion of the project, a special purpose vehicle namely "HAB Corporation" with a sustainable business model, will be formed to manage and operate the Youth Hub.

The Entrepreneurship Fund was established for the purpose of Micro Entrepreneur Bumiputera Development programme aimed for Bumiputera entrepreneurs in the state of Johor. It is to cater for the small and micro-businesses in order to strengthen their specialised skills capacity, funds and infrastructure as well as increasing the Bumiputera participations in business. The Fund is managed by the Project Steering Committee comprising of independent members and chaired by IRDA's Chief Executive. The Project Steering Committee task is to act as the policy maker of the fund and as the final implementation committee for all matters related to the programme and fund.

21. INCOME TAX

IRDA has obtained tax exemption under Section 127(3A) of the Income Tax Act, 1967. All income except for dividend income are exempted from tax for 10 years beginning from year assessments 2007 until 2016.

(a) IRDA has been served with a Notice of Arbitration by SJIC Bina Sdn Bhd, appointed contractor to carry out the design, construction, equipping, testing and commissioning of the following projects:- i) Projek Lebuhraya Pesisir Pantai dari Johor Bahru ke Nusajaya (Pakej 1); and ii) Projek Menaiktaraf Jalan Skudai dan Jalan Abu Bakar (Pakej 2).

The contractor has alleged that during the course of the works, there were some adjustments in respect of various Pelarasan Harga Kontrak ("PHK") amounting to a total shortfall of RM130,529,610.45 to the original contract sum. The court's decision are still not ascertained since the arbitration process is still ongoing.

(b) IRDA has received a high court civil suit from "orang asli" Kampung Sungai Tenom related to the development of the area in which IRDA be the first defendant in this case. However, no financial implications to IRDA that can be estimated as the case is still ongoing. The court has fixed 21 April 2016 for parties to file in their respective submission in reply and to orally submit on the salient issue before the court in the said date.
