PROFESSIONAL EXPERIENCE Prior to joining Han Kun Law Offices, Ms. Chen worked at Cooley LLP as a legal intern, and interned in the investment banking department of Guotai Junan Securities.

In the area of private investment fund formation, Ms. Chen has assisted a variety of onshore and offshore private equity funds and their management companies with formation, operation and management matters, including but not limited to legal research, advising on formation structures, drafting and reviewing legal and transaction documents, attending bilateral or multilateral negotiations, etc.

Ms. Chen has assisted numerous well-known domestic private equity fund management companies by issuing legal opinions for and completing equity fund manager registrations and registration alterations, and has assisted many private equity investment fund management companies to complete AMAC filings and registrations.

EDUCATION Ms. Chen graduated from Shanghai Jiao Tong University Koguan School of Law with an LL.B. Degree in 2014 and an LL.M. Degree in 2017. Ms. Chen also studied at the University of Amsterdam and received another LL.M. Degree with distinction (the Orange Tulip Scholarship) in 2015.

在私募基金管理人登记及基金备案领域，陈心怡曾协助多家境内知名私募基金管 理机构出具私募基金管理人登记法律意见书或重大事项变更登记法律意见书，并 成功完成在中国证券投资基金业协会的登记或重大事项变更，也曾协助多家境内 知名私募基金管理机构完成在中国证券投资基金业协会的基金备案。

教育背景 陈心怡于 2014 年获得上海交通大学法学学士学位，于 2015 年取得荷兰阿姆斯特 丹大学法学硕士学位，获荷兰橙色郁金香奖学金，于 2017 年取得上海交通大学 法学硕士学位。
