The company, established in 1995, was equally owned by Thihatmer, a colleague and the Fekete family which in spite of owning just 33.3 percent of the shares had a controlling veto. The portfolio is constructed without reference to the composition of any stockmarket index. Although its investment policy allows gearing, including the use of derivatives, the Company is not permitted to employ gearing whilst it continues to be registered as a small UK Alternative Investment Fund Manager (AIFM). When appropriate, the directors will sanction a relatively concentrated portfolio structure and, depending on its AIFM status, relatively high levels of gearing. PRINCIPAL RISKS AND UNCERTAINTIES The principal risks facing the Company are financial risk, regulatory risk, operational risk, discount volatility risk and resource risk. An explanation of these risks and how they are managed is set out on pages 7 and 8 of the Company’s Annual Report and Financial Statements for the year to 30 November 2014, which is available on the Company’s website: www.independentinvestmenttrust.co.uk.
