Terms & Conditions: I. Definitions

 "Card" shall mean ICICI Bank American Express Credit Card issued by ICICI Bank, that is valid and subsisting during the Offer Period (does not include ICICI Bank EMI Card, Corporate Card, Business Card).  "Cardholder/s" shall mean such customer/s to whom a Card has been issued and who is authorized to hold the Card.  "Instant EMI" refers to the conversion into EMI upon request by the Cardholder, of transactions performed using the Card on payment gateway of online merchant/s.  “Alliance Partner” shall mean” Paytm Mall” referred to as ‘Partner’, who has entered into an Alliance Agreement with ICICI Bank for execution of a promotional arrangements, whereby certain promotions will be made available to Customers (as defined under the Offer Terms).  “Offer/Program” shall mean Instant EMI on ICICI Bank American Express Credit Card & get 10% cashback up to Rs. 5,000, on transactions above Rs. 3000.  "Primary Terms and Conditions" shall mean the terms and conditions (www.icicibank.com/emi) applicable to the Card in addition to these Terms and Conditions.  "Offer Period" shall mean period commencing from March 04, 2019 to March 13, 2019 (both days inclusive).  “Void Transaction” shall mean any transaction wherein the transaction has taken place but has been cancelled by the merchant prior to settlement with ICICI Bank.  “Purchase" shall mean such purchase, which has been made by ICICI Bank American Express Credit Card Holder/s by entering Card details for making payments at online merchant payment gateway during the Offer Period.  “Products” shall mean the goods/benefits/facilities offered by the Alliance Partner during the Offer Period.  “Website” shall mean the following website of the Alliance Partner: https://paytmmall.com/ (including the Paytm Mall mobile application) and Paytm Mall orders on https://paytm.com and Paytm Mall orders on Paytm mobile application. 

 Avail Instant EMI on your ICICI Bank American Express Credit Cards & get 10% cashback up to Rs. 5,000 at Paytmmall.com / Paytmmall App  Offer applicable on minimum transaction amount of Rs. 3,000  Offer valid on ICICI Bank American Express Credit Cards only  Offer valid on EMI option (as a payment mode) selected on merchant website at the time of transaction  Offer applicable on EMI tenures of 3,6,9,12,18 & 24 months’ tenure  Offer is not valid on EMI converted through Call centre/iMobile/Internet Banking  Customers will not be eligible for cashback if EMI is foreclosed/cancelled  Offer is not valid on Add-on Cards  Cashback to open & active card account will be credited on or before 30th Apr’19  Offer Period: 04th March to 13th March, 2019  This Offer will not be applicable if Cardholder or seller or Paytm cancels the order and/or returns the Product and in such a case, participation in the Offer will be deemed withdrawn. It is clarified that such cancellation or return may be for any reason whatsoever.  Offer is Valid on selected products in TVs, ACs & Appliances, Electronic and Mobiles Category.  Offer is not valid on EMI selected at the OTP page  Under no circumstance will benefit being offered under this Offer be settled with cash in lieu by Bank or by Paytm.  Paytm has no role to play pertaining to the Credit Card including but not limited to its issuance, approval, any extension, pre-closure, or closure of any facility using the Credit Card and such matters are solely determined by the Bank.  The Cardholder’s use of the Credit Card is also governed by the Terms and Conditions of the Agreement between the Cardholder and the Bank.  The Cardholder hereby agree that Paytm has no role in this regard and the Cardholder will not bring any claims against Paytm for any refund of any amount paid to the Bank for such order.  Please contact the Bank for any queries in relation to the Credit Card. Please call at the number mentioned at the back of your card.  Any person availing this Offer will be deemed to have accepted the Primary Terms & Conditions

III. Other Terms & Conditions by Alliance Partner

• By participating in this Offer, the Customer agrees to be legally bound by and abide by these Terms & Conditions. Customer confirm and acknowledge that they have read, understood and agree to conform to these Terms and Conditions. If customer does not agree to these Terms & conditions, please do not participate in this Offer. • This Offer is organized and administered by Paytm E-Commerce Private Limited, a company having its registered office at 1st Floor, Devika Tower, Nehru Place, New Delhi - 110019 and corporate office at B-121, Sector 5, Noida, UP 301301 (hereinafter referred to as “Paytm”). • To participate in this Offer, you Customer (i) should have a Paytm account (ii) should be of or above 18 years of age (iii) must be a resident of India, (iv) should be a ICICI Bank Cardholder. • Customer also consent that their personal information are being shared by Paytm with its affiliates, merchants and service providers and to your their personal information are being processed and stored in the servers of Paytm or its service providers, inside or outside India. • Customer acknowledge and agree that all copyright and trademarks and all other intellectual property rights in the SMS content, Website, Portals, and all material or content related to the Offer shall remain, at all times, owned by Paytm and/or their respective owners. All material and content contained in this WAP/App portal/Website is made available for their personal and non-commercial use only. • Subject to any applicable law, all warranties of any kind whatsoever, whether express or implied, are hereby expressly disclaimed by Paytm. • In all matters relating the Offer, the decision of Paytm shall be final and binding in all respects. • Paytm reserve the right to modify/change / withdraw all or any of the terms applicable to the offer, without assigning any reasons or without any prior intimation whatsoever. • Paytm reserve the right to disqualify any Credit Cardholder from the benefit of the Offer if any fraudulent activity is identified as being carried out for purpose of availing the benefits under the Offer or by using Paytm website. • In no event, the entire liability of Paytm for any dispute arising in connection with the Cashback Offer shall exceed the cashback amount that the Cardholder is entitled to under the said Offer. • Paytm in no event shall be liable for any incidental, consequential and financial losses/damages in any event whatsoever. Customer shall indemnify and keep indemnified Paytm and their officers, directors, employees, customers, affiliates and agents harmless from and against any and all claims, losses, suits, proceedings, action, liabilities, damages, expenses and costs (including attorney’s fees and court costs) which Paytm may incur, pay or become responsible for as a result of breach or alleged breach of your representations or obligations, fraud, misuse of your Paytm Wallet, any failure by them to comply with applicable law and any third party claim in respect of misuse of any information of a third party. • Paytm shall not be liable for (i) any claims or grievances’/ defects/deficiencies solely attributable to the online partner’s to whom the payment is made/to be made (ii) any claims arising due to Force Majeure events or situations beyond its reasonable control. • Tax liability, if any, will be borne by Cardholder. • This offer is being made purely on a “best effort” basis. Cardholders are not bound in any manner to participate in this Offer and any such participation is purely voluntary. • Other Terms & Conditions and Paytm policies may apply. • All issues / queries / complaints / grievances relating to the Offer, if any, shall be addressed to customer support on [email protected] . • All disputes shall be governed by laws of India and shall be subject to exclusive jurisdiction of the courts at Mumbai. iv. Other Terms and Conditions – ICICI Bank

 This Offer is open to all ICICI Bank American Express Cardholders whose accounts are valid and in good standing.  This Program is being offered at the select online merchants only and shall be valid only during the Offer Period.  The Cardholders are not bound in any manner to participate in this Offer and any such participation is purely voluntary.  ICICI Bank and American Express is neither responsible for availability of services nor guarantees the quality of the goods/services purchased using the Card and is not liable for any defect or deficiency of goods or services so obtained/availed of by the Cardholders under this offer.  Any disputes with regard to the quality of goods/services availed shall be taken up with the merchant/service establishment directly. ICICI Bank and American Express shall have no liability whatsoever with regard to the same.  ICICI Bank and American Express shall not be liable whatsoever for any loss/damage/claims that may arise out of use or non-use of any goods or services availed by Cardholder under this Offer.  American Express reserves its absolute right to withdraw and/or alter any of the terms and conditions of the Offer at any time without prior notice.  To receive this Offer, purchase should be charged in full to the ICICI Bank American Express Credit Card. No cash alternative is available.  The participation in the Program is entirely voluntary and it is understood, that the participation by the ICICI Bank American Express Credit Cardholder/s shall be deemed to have been made on a voluntary basis.  All disputes are subject to the exclusive jurisdiction of the competent courts/tribunals of Mumbai.  All communication/ notices with regard to this Program should be addressed to "ICICI Bank Limited, ICICI Phone Banking Center, ICICI Bank Tower, 7th floor, Survey no: 115/27, Plot no. 12, Nanakramguda, Serilingampally, Hyderabad – 500032, India.  In all matters relating to the Program, the decision of ICICI Bank shall be final and binding in all respects. These Terms and Conditions shall be in addition to and not in substitution/ derogation to the Primary Terms and Conditions governing the ICICI Bank American Express Credit Card of ICICI Bank.  All capitalised terms used but not defined herein shall have the respective meanings ascribed to it in the Primary Terms and Conditions.  ICICI Bank shall not be liable in any manner whatsoever for any loss/ damage/ claim that may arise out of use or otherwise of any goods/ services availed of by the ICICI Bank American Express Credit Card Holder/s under the Program.  ICICI Bank reserves the right to modify/ change all or any of the terms applicable to the Program without assigning any reasons or without any prior intimation whatsoever. ICICI Bank also reserves the right to discontinue the Program without assigning any reasons or without any prior intimation whatsoever. ICICI Bank reserves the right to disqualify any ICICI Bank American Express Credit Card Holder/s from the benefits of the Program if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the Program.
