On 26 February 2013, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation by which the undertakings Bertelsmann SE & Co. KGaA ("Bertelsmann") of Germany and Pearson Plc ("Pearson") of the UK acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the newly created joint venture Penguin Random House (the "JV") by way of purchase of shares.2 Bertelsmann and Pearson are designated hereinafter as the "parties".
