Oak Hill Dr, Westmont, IL 60559; Fax 630-734-3088; [email protected] Natural Gas Agreement Terms and Conditions (Letter of Agency) – (version #ILMVNT-OB written 11-2011) Integrys Energy Services – Natural Gas, LLC (“Seller”) and Buyer (“Buyer” or “your”) (individually referred to as “Party” and collectively as “Parties”) agree to the following terms and conditions (“Agreement”), as of the date signed by Buyer (the “Effective Date”): 1. Term: This Agreement shall become binding on the Effective Date, however, the obligation of Seller to sell and Buyer to purchase natural gas is contingent upon: (a) successful enrollment by the utility identified in Section 13 (the “Utility”), (b) if applicable, the passage of the Rescission Period (defined below) without effective cancellation by Buyer, (c) credit approval, (d) the availability of the Rate selected as determined by Seller, and (e) other conditions set forth in Section 6 Successful enrollment by the Utility is dependent upon (i) the eligibility of Buyer as determined by the Utility including, but not limited to, past payment history, price availability based on the active rates provided by Seller to the Utility and historical annual usage, and (ii) the accuracy and completeness of the information submitted in Section 13. Service shall not commence until the first meter read date for which the Utility confirms enrollment with Seller and shall remain in effect on a month-to-month basis (“Term”) unless terminated pursuant to the terms of this Agreement. Rescission Period: The Utility will send Buyer a letter confirming the transfer of service. If Buyer is a Residential Customer or Small Commercial Customer (defined below), Buyer may cancel its enrollment without penalty within ten (10) business days of the date of that letter (“Rescission Period”) by contacting the Utility or Seller in writing or by telephone as noted in Section 11 below or the Utility‟s letter. A Residential Customer is a customer who receives gas utility service for household purposes distributed to a dwelling of 2 or fewer units which is billed under a residential rate or gas utility service for household purposes distributed to a dwelling unit or units which is billed under a residential rate and is registered by a separate meter for each dwelling unit. A Small Commercial Customer is a non-residential retail customer of a natural gas utility that consumed 5,000 or fewer therms of natural gas during the previous year; provided that Seller may remove the customer from designation as a “small commercial customer” if the customer consumes more than 5,000 therms of natural gas in any calendar year after becoming a customer of Seller. 2. Renewal: This Agreement renews on a month-to-month basis. Seller shall give Buyer at least thirty (30) days notice of any material change to this Agreement and Buyer shall have the opportunity to terminate at that time. In addition to other termination rights set forth herein, Buyer or Seller may terminate this agreement with at least sixty (60) days written notice prior to the end of the Initial Term or any subsequent renewal term. 3. Supplier’s and Utility’s Role: Seller agrees to sell to Buyer and deliver to the Utility, and Buyer agrees to purchase from Seller and receive from the Utility, Buyer‟s full requirements of natural gas for the accounts in Section 13 (“Accounts”). The Utility will deliver the natural gas to the Accounts and shall invoice and collect Seller‟s charges. The Utility‟s billing and payment procedures shall apply in accordance with the applicable tariff, including but not limited to, the Utility‟s right to assess late payment fees. Buyer authorizes Seller as exclusive agent for Buyer‟s Account(s) during the term of this Agreement, which includes the authority to obtain historical and current gas use data from the Utility. 4. Rate: Buyer shall pay the Monthly Variable Rate1. Under the Monthly Variable Rate1 Buyer‟s natural gas supply price will be the Market Price plus an adder of $0.02 per therm. „Market Price‟ when used in this Agreement shall mean the „avg‟ price published in NGI‟s Bidweek Survey, for the applicable month, under „Midwest‟, for „Chicago citygate‟, as published by Natural Gas Intelligence. 1Administrative, Miscellaneous and Other Charges: In addition to the price under the Rate, some miscellaneous, storage, pooling and administrative charges may apply. If Buyer is a customer of Nicor Gas, such charges will appear on the bill under “Administrative & Miscellaneous”. If Buyer is a customer of Peoples Gas, such charges will appear on the bill under „Storage Bal. and/or Pool Chg” and/or “Misc Credits/Debits”. If the pass-through charges from the Utility increase or if new charges are approved by a governmental agency with jurisdiction and passed through, existing tariff charges are administered differently and the pass-through charges from the Utility increase, the applicable Administrative, Miscellaneous and Other Charges will increase accordingly. The Rate does not include Taxes (as defined below) or Utility distribution charges. 5. Taxes: Buyer is responsible for all state and local sales, use, revenue, gross receipts, commercial activity, excise and/or ad valorem tax (collectively, “Taxes”) and shall reimburse Seller if Seller is required to remit such Taxes in connection with this Agreement. 6. Limited Availability: Seller‟s acceptance of this Agreement is subject to credit approval and successful enrollment with the Utility. Participation is also contingent upon Buyer being either (a) a current electricity customer of Seller‟s affiliate, Integrys Energy Services, Inc. or (b) scheduled to start Integrys Energy Services, Inc. electricity supply by Buyer‟s January 2012 electricity meter read. Seller may terminate this Agreement on thirty (30) days written notice if at any time Buyer fails to be a current electricity customer fo Integrys Energy Services, Inc. The Rate selected may have limited availability and Seller may reject enrollment based on availability in its sole discretion. Seller will notify Buyer by mail to confirm Seller‟s acceptance. 7. Termination; Remedies: There is no termination fee for an early termination. This Agreement will automatically terminate or Buyer may terminate the Agreement without penalty if (i) the requested service location is not served by the Utility or (ii) Buyer moves outside the Utility service area or to an area not served by Seller. Late payments incur interest at 1.5% per month (or the highest amount allowed by law) plus any credit and collection costs incurred by Seller. 8. Limitations: ALL NATURAL GAS SOLD HEREUNDER IS PROVIDED “AS IS”, AND SELLER EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE. IN NO EVENT WILL EITHER PARTY BE LIABLE UNDER THIS AGREEMENT, WHETHER IN AGREEMENT, IN TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), OR OTHERWISE, FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. 9. Switching: If Buyer returns to the Utility, Buyer may not be served under the same rates, terms, and conditions that apply to other customers served by the Utility. Buyer acknowledges that it has made the decision to change suppliers from Buyer‟s current provider of natural gas supply to Seller. If Buyer is currently under contract with an alternative gas supplier, Buyer may incur fees from such supplier when service is established with Seller. 10. Force Majeure: Except for Buyer‟s obligation to pay Seller timely, neither Party shall be liable to the other for failure to perform an obligation if such failure was caused by any event beyond the reasonable control of the non-performing party, that could not be remedied by the exercise of due diligence and that was not reasonably foreseeable, including without limitation, acts of God, interruption of utility service, terrorist acts or wars, force majeure events of the Utility. Seller may return Buyer to Utility service upon notification of a Force Majeure event preventing performance. 11. Questions, Complaints and Concerns: Questions, Complaints and Concerns: Buyer may contact Seller by calling 1-877-377-7297, at Seller‟s website www.integrysenergy.com, or by writing to 500 W. Madison, #3300, Chicago, IL 60661, ATTN: Customer Service. For issues concerning this Agreement, Seller will attempt to resolve the matter within 5 business days after receiving the call or letter. If Buyer is not satisfied with the response, or to obtain consumer education materials, Buyer can contact the Illinois Commerce Commission‟s Consumer Services Division at 1-800-524-0795 or 1-800-858-9277 for TTYTDD hearing-impaired customers or visit the Illinois Commerce Commission‟s website at www.icc.illinois.gov. Buyer should contact the Utility in the event of a natural gas emergency. Buyer may contact its utility by calling Nicor Gas at 1-888-642-6748. 12. Miscellaneous: This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois. Subject to regulatory approvals and notice from Seller, Seller may assign this Agreement without Buyer‟s consent. Buyer may assign this Agreement only with Seller‟s consent. This Agreement (including Rate choices and account information provided during enrollment) constitutes the entire agreement between the Parties, superseding all verbal and written understandings. This Agreement shall only be amended in a writing signed by both. The undersigned warrants that he or she is authorized to enter into this Agreement on behalf of Buyer.
