NOTICE INVITING TENDERS FOR “APPOINTMENT OF RAILHEAD HANDLING, FOL & PVT WAREHOUSE CONTRACTORS”

MFL is a Public Sector Undertaking under the administrative control of Ministry of Chemicals and Fertilizers, Government of India. We are one of the major producers of Fertilizers in South India and our products are marketed in all the five states of South India. For and on behalf of Madras Fertilizers Ltd(MFL) the Dy. General Manager (Marketing & Distribution) invites sealed tenders for appointment of Railhead handling, FOL & Private Warehouse Contractors for Clearing & Transporting bagged fertilizers/consignments received by Rail/Road from MFL plant(TNFS)/Chennai City/ other locations to the Railheads and Warehouse locations mentioned below for a period of one year from the date of agreement or commencement of the contract.

Instructions to the Tenderers: ANNEXURE -1

Fertilizers are dispatched through rakes from plant to rake points in different states. At these rake-points, services of Railhead handling, FOL & warehouse contractors are required to clear the rakes and to further transport the material to the sale/storage points. Parties should go through the contents of this tender document carefuly and submit it along with all the required documents,

1.0 JOB REQUIREMENT

1.1 Railhead Handling :

unloading the products without using hooks from the wagon within the free time allowed by Railways and loading into the trucks at railhead as per authorized delivery documents, lodging Railway claims for shortages and forwarding of shortage/ damage certificate from Railways and adherence to Railway rules and regulations in force. Demurrage / wharfage charges payable if any will be met by the contractor on his own and no reimbursement will be made by MFL on this account.

1.2 FOL :

Transportation of bagged fertilizers from Railhead / Warehouse to various destinations and effecting safe delivery to nominated consignees and forwarding the acknowledgement for the product so delivered. Should complete and submit all the documents in the prescribed format.

1.3 Private Warehouse

Proper handling and safe storage of bagged fertilizers received from MFL, Manali / Chennai City godowns and / or other locations in trucks or by rail, keeping proper records and rendering account of stock of fertilizers & empty gunny bags (Jute / HDPE) received and completion / submission of all documents as prescribed by MFL.

2.0 Submission of Tender and Documents :

2.1 Tender Form

The tender Form duly filled in all respects in English and one set of tender document duly signed by the tenderer or their authorized representative should be submitted. Tenderer may note that conditional offers and partial quotes shall be rejected. The Rates shall be quoted in words as well as in figures. If there is any difference between rates quoted in figures and words, amount quoted in words shall prevail.

2.2 Information about Tenderers :

The tenderers shall furnish at the time of submission of the tender, complete, correct and precise details about themselves, as per Annexure - 6.

2.3 Persons or Person signing the tender shall indicate his authority while signing the tender as Sole proprietor of a firm or as Secretary / Manager / Director, etc. Letter of Authority shall be produced.

3.0 PRE-QUALIFICATION CRITERIA

The tenderers to fulfill the following qualifications:

3.1 Should have experience for any one year out of last three years in Railhead handling (Wagon clearing and loading into trucks), FOL (transporting of bagged products) and private warehouse operations.

3.2 The tenderer’s turn-over for the respective location should be minimum 30% of the estimated contract value in respect of Railhead Handling, Warehousing & FOL transactions for one year.

3.3 Should have godown facility (own or hired) at the specified location, suitable for proper storage of chemical fertilizers or willing to hire godown at the specified location on award of the contract.

3.4 Should have an office with a responsible contact person or be willing to open office with a responsible contact person at the Railhead / warehouse location concerned on awarding the contract.

3.5 Should provide a list of immovable assets standing in the name of the firm or proprietor or individual partners or directors and estimated value.

3.6 Should not be related to any of the employees of MFL (must provide a declaration).

Tenderers not fulfilling 3.1 to 3.6 above will not be considered.

Documents required :

1. Experience Certificate from a service receiving company/organization towards proof of experience for one year out of last three years.

2. The turn-over details towards Railhead Handling, FOL & Warehousing (proof ) should be enclosed one year out of the last three years.

3. Proof of godown facility (incase of own godown, latest tax paid receipt or incase of hired godown existing agreement copy) or Declaration of willingness to hire (leased) godown on award of the contract(As per Annexure 12).

4. List of immovable assets with estimated value in case of proprietorship or partnership firms or pvt Ltd companies and directors.

5. Declaration of having office or willing to open at Railhead/Warehouse location applying.

6. Declaration about no relationship with any of the employee of MFL.

Tenders should accompany documentary proof as above.

4.0 Additonal Documents to be attached alongwith Form A:

4.1 Proof for proprietorship concern and companies.

4.2 Partnership Deed applicable as on Apr 01, 2015 and subsequent revisions, if any.

4.3 Memorandum and Articles of Association.

4.4 Power of Attorney / Letter of authority (original / attested).

4.5 Income Tax Return / Assessment showing the assessee’s status in the case of Hindu Undivided Family. 4.6 Income Tax Return / Assessment of the latest year in respect of Firm / Individual, Partners, Directors, Members of a Private Company.

4.7 Audited/certified copy of P&L a/c & balance sheet for latest year.

4.8 Copy of PAN.

4.9 Copy of Service Tax Regn Number.( If the Service Tax Regn Certificate is not submited, the applicable service tax will be deducted from the bills.)

5.0 Opening of tenders

5.1 The Tender covers will be opened in the Office of the Dy. General Manager (Marketing & Distribution) in the presence of Tenderer(s) or their authorized representative(s) who are present during that time. Envelope containing EMD, Form-A(Qualification Bid) will be opened in seriatim and if conditions of the preceding envelope is not satisfied, the succeeding envelope shall not be opened and it shall stand rejected. OPENING OF FORM-B(RATE BID) WILL BE CONSIDERED ONLY IN RESPECT OF THOSE TENDERERS FULFILLING THE PRE-QUALIFICATION NORMS OF FORM-A. 5.2 MFL reserves the right to accept or reject any tender without assigning any reason whatsoever. . MFL’s decision in this regard shall be final, conclusive and binding. No claim shall lie against MFL on these accounts.

5.3 Tenders not conforming to any condition / instruction stipulated in the tender notice or any part of the tender are liable to be rejected at the sole discretion of MFL and EMD will be returned.

5.4 Representation / appeal of any kind against late receipt of tenders by post or otherwise beyond the scheduled date and time or lost in transit etc will not be considered.

5.5 Tenderers should be prepared and reach MFL, Manali, Chennai 600 068, if called upon to do so, for discussions with the MFL authorities at their own expenses and without any obligation on the part of MFL.

7 ANNEXURE -2

GENERAL TERMS & CONDITIONS

MFL invites sealed tenders for Railhead handling, FOL & Pvt Warehouse contract. The contract involes Railhead handling at particular location , transportation of fertilizers on FOL to varius destinations & Pvt warehouse etc.,

The successful tenderer shall ensure that the fertilizers handed over to him is delivered in full at the destination without any damage either to the material or to the packing and within the shortest possible time but not later than two days from the date of liftings from the rake point and godown. In case of damage to the material or packing, the contractor will have to make good the loss to Company. In case of shortage of material(fertilizers) en-route, the contractor shall have to pay to the company as compensation as per recovery rates communicated time to time, which is higher than the consumer price . In case of dealy in delivery of material at destination the contractor shall be liable to pay a penalty of Rs.20/- per tonne per day from the expiry of 48 hours from the date of liftings from rake point and godown.

1.0 DEFINITION

1.1 MFL shall mean and include Madras Fertilizers Limited, Manali, Chennai 600 068 or any of its authorised officers.

1.2 The contractor shall mean and include all those represented by any such persons(s) who entered into agreement with MFL, his/their heirs, executors, administrators, successors and his/their permitted assignees, as the case may be.

1.3 “Company’s Representatives” shall mean the General Manager (Marketing & Distribution), Deputy General Manager (Marketing & Distribution), Chief Manager / Manager / Additional Manager / Deputy Manager / Assistant Manager / Senior Officer – Warehousing, Regional Manager, Deputy Regional manager, Senior Marketing Officer or other officers of the Company nominated from time to time for the purpose

2.0 SUBMISSION OF TENDERS:

2.1 The Tenderer should submit the tenders after studying the entire tender document and instructions to the tenderers carefully, visiting the sites, for satisfying himself of the local conditions, locations, accessibility of sites, nature, extent and character of operation, may obtain all clarifications before the tendering. Submission of tender implies that the tenderer has obtained all the clarifications required by him. No claim on ground of want of knowledge, thereafter, in such respect will be entertained. The tenderer should quote rates both in figures as well as words in Rupees in separate formats of Form B. 1. Rate for wagon handling and storage : Rupees per MT 2. For FOL quote rates for different distance slabs : FOL rates to be quoted fixed rate for first slab(1-15 KMs) RS/MT and FOL rates to be quoted from 2nd slab onwards Rupees per KM per MT.

8 2.2 FOL Rates Revision Clause : Whenever the retail price of diesel is revised by oil marketing companies in Public Sector, the FOL rates shall be revised from the effective date of such diesel price revision during the contract period, for an increase or decrease of Rs 2/Lt for Diesel in one or more instances & till its subsequent revision during the contract perioid. The diesel price prevailing at the respective State Capital on the date of Technical bid opening, shall be the base rate for the above purpose. The revision of FOL rates will be caliculated (i) The actual increase or decrease of Diesel Rs/Lt (ii) Average distance coverage of a truck for one Litre of diesel 3.5 K.M (iii) Average truck capacity : 17 MT. The Workings are as follows:

Revised rate (Rs/T) = Current rate + (distance for destination) x 0.034

2.3 The rates quoted wil be valid for a period of 90 days from the tender opening date(Form A). No tenderer can with draw his tender or revoke or revise the rates within the aforesaid period of 90 days. If a tenderer withdraws, revokes, revises the tender rates, his earnest money deposit shall be forefeited.

3.0 Constitution of the Contractor :

3.1. The tenderer shall disclose the nature, consititution and registration of the tendering firm and tender document shall be signed by a person or person duly authorized.

3.2 The contractor shall not change the constitution of the composition during the currency of the contract without the prior approval of MFL. Any change in the composition of contractor and happenings like death / resignation of any Partner / Director / Member shall be notified within 24 hours of such change / happenings by registered letter to the Dy General Manager(Marketing & Distribution) /Chief Manager – Distribution, MFL, Manali, Chennai 600 068. On receipt of such notice, MFL reserves the right either to terminate or to continue the contract.

3.3 The contractor shall produce the original/ attested Power of Attorney granted in favour of the authorized signatory and the Partnership Deed.

3.4 In the event of any dispute, legal or other proceedings, by any party or parties concerning the constitution or composition of the contractor, MFL reserves the right to take such necessary action as it deems fit including termination of the contract, withholding payments due to the contractor.

3.5 The contract shall be awarded on the basis of `Principal-to-Principal Contract’ and the contractor shall be deemed to be an independent contractor engaged for the performance of service / work / job in the manner and to the extent provided in these presents.

4.0 COMMENCEMENT OF WORK

The contractor shall deposit the requisite Security Deposit and also commence the work within seven days after the receipt by him or an order, in writing to this effect from the company and shall proceed with the same with due expedition and without dealy. In case the contractor fails to commence/refuse the work, the company shall reserve the right to terminate the contract and the earnest money so deposited by the contractor will be forfeited.

The tenderer will quote for all the jobs covered by the tender as per Form B. The FOL rates for the slabs as indicated in Form B, forwhich movement plan has not been given are also to be quoted. This is required to work out the effective rate of the last slab of movement plan and also at any later date there may be requirement for movement in these slabs depending on the market situation/ directives of Government. Tederers not quoting the rates of all slabs are liable to be rejected.

5.0 Period of Contract :

5.1 The contract awarded and the agreement entered into between the contractor and MFL as per ANNEXURE 10 of Form-A shall remain in force for a period of one year from the date of commencement of contract.

5.2 The period of contract can be extended on mutual consent for a further period not exceeding one year at the same rate, terms and conditions as herein mentioned

5.3 MFL shall have the right to terminate the contract by giving 30 days notice in writing to the contractor and the contractor shall have the right to terminate the contract by giving 90 days notice in writing to MFL.

6.0 EARNEST MONEY DEPOSIT (EMD) - TERMS & CONDITIONS

6.1 The EMD amount specified for that particular location may be paid by way of A/C payee demand draft on any nationalized bank / scheduled bank (not from a cooperative bank) drawn in favour of Madras Fertilizers Ltd payable at chennai (or) Bank Guarantee in the prescribed format (Annexure 7) from a nationalized Bank / scheduled Bank (not from a cooperative bank) with a validity period of Ninty days with claim period of forty five days totallying 135 days from the date of bid opening. Independent confirmation for having issued the BG by the concerned bankers should be sent directly to the Dy General Manager (Marketing & Distribution), MFL, Manali, Chennai – 600 068.

6.2 Valid NSIC Certificate holders and bidders who are registered with Central purchase Organization are exempted from payment of EMD on production of relevant valid document proof indicating that they are eligible for EMD exemption in Central PSU.Claiming EMD exemption and with out producing the certificate will lead to rejection of tender.

6.3 Tenders not accompanied with the EMD / received from NSIC certificate holders who are not registered with central purchase organization will not be considered for evaluation and shall be rejected.

6.4 The tenderer is neither entitled for any interest on EMD nor any right for award of the contract.

6.5 EMD shall be refunded to the unsuccessful bidders once it is determined that they will not be awarded the contract through RTGS/NEFT transfers.

6.6 EMD of the successful tenderer paid by way of DD will be adjusted against the required Security deposit.

6.7 EMD of the successful tenderer furnished by way of BG will be returned only on submission of the required security deposit.

6.8 The EMD amount shall be forfeited if the tenderer after submitting his tender withdraws from his offer or revise the tender rates or modifies the terms and conditions thereof, or fails to enter into agreement and take up the work within 10 days of awarding the contract. Forfeiture of EMD may be without prejudice to any other claims.

6.9 The tenderer shall submit the applicable EMD for each location separately as given below:

7.0 SECURITY DEPOSIT (SD) - TERMS & CONDITIONS

7.1 The successful tenderers shall furnish security deposit by way of demand draft on any Nationalized Bank/ scheduled bank (not from a cooperative bank) drawn in favour of Madras Fertilizers Limited, payable at Chennai (or) Bank Guarantee in the prescribed format from a nationalized bank / scheduled bank (not from a cooperative bank) for 5% of the value of the contract within ten days from the date of intimation of his selection. The bank guarantee shall be as per Annexure 8 with a validity period of twelve months from the effective date of contract and further period of three months for claim purpose, to the satisfaction of MFL.

7.2 The Bank Guarantee shall be forwarded directly from the Bank to the Dy General Manager – Marketing & Distribution , Madras Fertilizers Ltd, Manali, Chennai - 600 068. In case the original Bank Guarantee is submitted by the party, the copy of the same with independent confirmation by the Bank for having issued the BG should be sent immediately by the Bank to MFL directly.

11 7.3 No interest shall be paid on the security deposit.

7.4 Failure to pay the security deposit within the stipulated time shall be treated as failure to discharge the duties under the contract and shall result in cancellation of the offer of contract and the tenderer shall be liable to compensate MFL for any losses incurred by MFL, besides forfeiture of EMD.

7.5 The security deposit shall be refunded within a reasonable time after the date of expiry of the contract subject to the contractor carrying out all obligations / operations as required under the contract. SD shall not be released until the work as per the contract satisfactorily completed and accepted and final bills paid.

7.6 MFL reserves the right to forfeit, appropriate any part or the whole of the amount of the security deposit without prejudice to other claims against the contractor for losses suffered by MFL due to failures / breach on the part of the contractor or due to termination of contract or the contractor becoming disqualified because of liquidation/insolvency or breach or change of composition or the contractor withdraws from the contract at his own request, immediately after the award of the contract (i.e. within 3 months).

7.7 The decision of MFL in respect of such losses, damages, charges, expenses or costs & failure / breach shall be final and binding on the contractor(s) and shall not be called into question. The recovery shall be made from security deposit/ bills.

7.8 Whenever the security deposit falls short of the specified amount consequent to any adjustment towards shortages/damages/losses etc., the contractor shall make good the deficit within 7 days from the date of receipt of intimation from the company so that the total amount of security deposit shall not at any time be less than the specified amount.

7.9 In the event of the security deposit being insufficient or if the security deposit has been wholly forfeited, the balance of the total sum recoverable from the contractor, as the case may be, shall be deducted from any sum than due or which at any time thereafter may become due and payable to the contractor under this or any other contract with MFL. Should that sum also be not sufficient to cover the full amount recoverable, the contractor shall pay to MFL on demand the remaining balance due with the applicable rate of interest for belated payment.

8.0 Summary Termination :

8.1 MFL reserves the right to terminate the contract due to any failure on the part of the contractor in discharging the services under the contract or breach or in the event of his becoming insolvent or going into liquidation The decision of MFL about the failure/ breach on the part of the contractor shall be final and binding on the contractor and shall not be called into question.

MFL reserves the right to terminate the contract at any time during its currency without assigning any reason therefor and the contractor shall not be entitled to any compensation by reason of such termination. The action of the General Manager (Marketing & Distribution), MFL under this clause shall be final, conclusive and binding on the contractor and shall not be called into question.

8.2 In the event of any failure / breach on the part of the contractor or the contractor withdraws from the contract at his own, MFL shall have the right without prejudice to any other rights / remedies to get the work done through any other agency and the contractor shall be liable to compensate MFL for all costs, expenses or losses, if any, incurred by MFL on this account besides forfeiture of Security Deposit.

9.0 Subletting and Transfer :

The contractor shall be solely responsible for rendering any or all the services described in “Duties and responsibilities of the contractor” of Form-A and in the schedule of rates of Form-B. He shall not sublet / transfer / assign the contract or any part thereof to others. All his dealings with third parties shall be as between two principals without any reference in any way to MFL. Contractor(s) shall also undertake to make third parties fully aware of the position aforesaid

The Volume of work depends up on various factors like agro-climatic conditions, market requirement, supply plan issued by Government, production at MFL plant, avalibitily of rake etc., and the volume indicated in the tender is only indicative.

No gurantee shall be given as to any definite volume of work, which will be entrusted to the contractor at any time or during the period of contract. Total quantity/ destination wise quantity are estimates only which may increase or decrease depending or market situation. Number of destinations may also increase or decrease depending on situation. No gurantee shall be given for adherence to above mentioned tentative/estimated movement plan.

Whenever the estimated quantity is exhausted, the contractor has to perform the contract with the tolerance limit of 25% over and above the estimated quantity on the same rate, terms & conditions and also the contractor has to provide the additional Serurity Depoist for the value of the tolerance limit.

Railhead wise FOL destinations with distance from Railhead as an attachment to Form B. These destinations are only to be used for calculation of freight if any change in the distance, the tenderer has to produce sufficient documentary evidence for correction of distance.

The Contractor will have to supply sufficient number of trucks per day as required during the period of contract, within the stipulated time, fialing which the consequences therof will rest entirely with the contractor.

No detension charges for trucks, either at rake points or any godowns shall be payable by the company under any circustances whatsoever. No unloading charges at destination will be entertained.

11.0 EVALUATION OF BIDS:

Separate contract will be finalized for each location. Tenderer has to quote rate for; I) Railhead handling, II) FOL – all Distance slabs (Rate/MT/KM) and III) Private warehouse – all services. Incomplete/ partial quotes will be rejected. The rates quoted are inclusive of service tax, all statutory taxes and levies applicable from time to time.

11.1 The successful tenderer shall enter into an agreement with MFL, on a stamped paper of appropriate value, incorporating the terms and conditions of the contract as per Annexure 10 , failing which the EMD shall be forfeited and the tenderer shall also be liable to compensate MFL for any losses incurred.

12.0 SERVICES TO BE PERFORMED BY THE CONTRACTOR

12.1 RECEIPT OF PRODUCTS

MFL will arrange despatch of fertilizer products either from their Plant at Manali, Chennai or from any other location either by wagon or by truck :

In case of wagon movement, RRs along with other documents of despatch will be discharged in favour of the contractor and sent either by post / special messenger / courier .

In case of movement by truck, the necessary documents will be handed over by the truck driver on arrival of the truck at the warehouse.

13.0 RAILHEAD HANDLING

13.1 The contractor has to keep ready labourers at Railhead on arrival of wagons meant for MFL so that wagon clearing and delivery operations can be carried out without any delay. The contractor is responsible for unloading the products without using hooks from the wagon and loading into the trucks at Railhead as per authorized delivery documents.

13.2 Unloading and loading operations to be carried out as per the instructions of MFL Officials

13.3 The contractor shall hold the responsibility for any damage of bags at the time of unloading from wagon and loading into the trucks and is fully responsible to compensate for any damage of products/ gunnies on account of the bags not being properly handled or due to use of hooks. The compensation to MFL towards damage shall be recovered from their bills / security deposit at the rates notified by MFL from time to time.

15 13.4 Unloading of the wagons will be undertaken by the contractor as per the rules and regulations of the Railways within specified free time allowed by Railways. Demurrage / wharfage charges payable if any will be met by the contractor by his own and no reimbursement will be made by MFL on this account

13.5 In case of any shortage or damage to the products noticed at the time of unloading the products from the wagon, the contractor is responsible to pass necessary remarks in the Railway Delivery Book and obtain suitable shortage / damage certificate wagon- wise and also to lodge claims on the Railways in time as per the instructions issued by MFL from time to time.

13.6 The contractor shall be responsible for rendering all the services round the clock. He shall not be entitled to any extra remuneration on this account.

13.7 The contractor is responsible to maintain necessary stock register and records in respect of product transaction and furnish details in prescribed form as advised by MFl time to time. The contractor shall produce records for verification by MFL officials.

13.8 In the event of inclement weather the contractor shall make adequate arrangements for tarpaulins to avoid damage of material.

13.9 In case transit shoratage of missing wagon(s) is noticed by the contractor he shall have to report the matter to the concerned Railway Authorities and obtain necessary certificate from them for preferring claims with the Railway on this account.

13.10 The contractor shall make necessary arrangements for safe custody and security of the material till its clearance from Railway premises. Any pilferage/ theft of the material will be to the contractors account.

14.0 FOL

14.1 The contractor undertakes to provide the Company with sufficient number of trucks with valid road permits, Fitness Certificate and all other related documents within 24 hours on demand by the authorized MFL representatives for carriage of bagged fertilizers to the specified destinations as advised from Railhead / warehouse.

14.2 Certificate of fitness and truck documents shall be verified by the contractor

14.3 For the purpose of loading fertilizers to be transported, the contractor shall place the truck in proper position before and after loading, as may be required by the Company's representative(s).

14.4 The Company shall give the contractor(s) full truck load with the truck's standard payload, however, the Company will pay the Contractor(s) on the basis of the actual quantity lifted / transported.

14.5 The Company will have the right to reject any truck, if in their opinion, the floor area in the body of the truck is unclean / not suitable for carriage of fertilizers.

15.0 COLLECTION AND DELIVERY OF CONSIGNMENT

15.1 The contractor shall collect bagged fertilizers / consignments from Railhead / warehouse premises on receiving intimation from the authorized representative of the Company and transport them by road in trucks to the satisfaction of MFL to various destinations designated by MFL without transhipment en-route in accordance with the Company instructions.

15.2 The consignment(s) shall be delivered as it is loaded and in sound condition at the consignee's address within 48 hours from the time of the trucks leaving Railhead/ warehouse premises and clear acknowledgement of the consignee obtained in the manner specified in Clauses 17.5 & 17.6 mentioned below, in all the copies of the documents prescribed from time to time and submit to the Company within the stipulated time. The contractor(s) shall be responsible for safe custody of the product during detention on account of holidays, strikes etc. and the contractor(s) will not claim towards such detentions.

15.3 It is clearly understood between the parties that the goods collected by the contractor shall be transported direct to the destination without involving any transhipment enroute, except under unforeseen circumstances, proof of which shall be produced.

15.4 Transhipment shall however be permitted by the authorized representative of the Company on specific request from the contractor. Each truck involved in transhipment not authorized shall be imposed with a penalty of Rs 500/- (Rupees five hundred only) per transhipment.

15.5 The contractor shall ensure that no hooks are used while handling the bags. He shall also be responsible for taking adequate steps and necessary precautions for safe handling of bags to avoid wastage / damage to the product / package. He shall be liable for any loss which MFL may suffer on account of the bags not being properly handled or damaged due to use of hooks.

In case of cut & torn bags or bags having hook marks, the cost of NEG as per recovery rates communicated from time to time shall be recovered from the bills.

15.6 The contractor shall also ensure proper covering of loaded truck before its leaving Railhead/ warehouse premises as required by MFL.

15.7 Product exposed to atmosphere will cause environmental pollution. In order to prevent the environmental pollution, the contractor shall ensure no spillage of product while transporting the product to the destinations. In case of any accidents / transhipment, the spillages must be collected immediately in gunnies and spilled product should not be allowed to remain in the open area.

16.0 DELIVERY PERIOD

16.1 The contractor shall ensure that the goods received by him from the Railhead/ warehouse concerned are delivered at the Company designated destinations to the consignee concerned within 48 hrs from the time of the truck leaving MFL railhead/warehouse premises.

16.2 In case of dealy in delivery of material at destination the contractor shall be liable to pay a penalty of Rs.20/- per tonne per day from the expiry of 48 hours from the date of liftings.

16.3 When there is a hold up of consignments enroute due to vehicle break down / accident or other causes beyond the control of the contractor, such facts also should be promptly intimated to Chief Manager (Distribution)/ Manager (Warehousing)/ Additional Manager / Authorized Representative of the Company in writing by Registered Post / Fax / Telephone / Email or through special messenger within 24 hrs. The contractor shall arrange for onward transmission of goods thru alternate lorry at his risk and responsibility after obtaining consent from the authorized MFL representative.

16.4 In case of shortage of product enroute the contractor shall have to pay to the company as compensation an amount equalent to the value of material short delivered at destination calculated at the prevailing recovery rates communicated from time to time, which is higher than the consumer price fixed by the GOI.

16.5 Products as per the Door delivery order/WROPA received by the contractor shall be lifted from warehouse , with in 48 hours, as advised by the authorized MFL representatives. In the case of delay in lifting the product from warehouse , MFL will levy a penalty Rs. 50/MT/Day from the expiry of 48 hours from the date of receipt of WROPAs at the warehouse.

16.6 The penalty to be levied based on the data received from the authorized MFL representative will be deducted from the bills of the contractor / security deposit / any other amount due from MFL.

16.7 If, due to any delay in transit, MFL incurs any loss which may result in cancellation of orders or variation in prices etc, MFL will assess such losses and recover the amount from the pending bills / security deposit / any other amount due to the contractor, without awaiting the consent of the contractor for such recovery.

17.0 SAFE CUSTODY AND TRANSPORTATION

17.1 The contractor's authorized representative or the truck driver shall satisfy himself as to the condition of the consignment and number of bags prior to departure and once the goods have been loaded and accepted by signing on Company's document, it shall be deemed to have been collected in sound condition`& in correct quantity.

17.2 The contractor shall accept full responsibility for any act or theft, criminal misappropriation or breach of trust in receipt of Company's goods entrusted to him and the contractor shall make good all losses caused to MFL's goods entrusted to him by any such event.

17.3 The contractor accepts full responsibility for safe carriage and delivery of the goods loaded in the truck authorized by him and shall make good all losses caused by reason of transit delay / non-delivery / short delivery or damage to goods caused by any reason whatsoever as determined solely by MFL.

17.4 Recovery towards cost of HDPE/JUTE gunnies / bags damaged in transit will be at recovery rates determined by MFL from time to time.

17.5 In case of loss / damage to the goods while in transit or in the custody of the contractor due to any reason whatsoever, rendering the product unsaleable as per the sole judgement of MFL. For product loss, MFL shall recover at the rate of production cost or realizable value whichever is higher as may be communicated to the contractor by the company. For damage of the product, recovery will be made to the extent of damage in the consignment proportionately on the rates indicated by MFL. The recovery shall be made from security deposit/ bills.

18 17.6 The damaged material shall remain the property of MFL for disposal by MFL in any manner as they deem fit.

18.0 SUBMISSION OF ACKNOWLEDGED DOCUMENTS

18.1 After delivery of the consignment, the contractor shall obtain acknowledgement from the consignee duly affixing the rubber stamp on the document copy / copies provided for the purpose and return this acknowledgement through his representative to the Regional Manager concerned.

18.2 The acknowledgement obtained from the consignee shall be clear and legible in each of the copies of the documents with the following details:

1 Date of delivery of consignment. 2 Truck registration number 3 Number of bags received 4 Nature and extent of loss, if any. 5 Signature of the consignee with seal. 6 Signature of the driver.

Documents with improper acknowledgements shall be accepted only with the following conditions:

- In case date of delivery is not recorded, date of receipt of document at MFL will be treated as date of delivery of product.

- In case of any difference in the details of loss recorded, MFL reserves the right to take into account the highest loss recorded in any one of the copies of the document.

- No document shall be accepted under any circumstances without the signature of the consignee.

19.0 OTHERS

19.1 The contractor shall carry out all items of services assigned or entrusted to him and shall abide by all instructions issued to him from time to time by any officer(s) acting on behalf of MFL together with such auxiliary and incidental duties / services and operations as may be indicated by the said officer(s) that are not in consistent with the terms and conditions of the contract.

19.2 Whenever the Contractor pays any amount authorized by the Company on its behalf to any person or authority, the contractor will be obliged to furnish all details and vouchers that are required well in time, to enable the Company to claim reimbursement from the authorities concerned.

20.0 PRIVATE WAREHOUSE

20.1 The contractor is responsible for unloading the products from the wagon, transporting them to the warehouse and proper storing until the products are released. In respect of road movement from MFL plant, the contractor is responsible for unloading the products on arrival of the truck at the warehouse and storing in the warehouse until release.

20.2 In case any shortage or damage is noticed at the time of unloading the truck, the contractor shall make necessary entries in the documents produced by the driver and acknowledge receipt of material.

20.3 In respect of receipt of product by trucks, the contractor will be responsible for any loss or damage or any expenses incurred on account of refusal or delay in unloading the trucks and receiving the products.

20.4 The contractor shall provide exclusively for MFL use sound leak-proof godown accommodation with pucca flooring and free from risks of floods during normal rainy periods. If at any time it is found that the godowns are not satisfactory, the contractor shall make alternate arrangements for procuring satisfactory godown accommodation within one month from the date of receipt of notice from MFL.

20.5 The contractor is responsible to ensure proper upkeep of the product both during handling and storage by providing all protection by way of avoiding usage of hooks, covering with tarpauline, providing proper dunnage in the godown and stacking the products to prescribed heights only.

20.6 Different products shall be stored in the godown separately and in countable manner.

20.7 If at the time of receipt of the products either by wagon or truck, any damage or loss is noticed, the same will be recorded in all the documents as advised by MFL from time to time and the contractor will arrange segregation of damaged and sound material and store them separately.

20.8 The contractor is responsible to ensure that the products / gunnies are not damaged or lost while in storage or during handling and transfer and is fully responsible to

20.9 compensate for any loss or damage while the products are in his custody or during handling by him upon arrival of wagon / truck at his warehouse/ location.

20.10 The compensation to MFL towards loss or damage shall be at rates notified by MFL from time to time. The contractor is responsible to obtain comprehensive insurance coverage against all losses and damages for the products while in storage nominating MFL as beneficiary for all claims under insurance cover.

21.0 STANDARDISATION

21.1 The contractor is responsible to undertake standardization of cut / torn / damaged bags promptly as and when required and advised by MFL.

21.2 For undertaking standardization as and when required. MFL will be making necessary arrangements for dispatch of empty gunnies and mailing the corresponding way bills to the contractor. The contractor is responsible for taking delivery of the gunnies and keeping them in safe custody in his warehouse and stenciling necessary markings as advised by MFL. No storage charges will be paid for holding the gunnies in storage for this purpose.

22.0 DELIVERY OF PRODUCTS TO MFL CUSTOMERS

22.1 Deliver the products to the Company’s authorized customers from the warehouse as per MFL’s authorization thru specified documents, viz., Warehouse Release order (WRO) / Delivery Order (DO) / Warehouse Release Order-cum-Product Acceptance (WROPA)/ any other documents authorized by MFL etc. immediately.

22.2 Delivery of products to company’s authorized customers at warehouses shall include, loading of the required products, as per authorized delivery documents into the trucks of the customer, obtaining and forwarding of the acknowledgement for the product so delivered. Delivery of products shall also include physical transfer of products at the warehouse and obtaining acknowledgement whenever required.

22.3 As and when advised by MFL, the contractor will arrange for indenting of the wagons and despatch of products by wagons, obtain clear RRs and mail them along with other documents to the consignees.

23.0 RECORDS AND REPORTING

The contractor is responsible to maintain necessary stock accounts and records both in respect of fertilizers and empty bags and furnish in prescribed form the transaction details as per schedules advised by MFL from time to time.

24.0 INSPECTION BY MFL

The contractor is responsible to provide all facilities to MFL officers at all times for free entry into warehouse and inspection of godowns, stocks and records maintained by him.

25.0 Remuneration :

25.1 The contractor shall be paid remuneration in respect of the services described in Form- B and duties and responsibilities of the contractor in Form-A and performed by him at the contracted rates. If the contractor is not having service tax Registration number, the applicable service tax will be deducting from the bills.

25.2 The contractor shall submit the bills in duplicate with supporting documents in the prescribed form and manner within 30 days of transaction / work done. The bills shall be submitted to Regional Managers concerned. Payment of the bills will be made by Finance & Accounts Group of MFL, in 30 days from the date of receipt thereof by MFL. Should, however, payment be delayed beyond the period mentioned above, due to any reason, it will neither vitiate other terms of the contract nor give any right to the contractor to suspend work under the contract. The contractor shall not be entitled to any interest on the amount of bills.

25.3 Storage charges will be paid on the basis of minimum storage space committed and for actual quantity stored over the committed space at any given time on calendar month basis. If any quantity is stored for a part of a calendar month, storage charges will be paid proportionately.

25.4 From the payments to the contractor against the bills for the services rendered, amount towards statutory levies to be made by the contractors will be retained and the same will be returned only on production of proof of remittance of statutory levies to the respective statutory authorities.

26.0 Delays, Strikes etc.

Strikes in any form by contractor’s labour owing to any dispute with the contractor pertaining to wages or otherwise will not be deemed to be a reason beyond the contractor’s control in the performance of their contractual obligations.

27.0 Laws governing the Contract :

27.1 The contract will be governed by the Laws of India for the time being in force and amended or made from time to time and the courts within whose jurisdiction the Registered Office of the MFL is situated alone will have jurisdiction.

27.2 The contractor shall follow and comply with all statutory rules and regulations applicable from time to time and shall be solely responsible for any breaches thereof and for any payment to be made thereunder.

27.3 The contractor shall hold the company harmless and indemnified from and against all claims, costs and charges for which the Company shall be liable under the Workmen’s Compensation Act and any statutory modifications thereof and the expenses to which the Company shall be put to thereunder in respect of personal injuries arising out of or occasioned during the currency of the contract, through the acts of contractors and/or contractor’s representative, servants and employees and also in respect of injuries (within the meaning of the said Act) to Company’s servants and employees arising out or occasioned through the acts of omissions, whether due to negligence or otherwise of contractor’s servants and employees in carrying out any of the provisions of this contract.

27.4 The contractor shall also hold the Company indemnified against any claim, loss or injury caused to any third party through the acts of omissions of contractor(s) or his/their servants, employees and agents. This indemnity shall be in addition to and not in lieu of any indemnity to which the company shall be entitled to under law.

27.5 The contractor shall undertake to indemnify the Company against consequences arising out of the contractor’s violation or non-adherence of rules and regulations of Municipal / State / Central Government

27.6 All necessary licences required for storing, handling and dispatch of fertilizers under Fertilizer Control Order / Essential Commodities Act or under any other act or rules or order in force shall be the responsibility of the contractor on payment of required amount and shall exhibit such licences in the premises for inspection by the officials concerned.

28.0 COMPANY IS NOT RESPONSIBLE FOR CONTRACTOR EMPLOYEES

The contractor may employ such number of employees as he may think fit for due discharge of the contract and the persons so employed by him shall be the employees of the contractor for all purposes whatsoever, and shall not be deemed to be in the employment of the Company(MFL) merely if any instruction is issued to him by MFL officials for due discharge of the contract.

28.1 All persons employed by the contractor shall be engaged as his own employees in all respects and the responsibility under the Indian Factories Act or the Workmen’s Compensation Act or Employees Provident Fund Act or Employees State Insurance Act or any other similar enactment as applicable in respect of all such personnel shall be that of the contractor. “ No Due Certificate ” may be obtained from the ESI/PF and service tax authorities to avoid future complications.

28.2 The contractor shall comply with the provisions of the Factories Act, 1948, Contract Labour (Regulation and Abolition) Act, 1970, The Child Labour (prohibition and Regulation) Act, 1986, ESI Act, 1948, Workmen’s Compensation Act, 1923, Employees Provident Funds and Miscellaneous Provisions Act, 1952. Payment of Bonus Act, 1965, Payment of Gratuity Act, 1972, Tamilnadu Industrial Establishments (National and Festival Holidays) Act, 1958, the Payment of Wages Act 1936, the Minimum Wages Act per central Govt Notification, 1948, and any other law applicable to the contract workmen of the State concerned as amended from time to time. The contractor shall obtain separate code for ESI / PF etc.

28.3 In the case of non-coverage of his people under ESI scheme/EPF, besides the recovery of the amounts due by any contractor towards their contribution, penal interest and/or damages as may be levied by the ESI Corporation or EPF Authorities, a penalty of 20% of the above penal amount would also be levied and recovered from their bills. In the event of cessation of the contract due to any reason other than those specified for forfeiture of security deposit, the security deposit will be refunded only after due satisfaction as regards the payment of ESI/EPF dues by the contractors. However, MFL reserves the right to release the deposit on execution of an Indemnity Bond and/or other documents to MFL as may be required by the Company.

28.4 The contractor shall, whenever required by the Company or Government Officials authorized under the Statutes, produce for inspection, all forms, registers and other papers required to be maintained under various Statutes.

28.5 The contractor shall fully indemnify MFL for any default or non-observances by the contractor or any of his representatives of any of the provisions of the above mentioned enactments and the rules framed thereunder. Even though the contractor shall be solely liable for settlement of any claim made by any person due to the non- observance by the contractor of any of the provisions or otherwise of the enactments cited, MFL reserves its rights to settle directly any amount due by the contractor as mentioned above and to recover such amounts from any of the amounts payable by MFL to the contractor or in the absence of the same as debt due to MFL by the contractor or adjustment of Security Deposit

29.0 Arbitration

“Any or all disputes arising out of the contract/ agreement shall be settled by mutual discussions and in the event of failure to do so, such dispute(s) shall be referred to a Sole Arbitrator, who will be appointed by mutual consent for settlement of such dispute(s) and whose decision shall be final and binding. In the event of failure to appoint such a Sole Arbitrator, with mutual consent, then the sole Arbitrator will be appointed through the High Court of Judicature at Madras.

Subject as aforesaid, the Arbitration and Conciliation Act 1996 shall apply to the Arbitration proceedings under this clause and such Arbitration shall be in English and take place in the city of Chennai.”

30.0 General :

30.1 The Company not insisting upon strict performance of any provisions herein shall not constitute a waiver of the right to require such performance by the contractor and waiver in one case shall not constitute a waiver with respect to a later breach whether a similar nature or otherwise.

30.2 In the event of any doubt as to the interpretation of any of the clauses herein contained, the interpretation or clarification provided by the Company shall prevail and shall be final and binding.

TERMS & CONDITIONS ANNEXURE -3

1. Conditional offers will not be considered.

2. Rate quoted should be valid for a period of 90 days from the date of opening of Tender(Form A) . Other commercial terms should be kept firm till the completion of the contract.

3. Any unsolicited letter / fax / e-mail on price / other terms revision will not be entertained and such tenderers are liable to be disqualified from tender.

4. Any offer received against this tender from sister / associate concern and/or offers received after the due date will be summarily rejected

5. Canvassing in any form is strictly prohibited and the tenderers who resort to canvassing in any form shall be disqualified.

6. MFL will not be bound by any general/printed provisions of Tenderer’s offer.

7. The enquiry shall not be assigned to anybody by the tenderer without obtaining the prior written consent of MFL.

8. Bidder has to quote rate for all services. Incomplete/partial quotes will be rejectd.

9. MFL does not guarantee any definite quantity for Railhead handling,FOL & Private warehouse and Storage Space at any time during the currency of the contract.

10. In case the tenderer is not having godown facility for storage of MFL products at the time of bid submission, the bidder has to quote the rates for storage and handling. The bidder has to provide the godown facility as and when required by MFL on award of the contract as per the quoted rates for storage and handling.

11. Storage charges will be paid on the basis of minimum storage space committed and for actual quantity stored over the committed space at any given time on calendar month basis. If any quantity is stored for a part of a calendar month, storage charges will be paid proportionately.

12. The storage charges inclusive of full insurance coverage for the products in storage. The contractor will obtain a comprehensive insurance coverage (for all risks such as fire, theft,burglary, riots, floods) for the entire stock at each of the locations at the values notified by the company from time to time and endorse all benefits of the insurance coverage in favour of MFL. The contractor shall produce proof of insurance coverage and renewal as and when required by the company.

13. The tenderer shall quote his rates in Price Bid for each location separately against all the items of work given therein. If a tenderer is interested to quote for more than one location, he has to obtain tender forms separately for each location and accordingly quote his rates in the Price Bid for each location.

14. The amount shall be in words as well as in figures. If there is any difference between rates quoted in figures and words, amount quoted in words shall prevail.

15. The contractor shall be solely responsible for rendering any or all the services described in “Duties and responsibilities of the contractor” of Form-A and in the schedule of rates of Form-B . He shall not sublet / transfer / assign the contract or any part thereof to others. All his dealings with third parties shall be as between two principals without any reference in any way to MFL. Contractor(s) shall also undertake to make third parties fully aware of the position aforesaid.

16. The rates quoted are inclusive of service tax, all statutory taxes and levies applicable from time to time.

17. Tenders will be rejected for non-submission of relevant valid documents.

18. MFL reserves the right to accept or reject any or all the tenders or any part thereof without assigning any reason whatsoever.

19. FOL Rates Revision Clause : Whenever the retail price of diesel is revised by oil marketing companies in Public Sector, the FOL rates shall be revised from the effective date of such diesel price revision during the contract period, for an increase or decrease of Rs 2/Lt for Diesel in one or more instances & till its subsequent revision during the contract perioid. AGREEMENT

THIS AGREEMENT made and entered into this …………….. day of …………..by and between MADRAS FERTILIZERS LIMITED, MANALI, CHENNAI 600 068 (MFL) hereinafter called “THE COMPANY” of the one part and M/s ………………………………. hereinafter called “THE CONTRACTOR” of the other part.

1.0 DEFINITIONS

1.1 “AGREEMENT” shall mean and include the “agreement” signed by the Company and the contractor and all the attachments thereto.

1.2 Contractor shall mean and include M/s …………………………… comprising their Head Office / Branch Office / Warehouses located at places mutually agreed from time to time and shall also mean the personnel in-charge of warehouse or his designated agent.

1.3 “SERVICES” shall mean and include all items of work listed under item 3.0 of agreement and any other item that may be included in future by mutual consent.

1.4 “PRODUCTS” shall mean all grades of fertilizers including imported fertilizers packed in Jute or HDPE or any other packing material and bundles / bales of empty gunnies.

1.5 Company’s customer shall mean an individual or an organisation or any of their representatives in whose favour a Delivery Order or a Despatch Order was issued by the Company.

2.0 OBJECT OF THE AGREEMENT

2.1 The contractor, having thoroughly understood the details of tender, willingly agreed to provide RH handling, FOL and warehousing to the extent required from time to time at each of the agreed location and to render any or all of the services listed in the said tender and more specifically indicated below promptly and efficiently to the satisfaction of the Company as per the terms and conditions mutually agreed; and the Company on its part have agreed to compensate the contractor for the services at the rates mutually agreed and specified in Appendix to this agreement.

2.2 WHEREAS MFL has decided to appoint M/s ………………… as its RH handling, FOL and Private warehouse contractor at ………….. location for the performance of the work based on the tender No. M&D(D)/RH/FOL/WH/2016-17 Forms-A & B (hereinafter called Tender) received from them.

2.3 It is agreed between the Company and the contractor that tender submitted by the contractor with all its changes, additions, deletions, alterations, modifications, etc., resulting from discussions between the contractor and the Company as mutually agreed to shall form part and parcel of this agreement.

3.0 SERVICES TO BE PERFORMED BY THE CONTRACTOR

3.1 RECEIPT OF PRODUCTS

MFL will arrange despatch of fertilizer products either from their Plant at Manali, Chennai or from any other location either by wagon or by truck :

a) In case of wagon movement, RRs along with other documents of despatch will be discharged in favour of the contractor and sent either by post / special messenger / courier . b) In case of movement by truck, the necessary documents will be handed over by the truck driver on arrival of the truck at the warehouse.

3.2 RAILHEAD HANDLING

3.2.1 The contractor has to keep ready labourers at Railhead on arrival of wagons meant for MFL so that wagon clearing and delivery operations can be carried out without any delay.

3.2.2 The contractor is responsible for unloading the products without using hooks from the wagon and loading into the trucks at Railhead as per authorized delivery documents. Delivery of products shall also include physical transfer of products from wagon and loading into trucks at railhead and obtaining acknowledgement wherever required.

3.2.3 Unloading and loading operations to be carried out as per the instructions of SMO/ MFL Officials

3.2.4 The contractor shall hold the responsibility for any damage of bags at the time of unloading from wagon and loading into the trucks and is fully responsible to compensate for any damage of products/ gunnies on account of the bags not being properly handled or due to use of hooks. The compensation to MFL towards damage shall be recovered from their bills / security deposit at the rates notified by MFL from time to time.

3.2.5 Unloading of the wagons will be undertaken by the contractor as per the rules and regulations of the Railways within specified free time allowed by Railways. Demurrage / wharfage charges payable if any will be met by the contractor by his own and no reimbursement will be made by MFL on this account

3.2.6 In case of any shortage or damage to the products noticed at the time of unloading the products from the wagon, the contractor is responsible to pass necessary remarks in the Railway Delivery Book and obtain suitable shortage / damage certificate wagon- wise and also to lodge claims on the Railways in time as per the instructions issued by MFL from time to time.

3.2.7 The contractor shall be responsible for rendering any or all the services round the clock. He shall not be entitled to any extra remuneration on this account.

3.3 FOL

3.3.1 The contractor shall establish a site office at Railhead / warehouse location throughout the currency of the contract. He shall engage competent and adequate supervisors for ensuring efficient & safe handling and delivery of fertilizers. The contractor shall give the Company in writing from time to time, names and specimen signatures of his employees, in duplicate, who are authorised to act on his behalf.

3.3.2 The contractor undertakes to provide the Company with sufficient number of trucks with valid road permits, Fitness Certificate and all other traffic documents within 24 hours on demand by the authorized MFL representatives for carriage of bagged fertilizers to the specified destinations advised from Railhead / warehouse. Each such truck shall be manned with the driver holding valid Heavy Motor Vehicle driving licence and cleaner both of whom shall have experience in the assigned work.

COLLECTION AND DELIVERY OF CONSIGNMENT

3.3.3 The contractor shall collect bagged fertilizers / consignments from Railhead / warehouse premises on receiving intimation from the authorised representative of the Company and transport them by road in trucks to the satisfaction of MFL to various destinations designated by MFL without transhipment enroute in accordance with the Company instructions.

3.3.4 The consignment(s) shall be delivered as it is loaded and in sound condition at the consignee's address within 48 hours from the time of the trucks leaving Railhead/ warehouse premises and clear acknowledgement of the consignee obtained in the manner specified in Clauses 3.3.18 & 3.3.19 mentioned below, in all the copies of the documents prescribed from time to time and submitted to the Company within the stipulated time. The contractor(s) shall be responsible for safe custody of the product during detention on account of holidays, strikes etc. and the contractor(s) will not claim towards such detentions.

In case of dealy in delivery of material at destination the contractor shall be liable to pay a penalty of Rs.20/- per tonne per day from the expiry of 48 hours from the date of liftings.

3.3.5 It is clearly understood between the parties that the goods collected by the contractor shall be transported direct to the destination without involving any transhipment en-route, except under unforeseen circumstances, proof of which shall be produced.

3.3.6 Each truck involved in transhipment not authorized shall be imposed with a penalty of Rs 500/- (Rupees five hundred only) per transhipment.

3.3.7 The contractor shall ensure that no hooks are used while handling the bags. He shall also be responsible for taking adequate steps and necessary precautions for safe handling of bags to avoid wastage / damage to the product / package. He shall be liable for any loss which MFL may suffer on account of the bags not being properly handled or damaged due to use of hooks.

In case of cut & torn bags or bags having hook marks, the cost of NEG as per recovery rates communicated from time to time shall be recovered from the bills

3.3.8 The contractor shall also ensure proper covering of loaded truck before its leaving Railhead/ warehouse premises as required by MFL.

3.3.9 Product exposed to atmosphere will cause environmental pollution. In order to prevent the environmental pollution, the contractor shall ensure no spillage of product while transporting the product to the destinations. In case of any accidents / transhipment, the spillages must be collected immediately in gunnies and spilled product should not be allowed to remain in the open area.

3.3.10 Products as per the Door delivery order/WROPA received by the contractor shall be lifted from warehouse , within 48 hours, as advised by the authorized MFL representatives. In the case of delay in lifting the product from warehouse , MFL will levy a penalty Rs. 50/MT/Day from expiry of 48 hours from the receipt of WROPAs at warehouse.

3.3.11 The penalty to be levied based on the data received from the authorized MFL representative shall be final and will be deducted from the bills of the contractor / security deposit / any other amount due from MFL.

3.3.12 If, due to any delay in transit, MFL incurs any loss which may result in cancellation of orders or variation in prices etc, MFL will assess such losses and recover the amount from the pending bills / security deposit / any other amount due to the contractor, without awaiting the consent of the contractor for such recovery.

3.3.13 In case of shortage of product enroute the contractor shall have to pay to the company as compensation an amount equalent to the value of material short delivered at destination calculated at the prevailing recovery rates communicated from time to time.

SAFE CUSTODY AND TRANSPORTATION

3.3.14 The signing of the Company's document by the truck driver or agent will be deemed to be sufficient acknowledgement for the receipt of goods on behalf of the contractor.

3.3.15 The contractor's authorized representative or the truck driver shall satisfy himself as to the condition of the consignment prior to departure and once the goods have been loaded and accepted by signing on Company's document, it shall be deemed to have been collected in sound condition and correct quantity.

3.3.16 The contractor shall accept full responsibility for any act or theft, criminal misappropriation or breach of trust in receipt of Company's goods entrusted to him and the contractor shall make good all losses caused to MFL's goods entrusted to him by any such event.

3.3.17 Recovery towards cost of HDPE/JUTE gunnies / bags damaged in transit will be at a rate determined by MFL from time to time.

3.3.18 In case of loss / damage to the goods while in transit or in the custody of the contractor due to any reason whatsoever, rendering the product unsaleable as per the sole judgement of MFL, for product loss, MFL shall recover at the rate of production cost or realizable value whichever is higher as may be communicated to the contractor by the company. For damage of the product, recovery will be made to the extent of damage in the consignment proportionately on the rates indicated by MFL. The recovery shall be made from security deposit/ bills.

The damaged material shall remain the property of MFL for disposal by MFL in any manner as they deem fit.

SUBMISSION OF ACKNOWLEDGED DOCUMENTS

3.3.19 After delivery of the consignment, the contractor shall obtain acknowledgement from the consignee duly affixing the rubber stamp on the document copy / copies provided for the purpose and return this acknowledgement through his representative to the Regional Manager concerned.

OTHERS

3.3.20 The contractor shall carry out all items of services assigned or entrusted to him and shall abide by all instructions issued to him from time to time by any officer(s) acting on behalf of MFL together with such auxiliary and incidental duties / services and operations as may be indicated by the said officer(s) that are not in consistent with the terms and conditions of the contract.

3.4 PRIVATE WAREHOUSE

WAREHOUSING SPACE

3.4.1 The contractor shall provide at each of the locations mutually agreed storage space expressed in terms of tonnes to the extent required by the Company, in godowns owned by the contractor or under the control of the contractor through, appropriate lease agreement with the owner.

3.4.2 The minimum period of initial commitment of space reservation at each location shall be determined by mutual consent. The commencement of the commitment shall be subject to godown conforms to the norms and ready for use in all respects including insurance coverage as per Clause 5.4 hereunder.

3.4.3 The Company will have the option to decrease the commitment at any given location on expiry of the commitment then in force.

3.4.4 The Company shall also have the option to withdraw the total commitment at any given location by giving one month advance notice prior to the expiry of the commitment in force.

3.4.5 The contractor shall permit the Company to keep stocks in excess of the committed space subject to the following :

a) The company shall not dispatch stocks in excess of the committed space without prior clearance from the contractor.

b) If stocks are held in addition to the space already held by the contractor, storage charges for the excess quantity shall be paid on pro-rata basis for the actual quantity for the number of days held.

c) If stocks are held by hiring additional godowns procured at the instance and acceptance of the Company storage charges for full capacity of the godowns for the period of commitment made then for the additional godowns shall be paid treating the capacity of the additional godowns as a regular additional commitment.

3.4.6 At each of the warehouses, the contractor shall render any or all of the services herein detailed as and when called upon by the Company promptly and efficiently to the satisfaction of the Company and conforming to the procedures laid down by the Company from time to time.

RECEIPT OF PRODUCTS AND STORAGE

3.4.7 Receive in Company’s products dispatched by trucks and / or wagons and store the products in good condition till they are released from the warehouse.

3.4.8 Storing of products shall include preserving the quality of the products and the product packing by employing such techniques and procedures which are best suited for Company’s products and adopting the guidelines provided by the company from time to time in this regard.

DESPATCH OF PRODUCTS FROM WAREHOUSES

3.4.9 Dispatch of products to other warehouses or MFL plant by truck or wagons as advised from time to time.

3.4.10 Dispatch of the products by truck from warehouses shall include procuring of required number of suitable trucks, promptly loading the product into trucks and despatching the products as per Warehouse Release Order-cum-Product Acceptance (WROPA)/ Stock Transfer Order (STO) and forwarding to the consignee as per procedures.

3.4.11 Dispatching of products by wagons shall include indenting for the required number of wagons, pursuing with Railways for early allotment of wagons, selecting of fit wagons, transporting the product from warehouse to railhead as per STOs, loading the wagons, all as per Railway rules, obtaining of clear RRs, forwarding RRs to consignee along with copies of STO strictly as per procedures.

3.4.12 DELIVERY OF PRODUCTS TO MFL CUSTOMERS

Deliver the products to the Company’s authorized customers from the warehouse as per MFL’s authorization thru specified documents, viz., Warehouse Release order (WRO) / Delivery Order (DO) / Warehouse Release Order-cum-Product Acceptance (WROPA) etc. immediately.

3.4.13 Delivery of products to company’s authorized customers at warehouses shall include, loading of the required products, as per authorized delivery documents into the trucks of the customer, obtaining and forwarding of the acknowledgement for the product so delivered. Delivery of products shall also include physical transfer of products at the warehouse and obtaining acknowledgement whenever required.

3.4.14 ASSOCIATED SERVICES

Repack / recondition / standardization of cut / torn / damaged bags, etc.

a) Repacking / reconditioning / standardization shall include segregation of good and damaged product, segregating cut / damaged bags at the time of receipt and / or issue, transferring the product from these bags to new gunnies supplied by the Company, filling them to specified weight, stitching securely (machine stiching including cost of thread and stitching charges), maintaining account of product losses / gains, accounting of gunnies etc.

b) Standardization shall also include repacking and standardization of consignments received either in bulk or in non-standard bags.

c) The contractor shall receive from MFL new empty gunnies, store them in good condition, use them for repacking / standardization or dispatch to other location as advised by the company and render all activities as prescribed.

4.0 REPORTING

Report details of product transaction and other operations in prescribed forms and as per schedules specified by the Company from time to time.

a) The company shall prescribe from time to time formats in which the contractor shall report details of different operations and the stock balances. It shall be the responsibility of the contractor to furnish clear and correct figures while preparing the reports as per the formats. The reports shall be sent by Mail /email/Fax and strictly as per schedules prescribed by the Company.

b) The company shall reserve the right to revise any of the formats or re-schedule the dates as and when felt necessary in the interest of efficient distribution of products and it shall be the responsibility of the contractor to implement these changes without any loss of time.

5.0 RESPONSIBILITIES OF THE CONTRACTOR

5.1 The contractor shall be responsible for the safety and upkeep of the quantity / quality of the product from the time of receipt till the products are delivered to the consignee authorised by the company. 5.2 The contractor shall handle the products carefully without causing any damage either to the product or to the packing and shall prevent use of hooks during operations.

5.3 The contractor shall employ such storage techniques that are best suited for the preservation of company’s products and packing and to limit to:

24 layers in case of Urea 20 layers in case of Complex

5.4 The contractor will obtain a comprehensive insurance coverage (for all risks such as fire, theft, burglary, riots, floods) for the entire stock at each of the locations at the values notified by the company from time to time and endorse all benefits of the insurance coverage in favour of MFL. The contractor shall produce proof of insurance coverage and renewal as and when required by the company.

5.5 Irrespective of the extent of the compensation by the insurance company, the contractor shall make full compensation to the company for any loss or damage at the prices prevailing at the time of such loss or damage as notified by MFL from time to time.

5.6 Failure to adhere to all the norms as per Clause 5.1 to 5.4 will attract penalties as decided by MFL in addition to compensation to MFL for any loss / damage.

6.0 GENERAL TERMS COVERING THE AGREEMENT

6.1 The title to the property of the goods kept in the custody of the contractor shall always remain with the company. The contractor shall not have any lien on the goods in his custody. The contractor shall be fully responsible for any liabilities on the properties such as Property Taxes, Water and Electricity Charges, Payment of rent to the owners, if any.

6.2 The contractor shall maintain complete and up-to-date record of both products and gunnies with regard to stocks held, stocks received and deliveries made. The contractor shall allow the company’s representatives to conduct physical verification of stocks as and when decided by the company and shall produce all records for verification.

6.3 No gurantee shall be given as to any definite volume of work, which will be entrusted to the contractor at any time or during the period of contract. The Volume of work depends up on various factors like agro-climatic conditions, market requirement, supply plan issued by Government, production at MFL plant, avalibitily of rake etc., and the volume indicated in the tender is only indicative.

6.4 Whenever the estimated quantity is exhausted, the contractor has to perform the contract with the tolerance limit of 25% over and above the estimated quantity on the same rate, terms & conditions and also the contractor has to provide the additional Serurity Depoist for the value of the tolerance limit.

6.5 Even after entering into the Agreement, the contractor has to move the product to any other new locations, as per requirement of MFL during the Contract period. The Contractor will be paid remuneration applicalble FOL Slab rate and the same will be included as addendum to the Agreement appendix by mutual understanding.

7.0 REMUNERATION TO THE CONTRACTOR

7.1 For the services provided by the contractor at each location, the contractor shall be compensated by the company at the rates mutually agreed and specified in Appendix to the agreement.

7.2 The rates for Railhead handling, FOL, warehousing space and other services shall remain in force for the period mutually agreed at the time of commencement of operations at any location.

7.3 FOL Rates Revision Clause : Whenever the retail price of diesel is revised by oil marketing companies in Public Sector, the FOL rates shall be revised from the effective date of such diesel price revision during the contract period, for an increase or decrease of Rs 2/Lt for Diesel in one or more instances & till its subsequent revision during the contract perioid. The diesel price prevailing at the respective State Capital on the date of Technical bid opening, shall be the base rate for the above purpose. The revision of FOL rates will be caliculated (i) The actual increase or decrease of Diesel Rs/Lt (ii) Average distance coverage of a truck for one Litre of diesel 3.5 K.M (iii) Average truck capacity : 17 MT. The Workings are as follows:

7.4 The contractor shall submit the bills in duplicate with supporting documents in the prescribed form and manner within 30 days of transaction / work done. The bills shall be submitted to the Chief Manager – Distribution, MFL, Manali, Chennai- 600 068. Payment of the bills will be arranged by Finance & Accounts Group of MFL with in 30 days thru RTGS from the date of receipt thereof by MFL. Should, however, payment be delayed beyond the period mentioned above, due to any reason, it will not vitiate others terms of the contract nor will give any right to the contractor to suspend work under the contract. The contractor shall not be entitled to any interest on the amount of bills.

7.5 From the payments to the contractor against the bills for the services rendered, amount towards statutory levies to be made by the contractors will be retained and the same will be returned only on production of proof of remittance of statutory levies to the respective statutory authorities.

7.6 If the contractor is not having Service tax Registration number, the applicable Service Tax will be deducted from the bills.

8.0 APPLICABILITY OF THE AGREEMENT

This agreement shall be treated as a separate agreement in respect of each location. Non-enforcement of any clause in respect of any location at any given time shall not mean non-enforceability of such clause at such location or any other location for all times.

9.0 PERIOD OF AGREEMENT

9.1 The agreement shall remain in force for a period of one year from ………to…….. ..

The period of contract can be extended on mutual consent for a further period not exceeding one year at the same rate, terms and conditions as herein mentioned

MFL shall have the right to terminate the contract by giving 30 days notice in writing to the contractor and the contractor shall have the right to terminate the contract by giving 90 days notice in writing to MFL.

9.2 Summary Termination

MFL reserves the right to terminate the contract due to any failure on the part of the contractor in discharging the services under the contract or breach or in the event of his becoming insolvent or going into liquidation The decision of MFL about the failure/ breach on the part of the contractor shall be final and binding on the contractor and shall not be called into question.

To terminate the contract at any time during its currency without assigning any reason therefor and the contractor shall not be entitled to any compensation by reason of such termination. The action of the General Manager (Marketing & Distribution), MFL under this clause shall be final, conclusive and binding on the contractor and shall not be called into question.

In the event of any failure / breach on the part of the contractor or the contractor withdraws from the contract at his own, MFL shall have the right without prejudice to any other rights / remedies to get the work done through any other agency and the contractor shall be liable to compensate MFL for all costs, expenses or losses, if any, incurred by MFL on this account besides forfeiture of security deposit.

9.3 Notwithstanding what is stated above, in the event of the contract not been extended, MFL and the contractor agree that for the quantities remaining unlifted on the date of expiry of contract will be paid at the same rates and the contractor shall not have any claim for any additional payment.

9.4 The contractor shall not change the constitution of the composition during the currency of the contract without the prior approval of MFL. Any change in the constitution of contractor and happenings like death / resignation of any Partner / Director / Member shall be notified within 24 hours of such change / happenings by registered letter to the Dy General Manager(Marketing & Distribution) /Chief Manager – Distribution, MFL, Manali, Chennai 600 068. On receipt of such notice, MFL reserves the right either to terminate or to continue the contract.

10.0 ARBITRATION

“Any or all disputes arising out of the contract/ agreement shall be settled by mutual discussions and in the event of failure to do so, such dispute(s) shall be referred to a Sole Arbitrator, who will be appointed by mutual consent for settlement of such dispute(s) and whose decision shall be final and binding. In the event of failure to appoint such a Sole Arbitrator, with mutual consent, then the sole Arbitrator will be appointed through the High Court of Judicature at Madras.

Subject as aforesaid, the Arbitration and Conciliation Act 1996 shall apply to the Arbitration proceedings under this clause and such Arbitration shall be in English and take place in the city of Chennai.”

11.0 Laws governing the contract

The contract will be governed by the Laws of India for the time being in force and amended or made from time to time and the courts within whose jurisdiction the Registered Office of the MFL is situated alone will have jurisdiction.

The tender documents No.M&D(D)/RH/FOL/WH/2016-17 Form-A and Form-B relating to this agreement shall form part and parcel of this agreement.
