Lewis is an eloquent and astute critic of Wall Street's creative and predatory practices, and in his new book (and in the 60 Minutes interview) he offers evidence that the stock market is "rigged" by a cabal of high-frequency traders, abetted by stock exchanges and Wall Street firms. While it is true that certain parties may gain quicker access than others, some believe, the price discovery process (by allowing high frequency trading) is improved and, therefore, makes the process better for all. Regardless, for anyone practicing long-term investing, high frequency trading activities are essentially irrelevant Lewis exposed an advantage that certain traders receive by building high-speed fiber optic cable feeds directly into exchange computers that match buyers and sellers. Some actually have their trading computers located in the same room as the New York Stock Exchange and Nasdaq servers. And some pay extra for access to more information on who wants to buy and sell. All of this is perfectly legal, but Lewis points out that it is also shady. Why should some buyers and sellers have millisecond advantages over others? The problem is that these firms are able to jump in ahead of you and me and buy stocks at lower intraday prices, and then, a few seconds later, sell to the highest bidder before you and I would even see that bid on our screen.

    INFORMATIONAL INEQUALITY: HOW HIGH FREQUENCY TRADERS USE PREMIER ACCESS TO INFORMATION TO PREY ON INSTITUTIONAL INVESTORS † JACOB ADRIAN ABSTRACT In recent months, Wall Street has been whipped into a frenzy following the March 31st release of Michael Lewis’ book “Flash Boys.” In the book, Lewis characterizes the stock market as being rigged, which has institutional investors and outside observers alike demanding some sort of SEC action. The vast majority of this criticism is aimed at high-frequency traders, who use complex computer algorithms to execute trades several times faster than the blink of an eye. One of the many complaints against high-frequency traders is over parasitic trading practices, such as front-running. Front-running, in the era of high-frequency trading, is best defined as using the knowledge of a large impending trade to take a favorable position in the market before that trade is executed. Put simply, these traders are able to jump in front of a trade before it can be completed. This Note explains how high-frequency traders are able to front- run trades using superior access to information, and examines several proposed SEC responses. INTRODUCTION If asked to envision what trading looks like on the New York Stock Exchange, most people who do not follow the U.S. securities market would likely picture a bunch of brokers standing around on the trading floor, yelling and waving pieces of paper in the air.     FINDING – AND FIXING – FLAWS IN FINANCIAL MARKET MICROSTRUCTURE Brian F. Mannix* [ 5/31/’16 Draft Submission to JLEP. NumWords = 9,171. ] Abstract: The automation of financial trading has dramatically reduced the cost of transactions, but at the same time has raised persistent questions about the effect of automation on market fairness, stability, and economic efficiency. This paper argues that there are indeed flaws in market microstructure, but they are not the sort that are easily addressed by regulation. Instead, technological innovation – especially the introduction of temporally buffered trading – is likely to provide a satisfactory resolution of existing problems. Temporal buffering gives market participants the option of trading more slowly, while limiting their exposure to predation by higher-speed traders. Three varieties are considered: short random delays (as used by ParFX), short fixed delays (as used by IEX), and short batched auctions (as proposed by Budish, et al). Contrary to a common misunderstanding, an “efficient market” cannot mean the fastest possible market, because speed incurs real resource costs. Temporal buffering allows market participants to choose their preferred speed, and improves market efficiency in two ways: it avoids wasteful expenditures on high-speed “racing,” and it reduces the transient information asymmetries that otherwise tend to be ubiquitous in high-speed markets. Regulators’ priorities should be to: (1) avoid creating barriers to constructive innovations, (2) provide a regulatory framework that allows markets operating at different speeds to co-exist, and (3) rely on competition to sort out which innovations are useful and which are not. Norton & Company ISBN 978-0-393-24466-3 Price: $ 27.95; pp. 271 Reviewed By: Philip Kachajian Journal of High Technology Law Suffolk University Law School “I’m immediately skeptical of people who say they are looking out for my interests, especially on Wall Street.” (p. 114) Michael Lewis’s, Flash Boys: A Wall Street Revolt1 is a high energy sprint through the world of High Frequency Trading (HFT), a phenomenon within Wall Street which came to dominate the U.S. stock market and various other stock markets worldwide starting in late 2009 and continuing until its exposure by the novel’s protagonists in 2013. Perhaps the most compelling aspect of Lewis’s work is not that he does not take a position on the issue of the HFT takeover and subsequent fall, but that he allows the book’s characters to do it for him, only injecting an omniscient author’s perspective in the gaps within the plot. The novel’s main character and chief protagonist, Brad Katsuyama, serves as the vehicle for Lewis’s own thesis, that HFT has created an unfair, deceptive subculture within Wall Street that is focused not on protecting and furthering the interests of investors, but instead on ensuring its own primacy within the stock exchange at the expense of all other parties. The novel itself follows the story of Brad Katsuyama and his ragtag band of fellow idealists, and Lewis paints an impressively complete picture of Wall Street through their eyes, allowing even the most uninformed reader (such as myself) to understand the complexity of the situation.
