Welcome and apologies for absence The Chair welcomed everyone to the meeting and read out the apologies. The Chair thanked Hansons, Ladbrook Insurance and Unity Hall and commented that Paula Sherriff MP, Shadow Minister for Mental Health and Social Care would be welcomed on her arrival. 2. Chair's opening remarks The Chair advised that it had been Nova's 5 th year as the infrastructure organisation for the Wakefield voluntary and community sector (VCS). The Chair reported that it had been a successful year, which had had a big impact on the way the sector had developed. He shared that the VCS had a place at important decision making Boards giving the VCS a voice and good progress had been made on the Third Sector Strategy. He commented that many member organisations had been involved in its development to date, which he hoped would continue. During the year Nova had: maintained and developed partnerships with Young Lives Consortium, Pay and Employment Rights Service (Yorkshire) Limited, West Yorkshire Community Accounting Service and Community Foundation Wakefield District; reached 300+ memberships; delivered the Introduction to Third Sector training session to 116 public sector colleagues; provided support to 95 local organisations along with Nova partners; delivered 12 learning and networking sessions, and three Big Issue sessions on health and social care, community safety and community anchors; continued development of its website, which contained a useful directory; and secured a number of contracts from the statutory sector, which included the Live Well Wakefield contract and Culture Cures. The Chair concluded that Nova was reaching a point of sustainability. 3. Minutes of the last Annual General Meeting held on 22 November 2017 Bridget Gill proposed and Berni O'Brien seconded that the minutes of the annual general meeting held on 22 November 2017 should be accepted as a true and correct record. The acceptance was unanimous. 4. Presentation and acceptance of Annual Report and Accounts 2017/18 Mark Upex from Hansons presented the Annual Report and Accounts 2017/18, and advised that an audit had been carried out this year. Mark summarised the statement of financial activities on page 11 highlighting that there had been an increase in income of around £400,000 from last year which had resulted in a £15,000 negative deficit. Mark stated that the income was on the increase. Mark commented on the breakdown of income on page 25 highlighting that £600,000 of the incoming resources had been received from the Live Well Wakefield contract which had been driving this year's results. Mark advised that 90% of the expenditure of the charity was on the charitable activities of the organisation. Mark concluded by commenting that the balance sheet on page 12 showed the net current assets at £343,805 which ensured Nova would be able to meet its objectives and was sustainable. Hayley Grocock proposed and Nichola Esmond seconded that the Annual Report and Accounts 2017/18 should be accepted. The acceptance was unanimous. Nova Annual General Meeting 26 October 2018 Page 2 of 3 5. Reappointment of Hansons as Auditors The Chair recommended that Hansons be reappointed as auditors for 2018/19. Peter Taylor proposed and Nichola Esmond seconded the acceptance of the recommendation, which was carried unanimously. 6. Appointment of Directors The Chair advised that three Nova Directors had resigned during the year. He thanked Justine Bilton, Tom Long and Peter Skinner for their commitment during their time as a Director. Directors standing for re-election: The Chair advised that three existing Nova Directors were due to retire by rotation and were standing for re-election. These were: Mohammed Ayub, Christine Bann and Tony Howell. Cynthia Binns proposed and Jackie Craven seconded the re-election of Mohammed Ayub, Christine Bann and Tony Howell, who were re-elected unopposed. Directors standing for election: The Chair introduced Hayley Grocock, Maddy Sutcliffe and Peter Taylor who were standing for election as a Nova Director. Nichola Esmond proposed and Berni O'Brien seconded the election of Hayley Grocock, Maddy Sutcliffe and Peter Taylor, who were elected unopposed. The Chair concluded the annual general meeting by advising the date of next year's meeting would be confirmed in due course. He thanked the staff team for the work carried out during the year.
