Hewlett-Packard Company (“HP” or the “Company”), a Delaware corporation with its headquarters at 3000 Hanover Street, Palo Alto, California, USA, has decided to offer employees of HP and its participating subsidiaries (“Participating Subsidiaries”) HP common stock having a par value of $0.01 (“Common Stock”) under the Hewlett-Packard Company 2000 Employee Stock Purchase Plan, also known as the Share Ownership Plan (the “SOP”) and/or the grant of stock options, restricted stock and/or restricted stock units under the Amended and Restated Hewlett-Packard Company 2004 Stock Incentive Plan (the “SIP”). The Common Stock is traded on the New York Stock Exchange (“NYSE”). The SOP and the SIP are offered to eligible employees of certain Participating Subsidiaries to incentivise those employees. Proceeds from the offer will be used by the Company in its normal business operations. Please note that the following descriptions are an executive summary of the pertinent plan provisions and should not be taken as a substitute for reading the entire plan documents that are included as exhibits to this prospectus. THE SOP The SOP provides employees with the opportunity to purchase Common Stock through payroll deductions. The SOP operates with two six-month offering periods per year (the “Offering Periods”), which commence on the first day on which United States national stock exchanges are open for trading (“Trading Day”) on or after May 1 and November 1 (each an “Entry Date”) and expire six months later on October 31 and April 30, respectively. Common Stock is purchased on the last Trading Day in each Offering Period (the “Purchase Date”). Employees who wish to participate in the SOP (each a “Participant”) enroll by telephone or on the internet by contacting, in the case of HP employees, Mellon Investor Services and in the case of Electronic Data Systems Corporation employees, their local payroll department. Participants may then elect to contribute by payroll deductions from 1%-10% (in whole percentages) of their compensation. Employees may enroll in the SOP during the period of approximately three weeks prior to the start of each Offering Period, known as the open enrollment period. On the Purchase Date, a Participant’s accumulated payroll deductions for the Offering Period are used to purchase Common Stock. The purchase price is equal to the Fair Market Value of Common Stock on the Purchase Date. “Fair Market Value” means the closing price of Common Stock on the NYSE. Common Stock acquired under the SOP is newly issued and will not have been purchased by HP on the open market. There is a total of up to 175,000,000 shares of Common Stock authorised for issue under the SOP. For a then current Offering Period, a Participant may change his or her contribution percentage or withdraw from the SOP prior to the date approximately three weeks before the end of an Offering Period, known as the change enrollment deadline. Any change made after this date is only effective for the next Offering Period. 3 Participants may not purchase more than 5,000 shares in Common Stock in any Offering Period, or more than $25,000 of Common Stock (based on the Fair Market Value of Common Stock on the Entry Date) in any calendar year. THE SIP Under the SIP, employees and employee directors of HP or its subsidiaries or affiliates (“Awardees”) may be granted various types of employee awards, including but not limited to stock options (“Options”), restricted stock (“RS”) and restricted stock units (“RSUs”). Options, RS and RSUs all enable Awardees to acquire Common Stock. All Common Stock acquired pursuant to these awards is newly issued and will not have been purchased by HP on the open market.

She always looked forward each time she took the long journey from Helsinki to Palo Alto for meetings of the Hewlett-Packard Company (hereafter “HP”) Board of Directors. But this time, at the beginning of August, 2010, what confronted the Board was a particularly ticklish confrontation with CEO Mark Hurd himself, one that she had never before had to encounter during her tenure on the Executive Board at Nokia. Hurd had been accused of sexual harassment by a former HP marketing contractor (and B-film actress), Jodie Fisher. What's more, the ensuing internal investigation had shown that several expense reports from Hurd's office from the period of the alleged relationship were fraudulent, with an amount in dispute of up to $20,000. And now the CEO had pre-empted everything by reaching a private settlement with Fisher (via her attorney, the notorious Gloria Allred) just the previous day. So had Baldauf come all the way to Southern California for nothing? Of course not! What about the “The HP Way”? In a series of tweets he explained that Microsoft will continue to support the Windows Phone (and Windows 10 Mobile) platform but “building new features/hw aren’t the focus”. That was the end of Microsoft’s smartphone endeavor. Fast rewind to 2010. On September 10, 2010, Nokia of Finland replaced its Chief Executive, Olli-Pekka Kallasvuo, who had been at Nokia for 30 years, with 1 Operation Elop Stephen Elop, a 46-year-old native of Ancaster, Ontario, and the head of Microsoft’s business software unit, in a bid to turn around the company’s struggling smartphone lineup and stop a decline in its market share in the U.S. On February 11, 2011, Nokia and Microsoft announced plans for a broad strategic partnership to build a new global mobile ecosystem with Windows Phone. [1] Under the proposed partnership Nokia would adopt Windows Phone as its principal smartphone strategy, and contribute its expertise on hardware design, language support, and help bring Windows Phone to a larger range of price points, market segments, and geographies.
