STAR IN SUPPORT OF THE 21 APPLICATION AUTHORIZING THE EMPLOYMENT AND RETENTION OF FTI 22 CONSULTING, INC. AS FINANCIAL ADVISOR TO THE OFFICIAL COMMITTEE OF UNSECURED CREDITORS NUNC PRO TUNC TO SEPTEMBER 14, 2018 23 Pursuant to 28 U.S.C. § 1746, Samuel E. Star declares as follows: 24 1. I am a Senior Managing Director with FTI Consulting, Inc., together with its wholly 25 26 owned subsidiaries (“FTI”), an international consulting firm. I submit this declaration (the “First 27 Supplemental Declaration”) to supplement my prior declaration that was submitted in connection 28 Case 2:18-bk-20151-ER Doc 1439 Filed 02/01/19 Entered 02/01/19 15:26:06 Desc Main Document Page 2 of 108 1 with FTI’s retention in these Chapter 11 cases. Unless otherwise noted, I have personal knowledge 2 of the facts set forth herein1. 3 2. On August 31, 2018, the Debtors commenced these cases by filing voluntary petitions 4 for relief under Chapter 11 of the United States Bankruptcy Code. 5 3. On October 25, 2018, the Committee filed an application to retain FTI as its Financial 6 7 Advisor (the “Application”). In support of the Application, FTI filed a declaration (the “Original 8 Declaration”) executed by the undersigned on behalf of FTI in accordance with the applicable 9 sections of the Bankruptcy Code. On or about November 14, 2018, an order was submitted 10 authorizing the retention of FTI as financial advisor to the Committee (the “Retention Order”). 11 4. In connection with the preparation of the Original Declaration, FTI conducted a 12 review of its contacts with the Debtors, their affiliates and certain entities holding large claims 13 against or interests in the Debtors that were made reasonably known to FTI. As noted in the Original 14 15 Declaration it is FTI’s policy and intent to update its ongoing relationship search during these 16 proceedings. To this end, FTI has conducted a review of its contacts with certain additional parties in 17 interest that were made reasonably known to FTI since the completion of our initial review. FTI’s 18 review, completed under my supervision, consisted of a query of the parties listed in Exhibit A 19 within an internal computer database containing names of individuals and entities that are present or 20 recent former clients of FTI. As such, to the best of my knowledge, FTI does not hold or represent any interest 2 adverse to the estate, and therefore continues to believe it is eligible to represent the Committee 3 under Section 1103(b) of the Bankruptcy Code. 4 6. List of companies that have Matching Gift Programs? 1. What is a Matching Gift Program? Many companies allow their employees to direct their charitable giving programs through matching gifts. When an employee notifies the company that he/she has made a charitable donation, the company will make a gift of the same amount, and in some cases double the amount, to the same charitable organization. Matching Gift Programs are a wonderful way for employees to make their charitable dollars stretch farther at no cost to themselves. Simply ask your company's human resources office for a matching gift form and we will do the rest! Below is a partial list of companies with matching gift programs. Even if you do not find your employer on this list, be sure to check with your human resources office, personnel department, or community relations office. 2. How does a Matching Gift Program Work? It is extremely easy to process. Gift matching procedures can vary from company to company. The following example is typical. 1. An employee/retiree gets a matching gift form from the employer, usually from the human resource department or company website. 2.
