PRE-QUALIFICATION CRITERIA

We, Messrs. Indian Rare Earths Ltd., Manavalakurichi have an approved vendors’ list, which will be reviewed / updated periodically.

The tenderer, who has not registered with IREL, as approved vendor for the captioned work should submit the following towards pre-qualification criteria.

1. Parties who have experience in carrying out air table maintenance only will be considered. Copies of the work order executed shall be furnished. 2. Copies of valid Registration Certificates including PAN, Service Tax, Sales Tax, P.F. Labour Licence, etc. 3. Rate shall be quoted on lumpsum basis, with break-up details as to individual items 4. Payment for the completed work shall be released every month on pro-rata basis. 5. Offer should be valid for 90 days from the date of opening. 6. No sub-contracting of work will be permitted.

Pre-qualification criteria complete in all respect must be submitted with due superscription as to “Pre-qualification criteria for the work of Annual Maintenance Contract for Air tables” atleast 15 days prior to the last date of submission of offer.

However offer must be submitted on or before the last date of submission of offer in sealed envelope with due superscription as to Tender No., Due date of submission, etc.

In the absence of receipt of Pre-qualification criteria, the offer will not be opened and considered under any circumstances.

Annexure I SCOPE OF WORK:

1.Table cloth replacement: Table cloth identified for replacement shall be removed carefully and replaced with new cloth in its place as directed by IREL officials.

2.Reconditioning of Table top: Table top identified for reconditioning shall be dismantled from the air table and brought to the workshop area. Damaged parts shall be replaced. Reconditioned Table top shall be refixed in the Air table.

3.Reconditioning of Air chamber: Air chamber identified for reconditioning shall be dismantled from the air table. Damaged parts shall be replaced. Reconditioned air chamber shall be refixed in the Air table.

4.Reconditioning of Bottom chamber: Bottom chamber identified for reconditioning shall be dismantled from the air table. Damaged parts shall be replaced . Reconditioned bottom chamber shall be refixed in the Air table.

5.Reconditioning of foundation frame and wooden springs: Foundation frame identified for reconditioning along with wooden spring shall be dismantled. Damaged parts shall be replaced. Reconditioned foundation frame and wooden springs shall be refixed in the Air table.

6.Reconditioning of Air table chutes: Damaged chutes identified for reconditioning shall be removed from air table. Damaged parts shall be replaced and refixed on the air table.

7. Additional carpentry works:- Party shall attend additional carpentry works in the section such gasket, washer and packing preparation, repairing of platforms and step ladders, reconditioning of roll brushes, reconditioning of wet tables, fabrication of blower frame for Air tables and other minor carpentry works.

Note: a. For all the above works, materials will be supplied by IREL. The contractor shall arrange necessary tools required for the above work. b. Waste/scrap generated during the work shall be removed and shifted to the identified place.

OTHER CONDITIONS: a. All tools required for the maintenance for air table shall be arranged by the contractor. b. The contractor shall employ adequate skilled labour required for the work and carryout the work strictly as per instruction of the IREL officials. c. The contractor shall be allowed to work daily from 8.00 A.M to 16.00 hours except on Sundays and holidays. d. The successful contractor shall furnish, in advance, a list of man power employed by him daily to the company authorities and shall maintain a register for the purpose. e. The contractor should abide by all security regulations of the company and provide all necessary personal protective equipment to the employees. All safety precautions shall be taken before commencing the work. f. The contractor must adhere strictly to all rules and regulations in force as laid down by the company. In the event of accident to the contractor or his employees, company shall not be liable for any compensation or claims. g. IREL shall have the right to instruct the contractor to recall his personal incase of unsatisfactory behavior. The contractor shall undertake the work strictly as directed by IREL officials. h. If required, the contractor shall engage additional labour in order to complete the work in shorter duration. i. Material required for the work shall be supplied by the IREL. j. Damage to the Air table/near by equipments should be avoided by careful handling and using proper tools and tackles. In case of any damage, contractor has to bear the full responsibility to rectify the same at his cost and risk.

Period of contract - 1 year Equipment will be released for work as and when required. Party shall report daily to the Plant Maintenance section and carryout the assigned work to the satisfaction of IREL officials. Rate should be firm and valid for one year. (Till the completion of contract)

If required period of contract will be extended for 2 months at the same rate, terms and conditions.

PAYMENT: Payment shall be made once in a month for the completed works.

ANNEXURE II GENERAL TERMS AND CONDITIONS

1. It is suggested that the tenderer may visit the site before submitting the offer to ascertain the site conditions, nature of work and location 2. Contractor has to make own arrangement for tools and tackles, lifting equipments, transportation and any other materials and consumables required for completion of the work. 3. The Contractor shall be allowed to work daily from 08.00 to 16.00 hours except on Sundays and holidays. 4. The successful Contractor shall furnish in advance, a list of man - power employed by them daily to the Company authorities and shall keep a register for this purpose. 5. The Contractor should abide by all Safety and security regulations of the Company and provide personal protective equipments to the employees. All safety precautions are to be taken before commencing the work. 6. The Contractor must adhere strictly to all rules and regulations in force as laid by the Company. In the event of an accident to the contractor or his employees, Company shall not be liable for any compensation or claim. 7. IRE shall have the right to instruct the contractor to recall his personnel in case of unsatisfactory behaviour. The Contractor shall undertake the work strictly as directed by IREL officials. 8. If required, the Contractor shall engage additional labour in order to complete the work in shorter duration. 9. Any information/doubt regarding the details of this tender shall be clarified from the Company officials between 8 a.m. and 4 p.m. on all working days (except Sundays & hoildays). The contractor shall employ adequate skilled, semi-skilled and unskilled labourers, required for the work and carry out the work strictly as per the instruction of IREL officials. 10. The Company reserves the right to accept or reject any tender/offer without assigning any reason whatsoever and no tenderer shall claim over such action. 11. The complete safety of the items is also vested with the Contractor. Any damage to any part of the equipment should be avoided by careful handling and using proper lifting tools and tackles. 12. Water and electricity required for the work will be provided by the Company free-of-cost. 13. The Contractor shall complete the work within the specified time. 14. The Contractor shall indemnify the Company against any claim which may be made under the Workmen’s Compensation Act or any other statutory modification thereof or otherwise for or in respect of any damage or compensation payable in consequence of any accident or injury sustained by any workman or other person in the course of employment whether in his employment or not. The Contractor shall also indemnify the Company against any claim which may be made under Gratuity Act or any other statutory modification thereof or otherwise for or in respect of any compensation payable to any workman in his employment. 15. Workmen’s safety and compliance of rules, etc. It shall be the sole responsibility of the Contract or for the safety and welfare of all the erection crew/workers at site and they shall abide by the rules and regulations of the Company regarding working, etc. The contractor shall comply with all statutory provisions under Mines Act, Atomic Energy Act, Industrial Disputes Act, Contract Abolition Act, (C) Workmen Compensation Act, Minimum Wages Act and the respective rules made thereunder in all matters connected within their services, safety, etc. and absolve the Company fully from any or all claims/disputes/ damages, etc. The Contractor should strictly follow the safety procedures detailed in the AERB Safety Guide for works contracts. 16. The Contractor should (a) obtain Code Nos./Account Nos. for the Workmen’s Provident Fund from R.P.F.C., (b) effect recovery of Provident Fund contribution of the workmen (c) make arrangement for crediting employer’s contribution and (d) maintain Workmen Provident Fund Accounts through R.P.F.C. as required. In the absence of P.F.No. offer is liable to be rejected. The Contractor should produce all the records pertaining to the above alongwith the final bill for verification by the Company.

SECURITY DEPOSIT : The successful Contractor shall furnish a Security Deposit amounting 5% of the total value of the contract by Cash/Demand Draft or an unconditional and irrevocable Bank Guarantee within 15 days of receipt of order. For contract where payment is made on progressive billing of work exempted / supply made 5% of the bill value to be retained every time for work coverage of any rectification / defective work / supply made / retention money. The total SD and retention money towards performance guarantee shall not exceed 10% contract amount. 18. All compensation or other sums of money payable by the Contractor to the Company under the terms of the contract may be deducted from his Security Deposit and in the event of his Security Deposit being reduced by any reason of any such deduction, the contractor shall within 15 days thereafter make good in cash or by demand draft or bank guarantee for equal amount any sum or sums which may have been deducted from his Security Deposit or any part thereof. 19. In case of any failure on the part of the Contractor in the performance of his part of the contract, the Security Deposit shall stand forfeited in favour of M/s. Indian Rare Earths Ltd. without any further notice. 20. The successful tenderer shall, when called upto to do so enter into and execute a contract agreement. 21. Income Tax and Works Contract Tax will be deducted at source, if applicable as per rule. 22. For exemption from deduction of Works Contract Tax, necessary certificate from the Sales Tax authorities shall be produced when supply is also required. 23.Offers shall be valid for 60 days from the date of opening of offer.

The successful Contractor will have to execute an agreement for the due fulfilment of the contract. A stamp paper worth Rs.20/- (Rupees Twenty only) is to be produced for executing the agreement. If the successful tenderer fails to execute the agreement as stated above within the time specified in the Work Order, the earnest money deposited by him will stand forfeited to the Company and the contract for the work will be retendered at the defaulter’s risk and loss incurred by the Company on account of such retender shall be liable to be recovered from the defaulter who will, however, not be entitled to any gain to the Company by such retender shall be liable to be recovered from the defaulter who will, however, not be entitled to any gain to the Company by such retender. 24. All disputes or differences whatsoever arising between the parties out of or relating to the construction, meaning and operation or effect of this contract or the breach thereof shall be settled by the sole Arbitrator appointed by the Chairman & Managing Director of the Company and the award of such Arbitrator shall be final and conclusive and binding on all parties to the contract. No objection shall be raised on the ground that the Arbitrator so appointed is an employee of the Company or one of the parties of the contract himself or that the person who is appointed had to deal with the matters to which the arbitration will be at and only the appropriate court coming under High Court at will have jurisdiction to entertain all matters of litigation to the exclusion of all other courts. 25.The Contractor shall not in any way delay or default or cause to delay or default carrying out of the works by reasons of the fact that any matter has been agreed to be referred to and /or referred to Arbitration.

26.This is subject to the provision of the Contract Labour (Regulation and Abolition) Act, 1970 and the Contract Labour (Regulation and Abolition) Central Rules, 1971. The Contractor engaging 20 or more workmen at a time in connection with this should hold a valid licence from the concerned authorities. Company’s special permission will have to be obtained by the Contractor to bring more than 15 workmen on any day. 27. The Contractor shall strictly take Workmen Compensation Policy with sickness benefit arising out of this employment to a limit not less than Rs. 800/- to cover any liability for the workmen employed by him as per Workmen Compensation Act, 1923 and shall produce the same to the Company before commencement of the work. 28. Contractor’s employees shall comply with relevant safety and use Personnel Protective Equipment such as wearing shoes, gloves, protective clothing, etc. 29. Contractors should not waste company resources, like water, electricity, oil, etc. 30.After the contract activities are over, the Contractor should take back all the waste generated while doing the contract work or transfer to the location specified by Company.

The Contractor will be liable to pay to his workmen minimum wages notified from time to time by the Government of India. b. Monthly wages to be disbursed in the presence of the representative of the Company before 10th of every month. Provident Fund The Provident Fund contribution of Labourer(s) as per PF& MP Act, 1952 Workmen’s Compensation Act, 1923 : The Contractor is liable to pay compensation to his workmen in case of accident(s).

In this context, payment will be released only when the invoice shows service tax element separately, otherwise payment for the value of work alone will be paid.
