III, § 6, ¶ V(c)(1).........................................................................5, 23 3 INTERESTS OF AMICI CURIAE Amici curiae are scholars of law, economics, and regulation, and have devoted significant academic attention to economic effects of regulation with a particular focus on certificate-of-need (CON) regulations. Amici thus have a strong interest in ensuring that this Court’s approach reflects an accurate understanding of the economic effects of CON programs. Amici teach that a public policy program should be measured by its effects rather than its intentions or justifications. A review of the relevant economic literature concerning CON programs demonstrates that these programs represent a grant of monopoly and have all the corresponding effects that result from such monopolies. In short, CON programs are associated with fewer options, higher costs, and an overall lower quality of care. INTRODUCTION AND SUMMARY OF THE ARGUMENT The Anti-Monopoly Clause of the Constitution of Georgia, GA. CONST. art. III, sec. VI, para. V, prohibits laws that have the effect of creating a monopoly. It states, The General Assembly shall not have the power to authorize any contract or agreement which may have the effect of or which is intended to have the effect of encouraging a monopoly, which is hereby declared to be unlawful and void. For some time, both economists and jurists have looked suspiciously on the intentional creation of monopolies by either private conduct or legislation. This sentiment is at the foundation of modern antitrust law.2 It is also at the heart of state policy against “defeating or lessening competition, or encouraging monopoly.” Exec. CON laws represent the very type of legislatively created monopoly that courts have been concerned about for more than four centuries and that Georgia’s Anti-Monopoly Clause has sought to protect against. This concern is for good reason. This brief will begin with a brief overview of the history of CON. Thereafter, the empirical research presented in this brief demonstrates that CON programs (1) limit the introduction and expansion of a wide variety of medical services and equipment, (2) are associated with fewer hospitals and ambulatory surgical centers, (3) are associated with lower-quality healthcare, and (4) increase healthcare costs. Although there are claimed benefits of CON regulations, there is little evidence that these goals are achieved and strong evidence that the costs outweigh the benefits. 6 ARGUMENT I. A brief history of CON laws CON laws are a state invention. The first CON program was adopted by the state of New York in 1964 as a way to strengthen regional health planning programs by creating a process for prior approval of certain capital expenditures.3 Between 1964 and 1974, twenty-six other states adopted CON programs.4 However, with the passage of the National Health Planning and Resources Development Act of 1974, Congress made certain federal funds contingent on a state’s enactment of CON programs. This created a strong incentive for the remaining states to implement CON programs. Over the following seven years, nearly every state without a CON program took steps to adopt certificate-of-need statutes. It was during this time that Georgia passed its CON laws. In 1986—as evidence mounted that CON laws were failing to achieve their stated goals—Congress repealed the mandate. By 1988 eleven states had either repealed their CON programs or allowed them to expire, and other states had either raised their review thresholds or otherwise reduced the scope of their CON review. Certificates of need represent a grant of monopoly, and are associated with all the expected effects of a monopoly Monopoly, in the most basic sense, can be defined as the absence of competition.5 This definition includes monopolies that arise naturally, those that arise through private action, and those that arise through state action. For more than four centuries, courts have viewed statutory grants of monopoly as unfavorably as monopolies achieved through private means. A definition of statutory monopolies, provided by Edward Coke, gives specific context for how far the understanding of monopoly has extended to include actions undertaken by fiat. Coke understood monopolies to include an institution, or allowance by the king by his grant, commission, or otherwise to any person or persons, bodies politique, or corporate, of or for the sole buying, selling, making, working, or using of any thing, whereby any person or persons, bodies politique, or corporate, are sought to be restrained of any freedome, or liberty that they had before, or hindred in their lawfull trade.6 There is good reason not to differentiate between monopolies created by state action and monopolies created by private action. There is also lots of international cooperation (& conflict), and plenty of opportunity for study/practise abroad. Furthermore, competition law is exciting and topical. It has been in the media of late as there was the Competition Policy Review reported in 2015, which was the first major competition policy review in 20 years. Why is Competition Law Important? Competition law is important to the following parties: • For consumers – Competition provides them with more choice, lower prices, and better quality. • For business – Competition protects against anti-competitive practices, and rewards innovation. • For society – Competition law is important for promoting efficiency – resources allocated to where they are most desired. The Harper Review Issues paper found that competitive markets can lead to: • ‘Lower resource costs and overall prices • Better services and more choice for consumers and businesses • Stronger discipline on businesses to keep costs down • Faster innovation and deployment of new technology; and • Better information, allowing more informed choices by consumers’.

    1. Slade’s Case (1602) Slade's Case (or Slade v. Morley) was a case in English contract law that ran from 1596 to 1602. Under the medieval common law, claims seeking the repayment of a debt or other matters could only be pursued through a writ of debt in the Court of Common Pleas, a problematic and archaic process. By 1558 the lawyers had succeeded in creating another method, enforced by the Court of King's Bench, through the action of assumpsit, which was technically for deceit. The legal fiction used was that by failing to pay after promising to do so, a defendant had committed deceit, and was liable to the plaintiff. The conservative Common Pleas, through the appellate court the Court of Exchequer Chamber, began to overrule decisions made by the King's Bench on assumpsit, causing friction between the courts. In Slade's Case, a case under assumpsit, which was brought between judges of the Common Pleas and King's Bench, was transferred to the Court of Exchequer Chamber where the King's Bench judges were allowed to vote. The case dragged on for five years, with the judgment finally being delivered in 1602 by the Chief Justice of the King's Bench, John Popham. Popham ruled that assumpsit claims were valid, a decision called a "watershed" moment in English law, with archaic and outdated principles being overwritten by the modern and effective assumpsit, which soon became the main cause of action in contract cases. This is also seen as an example of judicial legislation, with the courts making a revolutionary decision Parliament had failed to make.

    Topic 1 – The Evolution of Australian Competition Law Origins of Australian Competition Law Restrictive trade practices or ‘competition law’ has ancient origins. o For example, the Babylonian Code of Hammurabi contained rules about monopolies and in 483 the East Roman Emperor Zeno prohibited and exiled monopolists. More recently, it is possible to discern in the early English common law at least three lines of attack on anti- competitive conduct. Common law response to monopolies In the Case of Monopolies—Darcy v Allein (1602) it was held that a Crown grant of monopoly in playing cards was void. Darcy v Allein (1602) Facts Darcy had letters ptent from the Crown granting him the exclusive right to import, make and sell palying cards in England for 21 years. Contrary to this grant, Allein made and imported playing cards and sold them to consumers. Darcy thereupon took proceedings against Allein for infringing his letters patent. Issue Was the grant to Darcy valid? Held Popham CJ held that the grant to Darcy was void for two reasons: o First, that it is a monopoly, and against the common law; and o Second, that it is against diverse Acts of Parliament. It was held to be against the common law for 4 reasons (reasons 3 and 4 are of no present relevance) o First, all trades, as well mechanical as others, which prevent idleness and exercise men and youth in labour, for the maintenance of themselves and their families, and for the increase of their substance, to serve the Queen when occasion shall require, are profitable for the cth, and therefore the grant to the plaintiff to have the sole making of them is against the common law, and the benefit and liverty of the subject…; and o Second, the sole trade of any mechanical artifice, or any other monopoly, is not only a damage and prejudice to those who exercise the same trade, but also to all other subjects, for the end of all these monopolies is for the private gain of the patentees; … there are three inseparable incidents to every monopoly against the Cth: .

    PRODUCT SIMULATION: A RIGHT OR A WRONG? On March 9, 1964 the Supreme Court handed down the companion cases of Sears, Roebuck & Co. v. Stiffel Co.* and Compco Corp. v. Day-Brite Lighting, Inc.** Justice Black, speaking for the Court, ruled that it was not consonant with the federal patent laws for the State of Illinois to enjoin the copying of an unpatented or unpatentable article, irrespective of whether the copying resulted in confusion of the public. Because of the implications of these cases and their potential effect on several related areas of the law, the Editors of the Columbia Law Review have invited several eminent scholars to comment upon the opinions. The effect of the Supreme Court decisions in the Sears and Compco cases is neither as disastrous as many who espouse greater design pro- tection fear nor as comforting as many who eschew such protection hope. "Public policy," Justice Burrough laconically remarked, "is an unruly horse, and once you get astride of him you never know where he will carry you." I But, as is so often the case, the horse is unruly only when abused. When properly managed, lie travels the road of sound precept to the goal of justice. And nowhere has. this been better illustrated than in the case of monopolies, contracts in restraint of trade, and restrictions upon competi- tion. The best definition of this "unruly horse" was given by Lord Brougham when he said, "Public policy is that principle of the law which holds that no subject can lawfully do that which has a tendency to be injurious to the public or against public good." 2 Now it is obvious that as economic conditions change the stand- ard of what is against public good must change with them. In order therefore to understand the public policy laid down in the Sherman Anti-Trust Act,3 and to be able rightly to interpiet that statute, a brief survey of prior economic development in its relation to monopolies, contracts in restraint of trade, and re- strictions upon competition, will be necessary. In the first narrative: • Jurisdiction was concerned with the administration of infants’ property. • Guardianship was a valuable proprietary and pecuniary right, which the Crown ultimately assumed for itself as a source of revenue. • It was based on feudal principles and the rights of the Crown as superior lord. • Only after the abolition of military tenures did the jurisdiction evolve into the protective jurisdiction that it embodies today.
