Telephone: +234 704 535 5922 Diamond Bank Plc and Subsidiary Companies 31 March 2018 DIAMOND BANK PLC STATEMENT OF SIGNIFICANT ACCOUNTING POLICIES As at 31st March 2018 1. Reporting Entity Diamond Bank Plc (the "Bank") was incorporated in Nigeria as a private limited liability company on 20 December 1990. In February 2005, following a highly successful private placement share offer which substantially raised the Bank's equity base, Diamond Bank became a public limited liability company. The address of its corporate office is PGD's Place, Plot 4, Block V,BIS Way, Oniru Estate, Lekki, Lagos. The principal activity of the Bank is the provision of banking and other financial services to corporate and individual customers. Diamond Bank provides a full range of financial services including investment, commercial and retail banking, securities dealing and custodian services. Diamond Bank Plc operates through subsidiaries, including Diamond Pension Fund Custodian Limited, and Diamond Bank UK Limited. In addition, Diamond Bank Nigeria Plc incorporated two structured entities, Stitching Diamond Finance and Diamond Finance BV, for the purpose of facilitating foreign currency borrowing arrangements. The consolidated and separate financial statements of the Bank for the year ended 31 March 2018 were authorised for issue on 11 May 2018 by the Board of Directors. 2. Summary of significant accounting policies 2.1 Introduction to summary of significant accounting policies The principal accounting policies which have been adopted in the preparation of these consolidated and separate financial statements are set out below. These policies have been consistently applied to all the periods presented, unless otherwise stated. 2.2 Basis of preparation (a) Statement of compliance These financial statements are the consolidated and separate financial statements of the Bank, and its subsidiaries (together, "the Group"). The Group’s consolidated financial statements for the quarter ended 31 March 2018 have been prepared in accordance with the International Financial Reporting Standards (IFRS) as issued by the International Accounting Standards Board ("IASB"). The financial statements comply with the Companies and Allied Matters Act, Banks and Other Financial Institutions Act, Financial Reporting Council of Nigeria Act 2011, and relevant Central Bank of Nigeria guidelines and circulars. (b) Functional and presentation currency These financial statements are presented in Naira, which is the Bank's functional currency. Except where indicated, financial information presented in Naira has been rounded to the nearest thousand. (c) Basis of measurement These financial statements have been prepared on the historical cost basis except for the following items: • derivative financial instruments which are measured at fair value. • non-derivative financial instruments at fair value through profit or loss which are measured at fair value. • available-for-sale financial assets which are measured at fair value. • investment properties held for sale which are measured at fair value. • loans and receivables classified as held to maturity which are measured at amortized cost using effective interest rate. • loans to customers and loans to banks which are measured at amortized cost using effective interest rate. • held to maturity financial assets which are carried at amortized cost less impairment losses. • other financial liabilities that are not classified as at fair value through profit or loss which are measured at amortized cost using the effective interest rate method. (d) Use of estimates and judgements The preparation of financial statements in conformity with the IFRS requires the use of certain critical accounting estimates. It also requires management to exercise its judgement in the process of applying the Group’s accounting policies. Changes in assumptions may have a significant impact on the financial statements in the year the assumptions changed. Management believes that the underlying assumptions are appropriate and that the Group’s financial statements therefore present the financial position and results fairly. Actual results may differ from these estimates. The areas involving a higher degree of judgement or complexity, or areas where assumptions and estimates are significant to the consolidated financial statements, are disclosed in Note 4 - (critical accounting judgments). 2.3 Changes in accounting policies and disclosures The accounting policies adopted in the preparation of the consolidated financial statements are consistent with those followed in the preparation of the Group's annual financial statements for the year ended 31 December 2016, except for changes/amendments highlighted below. Standards, amendments and interpretations issued but not yet effective A number of new standards and amendments to standards are effective for annual periods beginning after 1 January 2018 and earlier application is permitted; however, the Group has not early adopted the new or amended standards in preparing these consolidated financial statements. The following standards are expected to have a material impact on the Group's financial statements in the period of initial application: 35 Diamond Bank Plc and Subsidiary Companies 31 March 2018 IFRS 16: Leases This standard will replace the existing standard IAS 17 Leases as well as the related interpretations and sets out the principles for the recognition, measurement, presentation and disclosure of leases for both parties to a contract, being the lessee (customer) and the lessor (supplier). The core principle of this standard is that the lessee and lessor should recognise all rights and obligations arising from leasing arrangements on the balance sheet. The most significant change pertaining to the accounting treatment of operating leases is from the lessees’ perspective. IFRS 16 eliminates the classification of leases as either operating leases or finance leases as is required by IAS 17 and introduces a single lessee accounting model, where a right of use (ROU) asset together with a liability for the future payments is to be recognised for all leases with a term of more than 12 months, unless the underlying asset is of low value. The lessor accounting requirements in IAS 17 has not changed substantially in terms of this standard as a result a lessor continues to classify its leases as operating leases or finance leases and accounts for these as it currently done in terms of IAS 17. In addition, the standard requires lessor to provide enhanced disclosures about its leasing activities and in particular about its exposure to residual value risk and how it is managed. The standard will be applied retrospectively. The impact on the annual financial statements has not yet been fully determined. The Group is in the process of determining the estimated impact as well as discussing the system requirements to accommodate IFRS 16’s principles. The standard is effective for annual periods beginning from 1 January 2019. Early adoption is permitted. Newly effective standards The following new or amended standards became effective during the year, and are not expected to have a significant impact on the Group's consolidated financial IFRS 9: Financial Instruments Background IFRS 9 Financial Instruments (IFRS 9) will replace the existing standard dealing with the accounting treatment for financial instruments IAS 39 Financial Instruments: Recognition and Measurement (IAS 39) from 1 January 2018. IFRS 9 consists of the following key areas which represent changes from that of IAS 39: - Revised requirements for the classification and measurement of financial assets and consequential changes in the classification and measurement of financial liabilities, mainly relating to the recognition of changes in fair value due to changes in own credit risk on fair value designated financial liabilities in OCI as opposed to the income statement. - An expected credit loss (ECL) impairment model. Revised requirements and simplifications for hedge accounting - IFRS 9 is required to be adopted retrospectively from 1 January 2018, with the exception of IFRS 9’s hedge accounting requirements where the standard permits an entity to choose as its accounting policy to continue to apply with IAS 39 hedge accounting requirements instead of the requirements in Chapter

Odufote Development Finance Department, Central Bank of Nigeria, Abuja, Nige- ria Email for correspondence: [email protected] Mobile phone: +2348060681016 Abstract Following the economic downturn of 2008/2009, the Commercial Agriculture Credit Scheme (CACS) was introduced to promote commercial agriculture and to complement other existing special initiatives of the Central Bank of Nigeria. After 3 years of its operation, the sum of N175.525 billion has been disbursed to 222 projects/ promoters. The distribution of the fund disbursed showed that 68% went to the processing segment of the value chain while 29% went to the production segment. While the CACS was found to be contingent to an increase in bank lending to the agricultural sector in Nigeria, there seem to be no significant effect of the fund on agricultural sector growth rate. It was therefore recommended that the 7 year tenor of the Scheme be extended and the need to set milestones (Specific targets and timelines) for deliverables like the right quantum of funds to be deployed, expected increase in flow of credit to agriculture, number of jobs to be created, expected growth rate in agricultural sector GDP etc. The need to build the capacity of bank staff and value chain actors and invocation of sanctions on erring banks to discourage infractions cannot be overemphasized.
