For The Wall Street Journal in 2006, he was among the first to report on the role of Chinese investments in fueling the Darfur conflict. His piece helped spark a major international divestment campaign. Farrow has since worked as an investigative reporter and television commentator and has served as an anchor for MSNBC and NBC. -

Steve Burke Chief Executive Officer NBCUniversal 30 Rockefeller Plaza New York, NY 10112 Jeff Shell Incoming Chief Executive Officer NBC Universal 30 Rockefeller Plaza New York, NY 10112 December 17th, 2019 Dear Mr. Burke and Mr. Shell, We write as members of the New York State Legislature to express our concern about allegations of a toxic workplace environment at NBCUniversal. There is growing evidence of a culture that silences victims of harassment and those who report inappropriate workplace behavior at NBC. NBCUniversal’s recent decision not to renew Gabrielle Union’s contract on America’s Got Talent is just the latest example of a concerning pattern of behavior on the part of NBC. Union was allegedly let go after raising concerns about racist jokes made on set and having been told repeatedly that her hairstyles were “too black.” These allegations represent unacceptable workplace behavior that no one should be subject to, let alone terminated for reporting. We are grateful that NBC has committed to Union that they will investigate her allegations and termination. However, NBC must be transparent about the findings of their investigation and take concrete steps to reform the toxic culture throughout the company. Union’s experience is only one example of the systemic silencing of victims of harassment and those who have spoken up at NBC. As reported extensively by Ronan Farrow and others, NBC ignored complaints of sexual misconduct against Matt Lauer and stymied Farrow’s reporting on Harvey Weinstein while at NBC. Farrow has also reported that at least seven women have signed non-disclosure agreements with the company after alleging sexual harassment, including individuals who made complaints about Lauer before November 2017. -
Sexing the Mueller Report
SEXING THE MUELLER REPORT Ruthann Robson* I. INTRODUCTION Sexual indiscretion, misconduct, and deceit percolate throughout the extensive 2019 Report On The Investigation Into Russian Interference In the 2016 Presidential Election—known as the Mueller Report.1 President Trump’s sexual behaviors are certainly not the focus of the Mueller Report, which resulted from the Acting Attorney General’s appointment of Robert S. Mueller, III as Special Counsel for the United States Department of Justice to investigate “any links and/or coordination between the Russian government and individuals associated with the campaign of President Donald Trump,” and “any matters that arose or may arise directly from the investigation.”2 Volume I of the Mueller Report addresses Russian interference with the 2016 election and any Trump campaign links in approximately 200 pages. Volume II of the Mueller Report, which is slightly longer at 241 pages, focuses on the question of whether the president obstructed justice in connection with the Russia-related investigations, including presidential actions related to the Special Counsel’s investigation itself. By Ronan FarrowSeptember 9, 2018 Update: Three hours after the publication of this story, CNN reported that Moonves would step down from his position at CBS. Later the same day, CBS announced that Moonves had left the company and would not receive any of his exit compensation, pending the results of the independent investigation into the allegations. The company named six new members of its board of directors and said it would donate twenty million dollars to organizations that support the #MeToo movement and workplace equality for women. Since then, the board has selected outside counsel to lead an investigation into the claims. As the negotiations continue and shareholders and advocacy groups accuse the board of failing to hold Moonves accountable, new allegations are emerging. -

Washington, D.C. 20549 Re: Shareholder Proposal to Comcast Regarding Workplace Sexual Harassment on Behalf of Arjuna Capital Ladies and Gentlemen: Arjuna Capital has submitted a shareholder proposal (the “Proposal”) to Comcast (the “Company”) on behalf of George C. Jenne (the “Proponent”), who is the beneficial owner of common stock of Comcast. We are responding to the letter dated January 31, 2020 ("Company Letter") sent to the Securities and Exchange Commission by William H. Aaronson of Davis Polk. In that letter, the Company contends that the Proposal may be excluded from the Company’s 2020 proxy statement. We have reviewed the Proposal, as well as the letter sent by the Company, and based upon the foregoing, as well as the relevant rules, it is our opinion that the Proposal must be included in the Company’s 2019 proxy materials, and that it is not excludable under Rule 14a-8. A copy of this letter is being emailed concurrently to William H. Aaronson. SUMMARY The Proposal asks the Board of Directors to conduct an independent investigation into and prepare a report on risks posed by the Company's failures to prevent workplace sexual harassment. The Company seeks exclusion of the Proposal on the basis of Rule 14a-8(i)(7), claiming that the Proposal relates to the Company's ordinary business operations. Specifically, the Company argues that the Proposal relates to the Company’s general legal compliance program and policies. -

Edward Lee* ABSTRACT The scandals stemming from the sexual harassment allegedly committed by Harvey Weinstein, Roger Ailes, Les Moonves, Matt Lauer, Bill O’Reilly, Charlie Rose, Bryan Singer, Kevin Spacey, and many other prominent figures in the creative industries show the ineffectiveness of Title VII of the Civil Rights Act of 1964, which prohibits sexual harassment in the workplace, in protecting artists and others in the creative industries. Among other deficiencies, Title VII does not protect independent contractors and limits recovery to, at most, $300,000 in compensatory and punitive damages. Since many people who work in the creative industries, including the top actors, do so as independent contractors, Title VII offers them no protection at all. Even for employees, Title VII’s cap on damages diminishes, to a virtual null, the law’s deterrence of powerful figures in the creative industries—some of whom earned $300,000 in less than a week.
