1981] STOCK EXCHANGE LISTING AGREEMENTS AS A VEHICLE FOR CORPORATE GOVERNANCE INTRODUCTION After nearly two hundred years of operation, stock exchanges remain largely unexplored as vehicles for regulating the internal affairs of corporations whose stocks they list for trading. Such regulation would seek to establish uniform, easily comprehensible standards of corporate conduct and to communicate them to every investor. The standards would be implemented by requiring that corporations conform to them as a prerequisite to having their securities traded on an exchange. As a result, investors could more accurately assess the value of corporate equity securities than they can today, and would be less likely to base an investment decision on a misunderstanding of their potential rights as shareholders.1 In evaluating the price of an equity security today, investors face fifty state corporation laws and as many state judicial systems, which together determine the bundle of rights the investor pur- chases. This problem stems from the principle that state law defines the rights and obligations a corporation owes to its share- holders.2 Investors who have neither the expertise to school them- selves in the nuances of state corporation law nor the resources to hire an attorney for that purpose 3 may choose "safer" invest- ments,4 or equally risky but more understandable investments,5 or I Stock exchanges currently regulate some aspects of internal corporate affairs, see, e.g., note 40 infra, but this Comment advocates greater supervisory powers. Analysis of Securitized Asset Liquidity June 2017 An He and Bruce Mizrach1 1. Introduction This research note extends our prior analysis2 of corporate bond liquidity to the structured products markets. We analyze data from the TRACE3 system, which began collecting secondary market trading activity on structured products in 2011. We explore two general categories of structured products: (1) real estate securities, including mortgage-backed securities in residential housing (MBS) and commercial building (CMBS), collateralized mortgage products (CMO) and to-be-announced forward mortgages (TBA); and (2) asset-backed securities (ABS) in credit cards, autos, student loans and other miscellaneous categories. Consistent with others,4 we find that the new issue market for securitized assets decreased sharply after the financial crisis and has not yet rebounded to pre-crisis levels. Issuance is below 2007 levels in CMBS, CMOs and ABS. MBS issuance had recovered by 2012 but has declined over the last four years. By contrast, 2016 issuance in the corporate bond market was at a record high for the fifth consecutive year, exceeding $1.5 trillion. Consistent with the new issue volume decline, the median age of securities being traded in non-agency CMO are more than ten years old. In student loans, the average security is over seven years old. Over the last four years, secondary market trading volumes in CMOs and TBA are down from 14 to 27%. Overall ABS volumes are down 16%. Student loan and other miscellaneous ABS declines balance increases in automobiles and credit cards. By contrast, daily trading volume in the most active corporate bonds is up nearly 28%. -

Abstract We investigate the causes of the high first day returns of Chinese firms making an initial public offering (IPO) of A-shares from 1991 to 2003 on Shanghai and Shenzhen stock exchanges. Our results show an average underpricing of 175.21 percent. We argue that the IPO underpricing is an interaction of ex-market underpricing and on-market overpricing. The high first day returns of China’s IPOs are most likely generated from on-market overpricing. Government intervention, market speculation, special ownership structure, strategy of proceeds maximization and risk concerns are the main drivers of the high first day returns. However, the high first day returns have decreased significantly in ecentr years. We explained this change by testing the risk composition hypothesis, the realignment of incentives hypothesis and the changing issuer objective hypothesis, which shows that the reduction in risk, senior managerial shares and seasoned offerings mitigate the first day returns. -

The investors provide the capital to a corporation. A company may need a new factory to manufacture its products, or an airline a few more planes to expand into new territory. The firm acquires the money needed to build the factory or to buy the new planes from investors. The investors, of course, want a return on their investment. Capital comes in two forms: debt capital and equity capital. To raise debt capital the companies sell bonds to the public, and to raise equity capital the corporation sells the stock of the company. Both stock and bonds are financial instruments and they have a certain intrinsic value. Instead of selling directly to the public, a corporation usually sells its stock and bonds through an intermediary. An investment bank acts as an agent between the corporation and the public. Also known as underwriters, they raise the capital for a firm and charge a fee for their services. The underwriters may sell $100 million worth of bonds to the public, but deliver only $95 million to the issuing corporation. -

REVERSE STOCK SPLIT FAQ 1 What is a reverse stock split? A reverse stock split involves replacing, by exchange, a certain number of old shares (in the present case, 20) for one new share, without altering the amount of the company's capital. In practice such an operation creates the following mechanical effects: - the number of new shares in circulation on the market is reduced proportionally to the exchange ratio (several old shares are transformed into one new share); - the par value, and as a consequence, the market price, of each new share are raised proportionally to the exchange ratio. What is the goal of this reverse stock split? The reverse stock split forms part of Soitec’s desire to support its renewed profitable growth momentum, having refocused on its core electronics business. Moreover, the reverse stock split may reduce the volatility of the price of Soitec share caused by its current low price level. What is the proposed exchange ratio for this reverse stock split? Massive Delisting on the Prague Stock Exchange Zuzana Fungáčová* CERGE-EI† Abstract This research contributes to the investigation of the emerging stock markets in transition economies, namely in the Czech Republic. We estimate the impact of the various determinants of shares delisting e.g. exclusion from public trading on the Prague Stock Exchange (PSE) during the period 1993 – 2004. Unlike its counterparts in Poland or Hungary, exceptionally large amounts of shares were delisted from the PSE. Using the data on listed and delisted companies we show that the pre-privatization and privatization characteristics of the companies were decisive for delisting. This further indicates that it would have been possible to prevent massive delisting if these factors had been taken into account when deciding which companies to place on the stock exchange for public trading. Moreover, therefore companies that were not suitable for public trading were also not suitable for voucher privatization. -
Zsolt Katona Is the New CEO of the Budapest Stock Exchange
Zsolt Katona is the new CEO of the Budapest Stock Exchange Budapest, 10 May 2012 The Board of Directors of the Budapest Stock Exchange appointed Zsolt Katona to be the new Chief Executive Officer of the Budapest Stock Exchange from 15 May 2012. He is a professional with over two decades of executive experience in the financial and the stock exchange fields. He started his career over 20 years ago at one of the founding broker firms of the then reawakening BSE and has been connected to the Stock Exchange by many links ever since. He has been directing the investment services unit of the ING Group in different positions in the past 17 years while also filling several positions related to the Hungarian stock exchange and the capital market in the meantime. He was a member of the Supervisory Board of the BSE between 2002 and 2011, including a 3-year period when he was the Chairman of the BSE Supervisory Board, and he was also a member of the Supervisory Board of the Central Clearing House and Depository (KELER) between 2003 and 2004. In the last one and a half years, he has been participating in the work of the Consultation Body of the BSE, the task of which was to co-ordinate and harmonise interests in relation to the projected replacement of the trading system of the BSE. In connection with his appointment, Zsolt Katona said: “I made my first stock exchange deals in the “good old days”, at the beginning of the 90's, at the open-outcry trading floor in Váci Street, so my ties to the BSE do really go back a long way. -

By George Robb During the late 19th century, a growing number of women were finding employ- ment in banking and insurance, but not on Wall Street. Probably no area of Amer- ican finance offered fewer job opportuni- ties to women than stock broking. In her 1863 survey, The Employments of Women, Virginia Penny, who was usually eager to promote new fields of employment for women, noted with approval that there were no women stockbrokers in the United States. Penny argued that “women could not very well conduct the busi- ness without having to mix promiscuously with men on the street, and stop and talk to them in the most public places; and the delicacy of woman would forbid that.” The radical feminist Victoria Woodhull did not let delicacy stand in her way when she and her sister opened a brokerage house near Wall Street in 1870, but she paid a heavy price for her audacity. The scandals which eventually drove Wood- hull out of business and out of the country cast a long shadow over other women’s careers as brokers. Histories of Wall Street rarely mention women brokers at all. They might note Victoria Woodhull’s distinction as the nation’s first female stockbroker, but they don’t discuss the subject again until they reach the 1960s. This neglect is unfortu- nate, as it has left generations of pioneering Wall Street women hidden from history. May. 2013 Japan to normalize short-selling regulations vol.164 Executive Summary Japan's Financial Services Agency has unveiled plans to rescind the emergency short-selling restrictions imposed during the 2008 financial crisis and replace them with revised permanent regulations. Its proposed revisions are timely and sensible. They should help to improve market liquidity and price formation. Sadakazu Osaki Head of Research Center for Strategic Management and Innovation Emergency short-selling restrictions have remained in effect in Japan In March 2013, Japan's Financial Services Agency (FSA) released a draft of revised short-selling regulations. In Japan, short-selling restrictions were tightened as an emergency measure in response to the market turmoil triggered by Lehman Brothers' September 2008 collapse. These emergency restrictions are still in effect, having been extended 12 times. With the recently released revised regulations slated to take effect in November, regulation of short-selling in Japanese markets is set to finally return to normal. Short selling is an investment technique whereby an investor borrows from a third party securities that he does not currently own and sells them in the aim of repurchasing them later at a lower price. When a security is sold short, its market price reflects the investment opinion of investors that do not own the security in the cash market. Short selling also enhances market liquidity by increasing sell orders. It thus fulfills a legitimate economic function but it can also trigger steep price declines if certain stocks are heavily sold short within a short timeframe.
