OFFICIAL STATEMENT DATED SEPTEMBER 23, 2020 In the opinion of The Muller Law Group, PLLC, Bond Counsel, based upon an analysis of existing laws, regulations, rulings and court decisions, and assuming, among other matters, the accuracy of certain representations and compliance with certain covenants, interest on the Bonds (herein defined) is excluded from gross income for federal income tax purposes under Section 103 of the Internal Revenue Code of 1986. In the further opinion of Bond Counsel, interest on the Bonds is not a specific preference item for purposes of the federal alternative minimum tax. Bond Counsel expresses no opinion regarding any other tax consequences related to the ownership or disposition of, or the amount, accrual or receipt of interest on, the Bonds. (Underlying) (AGM Insured) ....... “A1” SIENNA PLANTATION LEVEE IMPROVEMENT DISTRICT OF FORT BEND COUNTY, TEXAS (A Political Subdivision of the State of Texas, located within Fort Bend County) $37,900,000 Unlimited Tax Levee Improvement Bonds Series 2020 Dated: October 1, 2020 Due: September 1, as shown on the inside cover The $37,900,000 Sienna Plantation Levee Improvement District of Fort Bend County, Texas, Unlimited Tax Levee Improvement Bonds, Series 2020 (the "Bonds") are obligations of Sienna Plantation Levee Improvement District of Fort Bend County, Texas (the "District") and are not obligations of the State of Texas (“Texas”); the City of Missouri City, Texas (the “City”); the City of Alvin, Texas; Fort Bend County, Texas (the “County”); or any political subdivision or entity other than the District. Neither the faith and credit nor the taxing power of Texas; the City; the City of Alvin, Texas; the County; nor any entity other than the District is pledged to the payment of the principal of or interest on the Bonds. Principal of the Bonds is payable upon presentation at the principal payment office of the paying agent, initially, Regions Bank, an Alabama banking corporation, Houston, Texas (the "Paying Agent/Registrar"). Interest accrues from October 1, 2020, and is payable March 1, 2021, and each September 1 and March 1 (each an "Interest Payment Date") thereafter until the earlier of maturity or redemption. Interest on the Bonds will be payable by check dated as of the Interest Payment Date, and mailed by the Paying Agent/Registrar to registered owners as shown on the records of the Paying Agent/Registrar at the close of business on the 15th calendar day of the month next preceding each interest payment date. The Bonds are issued as fully registered bonds in principal denominations of $5,000 or any integral multiple thereof. The Bonds will be registered in the name of Cede & Co., as nominee for The Depository Trust Company, New York, New York ("DTC"), which will act as securities depository for the Bonds. Beneficial owners of the Bonds will not receive physical certificates representing the Bonds, but will receive a credit balance on the books of the nominees of such beneficial owners. So long as Cede & Co. is the registered owner of the Bonds, the principal of and interest on the Bonds will be paid by the Paying Agent/Registrar directly to DTC, which will, in turn, remit such principal and interest to its participants for subsequent disbursement to the beneficial owners of the Bonds as described herein. The scheduled payment of principal of and interest on the Bonds when due will be guaranteed under an insurance policy to be issued concurrently with the delivery of the Bonds by ASSURED GUARANTY MUNICIPAL CORP. The Bonds constitute the seventeenth series of unlimited tax bonds issued by the District from two separate elections where voters in the District authorized an aggregate of $249,000,000 principal amount of unlimited tax bonds ($110,000,000 at the election held on November 4, 1997, and $139,000,000 at the election held on November 6, 2018) for the purposes of providing flood plain reclamation, flood protection and outfall drainage necessary for development within the District (the “Levee and Drainage Facilities”). Voters in the District have also authorized a total of $49,000,000 principal amount of unlimited tax bonds for the purpose of constructing and maintaining park and recreational facilities within the District (the “Park Facilities”) and $44,000,000 principal amount of unlimited tax bonds for refunding purposes. Following the issuance of the Bonds, $71,100,000 principal amount of unlimited tax bonds for the purpose of providing the Levee and Drainage Facilities, $19,595,000 principal amount of unlimited tax bonds for the purpose of constructing and maintaining the Park Facilities, and $38,597,509 principal amount of unlimited tax for refunding purposes will remain authorized and unissued. See “THE BONDS – Authority for Issuance” and “THE BONDS - Issuance of Additional Debt." THE BONDS ARE SUBJECT TO CERTAIN INVESTMENT CONSIDERATIONS DESCRIBED HEREIN. See "INVESTMENT CONSIDERATIONS.” The Bonds are offered by the winning bidder for the Bonds (the “Initial Purchaser”) subject to prior sale, when, as and if issued by the District and accepted by the Initial Purchaser, subject to the approval of the Attorney General of Texas and the opinion of The Muller Law Group, PLLC, Sugar Land, Texas, Bond Counsel. Certain legal matters will be passed upon for the District by Orrick, Herrington & Sutcliffe LLP, Houston, Texas, Disclosure Counsel. Delivery of the Bonds is expected on or about October 22, 2020.
