6273247AA Do I need a shareholder’s agreement?

The short point is it can be very messy, disruptive and expensive to try and work things out without a shareholder’s agreement if you are in business with others and the unforeseen has happened and there is open conflict between the shareholders. A shareholder’s agreement is a contract between the shareholders of a company which provides a framework for running the company and avenues for resolving disputes should these arise. A shareholder’s agreement can be vital if the company has a small number of shareholders who are actively involved, or where a minority shareholder needs more protection than is otherwise available in the general law. A shareholder’s agreement is not the same as the The Rolleston Road Crash Rescue (RCR) team’s Ben Bishop, Hannah Simpson, Marty Tier, John Trounson, Rob Henderson and Simon Newman company constitution. A company always has a constitution and this is a public document registered at the Companies Office. New warning signs trialled New advanced warning signs are now being trialled at two busy rural intersections in Selwyn. The signs illuminate when vehicles approach an intersection and warn there is a stop sign ahead. The concept for the new signage was developed by Selwyn policeman Dan Harker. The trial is being supported by AMI, Fulton Hogan, Solar Bright, NZTA, the New Zealand Police and Selwyn District Council. Look out for the new ashing warning signs which will be trialled at Maddisons Road near the Weedons Ross Road intersection and West Melton Road near the Hoskyns Road intersection over the next 18 months. Southbridge, Waihora and Burnham-Dunsandel-Irwell remain unbeaten after three rounds of the Combined Country Cup rugby competition. Waihora, the combined compe- tition runners up in the last two seasons, finished strong to beat Southern 20-0. A try to wing Nick Rhodes and penalty from Harry Kirk had the homeside take an 8-0 lead into the break. A second try from Rhodes had Waihora extend their lead before fullback Mark Maitland showed a clean pair of heels on a counter attack to score under the posts. The Kirk conversion sealed a 20-0 win to keep Waihora second in section one. Waihora and Southern enjoyed a torrid battle at the breakdown with both sides pilfering their fair share of ball. In the end Waihora was able to convert their opportunities into points, while not having a goal kicker hurt Southern’s chances. Ashley hold top perch after a bonus point 42-8 thrashing of Prebbleton in Loburn.
