  • The Crown As Corporation Frederic William Maitland 1901
The Crown as Corporation Frederic William Maitland 1901 Law Quarterly Review 17 (1901) pp. 131-46. The greatest of artificial persons, politically speaking, is the State. But it depends on the legal institutions and forms of every commonwealth whether and how far the State or its titular head is officially treated as an artificial person. In England we now say that the Crown is a corporation: it was certainly not so when the king's peace died with him, and "every man that could forthwith robbed another."(1*) I quote these words from Sir F. Pollock's First Book of Jurisprudence. They may serve to attract a little interest to that curious freak of English law, the corporation sole. In a previous paper I have written something concerning its history.(2*) I endeavoured to show that this strange conceit originated in the sixteenth century and within the domain of what we may call "church property law". It held out a hope, which proved to be vain, that it would provide a permanent "subject" in which could be reposed that fee simple of the parochial glebe which had been slowly abstracted from the patron and was not comfortable in those clouds to which Littleton had banished it. Then, following in the steps of Sir William Markby, I ventured to say that this corporation sole has shown itself to be no "juristic person", but is either a natural man or a juristic abortion. If the corporation sole had never trespassed beyond the ecclesiastical province in which it was native, it would nowadays be very unimportant.

  • What the Crown May Do
WHAT THE CROWN MAY DO 1. It is now established, at least at the level of the Court of Appeal (so that Court has recently stated)1, that, absent some prohibition, a Government minister may do anything which any individual may do. The purpose of this paper is to explain why this rule is misconceived and why it, and the conception of the “prerogative” which it necessarily assumes, should be rejected as a matter of constitutional law. 2. The suggested rule raises two substantive issues of constitutional law: (i) who ought to decide in what new activities the executive may engage, in what circumstances and under what conditions; and (ii) what is the scope for abuse that such a rule may create and should it be left without legal control. 3. As Sir William Wade once pointed out (in a passage subsequently approved by the Appellate Committee2), “The powers of public authorities are...essentially different from those of private persons. A man making his will may, subject to any rights of his dependants, dispose of his property just as he may wish. He may act out of malice or a spirit of revenge, but in law this does not affect his exercise of power. In the same way a private person has an absolute power to release a debtor, or, where the law permits, to evict a tenant, regardless of his motives. This is unfettered discretion.” If a minister may do anything that an individual may do, he may pursue any purpose which an individual may do when engaged in such activities.

THE CROWN Nick Seddon II ••• the concept ofthe Crown is...deeply ambiguous. 111 INTRODUCTION The ambiguity surrounding the concept of the Crown stems from the very many functions that it has been required to perform. One tends to forget that it is merely a type of hat, as Maitland and Lord Simon have observed,2 so bound up in the symbolism of that headgear has the word become. So important was this symbolism that Oliver Cromwell ordered that the regalia should be totally broken. This symbolism, in its turn, metamorphosed from representing the person of the king or queen to the artificial person of a corporate body, though it was not clear whether the Crown was a corporation sole or corporation aggregate. This corporate manifestation was needed to explain how it was that government continued without being dependent on the person of the sovereign. The Crown was the government occupying a role not dissimilar to the Holy Trinity, being the executive, judicial and legislative arms of government in one.3 Each of these arms to this day, both in England and Australia, does things in the name of the sovereign.4 In formal terms, it is the Queen's fiat which makes laws, it is her sentence which condemns and it is her judgments which determine the rights and liabilities of her subjects. The Queen, as head of the executive, appoints her ministers; these ministers are the Queen's servants and certainly do not stand in any legal relation to Parliament. Further, this Parliament, which assembles in the Royal Palace at Westminster, is summoned, prorogued and dissolved by the Queen.

Associational Structures of Religious Organizations Patty Gerstenblith* A legal structure is the organizational framework within which the law permits business to be conducted. Over the past four centuries, religious organizations have used various structures to gain legal recognition, status, and rights, particularly the right to acquire and to hold property. During the colonial era, the colonists borrowed extensively from English law in all areas, including the treatment of religious societies. Guided by the prevailing English method of the time, most of the colonies (and subsequently the states) provided legal status and certain rights to religious organizations, as to business corporations, by the granting of special charters. The purpose of a special charter was to create a corporation for a particular purpose and to assure certain rights or powers. A special charter required an act of the sovereign or legislature. Just as the Crown and the Parliament in England held the power to approve or deny the creation of a corporation, the states similarly continued to maintain the special charter system to which both ecclesiastical and lay corporations were subject.

  • I'm a (Corporation) Sole Man!
I’m a (Corporation) Sole Man! by Alfred Adask In the previous article (Withdrawing From Social Security), did you notice that the affidavits author characterized himself as Cor- poration Sole in his mailing address? This may be another impor- tant element of self-characterization needed to distance yourself from corporate governments jurisdiction. Im still fuzzy on the corporate sole concept. However, I think it its important, so Ill share the few clues and conjecture I currently enjoy. First, consider the definition of King in Blacks Law Dictionary (7th Ed.): King. English law. The British government; the Crown. In modern times it has become usual to speak of the Crown rather than of the King, when we refer to the King in his public capacity as a body politic. We speak of the property of the Crown, when we mean the property which the King holds in right of his Crown. So we speak of the debts due by the Crown, of legal proceedings by and against the Crown, and so on. The usage is one of great convenience, because it avoids a difficulty which is inherent in all speech and thought concerning corporations sole, the difficulty, namely, of dis- tinguishing adequately between the body politic and the human being by whom it is represented and whose name it bears. John Salmond, Jurisprudence 341-42 (Glanville L. Williams ed., 10th ed. 1947) [Emph. add.] Note that the Kings corporate sole includes two capacities: 1) the body politic (the public capacity); and 2) the human being. This duality is remarkably similar to the evil twin/ strawman theo- ries which propose that Alfred Adask and ALFRED ADASK are two related but distinctly different legal entities.
