Prior notification of a concentration (Case M.9769 — VW Group/Munich RE Group/JV) Candidate case for simplified procedure

1. On 16 March 2020, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1). This notification concerns the following undertakings: — MHP Management- und IT-Beratung GmbH (‘MHP’, Germany), controlled by Dr. Ing. h.c. F. Porsche Aktiengesellschaft (‘Posche’, Germany), which is ultimately controlled by Volkswagen Group (‘VW’, Germany), — Münchener Rückversicherungs-Gesellschaft Aktiengesellschaft in München (‘Munich RE’, Germany).

Porsche, via its subsidiary MHP, and Munich RE acquire within the meaning of Articles 3(1)(b) and 3(4) of the Merger Regulation joint control over a newly created company constituting a joint venture (‘JV’, Germany).

The concentration is accomplished by way of purchase of shares in a newly created company constituting a joint venture.

2. The business activities of the undertakings concerned are: — for MHP: a management and IT consulting company. Porsche and VW are active worldwide in the development, manufacture, marketing and sales of, inter alia, passenger cars, light commercial vehicles, trucks, buses, motor bikes as well as ancillary financial and insurance services and mobility service solutions, — for Munich RE: an international insurance company.

The JV will provide IT consulting services, including concept development, risk management, and software development, in relation to the planning, establishment and operation of digital and flexible production solutions.

3. On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

DESCRIPTION OF AND REASONS FOR THE APPROVED AMENDMENT

1. Geographical area The geographical area, which had referred to the districts, has been updated using the names of the municipalities. This has not led to any change in the geographical area. Point 1.6 of the single document has been amended accordingly.

2. Area in immediate proximity The area in immediate proximity, which had referred to the districts, has been updated using the names of the municipalities. This has not led to any change in the geographical area. Point 1.9 of the single document has been amended accordingly.

3. Vine varieties The allocation of grape varieties by colour has been deleted, and grape varieties have been added so as to adapt the PGI to new environmental issues and climate change. Point 1.7 of the single document has been amended accordingly.

4. Inspection body The reference to the certification standard of the inspection body has been updated. This has not led to any change in the single document.

4. Description of the wine(s) Wines bearing the protected geographical indication ‘Atlantique’ are still red, rosé and white wines. Still wines bearing the protected geographical indication ‘Atlantique’ have a minimum actual alcoholic strength by volume of 10,5 %. The (maximum or minimum) total sulphur dioxide content, volatile and total acidity, and total alcoholic strength by volume are those laid down in EU legislation. The red wines have soft, harmonious tannins. They are well-balanced, fruity and elegant. The white and rosé wines give full expression to the freshness and aromas of the grape varieties used to make them. They express themselves with great finesse.

8. Description of the link(s) The geographical area of production covers the entire Charente, Charente-Maritime, Dordogne and Gironde departments and the west of the Lot-et-Garonne department. The name of the protected geographical indication is closely linked to its proximity to the Atlantic Ocean, which runs along the western edge of the geographical area for 250 kilometres. Bathed by several major rivers, the Garonne, Dordogne, Charente and Lot, and their many tributaries, and indented in the middle from west to east by the broad , the region has a temperate oceanic climate greatly influenced by the proximity of these bodies of water and the warm Gulf Stream. Winters are mild and wet, while summers are hot, dry and sunny. Average sunshine is around 1 950 hours per year. These climate conditions are highly conducive to vine-growing. The mild maritime weather, brought by the tides as they ascend the estuaries and the prevailing westerly sea winds, can be felt up to 100 km or more inland from the river mouths. The oceanic climate tapers off towards the east, heralding more continental influences such as colder winters and warmer summers. There are three types of soil which are well-suited to the planting of vines: brown clay-limestone soils on the limestone substrate; leached sandy-loam soils (known as ‘boulbènes’) resulting from wind-blown silt depositing on the ‘sand, clay 26.3.2020 EN Offi cial Jour nal of the European Union C 99/21

and gravel of the Périgord’; and alluvial gravel, clay, sand and loam soils of various proportions corresponding to the ancient and more recent river terraces. With its large window to the sea, the production area has been open to commercial trade since ancient times. Vine-growing emerged in the south-west of under the influence of the Romans. In the Middle Ages, the growth in wine-making was closely linked to coming under the control of the English throne. The reputation of these wines, often bearing the name of the river port from which they were shipped, grew considerably throughout Europe. Major ports such as Bordeaux or La Rochelle were formed around the maritime trade in wine and spirit drinks from the entire region.

The bulk of the region’s wine production is devoted to controlled designations of origin. The setting-up of production areas and segmentation of wines produced in large wine-growing areas led to the development of ‘vins de pays’ from the Atlantic region, which would form the cornerstone of this new segmentation. The first harvest took place in 2006.

The PGI ‘Atlantique’ comes in three colours, with red wines in the majority (50 %) and white and rosé wines in equal proportions (25 %). The grape varieties used are mostly the traditional varieties of the south-west of France: Merlot N, Cabernet‐Sauvignon N, Cabernet franc N and Cot N (or Malbec) for the red and rosé wines, and Sauvignon B, Sémillon B and Ugni blanc B for the white wines. Producers have the option of planting other grape varieties, allowing them to adapt and improve the quality of their output, and to produce wines from varieties that are easily recognised by consumers. The wines produced are soft, fruity and aromatic. An average of 25 000 hectolitres of the PGI ‘Atlantique’ was produced each year during its first four years of production. Vineyards have been planted throughout the geographical area of the PGI ‘Atlantique’ for some 2 000 years now, which proves that the region has been suited to wine production since historical times.

These wines are largely destined for the local tourist market on the Atlantic coast. By virtue of their freshness, the white and rosé wines are particularly well-suited to quick consumption in the summer, served with oysters from the Marennes or Arcachon and other products from the south-west of France. The red wines, which are more typical for this part of France, round out the range of designation of origin wines produced in the same region and well-known throughout the world. Tempered by the region’s proximity to the Atlantic Ocean, the climate helps produce well‐balanced, fresh and elegant wines that give full expression to the character of the grape varieties used to make them. These products offer a pleasant introduction to the wines of our region, paving the way for the discovery of the many highly distinctive protected designations of origin that make up a mosaic of this region.
