BAIN & COMPANY, INC. (CORPORATE) POSITION TITLE: COUNSEL, APAC CONTRACTS

Department: Legal FLSA: Exempt Reports to: Associate General Counsel, APAC Date: September 2016

POSITION SUMMARY: Based in Bain’s Shanghai office (Beijing or Hong Kong office as a possible alternative), this role supports the attorneys in Bain’s Legal Group in reviewing, drafting and negotiating legal contracts in English and Chinese.

RESPONSIBILITIES & DUTIES :

 Principal focus on China, broader regional role possible  Review, draft and negotiate legal contracts in English and Chinese including: o consulting engagement agreements, o confidentiality agreements, o vendor contracts, o various other types of agreements  Directly negotiate and/or support the negotiation of an agreement acceptable to Bain  Communicate your assessment of the legal issues in an agreement to internal clients and/or one or more of the senior lawyers on Bain’s legal team in a clear and concise manner  Coordinate review and comment by other departments  Review and prepare RFP responses  Support other members of Bain’s legal team on special projects

QUALIFICATIONS :

 Business fluency in both English and Chinese is essential  Qualified lawyer with at least 2 years’ experience reviewing, drafting and negotiating commercial agreements in a law firm or in-house setting  Good academic background from a leading law school in China  Legal qualification in China  Strong legal drafting and negotiation skills  Excellent written and verbal communication skills  Highly-developed organizational skills and be articulate, detail oriented and hard working  Ability to work independently, but within a team-focused environment  Proficient in MS Word and PowerPoint  Experience in servicing global clients preferred
