ANNEXURE – 1: TERMS & CONDITIONS OF THE ONLINE AUCTION

Definitions:-

 SELLER: Seller referred in this catalogue, is BHARAT PETROLEUM CORPORATION LTD.

 SERVICE PROVIDER: Synise Technologies Ltd. (hereinafter referred to as “STL”) is an e-commerce service provider appointed by the seller to facilitate virtual auction by the seller. Synise Technologies Ltd. Will only facilitate online auction and are considered third party that is not particularly interested in the item/s being sold on behalf of seller.  BIDDER: Any person - as an individual OR as a proprietor OR as a partner OR as an authorized representative of any company OR as any legal entity - who is paying the requisite EMD and registered at Synise Technologies Ltd. and who makes or places a bid for and purchases the auction property either in part or in full is considered a Bidder. One individual can represent a Bidder on his own behalf and on behalf of other companies provided he registers himself in those capacities separately, i.e., for each representation he should pay separate Earnest Money Deposit. Successful Bidder is that Bidder in whose name confirmation of sale is issued by the seller.

1.0 GENERAL TERMS & CONDITIONS :

1.1 The Auction will be organized only through Internet. 1.2 Subject to the reserve price, if any, fixed by the SELLER and subject to the Terms and Conditions set out herein, sale shall be made to the HIGHEST BIDDER on “AS IS WHERE IS” and “NO COMPLAINT” basis. The Seller does not undertake any responsibility to procure any permission / license etc., in respect of the auction property offered for sale. 1.3 SELLER reserves the right to modify and amend the Terms & Conditions and announce the same at any time before the auction concludes. Announcements during the auction on the website including announcement of any additional conditions OR correction in the catalogue and / or additions or deletions of items being offered for sale are being done with the consent and knowledge of the seller, and it is binding on the Bidder. 1.4 Participation and bidding in this Auction shall be treated as conclusive evidence of the fact that the bidder has inspected the Items and the documents pertaining to it and is satisfied in all respects regarding quantity, quality, condition of the Items, taxes and duties and other extraneous factors and the Principle of Caveat Emptor (let the buyer beware) will apply. It shall also imply that the bidder has carefully gone through and understood the terms and conditions of Auction including the amendments if any, prevailing at the time of Auction. Seller / Synise Technologies Ltd. will not entertain any complaints or objections once Bid is placed. 1.5 Seller / Synise Technologies Ltd. does not give warranty or guarantee of the quality, quantity, measurement, condition, chemical composition of each individual item/s or lot/s that form the auction Item and about its “End Use” or fitness for a particular purpose. 3 1.6 The highest Bidder does not get any right to demand acceptance of his offer. SELLER reserves the right to accept / reject / cancel any bid, withdraw any portion of the Auction Property at any stage from Auction even after acceptance of the Bid/ issue of Sale Order / Delivery Order / Release Order / Deposit of full value by the successful Bidder without assigning any reason there of. In the event of such rejection/ cancellation/ withdrawal, SELLER, shall refund the value of Auction Property, if paid for, to the successful bidder. SELLER shall not be responsible for any damages/loss whatsoever to the successful bidder on account of such withdrawal. 1.7 EMD amount will not carry interest. 1.8 In the event of failure on the part of the successful bidder to fulfill his contractual obligations, such bidders may please note that Bharat Petroleum Corporation Limited, (BPCL) will put them on the holiday – list for a period of one year or for a period during which such Bidders will not be allowed to participate in 04 Nos. (four) Limited Tenders plus 04 Nos. (four) e – Auctions of BPCL – whichever is of longer duration. 1.9 The highest bidder, after the e-auction process is over, re-confirm the rates quoted by them (for format ref. Annexure-B), failing which their offers may not be considered for commercial evaluation. 1.10 All other terms and conditions as specified from time to time by BPCL and STL will apply.

2.3 Please do not mention your Password in your letter. Forms received after last date / time of registration, i.e. after 4 PM on 10.03.2014 will be liable for outright rejection and such Bidders will not be allowed to participate in the e-Auction and their DD will be returned to them through Courier at their risk. In this regard, the decision of BPCL’s service provider M/s. Synise Technologies Ltd. shall be final. Hence, in your own interest, you are requested to complete all the formalities to become Registered Participant in advance and well in time before 4.00 PM on 10.03.2014.

2.4 EMD exemption is applicable only for those NSIC / SSI units who fulfill following conditions :

A. SSI units should be registered with National Small Scale Industrial Corporation (NSIC). B. The units should be registered for the item tendered for e-auction. C. The monetary limit indicated in NSIC registration certificate should cover the value of items ordered. D. Registration certificate should be valid as on date of order. E. Photostat copy of valid NSIC / SSI registration certificate should be submitted as support. 2.5 Registration with DGS&D will not entitle a renderer to claim exemption from Security Deposit / EMD. 2.6 BPCL / Synise Technologies Ltd. reserves the right to reject the request for EMD exemption if any one of above conditions is not met in full to their satisfaction and BPCL decision in this matter is final and binding. 2.7 On receipt of your EMD and other documents, your login ID / Password will be e- mailed by us through our secured server to your valid and confidential email provided by you in ANNEXURE “A”. On receipt of the password, a confirmatory email will have to be sent back to us that you have received the login / password, please do not disclose your login / password in the confirmatory mail. On receipt of this confirmation, you will then be enabled and activated for bidding. 2.8 Please do not reveal / pass on your Login ID and Password to any other person/s. It is your personal property and we will not be responsible for any leakage or misuse or illegal use of your User ID and Password. Nevertheless, you will be held personally liable to the Seller and the Auctioneers for any misuse or illegal use of your User ID and password by other person/s and any successful transaction online by such unauthorized persons due to your negligence will be considered your own transaction 5 and you will be required to fulfill the contract as per terms and conditions of the sale. 2.9 To enter the e-auction on https://www.indiaengineering.com/multibid and get the bidding screen, kindly refer to Annexure-C on Bidding Procedure & Instructions. The auto - extension feature gives equal opportunity to all the Bidders to place their bids in the closing minutes of the auction. For details on auto – extension, pls. refer to Annexure-C. Hence, Bidders are requested to stay tuned to the end of the auction even after the auction closing time in case the auction gets extended due to auto extension till the bidding screen closes. Please do not wait till last few seconds, but enter your bid at least 1 minute before end time. Confidential instructions can also be given to the website to carry out secure and confidential Auto bid. (Refer to Annexure-C for instruction of Auto bid.) 2.10 Please Note each Registered Participants shall pay refundable Earnest Money Deposit (EMD) to participate and bid at our e-Auction. The Participant at our e-Auction will be allowed to bid only after they have paid EMD in advance to us by DD as mentioned in the General Conditions of sale. 2.11 Please note that the DD against EMD must be received by us in advance along with Annexure-A and Annexure-C and other documents (like NSIC certificate, etc.) on or before 4 PM on . 10 .03 .2014 . The Auctioneers / Seller are not liable for the delay or late receipt of DD and other documents, whether sent through Courier or Post. 2.12 The Auctioneers will arrange free training to the participants for the e-Auction by prior appointment on phone. Only bidders who have paid EMD and other relevant documents, i.e. Bidders who are qualified to participate in the auction will be given training. 2.13 During the online bidding process, BPCL reserves the right to change the Start Bid Price, as considered appropriate. Once the bids are posted during the online auction, they cannot be revised downwards which may please be noted. Every Bidder is under obligation to buy the material at the price he bid should the material be offered to him at that price. If any bidder to whom the material is offered at his bid price fails to effect the payment or other payments or carry out the clearances of material within the prescribed time frame or do not fully comply with the terms and conditions of the auction as displayed on the website, the EMD and any other payment made by such a Bidder will stand forfeited and in addition, BPCL will put such Bidders on the holiday – list for a period one year or for a period during which such bidders will not be allowed to participate in 04 Nos. (four) limited tenders plus 04 Nos. (four) e- Auctions of BPCL – whichever is of longer duration. The seller is at liberty to offer and / or sell such material to another party of his choice or even retain it. The EMD paid for an auction or an item may be appropriated and stand forfeited against non–compliance with the terms and conditions in another item of the tender.

6 ANNEXURE - 2

GENERAL CONDITIONS OF SALE/DISPOSAL

1. Inspection of the materials :

1.1 All scrap materials will be sold in MT / Lot / No. basis as mentioned in Table ‘A’ on “As Is Where Is and No Complaint” basis. The materials will be available for inspection at our Warehouse Scrap yard on 06th & 07th March, 2014 between 8.30 am & 11.30 am and between 1.00 pm & 2.30 pm, with prior appointment.

2. Earnest Money Deposit (EMD) :

2.1 For participating at our e-Auction, the intending bidders shall pay refundable Earnest Money Deposit (EMD) by Demand Draft from any Nationalized or Scheduled Banks as mentioned against the lot in the catalogue on or before 4 P.M. on 10.03.2014 along with Annexure-A & Annexure C drawn in favour of Bharat Petroleum Corporation Ltd., payable at Mumbai, duly crossed and superscribed “Account Payee only”. EMD must be deposited with M/s. Synise Technologies Ltd. No interest is payable for the deposit amount held by us.

2.2 As per BPCL Corporate Policy, all EMD payments irrespective of successful or unsuccessful Bidders shall be deposited in the operating Bank of BPCL immediately. The EMD payments of unsuccessful bidders shall be returned by cheque without any interest subsequently within 30 working days approximate through courier or Registered A.D. at the address indicated by them. No interest will be payable for such refunds. In case of any undue delay in refund of cheque due to unforeseen reasons at BPCL end or due to any postal / courier delays, BPCL is not liable for any claims of interest or any disputes arising out of this. Therefore, parties are requested to take note of this.

2.3 Every Bidder is under unconditional obligation to buy materials at the price offered by him whether he has been the highest bidder or not. 2.4. The successful bidder will be advised the outcome of the e-auction result by issuing a Sale Order within a reasonable time, i.e. 30 working days approximate after the e-auction after getting internal approvals. The successful Bidder’s EMD will be refunded only on completion of the job to the full satisfaction of the Corporation.

3. Participation in e-auction will mean that the party has inspected the materials / lots / nos. available for sale / disposal at Site as per auction details in Table-A on as is where is and no complaint basis and that the Bidder is fully satisfied and has understood the lot details and site conditions regarding the disposal material condition, size, quantity, quality, weight, numbers etc of the items available for sale / disposal. Therefore, no claim shall be entertained in case of any variations in quantities particularly on downward side or condition / quality / weight / numbers of the materials etc. at the time of up liftment, which may please be noted.

4. Since the quantity is approximate, BPCL reserves the right at the time of issue of Sale Order to direct the successful Bidder to deposit additional amount equivalent to 20% of the tender quantities at the same Unit Price as indicated in the Sale Order to take care of any upward variations at the time of upliftment of materials. In case of actual quantities going downward, the amount paid will be adjusted and returned to the successful Bidder (without any interest) by cheque. EMD payment retained can not be adjusted against additional quantities at the time of upliftment which may please be noted.

5. At any given time there can be only one H-1 bidder per lot / item.

7 If more than one bidder bids, same value for an item / lot, the bidder who quotes the highest price first as per the server time is considered the H-1 Bidder for that lot / item. The sale proceeds submitted by the H1 bidder shall not be refunded in any case. Therefore it is in the interest of the bidder to uplift the material within the date given in the Authority Letter.

6. Synise Technologies Ltd. :

6.1. Synise Technologies Ltd. runs its business on the basis of a robust Web Site. However, Synise Technologies Ltd. is outsourcing server space from a third party hosting company and hence, shall ensure the smooth running in all good faith and intention. However, BPCL / Synise Technologies Ltd. will not be held responsible for any failure of power, network, server, hosting server, internet connectivity, ISP or otherwise at Bidder’s end or at BPCL / Synise Technologies Ltd. directly or indirectly effecting On-line method of Bidding.

6.2. Synise Technologies Ltd. takes no responsibility of the quality, quantity, documentation details of buyers / sellers. Both the buyers & sellers agree to defend indemnity and hold harmless, Synise Technologies Ltd. from any loss, damage, cost and expenses caused by any reason during this transaction. In no event shall Synise Technologies Ltd. be liable for any loss for the transactions by business, revenues, profit, costs direct and incidental, consequential or punitive damages of any claim. Both the parties agree to have discussed all the related matter regarding this transaction and have understood in full that Synise Technologies Ltd. has provided a source of supply and has nothing to do any further especially with regards to quality, warranty, guarantees, delivery schedules, payments, rejections, transportation, legal laws and regulations to be followed from time to time etc. Since Synise Technologies Ltd. does not possess knowledge base of the commodities under transaction; both the parties agree that the matter contained in the materials as a part or as a whole does not violate any applicable law. No complaint will be entertained after the lot is once knocked down. Synise Technologies Ltd is only an e-commerce service provider, and is not and cannot be a party to or control in any manner any transactions between the seller and the Bidder. Synise Technologies Ltd shall neither be responsible nor liable to mediate or resolve any disputes or disagreements between the Seller and Bidder.

6.3. The Seller / Bidder agrees to limit the liability of Synise Technologies Ltd. to them for any and all claims, losses, costs, damages of any nature whatsoever or claims expenses from any cause or causes, including attorneys’ fees and costs, so that the total aggregate liability of Synise Technologies Ltd . to the Seller / Bidder shall not exceed it’s total fee receivable from the Seller / Bidder. It is intended that this limitation applies to any and all liability or cause of action, however alleged or arising, unless otherwise prohibited by law.

6.4. In the event of any dispute with regard to non-lifting / non-availability of inspected materials etc. and forfeiture of ‘EMD’ by participant, Synise Technologies Ltd. will not be held responsible for the loss / forfeiture.

7. Auction Result :

7.1 Auction Result will be declared subject to confirmation from BPCL. The result will be declared within 30 working days approximate from the date of Auction. The H-1 Bidder for each lot have to submit confirmation of his bid as stated in Annexure-B, duly filled - in with his highest bid quoted immediately after the e-auction event is over by fax or by courier to Synise Technologies Ltd / BPCL, Mumbai Refinery within 24 Hrs. Delay in submission of Annexure-B by more than one week after the e- Auction is over will result in the EMD submitted by such Bidders getting forfeited and in addition, BPCL will put such Bidders on the holiday – list for a period of one year or for a period during which such Bidders will not be allowed to participate in 04 Nos. (four) Limited tenders plus 04 Nos. (four) e- Auctions of

8 BPCL – whichever is of longer duration. 7.2 The rate offered by the Bidder shall be considered as Basic Price per Unit of the items mentioned. All taxes, Duties, VAT, Additional Tax, TCS and Turn-over Tax or any other statutory levies or taxes as applicable under the relevant Sales Tax / Excise Act / IT Act or any other act shall be charged extra at the rate prevailing at the time of sale letter / delivery.

7.3. Bidders shall note that Taxes / Duties, TCS,etc. and any other Statutory Levies shall be as applicable at the time of Sale Order / upliftment ; decision in regard to applicability of VAT / CST / Excise / TCS rates etc. as decided by BPCL would be final and binding on the successful bidder and bidders can neither lodge any claim nor start a dispute on this issue.

7.4. In the event of any failure on the part of the successful Bidder to accept the rate of taxes / duties / TCS etc. as may be indicated by BPCL in the Sale Order , BPCL reserves the right to enforce forfeiture of EMD submitted by the successful Bidder and also reserves the right for cancellation of Sale Order and putting such Bidders on the holiday – list for a period of one year or for a period during which such Bidders will not be allowed to participate in 04 Nos. (four) Limited Tenders plus 04 Nos. (four) e-Auctions of BPCL – whichever is of longer duration. .

7.5. The start bid price & incremental price have been mentioned vide Table-A which shall be visible to all the bidders on their respective bidding screens for each Lot for which they are qualified to bid. Please note that the first bid that comes in the system should be equal to the start price + one increment or higher than the increment value for each Lot. The second online bid and subsequent Bids for any particular Lot will have to be higher than the H1 rate by the minimum incremental value, or higher than the incremental value.

Please note that the start bid price is the minimum basic price excluding all taxes etc and bidders have to put their bids above the start bid price indicated above. BPCL reserves the right not to sell at the highest offer received during the auction in case their expected reserve / target price is not achieved or for any other reasons.

7.6. Bidders to note that Start Bid Price provided by BPCL is only to proceed with start of e- auction. It is to be noted that Start Bid Price is not to be treated as the expected Sale Price. Customers who are interested in purchasing the material are requested to give their best price for the material even in the cases of those items for which there are no competitive bids. BPCL reserves its right to sell material only when sale price obtained is as per BPCL requirement.

8. Payment & Delivery :

8.1 Successful Bidder [H-1 Party] shall make payment of full Sale Order value [including Excise duty / Local Sales Tax / CST / VAT and TCS as applicable] in the form of Demand draft in favour of Bharat Petroleum Corporation Ltd., payable at Mumbai , as per payment schedule given below, from the date of Sale Order / intimation of bid acceptance and uplift the materials by making their own arrangements within the due date indicated in Sale Order issued by BPCL, failing which action as stated below shall be taken by BPCL without any recourse

A]. EMD submitted by such successful Bidders shall stand forfeited. B]. Sale Order issued shall be treated as cancelled and Seller shall have the right to dispose off the materials to any other party; no claim in this regard whatsoever from such successful Bidders shall be entertained. C]. BPCL will put such successful Bidders on holiday – list for a period of one year or for a period during which such successful Bidders will not be allowed to participate in 04 Nos. (four) Limited Tenders plus 04 Nos. (four) e- Auctions of BPCL – whichever is of longer duration.

9 PAYMENT SCHEDULE

8.1 D. FERROUS ITEMS: (item no.02, 04 ,08, 09)

The successful bidder shall up-lift the Ferrous Scrap of all kinds /Scrapped MS Tank plates and Cement Lined Pipes at the rate of 15 MT per day. For used Torsteel the upliftment shall be at the rate of 5 MT per day. Payments shall be in instalments and each instalment payment shall take care of 75 MT quantity or actual quantity whichever is lower. First installment within 5 working days from date of issue of sale order. It is the sole responsibility of the successful bidder to arrange for adequate no.of trucks or trailers as required to be able to up-lift ferrous scrap at the rate of 15 MT per day. Non-standard size of ferrous scrap shall not be accepted as an excuse for non-compliance with this requirement. Between any two successive instalment payments, the time allowed is 5 working days maximum. Sale order completion schedule shall be governed by these stipulations. Any delay in any instalment payment shall not affect the overall sale order completion schedule for acceptance.

For the following items, actual available quantity will be intimated to the successful bidder and the payment & upliftment schedule shall be indicated in the call off letter. Intimation for the balance quantity, if any, shall be sent as and when the material is available.

ALUMINIUM SCRAP (item no.1)/ FERROUS SCRAP OF ALL KINDS (item no.02) / ALU-BRAS TUBES (item no.3)/TORSTEEL (item no.04)/ DAMAGED VALVES (item no.6)/CU-NI TUBES (item no.7)/M.S. TANK PLATES (item no.08)/ MILD STEEL, CEMENT LINED PIPES (item no.09) :

8.1 E BALANCE ITEMS: 100% payment along with taxes and duties within 5 working days from the date of sale order and upliftment will be completed within 5 working days from the scheduled date of payment.

8.1 F REMOVAL & DISPOSAL OF BITUMENT COOLING UNIT (item no.13) : One installment for entire sale order value within 05 working days from the date of sale order and upliftment of the entire scrap lot shall commence from the date of clearance issued by the site in-charge and schedule given during site clearance.

NOTE: 1) EMD payment shall not be adjusted against the Sale Order value. EMD shall be returned after completion of the disposal activity.

2) If the successful bidder fails to effect the payment by the deadline indicated in sale order due to genuine reasons, extension of time shall be granted provided the successful bidder requests for the same in writing before the indicated time line and assures BPCL that all out efforts shall be put in for upliftment of the entire sale order quantity within the overall time schedule indicated in the sale order.

3) If the successful bidder/purchaser does not uplift the quantity indicated in the sale order, against installment or full lot, as the case may be, due to reasons not

10 attributable to BPCL, penalty charges at the rate of Rs.1000/- per day (working day) of delay shall be imposed on the purchaser.

4) Not withstanding the penalty clause, in the event of inordinate delay, BPCL shall, at its discretion, terminate the Sale Order and entire EMD submitted by the Purchaser shall stand forfeited.

9. Description of Materials and Quality and Quantity :

9.1 The materials shall be disposed off in “AS-IS-WHERE-IS” and “NO COMPLAINT” basis in single lot only. 9.2 Numbers, quantities and nature of material given in the catalogue are approximate / indicative only and the materials will be sold without any regard or consideration of these numbers or nature of materials and no Warranty or guarantee shall be implied. The Purchaser must lift the declared quantity within prescribed time indicated in the Sale Order. The sale / disposal offer may be withdrawn by the seller any time before issue of Sale Order and the decision of the seller in this regard is final and binding on all. 9.3 Each truck may be weighed, both before and after loading on weighbridge and weighment witnessed jointly by the authorized officers of BPCL and Purchasers representatives as required.

10 Removal of Materials :

10..1. The purchaser shall complete the transaction including collecting the scrap material before 3.00 p.m. on any working day with prior appointment with the concerned department within the stipulated delivery days. The items offered for sale will be handed over to the successful bidder by our representative at site on production of our Authority Letter which will be issued after the payments as per the Sale Order Terms & Conditions are effected by the successful Bidder.

10.2 The Seller reserves the right to unload the vehicles for inspection purpose. If it is suspected at any time that the purchaser has loaded the material / materials for which he is not purchaser or if the purchaser is found to carry excess material than that mentioned in the documents, the Co. will be within its right to detain the truck, unload the goods at the cost & expenses of the purchaser & terminate the contract forthwith and enforce the forfeiture of the Sale Order value & in addition, BPCL will not only claim such losses and damages as may be caused to the Seller and black-list , i.e, de-bar, such a purchaser on a permanent basis from participation in any of the future tenders of BPCL.

10.3 Any damage to the Seller’s or Third Party’s properties during removal of the items will have to be made good by the successful purchaser at their own cost. The Seller reserves the right to claim from the purchaser any expenses which might have been incurred by it over and above the EMD by way of restoring damages caused to properties belonging to the Seller / Third Parties by the action of such purchaser or their men. Until such losses are reimbursed, delivery of the material sold will not be given to the purchaser.

10.4 Loading / Unloading will be carried out by the purchaser at his own cost & risk. BPCL shall not cut over dimensioned pipes, i.e. pipes which are length exceeding 6.0 metre and over dimensioned vessels, etc. The purchaser only should make appropriate transportation arrangement such as Trailor, Truck, etc. as required and in addition arrange Hydra Crane, etc for upliftment of over dimensioned items. To sum up, all material handling machines / equipments such as Hydra Crane, Trailor, Truck, etc. including tools and tackles, labour, protective equipments etc. or any other items as may be required shall be mobilized by party for successful completion of the job and the cost of all this shall be borne by the purchasers

11 at their own cost; non-availability of the Hydra Crane, Trailor, Truck, etc. shall not be considered as a ground for ‘Late-Lifting’ of the materials.

10.5 Wherever ferrous scrap materials and Assorted Cables are available for disposal, the successful bidder should mobilize and uplift minimum 15 MT per day.

10.6 Scrap material shall be weighed as far as possible within BPCL premises in presence of the buyer and seller (BPCL representative) before clearance for dispatch. In case there are no facilities for weighing in sellers premises, the purchaser shall arrange for weighing in an approved weighing machine at his cost as directed and to be witnessed by the purchaser’s representative.

11. Decision in case of disputes :

11.1 In case of any dispute regarding the contract, the decision of the Seller shall be final and binding. If there is any dispute as to the last or highest bid or dispute in identifying the item belonging to particular lot, the dispute shall be determined by the Seller and their decision shall be final and binding to all.

11.2 Only the appropriate Court in Mumbai, Maharashtra will have Jurisdiction to deal with any disputes arising out of this contract.

In case, of any dispute arising out of or relating to the terms of this contract the matter shall be referred to one Arbitrator appointed by Seller. The arbitrator so appointed shall act in accordance with the provision of Arbitration & Conciliation Act, 1996 and the venue of arbitration shall be Seller’s Office or as suggested by the Seller.

12. Right of Acceptance / Rejection of offer :

12.1 The Seller reserves the right to withdraw wholly or partially any or all the items set for sale at any time during the period of contract without assigning any reasons.

12.2 The goods are sold subject to the reserve / expected price obtained by the Seller to their satisfaction. The Seller is not bound to accept the highest offer. The Seller reserves the right to reject any conditional offers.

13. Forfeiture of Earnest Money Deposit :

13.1 In case of failure of the Purchaser to comply with the conditions of the tender / contract, the Seller may at its discretion, terminate the contract and the EMD paid by the Purchaser will stand forfeited for the breach of contract by the purchaser. The lot in question will be re-sold by the Seller, without any reference to the purchaser, to any other buyer at the cost and risk of the defaulting purchaser. The deficit, if any, will be recovered from the defaulting Purchaser.

13.2 The lots paid for must be completely removed at the Purchaser’s expense within the schedule / period specified. If any lot is not removed within this specified period, the Seller may re-sell / re-auction the said lot or portion thereof at the purchaser’s risk and expense. In this event, the purchaser will be liable to compensate the Seller for all the damages and losses that the Seller may suffer on account of re-selling / re-auctioning the lot. This will be in addition to the forfeiture of the EMD in the event of the Purchaser not removing the lots within the specified time and in addition the seller shall have the discretion to holiday list such parties for five years.

12 14. Termination of Contract :

The Seller reserves the right to terminate the contract at any time by giving three days notice on the following ground.

14.1 Unsatisfactory execution or performance of the contract by the purchaser.

14.2 For improper behavior of the purchaser or breach of the terms and conditions of the contract.

14.3 Decision of the Seller to terminate the contract shall be final and binding and no claim for damages and compensation shall be entertained. In the event of the Purchaser or his agent or servant committing or attempting to commit theft, fraud, dishonesty or gross misbehaviour in connection with the subject matter of this contract or in any other connection whatsoever concerning the business of the Seller, the Seller will be entitled to terminate the contract forthwith and enforce the forfeiture of the EMD / Sale Order value paid by the Purchaser, at the Sellers’ sole discretion.

14.4 In case of any incomplete job, or only part job done before the scheduled time for completion, and if the delays are found to be attributable to the Purchaser’s failures, the Seller, i.e., if BPCL is not satisfied with the performance of the Purchaser, BPCL reserves the right to terminate the contract and award the job to any other Contractor at the cost and risk of the original Purchaser.

14.5 Wherever Sale Order is terminated by the Company on account of reasons not attributable to the Company (i.e. Owner BPCL) the concerned successful Bidder will be put on holiday list for a period of one year or for a period during which the concerned successful bidder will not be allowed to participate in 4 (four) limited tenders plus 4 (four) e-auction whichever is longer.

15. Passing of Property In the goods :

It is expressly made clear that the property in the goods whether sold by units, weights or lots, whether arranged or otherwise, will remain that of the Seller and will pass on to the purchaser only when material is taken out by the Purchaser from the factory Premises after getting valid dispatch documents.

16. General :

16.1 All Safety Regulations should be followed by the Purchaser and their men in removing the items. Also, the Purchaser and their manpower will be neither allowed to carry lighters nor allowed to smoke inside the Refinery premises ; they should obtain suitable Work Permits / Safety Certificates for excavation, hot work etc. from the authorities at Site. The work will be allowed to be carried out during working hours of the Warehouse / Refinery only. The work should be commenced only after obtaining necessary permission from the Corporation’s representative and the manpower employed to carry out the work should observe the Corporation’s rules and regulations at the location.

16.2 Any injuries to workers employed by the successful Bidder during removal / transportation of the items and any risk / liabilities (including those risks / liabilities under Workmen’s Compensation Act etc.) arising out of the same, will be the liability / responsibility of the Purchaser and not BPCL. The Purchaser should also indemnify the Corporation against all liabilities / demurrage claims arising out of non-compliance by the Purchaser of all statutory requirements currently in force or made applicable subsequently. The successful

13 Bidder will keep the Corporation indemnified against all damages / claims arising of the aforesaid.

16.3 All notices, letters sent to the purchaser shall be deemed to have been received by him / them on expiry of 48 hours from the time of posting if the same are sent at the address indicated by the Purchaser.

16.4 Resale will not be recognized and release order will be made out in the name of actual / successful Bidder only.

16.5 The purchaser shall not be entitled to resell any lot or part of a lot while the goods are still lying within the premises of the Company and no delivery would be effected by the Company to any person other than the Purchaser whose names are mentioned in the delivery order.

16.6 The successful Bidder shall also be liable for any pecuniary liability arising on account of any violation by them in the matter of safety requirements of the Refinery ; should any injury to people or loss or damage due to fire / or accident to any property or a portion thereof occur as a result of failure to comply with such regulations, the successful Bidder shall be held responsible for the consequences thereof and shall keep the company / seller harmless and indemnified .

16.7. The terms and conditions of tender for disposal of scrap material as per Annexure –1 & 2 shall be applicable.

16.8 Any change in Conditions of this Tender / Sale or Additional Conditions of Tender / Sale, if any, will be announced in SyniseTechnologies Ltd. web site / BPCL web site and the Bidders are advised to update themselves in this regard through these web-site only since there will not be any communication in this regard to any of the Bidders.

16.9 The decision of the seller is final and binding on all matters related to this sale.

17. The Validity period of the offer should be 90 days from the date of e-auction.

18. Bidders may please note that:

(a) Item once sold can not be taken back or exchanged.. Should any successful tenderer withdraw their bid either prior to our issue of acceptance letter or afterwards, the Seller will be at liberty to resell the items to any person / agency of their choice at the risk and cost of the original successful tenderer. If such re- sale proceeds is more than the earlier de-faulting successful tenderer’s offer, they will not be entitled for any increased proceeds realized by the Corporation. However, if the re-sale proceeds are less than the proceeds of the earlier defaulting successful bidder, the seller reserves the right to recover the difference in re-sale realization from the defaulting / earlier successful bidder.

(b) Resale, transfer or assigning the unremoved / undismantled materials to any other party will not be allowed until the disposal - materials are removed from our premises.

(c) Any damage to the Corporation’s / Railway’s or Third Party’s properties during removal of the items will have to be made good by the successful tenderer at their own cost. The Corporation reserves the right to claim from the tenderer any expenses which might have been incurred by the corporation, by way of restoring damages caused to properties belonging to the Corporation/ Railways/Third Parties by the action of such tenderer or their men ; this shall be over and above the forfeiture of the EMD submitted by the successful

14 Bidder.

1. The Corporation reserves the right to accept or reject any tender in part or completely to suit their convenience without assigning any reasons whatsoever.

19 Annexure – C : Bidding procedure and Auction guidelines

A. Steps for Actual Bidding Procedure :

1 Go to www.indiaengineering.com/multibid 2. Enter “Login ID“ and “Password”. 3. When a bidder logs in for the first time for the particular auction, bidder has to accept to the Terms & Conditions. (After accepting to the terms & conditions of the company only you can be able to bid) 4. After accepting to the terms you will be taken to the auction-listing page where you will be able to see all the details about the auctions. 5. Click on Auction ID on this page. This will take you to the Bidding Page. 6. Now Start Bidding. You can either Bid Manually OR can use Auto-Bid. (In Auto bid, the computer will bid on your behalf upto that value you given). 7. In the Manual Bid option, you can put your bid in the text box available for each ITEM and submit it every time. A bid confirmation pop up box will appear to confirming whether you want to go ahead with the bid posted or not. If you confirm the bid, your bid will be posted. If your bid is accepted, that will be displayed in “My Last Accepted Rate” column on your right side screen. Also the highest bid amount will be displayed in “H1 Rate” column. B. E-Auction Guidelines

BPCL Mumbai Refinery shall finalise the disposal of the items (Lots) against this Tender through e-auction mode. BPCL Mumbai Refinery has made arrangement with M/s. Synise Technologies Limited,, (ETL), who shall be BPCL’s authorized service provider for the same. Please go through the guidelines given below and submit your acceptance to the same.

1. E-Auction shall be conducted by BPCL, on pre-specified date and time, which the Bidders shall be quoting from their own offices / place of their choice. Internet connectivity shall have to be ensured by the Bidders themselves. In the extreme case of failure of Internet connectivity, (due to any reason whatsoever may be) it is the bidders’ responsibility / decision to send fax communication immediately to M/s. Synise Technologies Limited, Pune furnishing the price the bidder wants to bid online with a request to upload the faxed price on line so that STL will upload that price on line on behalf of the Bidder. It shall be noted clearly that the concerned Bidder communicating this price to STL has to solely 20 ensure that the fax message is received by STL in a readable / legible form and also the bidder should simultaneously check with STL about the clear receipt of the price faxed. It shall also be clearly understood that the Bidder shall be at liberty to send such fax communications of prices to be up loaded by STL only within the closure of Bid time for that particular Lot and under no circumstances, it shall be allowed beyond the closure of Bid time for that particular Lot. It shall also be noted that STL should be given a reasonable required time by the Bidders, to upload such prices online and if such required time is not available at the disposal of STL at the time of receipt of the fax message from the bidders, STL will not be uploading the prices and either BPCL or STL are not responsible for this unforeseen circumstances. In order to ward-off such contingent situation bidders are requested to make all the necessary arrangements / alternatives whatever required so that they are able to circumvent such situation and still be able to participate in the e-auction successfully. Failure of power at the premises of Bidders during the e-auction cannot be the cause for not participating in the e-auction. On account of this, the time for the e-auction cannot be extended and neither BPCL nor STL is responsible for such eventualities.

2. M/s. Synise Technologies Limited shall arrange to train your nominated person (s), without any cost to you after the submission of the required documents & the EMD amount.

3. Starting Bid / Bid Increment: The opening price and the bid increment value for the respective Lot has been mentioned vide Annexure A Table-1. BPCL reserves the right to revise the start bid price at the time of auction.

4. BIDDING CURRENCY AND UNIT OF MEASUREMENT: Bidding and evaluation will be conducted in Indian Rupees (INR) of the item / Lot. The price bid placed during the “e-Auction” shall be “Rate per Unit” against each Lot.

5. At the end of the e-auction, bidder has to provide the Price Confirmation for his valid highest offer submitted in the e-Auction, as per BPCL’s format, immediately after the completion of the e-Auction. 6. Procedure of e-Auction:

i. The start bid price & increment price have been mentioned vide Annexure A Table-1 which shall be visible to all the bidders on their respective bidding screen for each Lot for which they are qualified to bid. Please note that the first bid that comes in the system should be equal to the start price + one increment or higher than the increment value for each Lot. The second online bid and onwards for any particular Lot will have to be higher than the H1 rate by the minimum increment value, or higher than the increment value.

ii. E-Auction shall be for a period as mentioned in the tender document for all the items / Lots in this e-auction. If a bidder places a bid in the last 5 minutes of closing of the e-Auction and if that bid gets accepted, then the duration for that particular Lot shall get extended automatically for another 5 minutes, from the time that bid comes in. Please note that the auto- extension will take place only if a bid comes in those last 5 minutes and if that bid gets accepted. If the bid does not get accepted, the auto-extension will not take place even if that bid might have come in the last 5 minutes. In case, there is no bid in the last 5 minutes of closing of any particular Lot, the time shall get closed automatically without any extension for that particular Lot. However, bidders are advised not to wait till the last minute or last few seconds to enter their bid during the auto-extension period to avoid complications related with internet connectivity, network problems, system crash down, power failure, etc.

21 iii. Auto Bidding: Auto Bidding feature is a feature to safe guard the bidder’s interest of any Internet failure or to avoid last minute rush. This feature allows Bidders to place an automated bid against other Bidders in an auction for each Lot and bid without having to enter a new amount each time a competing Bidder submits a new offer for any particular Lot.

The bid amount that a Bidder enters is the maximum at that point of time that the Bidder is willing to offer for a particular Lot. Here the software bids on behalf of the supplier.

 The auto-bid amount is the maximum amount that the Bidder is willing to offer. During the course of bidding, the Bidder cannot delete or change the amount of an Auto Bid.  Bids are submitted in increments (increasing bid amounts). The application automates auto bidding by processing auto bids automatically, according to the increment that BPCL originally established when creating the auction, submitting offers to the next bid increment each time a competing Bidder bids, regardless if competing bids are submitted as auto or manual bids.

7. Successful bidder shall be required to submit the final prices, quoted during the e-Auction in the Format provided to you after the completion of Auction to STL, duly signed and stamped as token of acceptance without any new condition other than those already agreed to before start of auction immediately after the completion of the e-Auction.

8. Your bid will be taken as an offer to collect the items mentioned in that particular Lot. Bids once made by you, cannot be cancelled / withdrawn and you shall be bound to collect the item as mentioned above at your final bid price. Should you back out and not agree as per the final rates quoted, BPCL shall take action as appropriate, including forfeiture of EMD.

9. After the receipt of the EMD and other required documents, the bidder shall be assigned a Unique User Name & Password by Synise Technologies Limited. The bidders are advised to change the Password and edit the information in the Registration Page after the receipt of initial Password from Synise Technologies Limited to ensure confidentiality. All bids made from the Login ID given to them will be deemed to have been made by their company.

10. The bidders will be able to view the following on their screen along with the necessary fields in the e-Auction: a. Highest Bid (H1 unit Rate) in the Auction for the Lots for which they are qualified to bid b. Bid Placed by them (Unit Rate) c. Their Own Rank (H1, H2, H3…. etc. where H1 would be the highest bidder, H2 would be the second highest bidder and so on….) d. Opening unit Price & Bid Increment value for each Lot.

11. At the end of the e-Auction, BPCL will decide upon the winner. BPCL’s decision on award of Contract shall be final and binding on all the Bidders.

12. BPCL shall be at liberty to cancel the e-auction process at any time, before disposing, without assigning any reason.

13. BPCL / STL shall not have any liability to bidders for any interruption or delay in access to the site irrespective of the cause. 22 14. Other Terms & Conditions:

- The Bidder shall not involve himself or any of his representatives in Price manipulation of any kind directly or indirectly by communicating with other bidders.

- The Bidder shall not divulge either his Bids or any other exclusive details of BPCL to any other party.

- BPCL’s decision on award of Contract shall be final and binding on all the Bidders.

- BPCL along with STL can decide to extend, reschedule or cancel any Auction. Any changes made by BPCL and / or STL, after the first posting will have to be accepted if the Bidder continues to access the site after that time.

- STL shall not have any liability to Bidders for any interruption or delay in access to the site irrespective of the cause.

- STL is not responsible for any damages, including damages that result from, but are not limited to negligence.

- STL will not be held responsible for consequential damages, including but not limited to systems problems, inability to use the system, loss of electronic information etc.

ARBITRATION CLAUSE:

“Any dispute or difference of any nature whatsoever, any claim, cross-claim, counter-claim or set off of Owner / Vendor against omission or account of any of the parties hereto arising out of or in related to this Contract shall be referred to the Sole Arbitration of Executive Director (Mumbai Refinery) of BPCL or to some officer of BPCL who may be nominated by the Executive Director (Mumbai Refinery).

In the event the Arbitrator being unable or refusing to act for any reason whatsoever, the Executive Director (Mumbai Refinery) of BPCL shall designate another person to act as an Arbitrator in accordance with the terms of the said Agreement. The Arbitrator newly appointed shall be entitled to proceed with the reference from the point at which it was left by his predecessor.

It is known to the parties herein that the Arbitrator appointed hereunder is an employee of the Corporation and may be Share holder of the Corporation.

The award of the Arbitrator so appointed shall be final, conclusive and binding on all the parties to the contract and the law applicable to arbitration proceedings will be the Arbitration and Conciliation Act, 1996 or any other enactment in replacement thereof.

The language of the proceedings will be English and the place of proceedings will be Mumbai

The parties hereby agree that the Courts in the city of Mumbai alone shall have jurisdiction to entertain any application or other proceedings in respect of anything arising under this Agreement and any Award or Awards made by the Sole Arbitrator hereunder shall be filed, if required, in the concerned Courts in the City of Mumbai alone.”

Successful Bidder’s Scope of site work: 1. Remove all gratings and platforms, side railings, diverters, guide post including associated steel and civil structure intended as in the scope.

28 2. Remove all electrical cables, junction boxes, light fittings and switches.

3. Successful Bidder Vendor shall arrange for all such empty drums for transportation of sludge to weathering pit.

4. Remove all associated pipe lines of the equipment to be removed within Bitumen cooling unit facility.

5. Successful Bidder to break all associated civil and structure foundation of every disposed equipment of the bitumen cooling unit. Vendor to dismantle associated steel structural columns, beams and bracing etc for disposal without any damage to structure of equipment outside of the scope.

6. Successful Bidder shall remove all stairs and make it ready for disposal

7. Successful Bidder shall arrange cutting of pipes, structural beams using cold and gas cutting into transportable sizes. Before cutting pipes, vendor to ensure that there is no bitumen inside and get it certified by site coordinator.

8. Successful Bidder to clear all civil debris, broken asbestos sheets, insulation material, aluminum cladding sheets and waste material generated through dismantling of civil foundation shall be collected by vendor and disposed off outside the refinery as per environment norms guided by MPCB (a state govt. authority).

9. Successful Bidder shall barricade the area of work as shown by BPCL before the start of work. Barricading of the site shall be as per site coordinator instructions. Vendor has to erect tin sheets up to approx 6 mtrs height with proper structural arrangement for barricading the area so that it will not fall down. Barricading the area of work all-round up to 6 mtrs height at his own cost. In addition to safety, dust & noise control plan to be indicated & followed at site. For more details refer Safety regulations given below.

10.Successful Bidder shall uplift, load and transport very safely all the removed equipments and material etc. on trailer / truck using own lifting / handling arrangement (manual and mechanized), tools and tackles.

11.All lifting equipments, tools and tackles shall have valid load test certificates.

12.Successful Bidder to depute site supervisor and coordinator with sufficient no. of workmen and lifting equipment in good mechanical condition. All persons to be deployed at site for work to have undergone safety training, which is mandatory for every person entering inside refinery to execute any work.

13.Successful Bidder to ensure that routine/non routine operation of neighboring units doesn’t get affected during execution.

29 14.Successful Bidder to appoint an independent safety observer at site during execution who will be keeping records of all tools/tackles, lifting tools, cranes, manpower etc and will be responsible for conducting safety talks on regular basis with contractor workmen. Safety observer will liaison and report directly with safety section of BPCL.

15.The scope of the Successful Bidder includes removal/dismantling of buildings including reinforced concrete, plain concrete, brick work , cement plaster, flooring including all fitted items electrical fittings/ fixtures fixed on ceiling , walls and floors, plumbing fittings all complete; also, the scope includes removal/dismantling of all underground items associated with building / structure listed above within plinth area like foundations in all respects up to sub grade ,underground cable trenches & cables , underground pipe trenches , drains & pipes etc. All debris generated due to dismantling shall be disposed out of refinery by the successful Bidder without any liability, complaint from local/municipal/ taxation authorities / other statutory authorities. The cost of disposal of debris out of refinery shall be to the successful Bidder’s account.

16.The term removal / dismantling implies carefully removing without damage below or above ground to the adjacent property.

17.Use of explosives for removal / dismantling is not permitted.

18.Removal / Disposal of all serviceable scrap namely steel embedded in concrete, cables, Electrical appliances & Fixtures, plumbing fittings and Fixtures fixed on ceiling , walls and floors, etc generated due to dismantling keeping BPCL indemnified of any liability / complaint from local/municipal/taxation other statutory authorities. Value realization for serviceable scrap shall be considered by the contractor while quoting for the work.

19.The successful Bidder shall, without prejudice to the responsibilities to execute and complete the work as per the specifications and time schedule, progressively deploy demolition equipment as per BPCL safety standards, tools and tackles and further augment the same depending on the exigencies of work and as directed by the Engineer in charge so as to suit the removal / dismantling schedule within scheduled completion date.

20.Electrical fittings will be removed carefully after isolation of facilities and getting clearance for removal / dismantling from BPCL. The isolation of facilities like water, powers shall be arranged by BPCL.

21.The financial implication of above, if any, should be taken care in the quoted rate and no separate claim shall be entertained on this account.

22.The scope includes demolition of structures in superstructure/ substructure, underground facilities and leveling & the site to original conditions. The 30 contractor shall also take out all the materials from demolition outside the Refinery premises.

23.Contractor shall mark location for machinery including truck/dumper/JCB/Crane/hydra/trailer etc during working/non-working condition on the drawing indicating work site.

24.The successful Bidder shall, at his own cost, provide watchman during day and night shift for security of his material / machinery.

25.The successful Bidder shall submit a details mobilization plan, removal/dismantling plan, removal and transportation, etc action plan before start of work. The successful Bidder shall submit to BPCL list of all type of fittings, fixtures, fitted in the buildings which are to be removed / dismantled & removed before starting the removal / dismantling of the structures / the building.

26.The successful Bidder shall, without prejudice to the responsibilities to execute and complete the work as per the specifications and time schedule, progressively deploy construction equipment, tools and tackles and further augment the same depending on the exigencies of work and as directed by the Engineer in charge so as to complete the work within scheduled completion date without any additional cost to the Owner.

BPCL SCOPE: 1. All electrical equipments and panels shall be positively isolated from power source.

2. All piping’s, tanks will be made empty/ drained off.

SAFETY REGULATIONS:

1 GENERAL: The successful Bidder shall adhere to safe demolition practice and guard against hazardous and unsafe working conditions and shall comply with Employer’s safety rules as set forth herein.

2 SAFETY REGULATIONS: In respect of all labor, directly or indirectly employed in the work for the performance of Contractor’s part of this agreement, the successful Bidder shall, at his own expense, arrange for all the safety provisions as per safety codes of Indian Standards Institution, statutory requirements of Factory Building Act and all other statutory requirements, Regulations, Rules, and orders made there under and such other acts as applicable. Special attention shall be given to the various provisions of safety codes of Factories Act, 1948 & statutory amendments or modifications enforced time to time.

The successful Bidder shall observe and abide by all safety, fire safety regulations adopted by the Employers. Before starting demolition work, The

31 successful Bidder shall consult Employers safety Security officer and must make good to the satisfaction of the Employer any loss or damage due to fire to any portion of the work done or to be done under this contract or to any of the Employer’s existing property.

The successful Bidder shall organize his operations in a workmanlike manner and take all necessary precautions to provide safety and prevent accidents on the site to both person and property. The Consultant shall have the power to require the successful Bidder to adopt from time to time such measures as he may consider necessary to ensure the above requirement. 3. Safety Regulations: (i) All personnel of the successful Bidder working within the plant site shall be provided with safety helmets, safety shoes, goggles, gloves and Safety Harness for working at height. All welders shall wear welding goggles while doing welding work and all metal workers shall be provided with safety gloves. Persons employed on metal cutting and grinding shall wear safety glasses. (ii) Adequate precautions shall be taken to prevent from electrical equipment. No materials on any of the sites of work shall be so stacked or placed as to cause danger or inconvenience to any person or the public. (iii) The successful Bidder shall maintain first aid facilities for his employees and those of his specialized agencies. (iv) All critical, industrial, reportable and fatal injuries shall be reported promptly to Employers first and then to Factory Building inspector’s office and police department and a copy of The successful Bidder’s report covering each personal injury requiring the attention of a physician shall be furnished to the Employers. The successful Bidder shall take all necessary action vis-a-vis the compliance of statutory requirements of said authorities. Contractors shall settle all such incidences and keep the Employer indemnified against complications arising out of the same.

4 THE SUCCESSFUL BIDDER’S BARRICADES:

I. The successful Bidder shall erect and maintain at his own cost barricades required in connection with his operation to guard or protect the entire working area including storage and site offices etc.

II. Barricades and hazardous areas adjacent to but not located in normal routes of travel shall be marked by red flasher lanterns at night without any extra cost.

III Complete Demolition site shall be barricaded by The successful Bidder without any extra cost. Temporary barricading shall be done for minimum 6.0 mt height using Colour coated GI sheets with proper supporting system made of structural steel and shall have wicket gate and material gate. Security shall be provided to all gates to control the entries without any extra cost.

IV. The successful Bidder has to provide sign board at site with detailed name of project, name of client and name of consultant with name of contractor at the entrance of the site and shall be clearly visible without any extra cost.

V. The successful Bidder shall also comply with the provisions of Environment 32 Protection Act with regard to air, water & noise pollution.

VI. The successful Bidder shall provide suitable safety net to prevent damage to man / material at site without any extra cost.

VII. The successful Bidder’s employees and those of his agencies shall become acquainted with Employer’s barricading practice and shall respect the provisions thereof.

VIII. The successful Bidder shall make proper arrangement for barricading and curtaining off all the existing parts of the factory using Colour coated GI sheets with proper supporting system made of structural steel as directed by the engineer in charge.

5 SCAFFOLDING: ALL SCAFFOLDS ARE STEEL DOUBLE LEG WITH HORIZONTAL MEMBERS AT EVERY THREE FEET AND PROPERLY TIED LATERALLY WITHOUT MAKING HOLES IN THE MASONRY. NO EXTRA PAYMENTS SHALL BE ENTERTAINED TOWARDS THIS AND CONTRACTOR’S RATES SHALL BE INCLUSIVE WITH THESE CONDITIONS.

i) Suitable scaffoldings shall be provided for workmen for all works that cannot safely be done from the ground or from solid demolition except such short period works as can be done safely from ladders. When a ladder is used a Mazdoor shall be engaged for holding the ladder and if the ladder is used for carrying materials as well suitable foot-holds and handholds shall be provided on the ladder and the ladder shall be given an inclination not steeper than 1 in 4 (1 horizontal and 4 vertical) ii) Scaffolding or staging more than 4 meters above the ground or floors swing or suspended from an overhead support or erected with stationary support shall have a guard rail properly attached, bolted, braced and otherwise retarded at least one meter high above the floor or platform of such scaffolding or staging and extending along with entire length of the outside the ends thereof with only such openings as may be necessary for the delivery of materials. Such scaffolding or staging shall be so fastened as to prevent it from swaying from the building or structure. Only steel scaffolding with ‘H’ frames and double support, properly braced shall be allowed to be used. iii) Working platform, gangways and stairways shall be so constructed that they should not sag unduly or unequally and if the height of the platform of gangway or the stairway is more than 4 meters above ground level or floor level, they should be closely boarded, should have adequate width and should be suitable fastened as described in (ii) above. iv) Safe means of access shall be provided to all working platforms and other working places. Every ladder shall be securely fixed. No portable single ladder shall be over 9 meters in length. The width between the side rails in run ladder shall in no case be less than 30 cm for ladder up to and including 3 meters in increased at least 15 mm for each additional meter of length. Uniform step spacing shall not exceed

33 30cms. Adequate precautions shall be so stacked or placed as to cause danger or inconvenience to any person or public. The Contractor shall also provide all necessary fencing and lights to protect the workers and staff from accidents, and shall be bound to bear the expenses of defense of every suit action or other proceedings of law that may be brought by any person for injury sustained owing to neglect of the above precautions and to pay any damages and cost which may be awarded in any such suit or action or proceedings to any such person or which may with the consent of the Contractor be compromise any claim by any such person. v) The successful Bidder shall give all technical details about scaffolding systems before erecting the same and only after obtaining specific sanction from Client/consultants shall erect the same. In any case all the responsibility of safety aspect shall be borne by Contractors only. vi) The successful Bidder should provide aluminum staircase for easy access to the scaffolding and other inspection areas free of cost.

6. SPECIAL NOTE :

1. The successful Bidder shall park their trucks, trailers, crane, hydra on the outer roads of the plant in such a manner that movement of other refinery service vehicle / Fire tenders is not restricted.

2. The successful Bidder will not be permitted for any materials segregation inside the plant, or any part of refinery.

3. The successful Bidder shall lift the material on “as is where is” basis.

4. All temporary structures erected by the successful Bidder can be removed only after complete earth surface leveling of the area. Vendor to clear the site after completion of job.

7 GENERAL SAFETY:

i) Before any demolition work is commenced and also during the process of the demolition work, all roads and open areas adjacent to the work site shall either be closed or suitably protected. No electric cable or apparatus, which is liable to be a source of danger, shall remain electrically charged. All practical steps shall be taken to prevent danger to persons employed from risk of fire or explosion or flooding. No floor, roof or other part of the building shall be so overloaded with debris or materials as to render it unsafe. Suitable screens, curtains (plastic mesh hassion) shall be provided. The same shall be maintained in good condition at all the times.

34 ii) All necessary personal safety equipments as considered adequate by BPCL shall be kept available for the use of the persons employed at the site and maintained in condition suitable for immediate use, and the Contractor shall take adequate steps to ensure proper use of equipment by persons concerned as outlined below:

Those engaged in welding and cutting works shall be provided and protective face and eye-shields, hand gloves etc. RCC breakers shall be provided with protective goggle and protective clothing and seated as sufficiently safe intervals. iii) Use of hoisting machines and tackles including their attachments, anchorage and supports shall confirm to the following standard or conditions: -

These shall be of good mechanical demolition, should materials and adequate strength and free from patent defects and shall be kept in good working order.

Every rope used in hoisting or lowering materials or as means of suspension shall be of durable quality and adequate strength and free from patent defects.

Every crane driver or hoisting appliance operator shall be properly qualified and no person under the age of 21 years should be in charge of any hoisting machine including any scaffolding winch or give signals to the operator.

In case of every hoisting machine and of every chain ring hook, shackle swivel and pulley block used in hoisting or lowering or as means of suspension, the safe working load shall be ascertained by adequate means. Every hoisting machine and all gear referred to above shall be marked with the safe working load and the conditions under which it is applicable shall be clearly indicated. No part of any machine or any gear referred to above in this paragraph shall be loaded beyond the safe working load except for the purpose of testing.

In case of departmental machine, the safe working load shall be notified by BPCL. As regards The successful Bidder’s Machine, the Contractor shall notify the safe working load of the machine to BPCL whenever he brings any machinery to site of work. iv) Motors, gears, transmission lines, electric wiring and other dangerous parts of hoisting appliances shall be provided with efficient safeguards. Hoisting appliances shall be provided with such means as to reduce to the minimum the accidental descent of the load, adequate precautions should be taken to reduce the minimum the risk of any part or parts of a suspended load becoming accidentally displaced. When workers are employed on electrical installations, which are already energized, insulting mats, wearing appeal such as gloves sleeves and boots as may be necessary shall be

35 provided. The workers shall not wear any rings, watches and carry keys or other materials, which are good conductors of electricity.

vi) All scaffoldings, ladders and other safety devices mentioned or described herein shall be maintained in safe conditions and no scaffoldings, ladder or equipment shall be altered or removed while it is in use. The successful Bidder shall indemnify the Employer against any damages whatsoever arising due to injury sustained by any person because of no provision of adequate barricades/fencing and lighting arrangements.

vii) These safety provisions shall be brought to the notice of all concerned by displaying on a notice board at a prominent place at the work spot. The person responsible for compliance of the safety code shall be named therein by the successful Bidder.

viii) All safety measures for demolition activities shall be as per BIS, unless and otherwise as stated.

ix) Also ensure effective enforcement of the rules and regulations relating to safety precautions, the arrangements made by the Contractor shall be opened to inspection by the welfare officer of the company or their representatives.

8 CARE IN HANDLING INFLAMMABLE GAS:

The successful Bidder has to ensure all precautionary measures and exercise utmost care in handling the inflammable gas cylinders / inflammable liquids etc, as required under the laws and/or as advised by the security officer of the Employers.

9 TEMPORARY COMBUSTIBLE STRUCTURES: Temporary combustible structures will not be built near or around work site.

10 PRECAUTIONS AGAINST FIRE: The successful Bidder will have to provide adequate Fire Extinguishers / Fire Buckets and drums at work site as recommended by Client/client/consultants representative. They will have to ensure all precautionary measures and exercise utmost care in handling the inflammable gas cylinders/inflammable liquid etc. as advised by BPCL.

GENERAL TERMS AND CONDITION : 1. The successful Bidder shall arrange entry passes for their laborers and other staff require for dismantling and transportation of materials and equipment.

2. The successful Bidder shall arrange for all necessary tools and lifting tackles , gas cutting set including cylinder, hydra, crane/ forklifts etc for dismantling and loading of disposed equipment 36 3. The successful Bidder s responsible to check the quality and internal parts of equipments and satisfy themselves before uplifting. BPCL will not be responsible for any shortage or missing internal parts of the equipments.

4. The successful Bidder shall carry out dismantling jobs only in day light. No permission will be given to work beyond day hours. (day hours are defined as from 0800 hrs-1800 hrs)

5. The successful Bidder shall complete entire removal and collection of disposed off equipment in 45 days time from the date of LOI or instruction of site in charge.

6. The successful Bidder shall abide by general terms and condition and special safety conditions.

7. The successful Bidder shall note that all removal and handling activities (cold or hot work or working at height) shall be allowed only against work permits and as per system prevailing in refinery and issued by concerned plant in charge.

8. The successful Bidder has to ensure that permit conditions are strictly followed by all working people at site.

9. Vehicles brought to the plants for transportation of dismantled item shall be good mechanical condition, equipped with spark arrestor, driven on specified speed limit and should follow particular route only.

10.BPCL in any case will not be responsible for any mishaps/incidents happening outside refinery premises while transporting the material from site.

11.Loading of all types of materials and civil debris into transport vehicle will be witnessed by security (CISF personal) and will be allowed to go out only against authorized gate pass.

12.Smoking within the Work Area, is strictly prohibited Violators of the “No Smoking” rules shall be discharged immediately

13.In case of any doubt or clarification vendor shall approach plant in-charge (Mr. PT Nandanwar / NG Mantri).
