Dear NAME OF ACTOR:

This will confirm the agreement (“Agreement”) between NAME OF ACTOR (“Artist”), a citizen of the United States and NAME OF PRODUCTION COMPANY (“Producer”) in the motion picture now entitled “TITLE OF PRODUCTION” (the “Picture”).

1. Conditions Precedent. All of Producer’s obligations hereunder are expressly conditioned upon:

1.1 Artist providing Producer with all documents which may be required by any governmental agency or otherwise for Artist to render services hereunder, including without limitation, a valid United States passport (if applicable), an INS form I-9 completed to Producer’s satisfaction, together with Artist’s submission of original documents establishing Artist’s employment eligibility.

2. Compensation. 2.1 Guaranteed Compensation. Provided Artist is not in material breach or default hereunder and subject to Producer’s receipt of this agreement fully executed by Artist, Artist shall be paid AMOUNT IN WORDS ($) per work day (“Guaranteed Compensation”), payable in equal weekly installments on Producer’s regular payday one week in arrears over the period of Artist’s initially scheduled services in principal photography of the Picture. The Guaranteed Compensation buys out all overtime, holidays and other like terms. 2.2 Reuse. Producer shall have the unlimited right in perpetuity to exploit the Picture theatrically, on television, the Internet, home video and the ancillary rights therein in any and all media whether now known or hereafter discovered throughout the universe, and in the event Producer exercises any such rights, and unless provided for in this Agreement, Artist shall receive no additional compensation. 2.3 Non-SAG. The Artist acknowledges that the Producer is not a SAG signatory and that the Picture is not being produced under SAG or any other guild or collective bargaining jurisdiction.

3. Services/Location. 3.1 Start Date. Artist’s services in connection with principal photography will commence on or about DATE OF START OF PRINCIPLE PHOTOGRAPHY (start date) (i.e., one (1) week either side).

3.2 Services. The Guaranteed Compensation will cover NUMBER OF DAYS IN WORDS (#) free prep days for wardrobe, rehearsal and makeup (which days may be nonconsecutive), NUMBER OF WEEKS IN WORDS (#) consecutive weeks of principal photography; all holiday days (if applicable); NUMBER OF DAYSIN WORDS (#) free travel days and NUMBER OF DAYS IN WORDS (#) free post days for reshoots, added scenes, looping and dubbing (which may be consecutive or nonconsecutive such days subject to Artist’s professional availability). Subject to paragraph 6 below, Artist shall be available, subject to Artist’s professional availability, upon Producer’s request for publicity and promotional activities. 3.3 Location of Principal Photography Services. 4. Credit 4.1 Credit. Artist will receive credit on screen, on a separate card, in the main titles, below the title of the Picture, in the POSITION position among all principal actors, equal in size and style to all other principal cast members.

5. Prerequisites. 5.1 Dressing Facility. During Artist’s principal photography services, Producer shall provide Artist with dressing facilities.

6. Additional Terms 6.1 Promotion and Publicity Services. Subject to Artist’s professional availability, Artist will be available for interviews and other customary events to help promote the Picture. If Artist is requested to travel for such purpose, Artist will then be advanced or reimbursed for travel and expenses for Artist. 6.2 Stills/Likeness Approval. Artist shall approve (not to be unreasonably withheld or delayed) not less than PERCENTAGE IN WORDS (%) of all submitted publicity stills for the Picture in which Artist appears alone and PERCENTAGE IN WORDS (%) for group stills, with such stills to be provided in groups. Artist will be requested to provide Artist’s disapproval within three (3) business days after delivery to Artist or Artist’s representative (unless Artist is advised that marketing exigencies require a sooner response), or approval will be deemed given. 6.3 DVD. Artist shall be furnished (free of charge) with one DVD promptly following commercial availability, for Artist’s private noncommercial use. 6.4 Merchandising. Producer shall be entitled to use Artist’s name, voice, likeness and other personal attributes in merchandising or commercial tie-ups based on Artist’s role or character. Notwithstanding the foregoing, there shall be no merchandising or commercial tie-ins associated with alcohol, tobacco, weapons or hygiene products. 6.5 Notices and Payments. All notices and payments to Artist hereunder shall be made and paid in care of Artist at the address set forth above and Artist hereby authorizes Producer to make all such payments in the above-described manner. All notices to Producer hereunder shall be sent to NAME OF PRODUCTION COMPANY, MAILING ADDRESS.

7. Balance of Terms and Conditions. The balance of this agreement shall be Producer’s Terms of Personal Services Engagement-Actor (“TOPSE-A”), a copy of which is attached. Unless and until the parties hereto enter into a more formal agreement, this letter, together with TOPSE-A shall constitute a binding agreement between the parties, shall supersede any prior or contemporaneous agreements and may not be waived or amended, except by a written instrument signed by the parties hereto. Artist further acknowledges and certifies that no representation or promise not expressly contained in this agreement has been made by Producer or any of its agents, employees or representatives.

If the foregoing does not accurately reflect your agreement, please contact me immediately. Otherwise, please arrange to sign four (4) copies of this agreement and return them to me.
