19.Terms and conditions of MCS Web-Based Training:

I. Scope of Service A. Products/Services Provided - MCS will provide to Client a license to use WebInservice® KDS® (Knowledge Deployment System) training content from the WebInservice Content Library. The Content is delivered in convenient 15 minute Lessons. Each Lesson has a Pre-test, Lesson Content and a Post- test that is developed directly by WebInservice. The Learner's scores and progress are recorded for presentation via on-screen or printed reports. WebInservice KDS (herein referenced as "KDS") includes database management and concurrent use capacity on the web site (herein referenced as "Site" or "Web Site") provided by MC Strategies, Inc. This License is to use MCS products, services and content only for training of personnel employed by Client).

B. Web Hosting - MCS will maintain a secure access-controlled Web Site that is used by the client for learning and learner management. The Site is also used for secure transport and storage of data we receive from Client, and may be partitioned to host additional static content as desired. MCS will configure the learning system, including all licensed standard content, and have the Web Site operational within three business days of a valid purchase order. MCS support staff will perform setup, provide implementation training and support, update the content, and manage the KDS maintenance and database backups. MCS will update the Licensed Content promptly and at no charge to Client, to correct errors known to MCS or brought to MCS' attention, and to ensure that the Licensed Content is current with applicable laws and regulations.

C. Automated Training Management System - The KDS is self-documenting and offers a sophisticated tracking and reporting capability to monitor learners as they progress through their assigned training. Learner Management functions include self- or automated-enrollment, archival data, and changes to learner files. The Web Reporting features allow the Client to view and/or print reports by employee, department, group, or facility (as well as region and corporate reports for multi-facility systems). The Options Manager includes the ability to change learning, test scoring and reporting options to address the Client's specific training objectives.

II. Use of Content, General Disclaimer - MCS represents and warrants that it has used and will continue to use best efforts to ensure that the Content reflects appropriate and accurate information. The Content comes from sources believed to be accurate but may contain inaccuracies or typographical errors. However, the topics addressed in the Content are often complex, and that complexity may be compounded as each provider applies the topics in practice. Therefore, MCS does not assume any liability or responsibility for damage or injury to persons or property arising from any use of any product, information, idea or instruction contained on the Site or in the Content. MCS makes no representation or warranty about the results to be obtained from using the Site or the Content. Reliance on any information provided by MCS, its health experts, or other visitors to the Site is solely at Client's own risk.

III. Use of Content; Copyright - MCS represents and warrants that it owns or has the right to allow the Client to use the Site and the Content provided by MCS. During the term of this Agreement and subject to these Terms and Conditions, MCS grants to Client a non-exclusive license to access and use the WebInservice Site and Content for the purpose of training Authorized Learners of the Client. MCS shall indemnify, hold harmless and at MCS' expense defend Client against any claim that the Site or Content infringes a U.S. patent, copyright, or trademark. Client shall promptly notify MCS in writing of any claim of infringement and shall cooperate with MCS to facilitate MCS' defense.

Special rules may apply to the use of certain software and other items provided on the Site. The contents of the Site, such as text, graphics, images and other material including software licensed by MCS to permit Authorized Learners to access the Site and/or the Content, are protected by copyright under both United States and foreign laws, and title to the Content shall not pass to Client or any other Authorized Learner. Unauthorized use of the Content may violate copyright, trademark, and other laws. None of the Content may be reverse-engineered, disassembled, de-compiled, reproduced, transcribed, stored in a retrieval system, translated into any language or computer language, re-transmitted in any form or by any means (electronic, mechanical, photo-reproduction, recordation or otherwise), resold or redistributed without the prior written consent of MCS.

For information obtained from MCS' licensors, Client is solely responsible for compliance with any copyright, trademark and other proprietary rights and restrictions and is referred to the publication data appearing in bibliographic citations, as well as to the copyright notices appearing in the original publications. Client may not sell or modify the Content or reproduce, display, publicly perform, distribute or otherwise use the Content in any way for any public or commercial purpose. The use of the Content on any other web site for any purpose is prohibited. If Client violates any of these Terms and Conditions, Client's permission to use the Content automatically terminates and Client must immediately destroy any copies Client made of any portion of the Content.

IV. Indemnity - Both parties agree to indemnify, defend and hold harmless the other party, and their respective agents, officers and employees from and against any and all liability or damages incurred in connection with claims for damages of any nature resulting from bodily injury, death, personal injury or property damage arising from the negligent or willful acts or omissions of the indemnifying party, its agents or employees. No party to this Agreement shall be liable for any negligent or wrongful act to the extent caused by any other party to this Agreement unless (and to the extent that) any such liability is imposed by a court of competent jurisdiction. This Agreement shall not be construed to enlarge or diminish any obligation or duty owed by one party against the other or against third parties. In the event of a claim for any wrongful or negligent act, each party shall bear the cost of its own defense.

V. Implementation Assistance A. MCS will provide telephone implementation assistance to the Client's designated training administration. The telephone assistance will provide support to the training administration in learning the administrative features of the system including: learner management functions, lesson planning, creating training modules, tracking learner's progress, printing reports and establishing system configurations in accordance with the Client's training objectives.

B. MCS will provide ongoing customer service support to Client's designated Training Administrator(s) throughout the term of this Agreement. Such Customer Service will include toll-free telephone assistance to designated Client staff during the business hours of 8 AM to 5 PM ET. Client may also obtain assistance by e-mailing the WebInservice Staff at: [email protected].

C. At the request of the Government, MCS can provide on-site implementation assistance to Clients at a rate of $950 per day.

VI. Responisbilities of MCS A. MCS will maintain a secure access-controlled Web Site that is used by the client for learning and learner management. MCS will configure the learning system, including all licensed standard content and have the Web Site operational within three business days of a completed order. MCS support staff will perform setup, provide implementation training and support, update the content, and manage the KDS maintenance and database backups. MCS will update the Licensed Content promptly and at no charge to Client, to correct errors known to MCS or brought to MCS' attention, and to ensure that the content is current with applicable laws and regulations. B. System Operation - MCS shall use commercially reasonable efforts to make the services accessible and functional twenty-four (24) hours per day, seven (7) days per week, subject to temporary service interruptions for scheduled maintenance that shall be conducted at off-peak hours or for emergency maintenance (Service Level). MCS shall provide written notice or notice via e-mail to Client with respect to any scheduled down-time for the services, and will use commercially reasonable efforts to notify Client with respect to any non-scheduled down-times for the services.

As used herein, the term accessible and functional means that the services will be readily accessible to the users thereof with a ping rate of less than or equal to 100 milliseconds ("Accessibility Rate"). For purposes hereof, the ping rate shall refer to the speed of traffic on MCS' local network from its Internet Service Provider to MCS' server. Client will have the right to request that an external audit of the Accessibility Rate be documented at Client's expense in the event Client is concerned with performance in this area. MCS and Client will mutually agree on a statistically valid sampling methodology prior to conducting the audit. Notwithstanding any of the foregoing, however, MCS shall not be deemed in breach of the Service Levels under circumstances where the Accessibility Rate cannot be achieved due to factors beyond MCS' reasonable control. For purposes hereof, MCS' choice of an Internet Service Provider (ISP) shall not be deemed to be a factor beyond MCS' reasonable control.

C. Service Level Credits - In the event that MCS fails to meet the Service Level more than twice during any one-month period during the term, Client shall be entitled to a Service Level Credit in an amount equal to a per diem rate (the Annual License Fee divided by 365) for each 24-hour day during which the Client's WebInservice Site is inaccessible for more than three hours other than for scheduled maintenance as described above, or causes beyond MCS' control. VII. Responsibilities of the Government. MCS provides Internet-based educational training services to healthcare and educational clients through its Web Site(s). By using this Site, Client indicates Agreement to the Terms and Conditions of use contained in this Agreement and in the Usage Agreement. As Learners sign on to the Site, they will be notified of their responsibilities under the Usage Agreement. Each Learner will be required to electronically indicate their agreement to the stipulations.

MCS may revise and update the Terms and Conditions of the Usage Agreement, at anytime. The Client, and its authorized Learners, will be notified of revisions to the Usage Agreement by having the revisions posted to the Site and requiring the Learner to again indicate their willingness to comply. Client's (and Learner's) continued usage of the Site will mean that Client (and Learner) accept those changes. In the event of a conflict between the Usage Agreement and the Pricelist, the Pricelist will take precedence.

VIII. Orders by Federal Government Contractors MC Strategies, Inc. will accept orders from Federal Government contractors under this Schedule Contract providing that: A. A copy of the authorization to procure products/services from the Schedule provided to the contractor from the Government Contracting Officer is provided to MC Strategies, Inc. This authorization should cite the contract number, the period of authorization, and state that title to any equipment purchased by the Contractor will vest in the U.S. Government; and: B. The order placed by the authorized Federal Government Contractor states: This order is placed under written authorization from ______dated ______. In the event of any inconsistency between the terms and conditions of this order and those of your Federal Supply Schedule, the latter will govern.
