This Contract is entered into by and between Sedona Church of Christ, referred to hereinafter as the Contractor, and Yavapai County Community Health Services, referred to hereinafter as the Department.

The Contractor, for and in consideration of the covenants and conditions set forth herein, shall provide and perform the services as set forth below. All rights and obligations of the parties shall be governed by the terms of this document, its Exhibits, Attachments and Appendices, including any Amendments as set forth herein and in:

The Contractor will be hosting the WIC program so that women, infants and children from Sedona and near-by communities may receive nutrition education and checks for supplement foods. 1. Use of one room, once per week, for a WIC clinic to serve Women Infants and Children in the Sedona area. 2. Use of one room, normally on Thursdays, between the hours of 9:00 am and 3:30 pm, subject to change. 3. Use of storage space for the WIC storage cabinet, filing cabinet and measuring equipment during the period of this contract. 4. Use of one folding table and up to four folding chairs. 5. Use of the hallways, restrooms, parking lot, water and electricity. 6. Use of Internet connection which was installed by Arizona Department of Health Services. 7. Use of the existing telephone for emergency 911 calls

Services to be provided by Yavapai County Community Health Services/WIC Program. 1. WIC related equipment and storage cart. 2. WIC employee who will open and close the building according to a mutual schedule. 3. WIC staff will remove all trash. 4. WIC staff will assure the room is left clean and as it was found. 5. WIC signage (a portable sandwich board) directing client to the WIC satellite clinic area. 6. A certificate of “Additional Insured” by the County for the Contractor.

Compensation: In exchange for these services Department will pay Contractor: $900 per year which equals $225.00 per quarter 1. Contractor will submit an invoice, quarterly, on Church letterhead to YCCHS for the quarterly compensation. 2. Department will pay the invoice, quarterly, for the compensation as defined.

The Department agrees to indemnify, defend and hold Contractor and its officers, directors, members, representative, employees and agents harmless for, from and against any and all claims, damages, causes of action, costs or expenses, including reasonable attorney’s fees, caused by any negligent act or omission of Department or any personnel provided by Department.

Each party (as “indemnitor”) agrees to indemnify, defend and hold harmless the other party (as “indemnitee”) from and against any and all claims, losses, liability, costs or expense (including reasonable attorney’s fees)(hereafter collectively referred to as “claims”) arising out of bodily injury of any person (including death) or property damage, but only to the extent that such claims, which result in vicarious/derivative liability to the indemnitee, are caused by the act, omission, negligence, misconduct, or other fault of the indemnitor, its officers, agents, employees or volunteers.

The Pastor or designee and the WIC Director will converse as needed in order to insure mutual satisfaction with the execution of this contract.
