Limited Liability Company ‘Acoustic Design Institute’ (hereinafter – ‘Licensee’), hereby represented by CEO Nickolay Ivanov, Chief Editor of the periodic electronic journal ‘Noise Theory and Practice’ acting under the Charter of the company, on the one part, and

Person ______, (Country) (Name and Surname of the Second Author) acting on their own behalf (hereinafter – the ‘Author(s)’(‘Licenser(s)’)), on the other part, have concluded the present agreement (hereinafter – ‘Agreement’) about the following:

1 SUBJECT OF THE AGREEMENT 1.1 According to this agreement the Licenser(s) grants the Licensee on a free-of-charge basis the right to use the Work he (she, they) created in the following form

______(type of Work: article; Title of the Work in Russian and English) (hereinafter – «Work») in the Electronic Journal «Noise Theory and Practice» (hereinafter – ‘Journal’) in the ways stated in paragraphs 1.3.-1.7 during the validity period of this Agreement. 1.2 The Licenser(s) guarantees that he (she, they) is a proper holder of copyright and proprietary rights on the Work transferred under this Agreement. 1.3 The Licenser(s) grants the Licensee the right to reproduce the Work by any means (publication, promulgation, duplication, replication and other reproduction of the Work) without restriction of the Journal circulation size, including publication of the Work on the website of Journal on the Internet with open access to full-text version. 1.4 The Licenser(s) grants the Licensee the right to reproduce the Work in the electronic form, including the right to store the copies of the Work in the machine-readable form, the right to include into the compiled work, the right to make it available to the general public and the right to conclude sublicense agreements. 1.5 The Licenser(s) grants the Licensee the right to use the Work through the sale, publication of the full- text version of the Work on the website of the Scientific electronic Library eLIBRARY.ru (http://elibrary.ru) or other electronic libraries, providing the open access to brief and full-text versions of the Work. 1.6. The Licenser(s) grants the Licensee the right to use metadata (the Title of Article, Name and Surname of Author(s) (right holder), academic degree and title, position and place of work with its full address, e-mail, abstracts, references) of the Works through distribution and making them available for general public, processing, systematization and including them into different databases and information systems. Personal information is provided for its storage, including it into analytical and statistical reporting, creating reasonable correlations between the subject of scientific work and personal information, etc. 1.7 The Licenser(s) grants the Licensee the right to partially or fully transfer the rights obtained under this agreement to third parties on contract terms without payment of remuneration to the Author. 1.8 The Licenser(s) grants the Licensee all above mentioned rights free of charge, without restriction of the areas and for indefinite term.

2 ORDER OF TRANSFER AND USING THE WORK 2.1 The Parties confirm that at the time of signing this Agreement The Licenser(s) granted the Licensee the Work (electronic version of the Work) in accordance with the following terms: - The Work is submitted in the format indicated by the Journal publisher in Requirements to the articles; - The Work is supported with other information and documents required by the Journal publisher. 2.2. The date of signing this Agreement is the moment of granting the Licensee the rights stated in this Agreement.

3 RIGHTS AND RESPONSIBILITIES OF THE PARTIES 3.1 The Licensee is obliged:  not to publish the Work by parts;  not to introduce any changes to the Work content after publishing without written consent of the Lisenser(s), including changes into the title, illustrations, explanations, comments, afterword and so on with the exception of cases stipulated by this Agreement;  to publish the Work on the Journal website with the possibility to download the Work as a PDF file;  to publish the Work on the website of the Scientific Electronic Library eLIBRARY.ru (http://elibrary.ru) and provide access to it for the users on the terms of this Agreement; 3.2 Licensee is entitled to:  demand any necessary information about the Work and receive it;  transform (convert) the Work (its electronic version) into the necessary format applicable for theme collections of the electronic resource bank. 3.3 The Licenser(s) is obliged to inform the Licensee immediately about any assignment of rights on the Work, including its electronic version, to the third party. 3.4 The Licenser(s) is entitled to check the terms and conditions of using the Work. 3.5 The Licenser(s) grants the Licensee the right to store and process the following personal data with no time restrictions:  Name and surname;  Place of work and job title;  E-mail. Personal information is provided for its storage, including it into analytical and statistical reporting, creating reasonable correlations between the subject of scientific work and personal information, etc. 3.6 The Licenser(s) guarantees the following: - The Work does not contain any texts or results from other works (including self-quoting) without proper references; - All listed co-authors participated in this Work (contributed to concept development, target setting, obtaining or interpreting the results); - There is no scientific or technical data containing classified information related to state, professional or commercial secrecy. 3.7 The Licenser(s) bears the responsibility for the Work content. 3.8 The Licenser(s) assures that his/her/their Work is plagiarism free and no portion of the article is derived from any of the original published/ unpublished work. All references were properly cited and credited to the original authors. The Licenser(s) assure to take full responsibility of the consequences that may arise if his/her/their Work found to be plagiarized and he/she/they are responsible for any of the outcome that may arise due to the same.

4 DISPUTE RESOLUSIONS. LIABILITIES OF THE PARTIES 4.1 This Agreement is governed by the laws of Russian Federation. 4.2 The Licenser is liable to the Licensee for accuracy of the information about the holder of exclusive copyright rights. The Licenser is held liable in accordance with the Civil and Criminal Codes of the Russian Federation in case of claims and lawsuits of the real copyright owners of the Work to the Licensee. 4.3 All disputes concerning this Agreement should be settled by the Parties by means of negotiation. If the consent cannot be reached, the disputes should be settled in court at the location of the Licensee.

5 CONCLUDING PROVISIONS 5.1 This Agreement enters into force after signing. The Agreement is valid until the Parties fulfill their obligations. 5.2 This Agreement can be cancelled if one of the Parties fails to fulfil its obligations under this Agreement and upon mutual consent of the Parties with obligatory signing of the supplementary agreement by both parties. 5.3 All supplements to this Agreement are its integral part and concluded only in writing. Any amendments directly in the text of this Agreement are not allowed and have no force or effect. 5.4. Any amendments and additions to this Agreement are only valid if they are made in writing and signed by both parties of this Agreement. 5.5 In any other cases not covered by this Agreement the parties shall be governed by the laws of Russian Federation.
