1 BOARD OF DIRECTORS SREDA Board Meeting September 7, 2016 Bob’s Steakhouse – Nyssa, OR

1. Call the Meeting to Order: Vice Chairman Jeff Williams called the meeting to order at 7:00 a.m.

2. Introductions of Attendees: Vice Chairman Williams then thanked everyone for coming to today’s meeting as the turnout was very good with multiple communities represented. We then went around the room and everyone present introduced themselves and the business or entity they are representing.

3. Approval of August 3, 2016 Board Minutes: Vice Chairman Williams asked if everyone had a chance to read and review the August 3, 2016 board minutes that were sent out. Vice Chairman Williams then asked if anyone had any questions or corrections to the minutes. Hearing none, Vice Chairman Williams asked for a motion to approve the minutes as printed and presented. Ken Bishop made a motion to approve the minutes as printed, seconded by Bob Komoto. The motion passed unanimously.

4. Financial Update: Treasurer Sandy Hemenway went over in detail the financial handouts for the month of August discussing balances at the end of the month in both the checking and money market accounts, and then totals for month end. She then went over the SREDA Monthly Snap Shot report in detail for both income and expenses. Vice Chairman Williams asked if anyone had any questions on the financial report. Hearing none, Jeff then asked for a motion to approve the treasurer’s report as presented. Ken Bishop made a motion to approve the treasurer’s report as printed and presented, seconded by Bob Komoto. The motion passed unanimously.

5. Fund Raising Update – Public and Private: Vice Chairman Williams told the group we would report on the fund raising activities during next month’s meeting.

6. Business Highlights – TVCC with Bob Komoto: Abby Lee handed out a fact sheet for TVCC with the details of the bond the college is asking for this November in the total amount of $4.8 million. Bob Komoto then explained in detail the particulars of the bond, how much would be tax payer dollars and how much the State of Oregon will match on the project. Bob then explained why this is important to both TVCC and the surrounding tri-county region. This facility upgrade is really necessary for future workforce training needs.

Ken Hart then spoke for the Poverty to Prosperity group and why they support this local bond effort, again reiterating what this can do for our region. Also, the leverage state matching dollars are a onetime deal, so the right time is now.

650 College Blvd, Ontario, OR 97914 541-881-5597 www.snakerivereda.com 2 Bob Komoto then finished the discussion stating that this topic will be presented at the Ontario chamber forum on October 17th where more clarification will be discussed. Bob encouraged everyone to get involved!

7. Bylaws Update from Committee – Mike Hanigan began the bylaws discussion with an overview of SREDA and how the bylaws were originally adopted. Mike said a committee has been reviewing the bylaws in detail and is recommending changes from the original bylaws in order to eliminate duplications, correct typos, add further clarification and include more participation on the Board of Directors. The list of changes/updates, as well as the entire bylaws, had been emailed out to all the Board of Directors. There were a few additional copies handed out to the general membership. 8. Annual Meeting to be set – October 18 – 6:00 pm – 7:30 pm. Saint Alphonsus Ontario. Vice Chairman Williams discussed the Annual Meeting, its objectives, and stated we need to set the date and time for the meeting with a consensus of the group present today. After the discussion it was determined the annual meeting would be held on October 18th at 6:00 pm at St. Alphonsus in Ontario with Saint Alphonsus providing dinner for all attendees (Please RSVP to Kit for head count). More details will follow. This meeting will be combined with our regular monthly meeting so only one meeting will be held during the month of October.

9. City and Community Highlights: a. Fruitland: Mayor Ken Bishop stated the new city park project, Crestview Park, is now under construction. The city has been working on this for a while. Mayor Bishop then discussed the proposed general obligation bond they will be asking for which will be for a community hall project. It will be for $6.5 million renovation of the old high school bldg., a parking lot and the current city hall, which will be converted into a fire and ambulance facility. This project will also include a much needed community gym. The mayor stated that local community bond issues have many parts, all of which are important to the community and that it is imperative that local patrons understand all particulars prior to voting. The mayor then discussed the Pennsylvania Avenue first block project which will be reconstructed. Ken then discussed the community growth and the Northview Ranch Subdivision Phase Four and Phase five. The City may have another project beginning this winter. Also, remember that Fruitland Family Fun Days will be held in a couple of weeks and the event is free to the public. The Mayor also said that the City of Fruitland is the fourth safest city in Idaho! And lastly, the Mayor discussed the new Snake River Scenic Byway signs now connecting through Fruitland.

b. Payette: Mayor Jeff Williams said this weekend is Cruise Night in Payette which will include the annual car show on Saturday with a lot of other activities planned. This is a very successful and fun event. Jeff then explained that the city is in the middle of strategic planning, economic development for the city, and also equally important, focusing on youth as the city’s main priorities. The Mayor then discussed the survey the city used and reviewed some of the questions asked of patrons. The city was happy with the responses especially regarding those questions asked about taxes in the City of Payette and that the taxes are reasonable for the services provided, such as pools, parks, golf course, and so forth. Folks are very proud of the city amenities. He then mentioned that a couple of new businesses may be coming to Payette soon.

c. Ontario: New City Manager Adam Brown updated the group on some site visits the city worked on with Kit. Adam mentioned the city’s sewer and water project which is coming up

Dan Cummings said economic development wise, the city is working with a Boise firm which is looking to expand into Ontario. They could provide up to 40 to 60 new jobs which would be great. He then stated that WinCo Foods has started construction on their store, which will be owned by WinCo but will be operational under the Waremart name. Currently the store will be approximately 40,000 sq. ft. and if successful, may expand in the future. Also, at the old mall site in Ontario they are working with Ashley Furniture to perhaps move into the old Emporium space.

Councilwomen Charlotte Fugate discussed the Revitalize Ontario project which is under way and they are focusing right now on the Competition building. The city is very excited about this project and the Revitalize Ontario effort. She then discussed an article in the Idaho press tribune.

d. Nyssa: Councilman Harry Flock said the city has just started the $6.2 million dollar treatment plant upgrade for arsenic cleanup. Harry then explained several of the details regarding this project. He mentioned the city is also replacing 28 fire hydrants in this project. The city can turn on the old hydrants but may not be able to turn them off which is a problem. The Councilman also said the city will remodel the $3 million dollar water tank on the hill. These projects will be very good for the city. Harry then said the city is saddened that the current city manager, Roberta, will be leaving to be closer to family in Lakeview, OR. Chief of Police Ray Rau will be the interim city manager.

e. Weiser: No city of Weiser representatives were present so no report was given for Weiser.

f. New Plymouth: No city of New Plymouth representatives were present so no report was given for New Plymouth.

g. Vale: No city of Vale representatives were present so no report was given for Vale.

10. County Highlights : a. Payette County: Newly appointed County Commissioner Georgia Hanigan said the county just completed reviewing and passing next year’s budget with no problems. b. Malheur County: No Malheur County representatives were present so no report was given. c. Washington County: No Washington County representatives were present so no report was given for Washington County.

11. Executive Director Report: Kit began her monthly report to the board by discussing her written report and then expanded in more detail about several of the on-going projects. After explanation and discussion, Kit made the following comments:

Project Updates: Site visit – Project Adams – met with local officials and state agencies to discuss how to move forward. Site visit - Project Clearwater Revival – 2nd and 3rd site visit – met with local officials and toured possible locations for the expansion. Project Chipotle – working with other companies and looking at a multi-owned facility near Parma. Several of our farmers grow for this company. Glad to keep it close by. Project Salsa – provided assistance at the Canyon Co P & Z hearing – working with the state and rural Canyon County ED Pro to assist them in their move next door to Fort Boise Produce. Will be able to keep all their employees from the Nyssa area plus hire a few more.

650 College Blvd, Ontario, OR 97914 541-881-5597 www.snakerivereda.com 4 Project Bentley – Assisted the City of Fruitland and the company with a GEM grant for the power upgrade for the new pellet plant and expansion in Fruitland. Grant was approved. Project Violet – Visited with the project lead – They may visit the region later in September. Had some concerns regarding the Measure 97 on the Oregon ballot known as a Corp Sales Tax. Project Pumpkin – funding received and transferred for 1st & 2nd quarter. Several companies have reached out for more information about the project or possible connection. Project Energy – Client advised that they are getting closer to securing property and moving forward. Project Tina – asked to pull together some data and opportunities for Malheur County and the businesses here for the State of Oregon. Project Water Flower – Follow up from Idaho Power’s call with the company. Site visit scheduled for September. New Projects for the month of August included: Project Aww, Project Tulip, Project Gemini and Project Birdseye. Kit did the proposal in response to the Idaho RFI – Malheur County is assisting Ontario on the Oregon side with their application. Also today, just received a new project on the Idaho side, Project Falcon that is very similar to Project 78. Other items – IEDA, OEDA fall meetings; Trade Show in Vegas; and vacation.

12. Round Table Discussion: M.L. Vidas, LEED AP, BD+C, outreach manager for the Energy Trust of Oregon, began the round table discussion by discussing the energy trust program, the partners involved, and who could be helped with building improvements. They work with Cascade Gas in Oregon and other utilities in the state as well.

Next, Al Saito a large farmer in the local region was introduced. Al discussed himself briefly and stated he was glad to see everyone working together. He then talked about his relationship with Steve Davis since 2010 and what could be done locally with Aloe Vera by giving a very detailed explanation of the project and what it may do for the local tri-county region. He then introduced Mr. Steve Davis from Cloverleaf, MI. Mr. Davis provided the group with who he was, his background, and what he hopes to accomplish. He discussed the Red Bull and energy drink business and then explained how Aloe Vera builds up your immune system naturally as well as gives you the extra energy without the sugar and caffeine. Steve then passed around a product for the group to review. He stated what you eat is what you become. He has formed a new company called Super Drop which is all organic and natural. He then discussed an airline pilot’s testimonial of how this product can work. Mr. Davis then thanked the group for their time.

John Breidenbach, Ontario Chamber of Commerce Executive Director, told the group about three ribbon cuttings coming up this month. John then reviewed them in detail. He did state that one of them will be held in Fruitland. Also on October 3rd will be a huge Monday chamber forum with discussion on Oregon’s proposed tax Measure 97. This meeting will also be a candidate’s forum so please plan to attend this important function.

Judy Cordeniz from Lifeways discussed the opening of their new clinic. Lifeways now spans from Nampa, ID to Umatilla, OR with over 300 employees. They are growing very rapidly. Judy then mentioned the Hands around the Park event which is for recovering individuals. And lastly, she talked about really needing to rebuild Lifeways Recovery Center in Ontario and the condition of the facility.

Kyle McCauley, Cascade Gas, discussed their community grant program which is available to folks in either Oregon or Idaho. Everyone is encouraged to apply for the grants from either Cascade Natural Gas or Intermountain Natural Gas as both entities are owned by the same company. In 2015, over $2.15 million in grants were awarded. More information can be obtained from the company’s website.

Mark Stringer, candidate for Oregon State Senate, discussed himself briefly and what he stands for. Mark is pro-business and a fiscal conservative. He has also been the past Mayor of Nyssa.

13. The next meeting will be held in conjunction with the Annual meeting of the Members on October 18, 2016, Saint Alphonsus Medical, Ontario, from 6 pm to 7:30 pm.

14. Adjourn: Vice Chairman Williams then adjourned the meeting at 8:15 a.m.
