Dear Potential Proposer:

The Western Tidewater Regional Jail Authority, an Equal Employment Opportunity (EEO) employer, does hereby announce that it is accepting written proposals from all qualified firms or individuals interested in providing the services generally described herein and specified in the "Scope of Services" section of this Request for proposals (RFP) document. The successful proposer shall prove by qualifications, experience, availability, approach and work plan that will best serve the overall needs of the Western Tidewater Regional Jail. The selection of the successful proposer shall be at the Authority's discretion and shall be made in a prompt manner after receipt and evaluation of all responses.

If you are interested in preparing a response to this RFP, please complete in the manner prescribed all the requirements set forth in this document. Please note that your response is a binding offer to perform in the manner you describe in the proposal response for a period not to exceed one hundred twenty (120) days from the public opening date and time. Also please be aware that under the competitive proposal process the stipulations set forth herein are fully binding on the proposer to the extent that you confirm acceptance by your signature on the Acceptance of Conditions page.

1 The Western Tidewater Regional Jail Authority welcomes your response to this RFP. The Authority reserves the right to reject any proposal found to be non-responsive, vague, non- conforming or irresponsible. The Authority may withdraw all or part of this proposal at any time to protect its best interest. The desire of the Authority to pursue proposals shall in no way obligate the Authority either to compensate you for your efforts nor to execute a contract with you. All proposers are asked to be thorough yet concise in their response. Failure to provide your response in the manner prescribed herein may be grounds for disqualification.

A Mandatory Pre-Proposal Conference and tour of facility will be held on September 1, 2015 at 10:00 a.m., at the Western Tidewater Regional Jail Authority, Training Room, located at 2402 Godwin Blvd., Suffolk, Virginia 23434.

1.0 Summary of Services

1.1 Introduction: The Western Tidewater Regional Jail Authority is requesting proposals from firms for providing comprehensive Inmate Tablet Program to the Western Tidewater Regional Jail located at 2402 Godwin Blvd., Suffolk Virginia 23434. Services include, but are not limited to, the management, procurement, and delivery of an Inmate Tablet Program (additional requirements are listed in Scope of Services Section). It is preferred that the firms responding to this RFP have a proven and verifiable record of providing similar services with a comparable size agency and expected scope of operations.

The average daily population (ADP) for the jail in calendar year 2014 was 681 The ADP for the first six (6) months of calendar year 2015 has been 650 and may increase to 700 ADP or higher at various times during the contract period.

Period of Agreement: The term of this agreement shall be for three (5) years. There may be one additional renewal period of two (2) years if agreed to by the Authority.

1.2 Definitions: The following terms used in this Request for Proposals (RFP)

2 shall, unless the context indicates otherwise, have the meanings set forth below:

"ACA Standards" mean the Standards for Adult Local Detention Facilities published by the American Correctional Association (Fourth Edition, June 2004) as hereafter supplemented or amended.

"Capital Equipment" means equipment valued at $750.00 or higher.

"Contractor" means the Proposer awarded the Contract.

"Inmate" means male and female offenders assigned to the WTRJ

facilities.

"Non-Capital Equipment" means equipment valued under $750.00.

"Operating Standards" means all applicable federal, state and local laws, rules, codes, regulations, Court Orders and ACA and NCCHC Standards, as any of the same may be supplemented or amended and those rules, regulations, policies, procedures and ordinances reasonably made applicable to Contractor by the Authority. If any of the Operating Standards are in conflict with each other or with this RFP, the more stringent shall apply, as reasonably determined by the Authority.

"Project Manager" means the person appointed by the Superintendent who will be the official liaison between the County and the successful contractor on all matters pertaining to this solicitation and subsequent agreement.

"Proposer" means any individual, corporation or other entity responding to this RFP with a written proposal.

"Service Commencement Date" means the first day that the Contractor begins preparing and serving meals at the WTRJ.

1.3 Scope of Work/Program

1.3.0 Vendor will provide a turn-key tablet solution for the facility at no charge. 1.3.1 Vendor will provide indigent tablets and officer tablets at no charge to the facility. 1.3.2 Vendor shall provide tablet distribution and refurbishment to the facility at no cost.

3 1.3.2 Vendor shall provide and describe its current distribution capabilities. 1.3.4 Vendor tablets shall be updated wirelessly in real time. 1.3.5 Vendor will provide security measures which prevent inmates from network breach. 1.3.6 Vendor has current capability to rent tablets to all inmates at this facility. 1.3.7 Vendor will provide the facility with a revenue share opportunity. 1.3.8 Vendor will provide 3 references where tablets have been implemented for >6 months. 1.3.9 Vendor tablets will integrate with current ITS, JMS, or other systems as applicable. 1.3.10 Vendors Tablet Devices has current and minimum capabilities to provide: A. Phone calling B. Reentry Assistance C. Music D. Vocational Assistance E. Spiritual and Self Help Assistance 1.3.11 Vendor has current and minimum capabilities providing officer tablets with real-time: A. Activation / Deactivation of tablets and applications by: I) Inmate II) Groups of inmates III) Facility B. Dashboards and real time tablet analysis. 1.3.12 Vendor will provide tablets which have been wiped of any residual operating systems. 1.3.13 Vendor Tablets must provide live monitoring capabilities; 1.3.14 Vendor must provide the facility with Command and Control Tablets for officer use. 1.3.15 Other necessary requirements include the submission and responses to Grievances, Requests, Medical Sick Calls, and Communication from the Jail Staff to the inmate on any other areas 1.3.16 Tablets must be telephone capable for current or future use

1.3.17 All additional business models may be submitted including: 1. Inmate renting tablet monthly and paying for certain services as used like movie viewing or music streaming using a bandwidth usage charge. (We have a site

4 license that allows us to rent movies from certain production companies and show them to the inmates. We can load one or 2 movies a week into a DVD drive on a server or computer that the inmate can watch as many times as he/she wants provided they pay for the first viewing like movies on demand) 2. Friends or Family paying monthly for the tablet 3. Jail possibly buying tablets and renting them out ourselves 4. Some funding may be provided from the facility including IT infrastructure for enhanced revenue capabilities.

Section 2.0 Critical Data

2.1 Firms desiring to provide the above described request for proposals must submit FIVE (5) PACKAGES (one (1) unbound original and four (4) bound copies) of your proposal response. NO LATER THAN: OCTOBER 1, 2015 2:00 P.M.

2.2 Submittals will be publicly opened in the Administrative Conference Room on the above appointed date and time or as close to the appointed time and date as possible. Submittals received after the above time and /or date shall not be accepted or considered. No exceptions will be made. The Authority will not be responsible for the failure of the proposer or the proposer's agent to submit responses in a timely manner. Late responses of any sort will be returned to the proposer without opening.

2.6 All expressions of interest shall be subject to all applicable laws,

5 ordinances and rules. Section 3.0 General Instructions to Proposers

3.1 Proposals may not be withdrawn for a period of one hundred twenty days ( 120 ) days after the public opening date.

3.2 The proposer's attention is specifically called to the terms and conditions of this solicitation. The RFP shall be considered in its entirety with no one section having more value than another unless otherwise indicated.

3.3 Proposers are directed not to contact requesting/evaluating committee members, Authority Board Members, WTRJ Departments or Divisions until award has been made by the Western Tidewater Regional Jail Authority. Section 4.0 Terms and Conditions

4.1 Fund Availability: Any contract resulting from this solicitation is deemed effective only to the extent that funds are available.

4.2 Prompt Payment: Payments will be made within 30 days of invoice receipt.

4.3 Permits/Licenses/Fees: Any permits, licenses or fees required will be the responsibility of the Contractor. The Authority will not entertain separate payment for these items.

4.4 Taxes: The Western Tidewater Regional Jail Authority does not pay Federal excise or State sales taxes. Please refrain from including taxes in any billing resulting from a contract issued under this RFP.

4.5 Venue. This Contract shall be deemed to have been made and performed in Western Tidewater Regional Jail, Suffolk, Virginia. For the purposes of venue, all suits or causes of action arising out of this Contract shall be brought in the courts of City of Suffolk Virginia.

4.6 Virginia Laws Govern. This Contract shall be governed by and construed and enforced in accordance with the laws of Virginia.

6 4.7 Conflict of Interest: All proposers must disclose with their offer the name of any corporate officer, director, or agent who is also an officer or employee of the Authority, City of Franklin, City of Suffolk or County Isle of Wight Virginia. Further, all proposers must disclose the name of any City of Franklin, City of Suffolk or County of lsle of Wight Virginia officer or employee who owns, directly or indirectly an interest often percent (10%) or more of the proposer's firm or any of its branches, subsidiaries or partnership.

4.8 Additional Terms and Conditions: No additional terms and conditions included with the proposal response shall be evaluated or considered and any and all such additional terms and conditions shall have no force and effect and are inapplicable to this proposal. If submitted either purposely through intent or design or inadvertently appearing separately in transmitting letters, specifications, literature, price lists, or warranties it is understood and agreed the general and special conditions in this solicitation are the only conditions applicable to this proposal and the proposers authorized signature affixed to the proposal signature section attests to this.

4.9 Liability: The successful proposer shall act as an independent Contractor and not as an employee of the Authority. The successful proposer will be required to indemnify, defend, and hold and save harmless the Authority, its officers, agents, and employees, from damages arising from the performance of, or failure to perform, any task or duty required to be performed by the successful proposer.

4.10 Indemnity: The Contractor shall indemnify Western Tidewater Regional Jail Authority, the Superintendent, and their agents, servants and/or employees from all claims, actions, lawsuits, damages, judgments, charge, expense, or liabilities arising directly out of the sole negligence of the Contractor at the facility. The Contractor expressly agrees to defend against any such claims brought or actions filed against the indemnified parties, where the Contractor is solely negligent. The successful Contractor shall be asked to fully indemnify the Authority.

4.11 Insurance: During the entire period of performance of any contract resulting from this solicitation, the successful proposer shall procure and maintain at least the minimum kinds of insurance as stipulated herein, including coverage for employee honesty and securities coverage. Proof of such insurance must be provided to the Authority prior to beginning contract performance.

4.12 Acceptance of Services: Receipt of service shall not constitute acceptance. Final acceptance and authorization of payment shall be given only after a thorough inspection indicates that the performance meets specifications and or all conditions. Should the delivered service differ in any respect from specifications, payment will be withheld until such time as the supplier takes necessary corrective action. If the proposed corrective action is not acceptable to the Project

7 Manager, the Project Manager may authorize refusal official acceptance of the service.

4.13 Audits and Records Responsibilities of Successful Proposer: After or before an agreement is prepared and executed, the successful proposer may be required to disclose their financial condition in a specified manner. In addition, subsequent to an agreement being executed, the contractor must maintain financial records and reports relating to funds paid by any parties for work on the matters that are the subject of this RFP and submit reports to the Authority in the form and frequency requested. The successful proposer must maintain books, records, documents and other evidence according to generally accepted accounting principles, procedures and practices which sufficiently and properly reflect all costs of any nature expended in the performance of the resulting contract, and retain said copies for a period of no less than three (3) years after termination of the project. The aforesaid records, books, documents, and other evidence shall be subject at all times to inspection, review, or audit by the Authority or his/her designee. The successful proposer shall include these aforementioned audit and record keeping requirements in contracts and subcontracts thereto entered into by the successful proposer with any party for work required in the performance of this project.

4.14 Additional Information: The Authority reserves the right to request any additional information needed for clarification from any proposer for evaluation purposes.

4.15 Opportunity: The Authority recognizes fair and open competition as a basic tenet of public procurement and encourages participation by minority and women owned business enterprises. All proposers are asked to make an affirmative statement as to their support of all applicable equal opportunity/affirmative action requirements. A copy of the Authority's Equal Employment Opportunity policy is available upon request.

Section 5.0 Submittal Format

5.1 To facilitate and expedite review, the Authority asks that all proposers follow the response format outlined below. Failure to submit your response in the format requested may result in the reduction of your overall evaluation score. To assist you in preparing your response, the Authority's selection procedures are also described herein. Please abide by all requirements set forth to avoid any risk of disqualification.

8 5.2 All offers must be submitted in a sealed opaque envelope or container, plainly marked on the outside with the request for proposal (RFP) number, date, time of opening and company name.

Proposals must be signed by an authorized representative of the firm. Failure to submit all information requested may result in a lower evaluation score for your proposal. Proposals that are substantially incomplete or lack key information may be rejected by the Authority at its discretion as unresponsive.

5.3 There is no limitation on the number of pages you can submit, unless otherwise stated herein.

5.4 Proposals shall be concise and succinct. Please summarize the proposer's pertinent experience and capabilities. Emphasis should be placed on completeness and clarity. The proposers shall describe their availability and a preliminary project approach shall be part of your submittal.

5.5 Specific Submittal Format Sections Section 1 - Introduction Provide a cover letter no longer than two (2) pages in length, signed by an authorized representative of your firm. The letter should disclose the name of the contracting agent and primary contact person, his/her title, address, phone number, fax number and email address. The table of contents should follow the cover letter.

Section 2 - Firm Information, Experience & References (5.1) Provide a brief description of your firm's organization, structure and philosophy. (5.2) Provide firm's years of experience in the field Inmate tablet programs, and specifically, the nature of experience related to operation of jail facilities. (5.3) Identify and include qualifications of specific individuals to be assigned to the project (include names, contact information and services the individuals will provide to WTRJ). (5.4) List any sub-consultant's that may be used to accomplish this service. (5.5) Identify any correctional contracts terminated or awarded but never initiated the reasons for the termination or failure to contract, and the name and phone number of a contract person for the former contracting agency. (5.6) Firm References: Provide a minimum of three (3) examples of similar size projects with applicable reference information, with emphasis on similar projects. References should include the following information: • Client name, address AND phone and fax numbers • Description of all services provided

9 • Performance period • Total annual amount of contract • Unit meal cost per inmate • Number of inmates served

Section 3- Project Approach (1) Define what goods and services your company is proposing to the Authority that will best meet the criteria specified in the Scope of Work. State your project management plan, firm's interpretation of scope and method of approach. (2) Provide a clear and concise explanation on how Inmate tablets will be distributed to inmates, define personnel, labor, equipment and supply resources and requirements. (3) Provide an implementation schedule for services. (4) Provide information regarding any proposed innovative concepts that may enhance value and quality, any favorable cost containment approaches or additional or alternative ideas that may be successful if implemented at WTRJ. (5) Describe any significant or unique awards received or accomplishments in previous, similar projects.

Reminder: The Authority is requesting the following additional information be included with your submittal package:

• Complaint process guidelines • Security procedure guidelines

Section 4 - Fee

Define all fees and costs to the Authority, if any.

Section 5 - Additional Requirements

• Technical Compliance with RFP Requirements Ability of proposer to complete in the required format all items requested in the RFP document. • Appendixes Proposers may include a section for appendixes including promotional material or supporting documentation not otherwise requested herein. Please clearly designate this section in your response. • Attachments All Attachments required by the RFP shall be fully executed by the proposer. Failure to do so will diminish your score.

10 • Insurance/Conflict of Interest/Financial Requirements Failure to produce financial requirements may be grounds for dismissal of your offer. This is a non negotiable item. a. Insurance policies other than Workers Compensation shall be issued only by the company's authorized by subsisting certificates of authority issued to the companies by the Department of Insurance of the State of Virginia to conduct business in the State of Virginia. b. Proposers must provide disclosure of any potential conflict of interest due to any other clients, contracts or property interests for this project only. Include a notarized statement certifying that no member of your firm ownership, management or staff has vested interest in any aspect of this solicitation or department within any of the member communities of the Authority. c. Financial information. Provide official letter from the proposer's financial institution detailing financial status of proposer. Letter shall include contact name, address, phone number and fax number. d. Additional credit information including but not limited to audited financial statements, pro forma issues, or annual reports may be requested from the short-listed firms. • Litigation Please list any past and/or pending litigation or disputes relating to the work described herein, that your firm has been involved. List shall include project name and nature of litigation.

Section 6.0 Award or Rejection of Offers, General Criteria

6.1 Evaluation: The Evaluation of the proposals shall be in the sole discretion of the Authority. Selection shall be based on the evaluation of all the information as the Authority may request. The Authority reserves the right to accept or reject any or all proposals and to waive any informality. The criteria used for selection will include the following:

1.a. The extent to which the proposed services meet the requirements as specified in the RFP.

1.b. The extent to which the vendor meets all other requirements of the RFP.

1.c. Cost to the Authority for providing the required services.

1.d. The vendor's qualifications, expertise and experience in providing the required services.

11 1.e. Any other pertinent criteria as determined by the Authority.

6.2 Presentation to the Board: The Superintendent will present to the Authority the rankings and recommended primary ranked firms. Approval of two top-ranked firms by the Authority will constitute an authorization to negotiate first with the top- ranked firm, and if unsuccessful, then with the second-ranked firm. The proposal package signed by the successful proposer along with documentation included in the proposal as required by this request for proposal and other additional materials submitted by the proposer and accepted by the Authority shall be the basis for negotiation of a contract addressing the requirements of this RFP. The Board will issue a purchase order and/or other award document upon completion of all negotiations and approval of the contract. The Board reserves the right to make the final decision as to which firm is granted primary negotiating rights or to request additional presentations of one or more of the proposers.

6.3 Rejection of Responses: The Authority reserves the right to reject any or all responses, or any part of the responses, or withdraw the solicitation with or without cause when such actions are in the best interest of the Authority.

6.4 Proposal Results: You may contact the WTRJ Director of Administration and Support for the results.

6.5 Additional Information: The Authority reserves the right to request any additional information needed for clarification from any proposer for evaluation purposes.

6.6 Determining Responsibility: The Authority may consider the proposer's ability to meet or exceed the following criteria:

1. The proposer's ability, capacity and skill to perform the contract or provide the service within the time specified. 2. The reputation, judgment and experience of the proposer. 3. The quality of performance of previous contracts or services including previous performance with the Authority. 4. Previous and existing compliance by the proposer with laws and ordinances relating to the contract or service. 5. Financial resources of the proposer to perform the contract or provide the service. 6. Whether the proposer is in arrears to the Authority on a debt or contract or is a defaulter on surety to the Authority, or whether the proposer's taxes are delinquent.

12 Section 7.0 Evaluation and Contracting Procedures

7.1 Presentations or Interviews: The Superintendent may decide to hear presentations and/or conduct interviews with the selected proposers regarding their qualifications, approach to the project, ability to furnish the required services, and all criteria set forth herein.

7.2 Presentation to the Board: The Superintendent shall prepare an agenda item for presentation to Western Tidewater Regional Jail Authority requesting designation of, and authorization to negotiate with top ranked firm or firms.

7.3 Contract Negotiations: The Director of Administration and Support shall coordinate the negotiation schedule upon authorization by the Board.

7.4 Negotiation: Negotiations shall begin with the firm approved by the Board with the intent to arrive at cost for goods and services that is fair, competitive, and reasonable. Note: In the event the negotiations do not result in a satisfactory contract with the firm approve by the Board, negotiations shall begin with the second ranked firm upon prior consent of the Board. This process shall be repeated, each time moving to the next ranked firm. If the third firm cannot be negotiated with successfully, the project is to be reevaluated and considered for re-advertising.

7.5 Award of Contract:

5.1. The Superintendent or his designee shall review the fees and rates of compensation for reasonableness prior to submittal of a draft contract or agreement to the Authority's Attorney.

5.2. The Superintendent shall prepare an agenda item requesting award of contract to successful proposer by the Western Tidewater Regional Jail Authority and to authorize the Chairman to execute the agreement. The Authority retains full discretion to reject the contract so negotiated and order further negotiations or to terminate negotiations and commence negotiations with the next ranked firm.

Section 8.0 Office of Record

13 The Western Tidewater Regional Jail shall be the official "office of record" for all information transactions and data disbursements associated with this RFP. The Director of Administration and Support may be reached Monday through Friday between 8:00a.m.to 5:00p.m.at 757-539-3119 (phone) or 757-539-6409 (fax).

Section 9.0 Time of Performance

The services described herein and on the attached shall be performed in a prompt and correct manner within the standards of good and ethical productivity as negotiated between the Authority and the successful proposer. All proposers are asked to provide their best estimate for compliance with the scope of work as established by the RFP. All contract time lines will be based on the projected scope and the estimated time for performance.

Section 10.0 Attachments and Exhibits

All attachments and exhibits hereto are made a binding part of this RFP by this reference.

Section 12.0 Budget and Cost

As stewards of public funds the Authority maintains all adopted budgetary parameters in the performance of its contracts. The ability of the successful proposer to maintain a sense of fiscal responsibility and budgetary awareness shall be favorably considered in the ranking and award of a contract. This disclosure is being made to assist all proposers in their gauging of their desire to participate in this RFP and in planning and preparation of their written response. The Authority reserves the right to negotiate all proposer fees, costs, charges, etc. for any proposed service or requirement.

Section 13.0 Summary

14 Responses to this RFP will be evaluated using the above criteria. Firms and individuals will be notified in writing whether they have been selected for interview/presentation within a reasonable time after the submittal date.

REMINDER: Prospective proposers, or any member or firm of the prospective response team, shall not contact any Western Tidewater Regional Jail Authority Board member of or any member of the City Councils of the City of Franklin, City of Suffolk or Board of Supervisors of the County of Isle of Wight, Virginia after submittal of their documentation. Please direct all your calls and requests for information to the WTRJ Director of Administration and Support.

The Western Tidewater Regional Jail Authority welcomes your response to this solicitation. Please note that failure to comply with any aspect of these procedures will be cause for disqualification of firm's Expression of interest. All prospective firms shall conform to the format as requested and detailed above. Failure to conform to required submittal format might be cause for disqualification.

Any discrepancies between the RFP and your response shall be written and addressed in your proposal. In the case of ambiguities or omissions, the RFP shall prevail.

Any and all submissions will be considered but ease of use, revenues to the jail, flexibility, expandability, and costs to jail will all be deciding factors. The jail is in the process of adding high bandwidth fiber optic service as well as 9 channel wireless Meraki Access Points so the internet connection will be in place if it is decided to use our system. The wireless channel can be completely separated from all other channels thru VLans and run straight to the provider’s server or connection to limit anything the provider wants/needs to limit like direct internet access. Any technical questions should be forwarded to the contact below.

15 EXCEPTIONS & VARIATIONS TO RFP

List, in the space below, any and all exceptions or deviations to the specifications or conditions or any other section of this document the offeror feels is necessary. Alternatives must be clearly identified in this section. The Western Tidewater Regional Jail will at its discretion determine whether the exceptions and deviations from the specifications or conditions listed below are acceptable. If there are no exceptions to the RFP, "NONE" must be entered.

19 PROPOSAL CERTIFICATION AND SIGNATURE

The undersigned affirms that Offeror has attended the pre-proposal conference and toured the jail facility and understands the working environment, equipment and security provided to meet the deliverables as outlined in this RFP. The undersigned further affirms that the failure or omission to review this RFP shall in no way relieve any Offeror of obligations with respect to this RFP.
