SENTRICON ® HOUSES FROM HELL CONTEST

OFFICIAL RULES

NO PURCHASE NECESSARY. VOID WHERE PROHIBITED.

1. PROMOTION DESCRIPTION: The Sentricon® Houses from Hell Contest (“Contest”) begins 1/1/16 at 12:00:00 a.m. (ET) and ends 6/15/16 at 11:59:59 p.m. (ET) (“Promotion Period”). The Promotion Period consists of an entry and branch judging phase that begins 1/1/16 at 12:00:00 a.m. (ET) and ends 6/15/16 at 11:59:59 p.m. (ET) (the “Entry and Branch Judging Phase”); and a final judging phase that beings 6/16/16 and ends 6/17/16 (the “Final Judging Phase”). The details of entry submission, judging and winner determination are described in further detail below.

2. ELIGIBILITY: Open to legal residents of the fifty (50) United States and District of Columbia who are 18 years of age or older at the time of entry, and must be a Certified Sentricon Specialist™ (“CSS”) who is licensed to sell and install Dow AgroSciences termite prevention/eradication products. Employees of Dow AgroSciences LLC, its parent company, subsidiaries, affiliates, advertising, promotion and other agencies (collectively the “Promotion Entities”) and their immediate family members and/or those living in the same household of each are not eligible to participate.

3. HOW TO ENTER: Eligible CSSs must sell and install one (1) or more Sentricon products to a homeowner during the Entry and Branch Judging Period. The CSS must then submit a minimum two (2) digital photos and a testimonial as part of their entry. The photos and testimonial will collectively be considered the “Entry” for this Contest. The first photo must show the initial installation of the Sentricon product(s) utilized for the homeowner; and the second photo must show the follow-up visit to the home showing the results of the Sentricon product(s). The testimonial must be completed by either the CSS or the homeowner; and must attest to the results of the Sentricon® product(s) used. Testimonials must be submitted in English and must be no longer than five hundred (500) words in length. All Entry components must be submitted at one time by the CSS upon completion of both photos and the testimonials. Once all Entry components are completed, email your Entry to your assigned Branch Manager. Be sure to include your name, email address and daytime phone number with your Entry. Digital photos should be no larger than five (5) MB and must be uploaded in one (1) of the following formats: .jpeg or .png. Testimonials must be submitted in a Microsoft Word document. Entries must not include any name(s) and/or photos of the homeowner. Entries that do not comply with the Entry submission requirements will be considered void. Entries will be screened by each Branch Manager to ensure compliance with these Official Rules. If for any reason during the screening process the Entry is not compliant with these Official Rules as solely determined by each respective Brand Manager or the Sponsor, the Entry will be disqualified from the Contest. Limit one (1) entry per person in the Contest. In the event of a dispute regarding the identity of the person submitting an entry, an entry will be deemed to have been submitted by the Authorized Account Holder of the email address submitted at the time of entry, provided that person meets all eligibility requirements set forth in these Official Rules. “Authorized Account Holder” means the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted e-mail address. Entrants may not participate with multiple email addresses, nor may entrants use any device to enter as multiple entrants. Any entrant who attempts to enter with multiple email addresses or under multiple identities will be disqualified from participation in the Contest and all entries submitted by that entrant will be void.

All entries must be the original work of the entrant, never been previously published, must not infringe on any third-party rights, and may not include content which is offensive, violent or suggests violence, derogatory, sexually suggestive, obscene, defamatory, explicit language or imagery or is otherwise inappropriate for publication in general circulation, or depicts the Sponsor and/or any of their products in a manner which is not consistent with its positive image and/or their approved trademark use. No other manufacturers’ products are permitted in the entry. Entries cannot depict the Sponsor’s products being used in any way other than as directed on the packaging, and cannot depict unsafe or illegal behavior. By entering the Contest, the entrant gives Sponsor the right to use, edit or publish the entry without further compensation, and winner assigns and transfers any and all rights, title and interest in the entry to the Sponsor, and, if required, will sign any documents necessary to transfer copyright and rights of publicity. Winner may have to certify in writing that his/her entry was original and produced by the entrant and no other person or entity holds rights to entry. The homeowner included in the Entry also will be required to sign a Publicity Release prior to submission of the Entry. If a homeowner will not sign a Publicity Release for the Entry, then the Entry cannot be submitted and will be considered void. All entries become the property of Sponsor and will not be returned. Sponsor is not responsible for any change of email address, mailing address and/or phone number of entrants. Only fully completed entries are eligible.

4. ENTRY AND BRANCH JUDGING PHASE: During the Entry and Branch Judging Phase, CSSs will submit their Entry to their Branch Manager. Each Branch Manager will conduct the initial judging of the Entries for their respective branch. The judging criteria will consist of: visual quality of photos showing before/after Sentricon product usage (60%); applicable use of Sentricon product(s) with homeowner’s property (20%); quality of the overall Entry (photos and testimonial) (20%). In the unlikely event of a tie, the Entry that will be submitted for the Finalist Judging Phase will be the Entry that receives the highest score in the “visual quality of photos …” category. Each Branch Manager will select up to two (2) Entries from their respective branch to be submitted into the Finalist Judging Phase; and the respective entrants will receive a Branch Entry Prize for being selected. All prizes will be awarded provided there are a sufficient number of qualified entries received.

5. FINALIST JUDGING PHASE: During the Finalist Judging Phase, all Branch winning Entries will be judged by the Strategic Implementation Team (“SIT”) comprised of designated Dow AgroSciences Sentricon representatives and marketing team members, whose decisions are final and binding, based on the judging criteria noted in rule 4. At the conclusion of the Finalist Judging Phase, the two (2) Entries with the first and second highest scores will be declared the Grand Prize winners — subject to verification. In the unlikely event of a tie, the winner will be the Entry that receives the highest score in the “visual quality of photos …” category. All prizes will be awarded, provided there are a sufficient number of qualified entries received.

6. GRANT OF RIGHTS: Each entrant into the Contest hereby irrevocably grants to Sponsor, its designees, affiliates, successors and assigns, the nonexclusive, irrevocable, fully paid, universal license to use, copy, sublicense, transmit, distribute, publicly perform, publish, delete or display the Entry in any media now known or hereafter devised including, but not limited to all forms of electronic media, print media and all forms of internet and wireless protocol in perpetuity and throughout the universe for advertising, marketing, publicity and promotional purposes in connection with the Contest and other promotions. Sponsor shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter the Entry for any purpose which Sponsor deems necessary or desirable, and each entrant irrevocably waives any and all so-called moral rights they may have therein.

7. WINNER NOTIFICATION: Potential prize winners will be notified by email, phone and/or mail, using contact information provided or collected at the time of entry. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If, despite reasonable efforts, a potential winner does not respond within seventy-two (72) hours of the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected. Sponsor, in its sole discretion, will attempt to contact up to three (3) potential winners of a prize in accordance with the above procedure, after which the prize in question may go unawarded if it remains unclaimed. If any potential prize winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines the prize for any reason prior to award, such prize will be forfeited and an alternate prize winner may be selected. Sponsor may select fewer than two (2) Grand Prize winners if a sufficient number of eligible entries are not received.

8. PRIZES AND APPROXIMATE RETAIL VALUES (ARV): Two (2) Grand Prizes (Final Judging Phase winners) — Each winner will receive $1,000 (to be awarded in the form of a check to the winner). Entry Prizes — Each submittal (maximum of 2 per CSS branch location – which entries to utilize must be determined within the CSS branch location) will receive a $50 Bank-issued, pre-loaded Gift Card. Gift card is subject to the terms and conditions associated with its use. Total ARV of all prizes is based upon participation, minimum being $2100. Unclaimed prizes will not be awarded. Applicable federal, state and local taxes on prizes are the sole responsibility of the prize winners. Limit one (1) Grand Prize and one (1) Branch prize per person.

9. GENERAL: Grand Prize winners will be required to sign and return a notarized Affidavit of Eligibility/Liability Release and, where permitted by law, Publicity Release within ten (10) days after first notification attempt. If prize notification or prize is returned as nondeliverable, prize may be forfeited and an alternate winner may be selected as provided in these Official Rules. No correspondence will be acknowledged. No cash equivalents, substitutions or transfer of prize permitted except that Sponsor reserves the right to substitute a prize of equal or greater value in the event that an offered prize is unavailable. Subject to all federal, state and local laws/regulations. Promotion Entities will not have any liability whatsoever for any injuries, losses or damages of any kind caused by any prize or resulting from acceptance, possession, use and/or misuse of any prize or participation in the Contest or any prize-related activities. Acceptance of a prize shall be construed as and signify the winner’s agreement and consent that Sponsor may use the winner’s name, voice, address, likeness and/or prize information, without limitation, for promotional purposes without further consideration, review, approval or payment, where allowed by law. By participating in this Contest, entrants agree to be bound by the Official Rules and the decisions of the judges, which are final and binding in all respects. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Contest or in the announcement of the prize.

10.LIMITATIONS AND RELEASES: Entrants agree that the Promotion Entities shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, due in whole or in part, directly or indirectly, to participation in the Contest or any Contest-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize. Sponsor assumes no responsibility for any damage to an entrant’s or any other person’s computer system that is occasioned by accessing any promotion website or otherwise participating in the Contest, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, the Promotion Entities are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, or stolen submissions, or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Contest, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. In the event an insufficient number of eligible entries are received or Sponsor is prevented from awarding prize(s) or continuing with the Contest as contemplated herein by any event beyond its control, Sponsor shall have the right to modify, suspend or terminate the Contest. If the Contest is terminated for any reason before the designated end date, Sponsor will (if possible) select the potential Finalist Entries and/or prize winners from all eligible, nonsuspect entries received as of the date of the event giving rise to the termination using the Finalist Entry Judging criteria as found in these Official Rules. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

12.WINNER’S LIST: For names of winners, to be available until 8/30/16, send a stamped, self-addressed envelope to: Sentricon® Houses from Hell Contest, Attn: Winner’s List, 13485 Bishop’s Drive, Brookfield, WI 53005. Winner’s list to be available after 6/30/16.
