RESOLUTION

A Resolution to authorize participation in the OMERS Supplemental Pension Plan for Police, Firefighters and Paramedics (“Supplemental Plan”), in respect of the benefits and employees identified herein.

Whereas section 11 of the OMERS Act, 2006 makes provision for optional increases in benefits for members of the OMERS Primary Pension Plan (“Primary Plan”) who are employed in the police and fire sectors (as defined therein).

And whereas the Supplemental Plan has been established to provide such optional increases in benefits.

And whereas pursuant to subsection 7(1) of the Supplemental Plan an employer which has elected to participate in the Primary Plan in accordance with the terms of that plan, and which has not terminated its participation in the Primary Plan in accordance with the terms of that plan, may participate in the Supplemental Plan and pay to the fund for the Supplemental Plan the total of the employer and member contributions, and has all of the powers necessary and incidental thereto.

And whereas pursuant to subsection 7(3) of the Supplemental Plan an employer may consent to provide coverage for a benefit described in subsection 2(3) of Supplemental Plan to a class of its employees by (a) adopting a by-law or resolution authorizing the provision of coverage to the class, and filing such by-law or resolution with the OMERS Administration Corporation (“AC”), and (b) entering into or amending a coverage agreement with the AC pursuant to which the employer consents to provide benefits under the Supplemental Plan to a particular class of its employees.

Therefore the Board of the (“Employer”) enacts as follows:

The Employer shall participate in the Supplemental Plan in Supplemental respect of each person who is eligible to be a member of the Plan) Supplemental Plan under subsection 11(1) of the OMERS Act, 2006 and who is employed by the Employer (“Employee”) in the class of employees identified in Schedule “1” of the OMERS Supplemental Pension Plan for Police, Firefighters and Paramedics Coverage Agreement attached hereto as Attachment 1 (“Coverage Agreement”) as of the coverage date identified in the Coverage Agreement in respect of the benefits described in the Coverage Agreement.

Any person who holds a senior management position with the Management Employer (“Senior Management Official”), as the Employer Official) may designate from time to time, is hereby authorized on behalf of the Employer to take all such action and execute all such documents, certificates and agreements, as they may consider necessary to give effect to the provisions of this Resolution, including, but not limited to, executing the Coverage Agreement and submitting a certified copy of this Resolution to the AC, and to fulfill the Employer’s duties and obligations with respect to the Supplemental Plan, as required from time to time.
