THIS SUB-RESELLER AGREEMENT referred to as Agreement is entered into this
This is ecoprintQ, Inc. PaperCut Sub-Reseller Partner Program for Value Added Resellers (VAR) and Distributors. Become a partner and get everything you need to put in a print solution from a software and terminal perspective to professional services and support.
We believe that all Partners of ecoprintQ, Inc. will benefit from such a program. To be ‘Authorized’ has its privileges.

Approved Discount off List Price for PaperCut Software Approved discount for software products interfacing with PaperCut Approved discount for hardware that are interfaced with PaperCut No Minimum Purchase Limit Complimentary Literature & Marketing Resources Remote Sales & Software Web Training at No Charge Telephone Sales Support Professional Services Guide Remote Installation services available for installation and configuration of PaperCut On-site Installation services available (request quote) Full access to the PaperCut Partner website with Unique Login & Password Full access to the PaperCut Certifications Program o Includes Sales & Marketing Exam & Certification o Includes Licensing & Ordering Exam & Certification o Includes Technical Exam & Certification PaperCut NFR license for in-house training, testing and support 40-day Trial Licenses as needed Partner Authorized Agreement

EcoprintQ Test Hardware Terms: As ecoprintQ continues to support your in-house test demonstrations and on-site Proofs of Concept, we realize the impact of having the appropriate hardware available. ecoprintQ is commited to send specific hardware to customer sites and demo rooms to support our project evaluations. ecoprintQ requires a Test Hardware Agreement form in order to ship the hardware to a specified location for a period of 60 days at no charge. If the hardware is not shipped back after 60 days ecoprintQ invoices your organization for the value of the hardware as agreed in the Test Hardware Agreement.
EcoprintQ Order Payment Terms: Payment terms will be credit card. We accept VISA, MC and American Express for orders related to Software, hardware and/or Professional Services placed with ecoprintQ. A processing fee of 3% will be added to your order. Alternative forms of payment accepted: a) Company check may be sent in advance when placing the order. b) Wire transfer ACH/Direct Deposit. Please contact our office to receive account information. NOTE: To apply for payment terms for orders related to Software, hardware and/or Professional Services placed with ecoprintQ please fill out reseller credit application which is located in the Reseller application page.
EcoprintQ Order Cancellation Terms:
If an ecoprintQ Order is canceled within 30 days of the initial order been placed, a credit will be issued ONLY if the original invoice has been paid and the following cancellation fees apply: • Software Cancellation Fee: $100.00 Cancellation Fee • Hardware Cancellation Fee: 20% Re-Stocking Fee • Professional Services Cancellation Fee: 0% ONLY to be returned as credit if they have not been performed, no credit applies on professionals services performed.
If an ecoprintQ Order is canceled after 30 days of the initial order been placed, a credit will be issued ONLY if the original invoice has been paid and the following cancellation fees apply: • Software Cancellation Fee: 30% Cancellation Fee • Hardware Cancellation Fee: 20% Re-Stocking Fee • Professional Services Cancellation Fee: 0% ONLY to be returned as credit if they have not been performed, no return applies on professionals services performed. ecoprintQ, Inc. will maintain confidentiality on any opportunity developed with the Partner and will not disclose any details of the project to any other dealer or partner.
If an ecoprintQ Order is canceled after 6 months from the initial order date, no credit will be issued as PaperCut does not permit order cancellations older than 6 months.

This will include service pricing as well as product pricing. Any quotation for software will be considered preliminary until a solution survey is completed.
This agreement does not supersede any formal price list, warranty or detailed service or support agreement.
The term of this agreement shall be for no less than one year and will automatically renew annually. This agreement may be cancelled by either party with 30 days’ with written notice.
