Whitehorse 2007 Jeux du Canada Games Host Society as represented by its President

(Collectively the "Parties")

WHEREAS the governments of Yukon, Northwest Territories and Nunavut signed the Northern Co-operation Accord on September 3, 2003 agreeing to promote cooperation between the three governments on matters of mutual concern and interest;

AND WHEREAS the 2007 Jeux du Canada Games Host Society desires to promote a pan-northern approach to hosting the 2007 Jeux du Canada Games (the "2007 Games");

AND WHEREAS the Parties wish to explore opportunities to formally collaborate in marketing both the 2007 Games and the natural beauty and cultural diversity of the Yukon Territory, the Northwest Territories and Nunavut (the "Territories") ;

AND WHEREAS the Parties wish to reflect in this Memorandum of Understanding (this "MOU") their understanding as to how they will work together in promoting their mutual interests;

NOW THEREFORE the Parties understand and agree as follows:

1 . PURPOSE

1 .1 The parties agree to promote co-operation and information sharing among the Parties for the purpose of form identifying specific opportunities, tasks and resources that will the basis of a pan northern games hosting relationship.

2. SCOPE OF CO-OPERATION

Cooperation between the parties will focus initially on the following specific areas:

2.1 A Pan Northern national marketing/broadcasting campaign designed to promote the 2007 Games as well as feature the Territories in various respects including their people, land, culture, and their artists;

2.2 Programs to promote northern business and tourism opportunities in the Territories ;

CK"WA 2.3 Programs to develop and train athletes, coaches and officials in the GAME-- Territories for the 2007 Games; and

2.4 Activities that support and promote the 2007 Games throughout the Territories.

3. DEVELOPMENT FRAMEWORK

3 .1 The parties agree to establish, within one (1) month of the signing of this MOU, a Planning Committee to coordinate the development of a work plan to implement this MOU.

3.2 The Chair of the Planning Committee will be Mr. Jim Antoine. The Government of Yukon will fund the cots of the Chair of the Planning Committee.

3 .3 The Planning Committee will be comprised of not more than two members from each of the parties, not including the Chair. Each party will name their representatives and cover their expenses.

3 .4 In developing its work plan, the Planning Committee may identify opportunities for partnerships with non-governmental groups and organizations as well as aboriginal governments and their agencies.

3 .5 The Planning Committee will present a work plan for approval by the parties by January 31, 2005.

3 .6 Notwithstanding section 3.5, the Planning Committee may propose and the Parties may approve high priority initiatives, such as a Pan Northern national marketing campaign, before January 31, 2005.

4. IMPLEMENTATION FRAMEWORK

4 .1 The parties further agree to establish an ongoing Pan Northern Cooperation Committee to coordinate the implementation of the work plan . The Whitehorse 2007 Jeux du Canada Games Host Society will name the Chair of the Pan Northern Cooperation Committee.

4.2 The Pan Northern Cooperation Committee will be comprised of not more than two members from each of the parties, not including the Chair. Each party will name their representatives and fund their salaries and/or expenses.

4.3 The Pan Northern Cooperation Committee will assess progress of the implementation of the plan on an ongoing basis, identify new opportunities for -jr'UX DU- CANADA collaboration and report regularly to the Premiers of the Territories and the -GAMES-- President of the 2007 Jeux du Canada Games Host Society.

4 .4 The Committee will convene as required by means of in person meetings and/or teleconference calls. 5. TERMS AND PROVISIONS

This agreement will be in force as of the date of its signature. It may be terminated, by written notice of any party to the other, six months prior to the desired termination date.

To ensure relevance of the agreement with current issues and priorities, the parties may, by joint agreement, amend this Memorandum of Understanding at any time by exchange of letters. This MOU is signed by the parties on this 2005 .
