GRANT OF LICENSE: 1. OCIA International, Inc. grants a non-exclusive license to the OCIA-certified Processor/Handler named below for the application of the OCIA registered trademarks, names and/or seals as specified by the program to which the final consumer product(s) is/are certified. The license is limited to use of the trademarks, names and/or seals for promoting products certified by OCIA International, Inc. This license only grants the use of the OCIA registered trademarks, names and/or seals to the OCIA-certified Processor/Handler. In no case shall the Private Label Registrant be allowed use of the OCIA registered trademarks, names and/or seals. TERMS OF THE LICENSE: 2. By signing this agreement, the OCIA-certified Processor/Handler agrees to: 2.1 Provide complete, accurate and truthful information a) on all documents submitted in support of an application for private label registration and b) when responding to written/oral inquiries regarding the application materials. 2.2 Comply with all applicable laws, regulations, ordinances and other government requirements. 2.3 Adhere to all applicable labeling standards and agree to use only the seals/logos/identification marks for the programs which the final consumer product(s) is/are certified. 2.4 Annually submit a) a complete Private Label Registration Licensing Agreement with signatures of authorized representatives affirming their truthfulness and b) payment of all fees when due. 2.5 Notify OCIA immediately of any changes affecting the legal status of the operation. 2.6 Notify OCIA immediately of any changes to the product name. 2.7 Act in a manner that upholds OCIA’s reputation and the integrity of organic certification and relay only truthful information regarding the scope and status of the certified products. 2.8 Provide information to OCIA when warranted by misuse of the OCIA seal, name or good will, including product labeling, misleading claims regarding certification, and advertising. 2.9 Immediately cease and desist from using the OCIA seal and/or name in association with its products in the event that your certification as the Processor/Handler and/or the products that are covered under the Private Label Licensing Agreement are surrendered, suspended, revoked or otherwise terminated. 3. By signing this agreement, OCIA International, Inc. agrees to act in a neutral manner and to maintain strict confidentiality for any information obtained from Registrant regarding its Private Label operation unless: 3.1 Registrant provides written permission to release the information, 3.2 The information is required by law or an accreditor to be disclosed to the public, 3.3 The information is required by law to be disclosed to a third party and the disclosure is made known to the Registrant, or 3.4 The information is necessary in a certification action regarding another associate or registrant and the disclosure is made known to the Registrant. 4. This agreement shall remain enforceable throughout the period of the Registrants registration, terms regarding use of the OCIA seal and name are further protected by federal and international trade mark registrations and shall remain enforceable in the event that this agreement is terminated by OCIA or by Registrant.

I acknowledge that with my signature, I agree to the terms of this agreement and understand that any failure to honor these terms may be cause for denial, suspension, or revocation of registration.
