This contract made by and between Morgan Hill Farm &______, (Mare owner or lessee) for the breeding of the following mare to the stallion, ______, for the breeding season of ______and is subject to the following conditions.

The mare owner may not substitute another mare for the breeding without prior written consent of Sc Morgans. Embryo transfers are also prohibited without prior written permission of Sc Morgans. Sc Morgans also reserves the right to approve ALL mares.

2. FEES: A. $200.00 Booking Deposit - (Non-refundable) Due at the signing of this contract. (Deducted from stud fee) B. ______Stud Fee for stallion: .

D. Mare Owners Cost Over-Night Shipping Fee for fresh cooled semen (Applies to every shipment)

E. _____N/A______Shipping Container Deposit. Deposit is refundable upon return of shipping container in good condition. We use Equine Express shippers. Shipper MUST be returned by over-night, 2nd day priority mail or Federal Express within three days of receipt and use of semen or a $5.00 per day, late fee will apply.

ALL FEES and COSTS (including stud fee) must be PAID IN FULL , before semen will be shipped or mare is bred (unless prior arrangements have been agreed upon).

3. RESERVATIONS FOR SHIPPED SEMEN: Receipt of the above booking fee and signed contract, confirms reservation to breed to: , for the present breeding season: .

A. The mare owner requests the following month for breeding: ______. B. All semen orders must be received at least 3 DAYS before the requested collection date. Mare owner understands that scheduling of collections must be made in advance due to ‘jump’ mare availability.

4. Conditions: A. Stallion service will be provided only to healthy mares in sound breeding condition, as determined by a veterinarian. B. Morgan Hill Farm requires the submission of a negative uterine culture 30 days prior to breeding. If culture is negative but mare fails to settle on the first or second cycle, Sc Morgans may, at their discretion, require additional tests. In all cases the mare’s immunizations for Equine Rhinopneumonitis must be kept current. C. The mare owner certifies that the said veterinarian practices Equine reproduction as a regular part of his/her practice, is available for routine palpations, cultures, ultrasounds and other necessary procedures and has consented to oversee the breeding of the said mare on a regular basis. D. The said mare must be ultrasounded for pregnancy between 15 – 35 days after the last breeding and the results mailed to Sc Morgans before more shipments will be shipped to the mare.

5. RETURN OF SERVICE: The mare owner shall have the right of return for this mare to the stallion’s services in the following season in the following circumstances: a) If the mare does not settle during the present breeding season and the owner submits a veterinarian’s certificate to the effect, she is eligible for one return of service to the stallion. b) If the mare is examined in foal but becomes barren during gestation, she is eligible for return if Morgan Hill Farm receives a veterinarian certificate of barrenness mailed within 5 days of the examination. c) If the mare produces a live foal that is unable to stand and nurse, and subsequently dies, a veterinary certificate MUST be provided within 5 days from the date of death. d) In all cases, the required veterinary certificate shall affirm that the mare had been immunized for Equine Rhinopneumonitis during pregnancy and the dates of said vaccinations. When appropriate the certificate shall also confirm that the mare was properly cared for during gestation and was attended at foaling. Morgan Hill Farm requires a timely receipt of the required veterinary certificates. This is a condition precedent to ANY right of return. e) All rights of return to the stallion are subject to prepayment of the costs set forth in #2 of this contract.

6. UNFIT FOR SERVICE: If prior to the breeding of said mare or after the mare has been bred but not in foal, the stallion dies or becomes unfit for service, mare owner may use an alternate breeding stallion (if available).

7. REGISTRATION OF FOAL: Morgan Hill Farm agrees to execute all the necessary documents for the registration of resulting offspring. All expenses associated with registration will be the expense of the mare owner. Any outstanding fees due to Morgan Hill Farm must be paid in full BEFORE any paperwork will be executed.

8. NON-ASSIGNMENT: This contract cannot be assigned or transferred by the mare owner. There shall be no right of return to the stallion if the mare is sold or otherwise changes ownership after having been serviced by the stallion.

9. WARRANTY: Morgan Hill Farm is not responsible for lost, delayed or damaged semen and makes NO REPRESENTATIONS or WARRANTIES of any kind with the respect to any semen furnished hereunder except that it is the contracted stallion.

10. GOVERNING LAW: This contract shall be governed by the laws of the State of Vermont and shall be binding upon the parties hereto and their personal representatives.
