2008 ANNUAL MEMBERSHIP MEETING MINUTES

May 14, 2009

CALL TO ORDER

A Swift Creek Community Owners’ Association, Inc. Membership meeting was called to order by Jim Ruckel at 6:35 PM. on May 14, 2009 at the Swift Creek Community Center, 251 Sweetwater Run, Niceville, FL 32578.

ESTABLISH QUORUM

A quorum was attained. Members of the Board of Directors present were Darlene Taylor, Vice President & Secretary; Jim Ruckel, President; and Dick Schoditsch, Treasurer. Mike Chesser, Director, was absent. A quorum of owners was established with those present and executed proxies.

PROOF OF NOTICE

A Proof of Notice of Mailing Affidavit is on file at the Swift Creek Community Owners’ Association, Inc. office.

DISPOSITION OF PREVIOUS MINUTES

Brian Braziel made a motion to approve the April 15, 2008 minutes as written, Mike Kucera seconded the motion. Approval was unanimous.

REPORT OF OFFICERS

There were no reports from officers. Dick Schoditsch deferred his treasurer’s report to be made by the Manager, Beth Clark, with her report.

COMMITTEE REPORTS

Community Center Committee: Donna Hahn reported that the Community Center is being used very frequently for private functions. The fee income offsets expenses in the Association’s budget. She also made mention that the 4 th Annual Community Yard Sale is scheduled for the last Saturday in September. This committee also publishes the quarterly newsletter which can be viewed on the homeowners’ website, www.swiftcreeklots.com

Grounds and Maintenance Committee: Although absent at this meeting, Craig Ewing volunteered to be the Grounds Committee Chairman. Other committee members are: Patricia Lilley, Guy Wills, Eileen Summit, Mike Kucera, Michelle White, and Doug Tolbert. The committee planned a day in April to plant 100 Sweet Viburnum shrubs along the wooden privacy fence at the south entrance. Some children from Rocky Bayou Christian School volunteered kindly to dig the holes for the shrubs and a group of volunteer owners planted them. The committee is looking forward to future projects including shrubs along the remaining portion of the fence and re-foresting the hillside in the same area.

Finance Committee: There has not been a volunteer for the chairperson position of the Finance Committee since Chad Hamilton resigned last year. However, Beth Clark, the manager reported to the owners that the existing committee members, Jim Summitt, John Hahn, Doug Gaylord and Sharon Pederson as well as the Board of Directors receive the financial statements monthly and address any questions they have at that time. 2009 MINUTES PAGE 2

Welcome Committee: Cathy Wilson, the Chairperson of the Welcome Committee reported that there have been 11 sales in 2009 thus far, 4 were homes and 7 were lots. A representative from the committee calls and meets with the new owners at their convenience. A packet of information in a Swift Creek logo bag is given as a welcome gift. Cathy also reminded those present that there is a pot-luck scheduled for the next evening, May 15th, at 6p.m. to meet and greet neighbors.

MANAGER’S REPORT

The Manager’s report from Beth Clark is summarized in writing and made a part of these minutes. She also asked for questions from the floor. In addition to the Manager’s Report, Beth reviewed the financials with the homeowners. The expenses to date are in accordance with the budget with the exception of the swimming pool. The pump motor had to unexpectedly be replaced, two new drain covers were required to be installed and other minor circumstances caused the swimming pool line item to be more than $5,000 over budget. However, a credit of $800 or $900 may be realized if the replaced motor can be sold through Aqua Pool Company. Beth also stated that the Association had developed a reserve budget last year and it is fully funded to date. The Accounts Receivable balances include two lots in foreclosure, two vacant homes, and three other homes with sales pending, and a lien and judgment on the “big house”, L23 &24, Phase 4.

OLD BUSINESS

A discussion ensued regarding the status on the “big house” and the Association’s ability to make the builder complete it. The attorney was not present to answer questions that management and the Board couldn’t answer. As stated previously, there is a lien on the property and a judgment recorded against the owner. The attorney may recommend collecting on the judgment as the next course of action.

NEW BUSINESS

Tax Savings Resolution: John Hahn made a motion to approve the tax savings resolution for 2009 which is attached and made a part of these minutes. Susan Hicks seconded the motion. Motion passed unanimously.

The floor was opened for owner questions. One question was about the possibility of planting more shrubs along the RBCS privacy fence. Beth’s reply was that it is not a budgeted item this year, but if the cash flow allows for it later in the year, the Board may want to fund the project. A second question was about the “no trespassing” signs in the woods that have been knocked down. Beth explained that the property in question does not belong to Swift Creek, but to Ruckel Properties, Inc. and that they installed the signs. She will inform RPI maintenance about them. A third question was about trees that have grown up around the street lights and block them from clear view. Beth replied that all affected owners were notified but not given a deadline. They were asked to remove limbs themselves or if they didn’t object, Beth would call Gulf Power Company to trim them. More action will be taken on this item.

There being no further items for discussion, the meeting was adjourned.
