INDEMNIFICATION / HOLD HARMLESS AGREEMENT

The undersigned does hereby irrevocably covenant, promise and agree to indemnify North Passage Homeowners Association, Inc., its officers, directors and agents and its Managing Agent, the Managing Agent’s officers, directors and employees, and to hold harmless from and against all losses, claims, expenses, suits, costs, demands, damages or liabilities, joint or severable, of whatever kind or nature which they may sustain or to which they might become subject arising out of or relating in any way to my /our use of the Community Clubhouse and/or Patio for a private gathering, including without limitation attorney’s fees, costs and expenses actually incurred in defending against or enforcing any such losses, claims, expenses, suits, damages or liabilities. The undersigned also states and affirms that he/she has fully read and has in unequivocal terms stated his/her own full and complete understanding and acceptance without limitation to any and all the terms of this Indemnification / Hold Harmless Agreement. He/she also understands and accepts without limitations or reservations that by using the Association facilities for the member sponsored function indicates full consent to all the Terms of this Agreement. He/she also understands and acknowledges that the use of the Association’s facilities for the member sponsored function shall be sufficient consideration to support this Agreement. The term of this agreement shall remain in full force from the commencement of the private (non- Association related) function until all parties, whether members or guests, have left the common area. Commencement of activity shall include preparation preceding the activity and include any clean up or removal of equipment following. The undersigned also agrees that he/she will pay a $150 use fee, and a $300 refundable deposit for use of the Clubhouse / $25 use fee for the patio and $ 25 refundable deposit. The deposit will be returned to the member pending inspection for damages. The non-refundable fees are for cleaning and future refurbishment. The undersigned also agrees to follow the attached procedures and rules governing the use of the common facilities.

NORTH PASSAGE HOMEOWNERS ASSOCIATION, INC. 8710 SE Riverfront Terrace Tequesta, Florida 33469 Rules For Resident Usage Of The North Passage Clubhouse/Patio (Private Parties)

Prior to setting up any private function, the Recreation/Social Committee must be contacted to ensure that the private function will not conflict with the Committee’s yearly Social Calendar. The resident must complete the attached application in its entirety, sign the Indemnification /Hold Harmless Agreement and attach one $150 check for Clubhouse use and one $300 check for deposit OR two $25 checks for patio use, payable to North Passage Homeowners Association. Submit completed application to the Association Manager at least 14 calendar days prior to the desired date. One check will be held as a damage deposit and will be returned to the resident upon inspection of the premises. The other check will be deposited in the North Passage account, which will cover the cost of clean up and future refurbishment. Security personnel must be furnished a list of guests expected so that there will be no delay in admitting them to the community. No entry will be granted to any person not listed. Please attach a guest list to application. All private functions must end and the Clubhouse / Patio area vacated no later than 11:00 PM, on the evening of the reservation. It will be the member’s responsibility to clean up all garbage and food and clean out the refrigerator if used. The trash must be properly bagged and tied and taken to the resident’s home for disposal. The Association clubhouse has no provisions for trash collection. All personal property must be removed from the premises before vacating. The Association will assume no responsibility for items left behind. The pool may not be used in connection with the Clubhouse for a private function. If both the Clubhouse and Patio are to be used for the private function, be advised that wet swimsuits are strictly prohibited in the clubhouse. There shall be NO GLASS CONTAINERS IN THE POOL/PATIO AREA. All food or beverages shall be consumed on the patio or in the clubhouse. There shall be no food or beverages on the wet deck of the pool. There shall be no cooking or barbecuing on the deck except for Association sponsored functions. All Patio activities must end and the pool area vacated at sundown . Restrooms shall be accessed from the outside on the east side of the building for those residents using the pool. Bathing attire is not permitted in the Clubhouse. Monitor the alcohol consumption of your guests. All guests shall maintain sobriety. The Association assumes no responsibility for any injuries suffered before, during and after the private function. The signing of the Application and receipt of these rules acknowledges the indemnification of the Association and releases and holds harmless the Association, its officers, directors and agents including but not limited to it Managing agent, the Managing Agent’s officers, directors or employees from any responsibility arising out of or pertaining to the use of the common facilities for any privately sponsored gathering. In addition to the conditions stated herein, the attached Rules and Regulations must also be adhered to. Violation of the rules may preclude the member from future use. Your cooperation and compliance is greatly appreciated.
