Public Invitation for the sale of shares of the HTP»BOKA« - AD Herceg Novi company (hereinafter »Company«)

The Agency of Montenegro for Economic Restructuring and Foreign Investment herewith invites qualified international and domestic strategic investors to submit their bids for the purchase of:

15.046.899 shares or 57.2862 % of the share capital of the HTP»Boka«-AD Herceg Novi company , owned by the Republic Fund for pension and disability insurance (6.868.480 shares or 26.1495%),Employment Bureau (2.289.494 shares or 8.7165%) and Development Fund of the RoM (5.888.925 shares or 22.4202%) .

Detailed information about the privatization process, along with tender documentation will be made available to all interested parties that have signed a Confidentality Agreement and purchased the Tender Documents ( Information memorandum, Instructions to Bidders along with bid evaluation criteria, and draft of the SPA), for five thousand Euros (EUR 5.000). As a prerequisite for submitting a Bid, payment of a deposit, or a bank guarantee, for the Privatization Council as a beneficiary in the amount of one hundred fifty thousand Euros (EUR 150.000), is required.

The deadline for submission of the final offers by the Bidders is August 1. 2005, at 15.00 (Podgorica time).
