FIFTH ANNUAL & BUDGET RATIFICATION MEETING MINUTES Wilder Elementary School, 22130 NE 133rd St, Woodinville, WA OCTOBER 30, 2012

CALL TO ORDER

Rich Hagemeyer, President, called the meeting to order at 7:32 pm.

INTRODUCTION

The Board members in attendance were Rich Hagemeyer, President and Ram Thiru. Assisting with the meeting was Dawn Mertens of Palette Property Management.

ASSOCIATION RESPONSIBILITIES

Rich provided information regarding the responsibilities of the Board of Directors. Dawn Mertens reviewed Management’s role with the Association to those members present.

PURPOSE

Management stated the purpose of the meeting is to ratify the 2013 Approved Budget.

STATEMENT OF QUORUM

The association is currently under Class B control with 467 units having closed escrow at the time of this meeting requiring thirty-seven (47) owners of separate interest lots (10% of Class A voting members) in attendance or by proxy. It was determined that nine (9) members were in attendance*, twenty (20) homeowner proxies, and sixty-two (62) Class A builder proxies in hand for a total of 91 lots representing 19% of the membership. A quorum was achieved to conduct the business as outlined in the Meeting Notification Letter of October 15, 2012.

MINUTES

Dan Polig motioned to waive the reading of the October 24, 2011 Annual Meeting minutes and the October 27, 2011 Unanimous Consent Without Meeting Organizational minutes and approve as is. Rich Hagemeyer seconded the motion, all in favor, none opposed. Motion carried.

RATIFY THE 2013 BUDGET:

Dawn Mertens affirmed that the dues have been $900 per year for five (5) years and until the community is completely built out and all actual amenities have been installed and identified the dues will most likely remain the same. For the second consecutive year, the approved budget reflects the waiving of the1st Quarter 2013 Dues creating a reduction in the annual payment due from $900 to $675.

Bill Herron inquired about the water usage line item noting that it’s over budget for 2012 and how is the HOA monitoring this. Rich Hagemeyer stated that the Board has directed Management to provide additional research and information regarding the water usage for better analysis. Dawn Mertens stated that there is a combination of factors, the rates have been increased from $9.61 per cubic feet to $10.04, there have been a few breaks and the builder and developer will be reimbursing the HOA for some usage.

Dan Polig asked if there was any information on why the rates increased and how that works. Management will inquire further.

Bill Herron made a motion to ratify the 2013 budget at $900 per year, though waiving the 1 st Quarter 2013 dues – to be billed in calendar quarterly installments of $225 per owner, seconded by Dan Polig. All in favor. No oppositions. Motion carried and 2013 budget is ratified.

NEW BUSINESS:

2012 HIGHLIGHTS: Rich Hagemeyer spoke of the successful events; the 4th Annual Family Fun Day, the 4th of July Parade and fireworks show, an Easter Egg Hunt and two (2) garage sales and the booming usage of the Bristol Park Picnic Shelter for events.

Committees: The Neighborhood Watch Committee was created this year by Heather Snow and Monica Acciaresi which has been meaningful and successful to the community. Thank you Heather & Monica!

Ongoing building and our growing HOA: Division 9, Deveron, has been turned over to the HOA, which includes the small park, a landscape tract and street rows along Cedar Park Crescent, Division 10, Brighton Trails, and Division11 will be turned over before the 2012 year end.

2013 GOALS: The Board is considering a restroom facility near Bristol Park for the purpose of accommodating large events. To continue to encourage, assist and facilitate committees working on behalf of the Associations interests.

ADJOURNMENT There being no further business to discuss Ram Thiru made a motion to adjourn at 8:15 P.M. Dan Polig seconded. All in Favor, no opposed and Motion carried.
