Minutes of Regular Board of Directors’ Meeting March 17, 2007

President Neil Hayslett called the Regular Meeting of the Massanutten Property Owners Association Board of Directors to order at 9:00 a.m. in the MPOA administrative building. Those Board Members in attendance are: Neil Hayslett, Sally Cureton, Eddie Shuff, Rick Childs, Clint Robertson, Robert Neely, Brian Koerner, Grover Jaeger, Jim Justis, MVOA Representative and Developer Representative Candy Matthews. Board Members absent are Betty Newell, Michael Boyle, and Charles Lotts. Also, in attendance are Administrator Carter Miller, Attorney Jay Litten, Finance Manager Gary Monger, two (2) property owners, Patty Watson of Villager Publications and Iva Gordon as recording secretary.

President Hayslett welcomed all Board Members and guests and opened the meeting of the MPOA Board of Directors.

Board Member Jaeger made a motion to approve the Minutes of February 26, 2007 as distributed. Rick Childs made a second and the motion carried.

No meeting was held by the Investment Committee but a financial report as of February 28, 2007 is accepted as distributed.

The Nominating Committee report was presented by Eddie Shuff. President Hayslett appointed Nancy Salem to the Nominating Committee on March 13, 2007. Board Member Shuff made a recommendation for reappointment of Danny Coffman and Wendelyn Turley to the A&EC Committee. Grover Jaeger made a second and the motion carried for term ending May of 2010. The Nominating Committee presented the slate of nominees for Board Member. The nominees are: Michael Chelst, Peggy Ciniero, Basil Hangemanole, Gene Hauze, Alicia Mooney, Robert Neely (incumbent), Janet Schultz, Cathy Snyder, Michael Turner, Neal Woodard, and Wayne Lewandowski. The Board accepted the list of candidates.

The Architectural and Ecological Control Committee Minutes of March 8, 2007 were accepted as presented.

Minutes of March 7, 2007 were accepted from the Long Range Planning Committee as distributed.

No minutes were available from the Ways and Means Committee. Administrator Miller stated that the Ways and Means Committee members would like for the Board to consider merging Long Range- Planning and the Ways and Means Committees. Following discussion, consensus is that the two committees are needed as separate groups, for the present time. Board Member Cureton reported the possibility of recruiting a type of coffee shop for additional business revenue consideration.

The Social Committee is currently preparing for “Monte Carlo Nite” on March 30, 2007, per Carter Miller.

Sally Cureton reported that the 2007 directories were delivered and the block captains are in the process of making deliveries.

The Executive Committee held no meeting(s).

The financial report for period ending February 28, 2007 was presented by Financial Manager, Gary Monger. Variances have been generated by the lack of snow in January and the continuous of snow in February. Financial Manager Monger stated that the rental program continues to exceed last year but is below budget for 2007.

Administrator Miller updated the construction plans on Resort Drive from Route 33 to the intersection of Bloomer Springs Road. After speaking with the building department personnel, MPOA will need to add costs to the basement renovations Double sheetrock is being required by the building department since this will be a meeting room. Board Member Robertson asked if two pillars at the main mail station could be removed to add parcel boxes. Changes must be approved by the post office, per Administrator Miller.

Property Owner Jeannette Smith requested the MPOA Board contact the County Board of Supervisors to reduce the speed limit on Bloomer Springs Road to 35 miles per hour. This would begin at the inter- section with Resort Drive to Route 33 at Hank’s. Resort Drive from the intersection of Bloomer Springs to Massanutten Drive is expected to begin in 2008.

Board Member Robertson requested an update from the meeting of the Rules Committee on February 20, 2007. Per Administrator Miller, the owner of the property is not contesting the fine and payment will be forthcoming.

Developer representative, Candy Matthews reported that the ski slopes and tubing area will close for the 2006 – 2007 season on Sunday, March 18, 2007. Current statistics show 30,000 skiers less and tubing had 20,000 patrons less than last year.

Jim Justis of the Mountainside Villas Owners Association has nothing new to report.

Following review and discussion, Board Member Jaeger made a motion to accept the “Massanutten Rules and Regulations” as amended. Eddie Shuff made a second and the motion carried.

In response to Property owner Gene Hauze request, Administrator Miller reported no response from the post office or Mr. Goodlatte in reference to special handling being delivered to Massanutten homes.

Administrator Miller reported the hiring of the accounting firm to fight the MPSC excessive rate increase.

Being no further business to address, Board Member Jaeger made a motion to adjourn at 10:35 a.m. Bob Neely made a second and the motion carried.
