Update Amalgamation process with Belmont Golf Club
The MOU was signed off by both clubs on the 23rd August 2017 marking a major step toward amalgamation. A copy of the document is posted on club's web site for your reference (www.belmontbowlo.com.au) under heading Notices
I can advise we received yesterday an order from Fair Trading under Co-Operatives National Law (NSW) Section 359(3) exempting BBC from the requirement to conduct two postal ballots. Our Lawyers will submit a disclosure statement to the Registry for review and approval.
Once the approved disclosure statement is at hand a special meeting of the BBC members will be called to vote on the amalgamation. Prior to that voting meeting, an information meeting will be held to consider the MOU and address comments and question from the members.
The copy of the disclosure statement will be forward to BBC club members together with two resolutions for your consideration. The voting meeting mentioned above will also cover voting on both resolutions. Annual General Meeting (AGM) 2017
The board has set AGM for 9.30am 24th September 2017. Notice and resolution around core assets have been mailed to current club members for their consideration.
Once the AGM agenda is completed members will be invited to participate in an information session. Club lawyer Tony Johnston and amalgamation facilitator Peter Mclean will present an overview of the amalgamation process and requirements of the MOU document. Members will be able to ask questions and have any concerns addressed.
Copies of financial statements for year ending 31st May 2017 are available from the office at the club High Street Belmont.
Expressions of Interest BBC Property
Early indications suggest encouraging interest in our property. Hopefully more to advise in the coming weeks.
I trust our members will understand additional period was required around the MOU development and sign off by both clubs, and the seeking exemptions from the registry for postal voting. We are now entering the exciting period of the amalgamation process.
