Oxford Babe Ruth Constitution and By-Laws

Constitution

ARTICLE I - NAME

This organization shall be known as the Oxford Babe Ruth Inc, chartered in Oxford, Connecticut by Babe Ruth League, Inc, a New Jersey corporation. Here in will be known as Oxford Babe Ruth League.

ARTICLE II – PURPOSE & OBJECTIVE

Section 1 The purpose for which this league, Oxford Babe Ruth Inc, is organized, is to develop and operate a baseball program in affiliation with Babe Ruth League, Inc., a New Jersey corporation, in conformity with and pursuant to the principles, rules and regulations enunciated by said Babe Ruth League, Inc.

Section 2 In conjunction with such purposes, the objective of this league, Oxford Babe Ruth Inc, is that, through the medium of a supervised, competitive baseball and softball program, guided and governed by said Babe Ruth League, Inc., this league will seek to implant in the youth of the community ideals of good sportsmanship, honesty, loyalty, courage and reverence, so they may be finer, stronger and happier youths who grow to be good, clean healthy adults. All Directors, Officers and Members shall bear in mind that the attainment of exceptional athletic skill or the winning of games is secondary, and the modeling of future citizens is of prime importance. In accordance with Section 501-(C)-(3) of the Federal Internal Revenue Code, the Oxford Babe Ruth Inc shall operate exclusively as a non-profit educational organization providing a supervised program of competitive baseball and softball games. No part of the net earnings shall inure to the benefit of any private shareholder or individual; no substantial part of the activities of which is carrying on propaganda, or otherwise attempting to influence legislation, and which does not participate in or intervene in any political campaign on behalf of any candidate for public office.

ARTICLE III –AFFILIATION

This league, Oxford Babe Ruth Inc, shall be affiliated with Babe Ruth League, Inc., a New Jersey corporation, and shall be governed by, and shall comply with the principles, rules and regulations enunciated and decreed by Babe Ruth League, Inc.

ARTICLE IV – JURISDICTION

The principal operations of this league, Oxford Babe Ruth Inc, shall be in and about the town or Oxford, County of New Haven, and State of Connecticut, but may extend into such areas as provided for by the State, Regional, or National Headquarters rules and regulations.

1 ARTICLE V – LEAGUE POWERS This league, Oxford Babe Ruth Inc, shall have the following powers in addition to the powers expressly or implicitly conferred on it by law.

a. To make and enforce rules and regulations to govern itself on a local basis, but consistent with and not contrary to any rules and regulations promulgated by Babe Ruth League, Inc., a New Jersey corporation, or by the Regional, or State echelons of said Babe Ruth League, Inc., to which this league, Oxford Babe Ruth Inc, is subject.

ARTICLE VI - MEMBERSHIP

Section 1 Eligibility - Any person sincerely interested in active participation to affect the objective of this Local League may apply to become a member.

Section 2 Classes - There shall be the following classes of Members: (a) Player Members - Any player candidate meeting the requirements of Babe Ruth League, Inc. and who reside within the authorized boundaries of the Local League shall be eligible to compete for participation but shall have no rights, duties or obligations in the management or in the property of the Local League (b) Regular Members - Any person actively interested in furthering the objectives of the Local League may become a regular member upon election as hereinafter provided. The secretary shall maintain the roll of membership to qualify voting members. Only regular members in good standing are eligible to vote at the annual meeting. All Officers, Board Members, and other elected or appointed officials must be active Regular Members in good standing.

Section 3 Other Affiliations

(a) Members, whether Regular or Player, shall not be required to be affiliated with another organization or group to qualify as members of the Local League for baseball.

(b) Regular Members should not be actively engaged in the promotion and/or operation of any other baseball program, which may in any way conflict with the interests and/or operation of Oxford Babe Ruth Inc.

2 ARTICLE VII - OFFICERS, DUTIES AND POWERS

Section 1 Officers The Officers of the Local League shall consist of a President, one or more Vice-Presidents, a Secretary, and Treasurer, all of whom shall hold office for the ensuing year. There are no restrictions or limitations on the number of years an officer can be reelected.

Section 2 President The President shall perform the following duties: a) Conduct the affairs of the Oxford Babe Ruth League and execute the policies established by the Board of Directors. b) Assume full responsibility for the operation of the local league. c) Appoint all committees and supervise the activity thereof. d) Communicate to the Board of Directors, such matters as deemed appropriate, and make such suggestions as may tend to promote the welfare of the Oxford Babe Ruth League. e) Be responsible for the conduct of the Oxford Babe Ruth League in strict conformity to the policies, principles, Rules and regulations of Babe Ruth League, Incorporated, as agreed to under the conditions of the charter issued to Oxford Babe Ruth League by that organization. f) Investigate complaints, irregularities and conditions detrimental to the Oxford Babe Ruth League and report thereof to the Board or Executive Committee as circumstances warrant. g) Review finances with the Treasurer and submit an annual budget h) With the assistance of the Player Agent, examine the application and support proof-of age documents of every player candidate and certify to residence and age eligibility before the player may be accepted for tryouts and selection.

Section 3 Vice President The Vice President shall preside in the absence of the President and carries out such duties and assignments as may be delegated by the President.

Section 4 Secretary The Secretary shall: a) Be responsible for recording the activities of the Oxford Babe Ruth League and maintain appropriate files, mailing lists and necessary records. b) Perform such duties as are herein specifically set forth, in addition to such other duties as are customarily incident to the office of Secretary or as may be assigned by the Board of Directors. c) Maintain a list of all Regular Members, Directors, and committee members and give notice of all meetings of the Oxford Babe Ruth League, the Board of Directors and Committees. d) Keep the minutes of the meetings of the Members, the Board of Directors and the Executive Committee, and cause them to be recorded in a book kept for that purpose. e) Conduct all correspondence not otherwise specifically delegated in connection with said meeting and shall be responsible for carrying out all orders, votes and resolutions not otherwise committed. f) Notify Members, Directors, Officers and committee members of their election or appointment.

3 Section 5 Treasurer The Treasurer shall: a) Perform such duties as are herein set forth and such other duties as are customarily incident to the Office of Treasure or may be assigned by the Board of Directors. b) Receive all monies and securities, and deposit it in depository approved by the Board of Directors. c) Keep records for the receipt and disbursement of all monies and securities of the Oxford Babe Ruth League, including the Auxiliary approved all payments from allotted funds and draw checks thereof in agreement with policies established in advance of such actions by the Board of Directors. All disbursements by check must have dual signatures. d) Prepare an annual budget, under the direction of the President, for submission to the Board of Directors. e) Prepare an annual financial report, under the direction of the President, for submission to the Membership and Board of Directors. f) Will be responsible and participate on all committees dealing with the receipt or allocation of Babe Ruth League funds.

4 ARTICLE VIII – DIRECTORS

Directors Directors of the Local League shall consist of a Player Agent, Umpire and Chief, Babe Ruth (13-18), Cal Ripken Majors, Cal Ripken Minors, Cal Ripken Rookie, Cal Ripken T-Ball, Equipment Manager, Website director, Field coordinator, All-Star Coordinator, Fall-Ball Director, Scheduler, and Stand Coordinator. Due to the sizes and volunteers running for the Oxford Babe Ruth Board, positions may be combined. i.e. Major and Minor Director. There are no restrictions or limitations on the number of years a director can be re-elected.

ARTICLE X - MEETINGS

Section 1 Annual Meeting The annual meeting of the Members of the Oxford Babe Ruth League shall be held during the month of October, unless modified via Approval of the Board of Directors. The purpose of this meeting is for electing of Officers and Board of Directors for the upcoming year.

Section 2 Notice of Meeting Notice of each meeting of the Members shall be mailed or otherwise delivered to each Member at the last recorded address at least three (3) days in advance, thereof setting forth the place, time and purpose of the meeting; or in lieu thereof, notice may be given in such form as may be authorized by the Members, from time to time, at a regularly convened meeting. Meeting dates may be established at the first regularly scheduled meeting in January of the calendar year, in lieu of formal monthly notification.

Section 3 Special Meetings The Secretary or President may call special meetings of the Members at their discretion. Upon the request of a minimum of three board members, the President shall call a special meeting to consider a specific subject. No business other than that specified in the notice of the meeting shall be transacted at any special meeting of the Members. Notification of such meeting will be a minimum of 3 days.

Section 4 Quorum The presence in person or representation by absentee ballot of a minimum of 50% of elected board members shall be necessary to constitute a quorum.

5 BY-LAWS

ARTICLE I – ELECTION AND REMOVAL PROCEEDINGS

Section 1 Voting Only Board Members shall be entitled to vote at any meeting of the Oxford Babe Ruth League Inc. All elections of Directors shall be by majority vote of all members present or represented by a properly executed and signed absentee ballot filed with the Secretary prior to the election meeting.

Section 2 Absentee Ballot For the expressed purpose of accommodating a regular member in good standing who cannot be in attendance at the annual meeting, an absentee ballot may be requested and obtained form the Secretary of the League. The absentee ballot shall be properly completed, signed and returned in a sealed envelope to the Secretary prior to the date of the annual meeting and the election of members to the Board of Directors. The Secretary shall present all absentee ballots to the Election Chairman on the date of the annual meeting prior to the conduct of the election process.

Section 3

Annual Election and Term of Office - At each annual meeting, the Members shall determine the number of directors to be elected for the ensuing year and shall elect such number of Directors. The Term of office Begins on the December 1st prior to the calendar year in which the season will take place, and will end on the last day in November of said season. All elections of Directors shall be by majority vote of all members present or represented by a properly executed and signed absentee ballot filed with the Secretary prior to the election meeting. Section 4 Vacancies - If any vacancy occurs in the Board of Directors, by death, resignation or otherwise, it may be filled by a majority vote of the remaining Directors at any regular meeting or at any special meeting called for that purpose.

Section 5 Suspension or Termination Membership may be terminated by resignation or action of the Board of Directors.

(a) The Board of Directors, by a two-thirds vote of those present at any duly constituted meeting, shall have the authority to immediately discipline or suspend or terminate, without cause, the membership of any Member of any class when the conduct of such person is considered detrimental to the best interests of Oxford Babe Ruth League and/or Babe Ruth Inc. (b) The League President and two Board Members may immediately impose suspension of any Member of any class pending the scheduling of a duly constituted meeting when the conduct of such person is considered detrimental to the best interests of Oxford Babe Ruth League and/or Babe Ruth League, Inc. (c) The Board of Directors shall, in case of a Player Member, give notice to the manager of the team of which the player is a member. Such manager shall appear, in the capacity of an adviser, with the player before a duly appointed committee of the Board of Directors, which shall have full power to suspend or revoke such player’s right to future participation.

ARTICLE II – “ROBERTS RULES OF ORDER”

“Robert Rules of Order” shall govern the proceedings of the all meetings, except where conflicts with the Constitution or By-Laws of the Oxford Babe Ruth League or by majority vote of the Board of Directors.

6 ARTICLE III- MANAGERS, COACHES, AND UMPIRES

Section 1 Team Managers and Coaches shall be appointed annually by the League Director, and be approved by the President. Managers shall be responsible for the actions of their team, including parents/guardians on the field.

Section 2 The Umpire in Chief shall appoint umpires annually with the approval of the President. The Umpire in Chief or Umpire Coordinator shall be responsible for their assignments and for their actions on the field.

ARTICLE IV - FINANCIAL AND ACCOUNTING

Section 1 The Board of Directors shall decide all matters pertaining to the finances of Oxford Babe Ruth League and it shall place all income including Auxiliary funds, in a common league treasury, directing the expenditure of same in such manner as will give no individual or team an advantage over those in competition with such individual or team.

Section 2 The Board shall not permit the contribution of funds or property to individual teams but shall solicit some for the common treasurer of Oxford Babe Ruth League, thereby to discourage favoritism among teams and to endeavor to equalize the benefits of Oxford Babe Ruth League.

Section 3 The Board shall not permit the solicitation of funds in the name of Oxford Babe Ruth unless all of the funds so raised are placed in the Oxford Babe Ruth treasury.

Section 4 The Board shall not permit the disbursement of Oxford Babe Ruth League funds for other than the conduct of Babe Ruth League activities in accordance with the rules and policies of Babe Ruth League, Incorporated.

Section 5 No Director, Officer, or Member of the Oxford Babe Ruth League shall receive, directly or indirectly any salary, compensation or emolument from Oxford Babe Ruth League for services rendered as Director, Officer, or Member.

Section 6 All monies received, including Auxiliary funds, shall be deposited to the credit of Oxford Babe Ruth League in a bank designated by the Board, and all disbursements shall be made by check. The Oxford Babe Ruth League Treasurer and such other designated officers shall sign all checks, as the Board of Directors shall determine.

Section 7 The fiscal year of Oxford Babe Ruth League shall begin on the first day of January and shall end on the last day of December. Section 8 Distribution of Property upon Dissolution - Upon dissolution of the Oxford Babe Ruth League and after all outstanding debts and claims have been satisfied, the Members shall direct the remaining property of the Oxford Babe Ruth League to another Federally Incorporated entity which maintains the same objectives as set forth herein, which are or may be entitle to exemption under Section 501(c)(3) of the Internal Revenue Code or any future corresponding provision.

7 ARTICLE V - DUES

Section 1 Dues for Regular Members may be fixed at such amounts, as the Board of Directors shall determine prior to the beginning of any membership period.

Section 2 Members who fail to pay their fixed dues on/or before tryouts, will not be eligible for a refund, and may, by vote of the Board, be dropped from the rolls and shall forfeit all rights and privileges of membership. Upon completion of tryouts, all dues are non-refundable.

Section 3 At no time should payment of any fee be a prerequisite for participation in the Oxford Babe Ruth League Program. Financial aide is available upon request. Decision is at the discrimination of the Oxford Babe Ruth League Board.

ARTICLE VI – DUTIES AND POWER OF BOARD

Section 1

Duties and Powers The Board of Directors shall have the power to appoint such standing committees, as it shall determine appropriate and to delegate such powers to them as the Board shall deem advisable and which it may properly delegate. The Board of Directors expects each member to actively participate in all aspects of the organization and support the daily activities of the league in addition to the specific duties associated with their appointment. Those who fail to actively participate may be subject to removal by the Board of Directors. The Board may adopt such rules and regulations for the conduct of its meetings and the management of the Oxford Babe Ruth League as it may deem proper. The Board shall have the authority at any regular or special meeting to discipline, suspend, or remove any Director or Officer or Committee Member of the Oxford Babe Ruth League in accordance with the procedure as set forth in Article I Section V of the By-Laws.

ARTICLE VII - AMENDMENTS

Constitutions and by-laws shall be submitted to Babe Ruth League, Incorporated, for record keeping.

This Article is accepted this 19th day of November 2008, by majority vote of the Oxford Babe Ruth Board, in Oxford, Connecticut and shall only be modified by 2/3 vote of the Board of Directors.
