HINDUSTAN PETROLEUM CORPORATION LIMITED, (having its registered office at 17, Jamshedji Tata Road, Mumbai 400 020) proposes to install mass flow meters on LPG Pipelines at Hazira LPG Plant, Dist. SUrat, Gujarat State.

The present document is intended to invite bids from prospective and reputed manufacturers for Design, Manufacture, Testing, Supply & Commissioning of 2 nos. Mass Flow Meters including Vapour Eliminators.

HPCL REQUIREMENT :

Mass Flow Meter will be installed on TWO nos. 8” dia, Approx 3 Km long LPG tap off delivery pipeline from ONGC, Hazira to HPCL LPG Bottling Plant at Hazira.

9. Pipeline & Pump Details :

LPG Transfer Pumps Nos= 1+1 standby Capacity of each pump = 240 m3/hr Differential Head = 138 m Discharge Pressure = 17.9 Kg/cm2a Pump Type = Centrifugal, Horizontal, Multistage with Double Mechanical Seal Type.

TENDER REQUIREMENTS

Mass Flow Meters Capacity = max: 240 m3/hr, min : 200 m3/Hr Mass Flow Meter size = 8 inches Pressure drop = 0.5 kg/cm2 Accuracy in mass = 0.05 %

Type Coriolis Flow meter 1 each on LPG product transfer headers of 08 inch size each

1. Design data sheets justifying the sizing shall be provided along with the bid. Design sheet shall also contain one higher size and one lower size of meter. 2. Backup sheets and extracts of relevant API standards of design of MFM are to be enclosed 3. BID QUALIFICATION REQUIREMENTS

The model of the mass flow meters being quoted shall be the product of recognized and experienced manufacturers and shall be of proven design i.e. the model of mass flow meter shall have been in successful operation for a period of at least 12 (Twelve) months after commissioning in any Petroleum Industry Refinery for similar LPG services. Satisfactory performance certificates from such users shall be submitted. These performance certificates should indicate the model no. of mass flow meter, date of commissioning etc.

NOTE :

Bidders should have categorical replies to all the above criteria with supporting documents as envisaged. Bids not meeting the above criteria OR not furnishing the information as desired may be rejected by HPCL without further reference to the bidder.

SCOPE OF WORK

The scope of work includes but is not limited to the Design, Manufacture, Third party Inspection (TPI), Testing(including testing of performance and duty parameters at FCRI), Calibration, Supply, Erection & Commissioning of 2 Nos. of Mass flow meters along with all accessories, including Vapour Eliminators. The scope of work also includes but is not limited to the following items:

1. Design, Third Party Inspection, Supply & Commissioning of special cable between transmitter & sensors.

2. Design, Third Party Inspection, Supply, installation & Commissioning of pressure transmitter, if required.

3. Design, Third Party Inspection, Supply & Commissioning of power supply unit, signal and power cables, if required.

4. Termination of all signal & power cables laid by HPCL, at both ends.

5. Calibration, stamping by local Weights & Measures Dept. and commissioning of mass flow meters.

Further details of the scope of work are mentioned in the DATA SHEETS attached with this tender document.

HPCL Scope of work :

HPCL shall lay the cables supplied by the vendor along the most practical & feasible route as decided by HPCL, from Control Room to MFM. However supply of 100%

INSTRUCTIONS TO BIDDERS

TENDER TERMS & CONDITIONS

1) This is only a Tender Enquiry and not an order. 2) Offers sent through fax, telex, e-mail, will not be considered. 3) Partially completed / incomplete tenders shall not be considered. 4) Two Bid System : Bidders are required to submit offer in Two Parts, namely “Unpriced” & “Priced”. 5) Validity: Quoted prices shall be valid for a period of 90 days from the due date / extended due date for the tender. 6) HPCL shall not be responsible for any delays occurred due to reasons whatsoever in receiving as well as submitting offers. HPCL shall not be responsible for any postal or other delays. 7) Request for extension of tender submission due date, if any, received from bidders within 48 hours of tender submission due date / time, shall not be considered. 8) HPCL reserves the right to accept any tender in whole or in part or reject any or all tenders without assigning any reason. HPCL reserves right to accept any or more tenders in part. Decision of HPCL in this regard shall be final and binding on the bidder. 9) HPCL shall follow Purchase Preference / Price Preference as per prevailing guidelines of Government of India. 10) Grievance Redressal Mechanism: Hindustan Petroleum Corporation Limited (HPCL) has developed a “Grievance Redressal Mechanism” to deal with references / grievances if any that are received from parties who participated / intend to participate in the Corporation Tenders. The details of the same are available on our website www.hindustanpetroleum.com.

17) ARBITRATION

17.1 All disputes and differences of whatsoever nature, whether existing or which shall at any time arise between the parties hereto touching or concerning the agreement, meaning, operation or effect thereof or to the rights and liabilities of the parties or arising out of or in relation thereto whether during or after completion of the contract or whether before after determination, foreclosure, termination or breach of the agreement (other than those in respect of which the decision of any person is, by the contract, expressed to be final and 6 Bidder Seal & Signature HINDUSTAN PETROLEUM CORPORATION LIMITED TENDER DOCUMENT FOR MASS FLOWMETER binding) shall, after written notice by either party to the agreement to the other of them and to the Appointing Authority hereinafter mentioned, be referred for adjudication to the Sole Arbitrator to be appointed as hereinafter provided.

17.2 The appointing authority shall either himself act as the Sole Arbitrator or nominate some officer/retired officer of Hindustan Petroleum Corporation Limited (referred to as owner or HPCL) or a retired officer of any other Government Company in the Oil Sector of the rank of Ch. Manager & above or any retired officer of the Central Government not below the rank of a Director, to act as the Sole Arbitrator to adjudicate the disputes and differences between the parties. The contractor/vendor shall not be entitled to raise any objection to the appointment of such person as the Sole Arbitrator on the ground that the said person is/was an officer and/or shareholder of the owner, another Govt. Company or the Central Government or that he/she has to deal or had dealt with the matter to which the contract relates or that in the course of his/her duties, he/she has/had expressed views on all or any of the matters in dispute or difference.

17.3 In the event of the Arbitrator to whom the matter is referred to, does not accept the appointment, or is unable or unwilling to act or resigns or vacates his office for any reasons whatsoever, the Appointing Authority aforesaid, shall nominate another person as aforesaid, to act as the Sole Arbitrator.

17.4 Such another person nominated as the Sole Arbitrator shall be entitled to proceed with the arbitration from the stage at which it was left by his predecessor. It is expressly agreed between the parties that no person other than the Appointing Authority or a person nominated by the Appointing Authority as aforesaid, shall act as an Arbitrator. The failure on the part of the Appointing Authority to make an appointment on time shall only give rise to a right to a Contractor to get such an appointment made and not to have any other person appointed as the Sole Arbitrator.

17.5 The Award of the Sole Arbitrator shall be final and binding on the parties to the Agreement.

17.6 The work under the Contract shall, however, continue during the Arbitration proceedings and no payment due or payable to the concerned party shall be withheld (except to the extent disputed) on account of initiation, commencement or pendency of such proceedings.

17.7 The Arbitrator may give a composite or separate Award(s) in respect of each dispute or difference referred to him and may also make interim award(s) if necessary.

17.8 The fees of the Arbitrator and expenses of arbitration, if any, shall be borne equally by the parties unless the Sole Arbitrator otherwise directs in his award with reasons. The lumpsum fees of the Arbitrator shall be Rs. 40,000/- per case for transportation contracts and Rs. 60,000/- for engineering contracts and if the sole Arbitrator completes the arbitration including his award within 5 months of accepting his appointment, he shall be paid Rs. 10,000/- additionally as bonus. Reasonable actual expenses for stenographer, etc. will be reimbursed. Fees shall be paid stagewise i.e. 25% on acceptance, 25% on completion of pleadings/documentation, 25% on completion of arguments and balance on receipt of award by the parties

7 Bidder Seal & Signature HINDUSTAN PETROLEUM CORPORATION LIMITED TENDER DOCUMENT FOR MASS FLOWMETER 17.9 Subject to the aforesaid, the provisions of the Arbitration and Conciliation Act, 1996 or any statutory modification or re-enactment thereof and the rules made thereunder, shall apply to the Arbitration proceedings under this Clause.

17.10 The Contract shall be governed by and constructed according to the laws in force in India. The parties hereby submit to the exclusive jurisdiction of the Courts situated at Mumbai for all purposes. The Arbitration shall be held at say Mumbai and conducted in English language.

17.11 The Appointing Authority is the Functional Director of Hindustan Petroleum Corporation Limited.

SPECIAL TERMS & CONDITIONS

1. Delivery schedule :

The mass flow meters complete with all required accessories shall be delivered at site within Three (03) months from the date of LOI/PO/advise from LPG Projects dept.

2. Payment terms :

Payment terms shall be as indicated below :

ii) Supply : 100% after receipt of material at site, against submission of performance bank guarantee equivalent to 10 % of basic order value. If PBG is not submitted, 10 % amount will be withheld as retention money.

iii) Supervision of erection & commissioning – 100% after successful commissioning.

3. Modality of submission of bids :

The bids clearly indicate the type or model of each principal item of equipment proposed, relevant drawings and descriptive materials indicating general dimensions, principles of operation, the extent of pre-assembly involved, method of installation etc.

Any bid not containing sufficient description material to describe accurately the equipment proposed may be treated as incomplete and hence rejected. The purchaser will retain such descriptive materials and drawings submitted by the Bidder.

4. Period of validity of bids :

The bids shall remain valid for a period of 3 months from the date Due date/Revised due date of this tender document.

5. Warranty & Warranty Period Maintenance :

Vendor to guarantee the equipment for a period of ONE year from the date of installation/commissioning.

8 Bidder Seal & Signature HINDUSTAN PETROLEUM CORPORATION LIMITED TENDER DOCUMENT FOR MASS FLOWMETER The bidder shall indicate service facilities available with them explaining the infrastructure, capabilities etc. The Warranty period maintenance shall be as below:

i) For domestic bidders The vendor has to depute their representatives to HPCL site within 3 days (max.) from the date of intimation given by HPCL for rectification of any problems during guarantee period. ii) For foreign bidders Foreign vendors shall indicate the name, address and details of facilities available with their Indian representative who shall maintain the equipment as explained above.

GENERAL TERMS AND CONDITIONS

1. Firm Prices On placement of order, prices will remain firm till complete execution.

2 . Delayed Delivery Delivery is the essence of purchase order. In case of delay in execution of the order beyond contractual delivery date as stipulated in the order HPCL at its option can:

Either

i) accept the delayed delivery on price reduced by sum equivalent to half percent (1/2%) of the basic value of goods not delivered per week of delay or part thereof subject to a maximum of 5% of basic value of order. or

ii) Cancel the order in part or full and purchase such cancelled quantities from elsewhere on account at the risk of the seller without prejudice to its right under (i) above in respect of goods delivered. All costs and expenses incurred by HPCL, if any, resulting from cancellation of order shall be recovered from the seller.

3. Terms of Payment 75% Payment against invoices shall be made in 7 days after receipt of equipment / material at site against submission of following documents along with your Bill / Invoice at our Disbursement Section in Hindustan Bhawan , 3rd Floor , Mumbai.

i) Delivery Challan / Lorry Receipt duly acknowledged by our site. ii) ii) Manufacturer Test Certificate iii) Third Party Inspection / Clearance Report Manufacturer Guarantee Certificate iv) Performance Bank Guarantee for 10% of Basic Order value. Note : One set of above documents to be submitted at site for verification & records.

25% Payment will be released in 15 days from receipt of confirmation from site for 9 Bidder Seal & Signature HINDUSTAN PETROLEUM CORPORATION LIMITED TENDER DOCUMENT FOR MASS FLOWMETER verification & final acceptance of materials at our Disbursement Section in Hindustan Bhawan , 3rd Floor , Mumbai.

Please note that HPCL cannot make any advance with order OR against dispatch documents through Bank.

4. Guarantee Supplies shall be fully guaranteed against any manufacturing defects / poor workmanship / inferior design or quality etc. for a period of 12 months from the date of commissioning or 18 months from the date of delivery whichever is earlier. During this period, seller will arrange to repair / replace any defective part free of cost or replace complete set if required. Performance Bank Guarantee issued by any Nationalised Bank for 10% of basic order value of material supply and valid for above guarantee period shall be furnished.

SCHEDULE OF QUANTITIES

Design, manufacture & supply of suitable Mass flow meter (based on Coriolis principle along with local & Remote indication working on independent Microprocessor & PC based control systems) to be installed on 8" dia LPG Tap-off pipe Line receiving LPG from ONGC Hazira, including Supply of Pressure transmitter for pressure feed back, supply of Computer based system with all necessary accessories like RS 485 / 232 converter, SCADA software etc. complete as required for the system to operate/meet the function requirements of HPCL as per technical specifications, data sheets and as directed by Engineer-in-charge of Hazira LPG Plant Project

Scope also includes carrying out Third party certification of the design and third party inspection for materials, performance, calibration, proving, testing at FCRI etc. & obtaining local Weights and Measures certification and stamping complete as advised by HPCL.

2.0 SUPPLY OF VAPOUR ELIMINATOR & ISOLATION VALVES TO SET 2 Hazira

Design, manufacture & supply of Vapour eliminator suitable for the Mass flow meter to be supplied against item no. 1.0 with all accessories viz. 300# rating Fire safe isolation valves, Safety relief 10 Bidder Seal & Signature HINDUSTAN PETROLEUM CORPORATION LIMITED TENDER DOCUMENT FOR MASS FLOWMETER valves, pressure guages, level indicators, necessary studs, bolts, gaskets etc. complete as required & as per technical specifications, data sheets and as directed by Engineer-in-charge.

3.0 SUPPLY OF CABLES TO HAZIRA L.S 1

Supply of necessary power & communication cables required for the Mass flow meter with vapour eliminator, Pressure Transmitter and Computer system with SCADA system etc. complete as required for the whole system, supply of cable lugs, connectors, ferrules, tags etc. required for termination of cables.

NOTE:

(a) All the cables & termination accessories required for the whole job will be supplied by the vendor. (b) Laying of cables will be carried out by HPCL as per the route finalised jointly by HPCL & Vendor. (c) Termination of cables shall be in the scope of vendor. (d) Distance from Control Room where the computerised monitoring system is to be installed, to Mass flow meter location shall be approx. 1000 m. Necessary signal boosters if required needs to be supplied by the vendor.

4.0 SUPERVISION FOR INSTALLATION & COMMISSIONING OF L.S 1 MASS FLOW METER SYSTEM AT HAZIRA

Provide supervision for Installation, testing & commissioning of 02 Nos Mass flow meters bearing TAG Nos HP-FM4001A & HP- FM001B, Vapour eliminator including isolating valves etc. supplied by the vendor, pressure transmitter, Computerised monitoring system including carrying out termination of cables at both ends, carrying out SAT (site Acceptance Test) etc. complete as required for functioning of the whole system and as advised by HPCL. (Quoted Rate shall include all charges towards Travel, Boarding, Lodging of Technical Staff for a maxm of 08 days stay at site which may be split in 02 or 03 separate visits. Any stay beyond 08 days shall be payable extra)

NOTE:

(a) Piping modifications required for installation of Mass flow meter will be carried out by HPCL as per the vendor requirement.

(b) Installation of mass flow meter, Vapour eliminator with all the accessories shall be in the scope of HPCL , however , vendor to supervise the entire activities from installation of equipment till successful commissioning of the same.
