COMBINED ONLINE BANKING, BILL PAYMENT, AND ONLINE STATEMENTS AGREEMENT

Online Banking Agreement and Electronic Funds Transfer Disclosure

INTRODUCTION: This Agreement and Disclosure specifically governs the Tucson Federal Credit Union (TFCU) Online Banking website, including the electronic funds transfer service. This document contains your and our rights and responsibilities, in addition to the terms and conditions under which this service is provided. PLEASE READ THIS AGREEMENT AND DISCLOSURE CAREFULLY.

By accepting this agreement, you agree that TFCU may provide to you all disclosures, statements, agreements, and notices electronically. It is your responsibility to view, download, print, and save these disclosures, statements, agreements, and notices. By accepting this agreement, you opt-in and agree to receive periodic account statements online in lieu of a mailed paper statement. You acknowledge and agree that you will NOT receive mailed paper statements beginning with the month following your acceptance of this service. Please see the Online Statements Agreement located in this document. You may opt-out of Online Statements and receive mailed paper statements by emailing us via the Secure Support email option within Online Banking or by contacting us by telephone.

In this Agreement and Disclosure, the words "you", "your" and "yours" mean each and every one of you who utilizes the Online Banking service. The words "we", "us", "our", "TFCU" and "Credit Union" each mean TFCU. The term "service" refers to the Online Banking Service. By initiating inquiries and/or funds transfers through the service, or by permitting another to use the service on your behalf, you acknowledge receipt of this Agreement and Disclosure and agree to be bound by all terms and conditions contained herein, and all applicable terms and conditions contained in our other agreements with you governing your checking, savings, and loan accounts accessible in connection with this service. You further agree to follow all instructions provided by the service as reflected on your computer monitor or other system access screen.

The terms and conditions of this Agreement and Disclosure are in addition to the terms and conditions of any and all other deposit account and credit agreements, including all such disclosures made pursuant to such agreements you have with the TFCU.

WHAT YOU CAN DO ONLINE: Using your personal computer (P.C.) and your Password, you can access your TFCU accounts and process transactions 24 hours a day, seven days a week (based on system availability). Through the service you can select from several options:

 Account Access - View your current savings and loan balances, view several months of transaction history for each account, and transfer funds between your accounts including advances on your available TFCU Visa, PrimeLine, and Home Equity Line of Credit.  Payment Manager - This allows you to pay bills through your personal computer, rather than by writing and mailing checks. The bill pay service allows scheduling of recurring payments and verification of past payments. Please see the Bill Payment Agreement located in this document for more information.

1  FinanceWorks - Set up an online budget and easily track your expenses and determine how you are spending your money. You can link and track your accounts from other financial institutions using the service.  Online Statements- View, download, print, or save your periodic statements securely online.  Contact Us – You can chat with a TFCU representative, send a Secure Support email to TFCU, or search the Knowledge Library.  User Options - This allows you to customize your Online Banking preferences, which includes changing your password, opting out of Online Statements, and updating your email address registered with Online Banking.  Help - This provides additional information about Online Banking.

BUSINESS AND PROCESSING DAYS: Our business days are Monday through Friday, excluding holidays. To obtain a list of TFCU holidays, please visit our website at www.tucsonfcu.com. To guarantee that a transaction is processed the same calendar date it is initiated, the transaction must be scheduled before 7:00 p.m. Arizona Mountain Time. Transactions initiated after 7:00 p.m. will reflect an effective date of the calendar day you initiated the transaction, but a posting date of the next business day, including non-business days, Sat., Sun., and holidays. Transactions initiated after 7:00 p.m. will reflect a posting date (transaction date) of the next business day, but will reflect the date of the calendar day on which you initiated the transaction as the effective date for purposes of dividend accrual and finance charge calculation. The service may be interrupted for a short time each day for data processing. Dividends on accounts and finance charges on loans will be calculated utilizing the effective date of the transaction.

LIMITS ON TRANSFERS AND TRANSACTIONS: There are no limits on the number or value of transactions you may initiate through the service except as stated below, provided that funds are available in your account or sufficient credit is available on your line of credit. You cannot initiate transfers using the service to or from Share Certificates, IRA accounts, or any restricted accounts. Overdraft protection (if applicable) is automatically triggered in $100 increments to cover Bill Pay transactions. We reserve the right to limit the frequency and dollar amount of any transactions at any time for security reasons.

TRANSACTION LIMITATIONS ON MONEY MARKET ACCOUNTS: During any monthly statement period you may not make more than six (6) transfers from your Money Market account to another of your credit union accounts by means of an Online Banking transfer, a preauthorized or automatic transfer, or a telephonic or facsimile order or instruction. Transfers to make payments on your loans at TFCU are excluded from this limitation.

FINANCE CHARGES ON LOAN TRANSFERS: Each transfer made from your CheckLine Reserve, credit card, Home Equity Line of Credit account, or any other revolving line of credit account you may have with us, is considered a cash advance. Finance charges begin to accrue from the effective date of each loan transfer in accordance with the terms of your credit agreement(s).

FUNDS AVAILABILITY AND ACCRUAL OF DIVIDENDS: Funds from electronic funds transfer credits/deposits will be available on the effective date of the transfer in accordance with our "Funds Availability Policy." Dividends begin to accrue on the effective date of the transfer.

ISSUANCE AND CONFIDENTIALITY OF YOUR ONLINE BANKING PASSWORD: You are required to select a password for use with the service. The password is required for security purposes in connection with the authentication of transfers and payments you initiate through the service. Your password is confidential and should NOT be disclosed to others. You are responsible for the proper safekeeping of your password. You agree not to disclose or otherwise make your password available to anyone not authorized to sign on your accounts. If you authorize anyone to use your password, your authority shall continue until you specifically revoke such authority by changing the password or by notifying TFCU and obtaining a replacement password. You understand that if you reveal your password to anyone you have authorized that individual to transfer and withdraw funds from any of your accounts

2 which can be accessed by the password, regardless of whether that person is authorized to transfer or withdraw funds from the account(s) by any means other than by use of the service. If you fail to maintain security of your password, we reserve the right to terminate services to you under this Agreement and Disclosure as well as other deposit and loan services.

Users of the service should utilize such other password protection precautions as may be appropriate under any particular set of circumstances to ensure proper security over system access and access to account and transaction information and funds transfer capabilities. The service provides the capability for you to change your password. To help safeguard your security, you should change your password frequently. If you forget your password or your account access is locked, you can use the Forgotten Password Retrieval option to reset them or contact TFCU at (520) 795-8520 during normal business hours to request a temporary password.

CREDIT UNION'S LIABILITY FOR FAILURE TO MAKE TRANSFERS: If we do not complete a transfer or payment to or from your account on time or in the correct amount according to our agreement with you, we may be liable for your losses and damages. However, there are some exceptions. We will NOT be liable, for example, if: (1) through no fault of ours, you do not have enough available funds in your account to make the transfer; (2) the transfer would exceed any permitted overdraft line you have with us; (3) circumstances beyond our control (such as fire, flood, power failure, labor dispute, computer breakdown, telephone line disruption or a natural disaster) prevent or delay the transfer despite reasonable precaution taken by us; (4) the funds in your account are subject to legal process, an uncollected funds hold, or are otherwise not available for withdrawal; (5) the password or transaction information or other information you have provided is incorrect or incomplete; (6) the system was not working properly and you knew about the breakdown when you started the transfer; (7) you are in default on an account to which you are attempting a transfer; (8) your personal computer and/or software malfunctioned for any reason; or (9) the transfer or payment could not be completed due to system unavailability or a telecommunication or Internet Service Provider service failure. There may be other exceptions stated in our agreement with you.

YOUR RESPONSIBILITY AND LIABILITY FOR UNAUTHORIZED TRANSFERS: You are responsible for all transfers and payments you initiate and authorize using the service. If you permit other persons to use the service you are responsible for any transactions they authorize from any of your accounts. Notify us IMMEDIATELY if you believe that your password has been compromised or that someone has used it or may use it to access your accounts. Notifying TFCU by phone at (520) 795-8520 is the best way to limit your potential for loss. You could potentially lose all the money in your account plus any funds available in your Overdraft Privilege account.

IN CASE OF ERRORS OR QUESTIONS ABOUT YOUR ELECTRONIC FUNDS TRANSFERS: Call us or write us IMMEDIATELY if you think your statement is incorrect, shows transactions that you did not authorize, or if you need more information about a transfer. Please contact us within 60 days of the date your statement containing the error was mailed to you. If you fail to notify us in accordance with the timeline described above, you may not recover funds lost. Tell us your name, account number, the dollar amount of the suspected error, and the date it occurred. Describe the error or the transfer you are unsure about, and explain as clearly as you can why you believe it is an error or why you need more information.

If you notify us verbally, we may require you to send us your complaint or question in writing within ten (10) business days. We will tell you the results of our investigation within ten (10) business days after we hear from you and will correct any error promptly. If we need more time, however, we may take up to forty-five (45) calendar days to investigate your complaint or question. If we decide to do this, we will provisionally credit your account within ten (10) business days for the amount you think is in error, so that you will have the use of the money during the time it takes us to complete our investigation. If we ask you to put your complaint or request in writing and we do not receive it within ten (10) business days, we may not re-credit your account. If we determine there was no error, we will send you written explanation within three (3) business days after we complete our investigation. You may ask for copies of the documents that we used in our investigation and which we relied upon to conclude that the error did not occur (to the extent possible without violating any other member's right to privacy). 3 RIGHT TO RECEIVE DOCUMENTATION OF TRANSFERS: Your completed transactions will appear on your periodic account statements. You will receive a monthly account statement of the electronic funds transfer activity on your accounts unless there are no transfers in a particular month. In any case, you will get a statement at least quarterly. Be sure to review and verify all statement information thoroughly. You may also obtain information on transfers and payments by inquiry of your transactional account history using the service.

FEES AND CHARGES: There is no fee for using the TFCU service. However, you are solely responsible for the payment of any Internet Service Provider and telephone and utility company charges incurred in connection with accessing the TFCU service.

ACCOUNT TRANSACTION HISTORY: Each time you inquire and download account transactional information, you will receive information for at least the last calendar year. This means that you may need to download transactional information at least once every 365 days if you wish to have all of your account information on your P.C.

DISCLOSURE OF ACCOUNT INFORMATION TO THIRD PARTIES: We will disclose information to third parties about your account or the transfers you make: (a) Where it is necessary for completing transfers; or (b) In order to comply with government agency or court orders; or (c) In order to verify the existence and condition of your account for a third party, such as a credit bureau or merchant; or (d) If you give us your written permission.

SYSTEM UNAVAILABILITY: Access to the service may be unavailable at times for the following reasons: (1) Scheduled Maintenance - There will be necessary periods when systems require maintenance or upgrades; (2) Unscheduled Maintenance - the service may be unavailable when unforeseen maintenance is necessary; (3) System Outages - Major unforeseen events, such as, but not limited to, earthquakes, fires, floods, computer failures, interruptions in telephone service, or electrical outages, may cause system unavailability; or, (4) Internet Service Provider - Failure by or unavailability of an Internet Service Provider. We will make all reasonable efforts to ensure the availability of the service; however, we are in no way liable for system unavailability or any consequential damages that may result.

NOTIFICATION AND CHANGES IN TERMS AND CONDITIONS: You specifically agree that TFCU may provide all disclosures, statements, agreements, and notices electronically. We may change or amend any part of this Agreement and Disclosure at any time, including changes in terms, conditions, and fees, as long as we give you advance notice as required by law. Your continued use of this service constitutes acceptance of those terms and conditions.

OTHER LIMITATIONS OF LIABILITY: You are solely responsible for the selection, installation, maintenance, and operation of your P.C. and software. TFCU expressly disclaims any and all liability as it relates to the improper use of your P.C. and the transmission of data except as provided by statute. TFCU is not responsible for any errors or failures due to any malfunction of your personal computer or the software, or unsuitability of your personal computer or software, or any virus, or any problems that may be associated with the use of an on-line service.

TERMINATION AND AUTOMATIC DEACTIVATION OF SERVICE: You may terminate your Online Banking service at any time by providing written notice to TFCU and immediately discontinuing use of the service, or by discontinuing use of the service (by not logging on to the service) for a six-consecutive-month period. You are solely responsible for notifying any participating merchants (when applicable) that you have terminated your bill payment transfer capabilities.

If you do not utilize the service (by not logging on to the service) for a six-consecutive-month period, your access to the service may be deactivated. If this occurs and you wish to reactivate your service, you must contact TFCU by telephone or in person. We reserve the right to require written reapplication before we reactivate your access to the service.

4 TFCU may also terminate the service and this Agreement and Disclosure at any time by giving you advance notification, either orally or in writing. Whether you or TFCU terminates your service and this Agreement and Disclosure, the termination shall not affect your obligations under this Agreement and Disclosure for any transfers or payments made prior to termination.

ENFORCEMENT: You agree to be liable to TFCU for any liability, loss, or expense as provided in this Agreement that TFCU incurs as a result of any dispute involving your accounts or services. You authorize TFCU to deduct any such liability, loss, or expense from your account without prior notice to you. In the event either party brings a legal action to enforce this Agreement or collect any overdrawn funds on accounts accessed under this Agreement, the prevailing party shall be entitled, subject to Arizona law, to payment by the other party of its reasonable attorneys' fees and costs, including fees on any appeal, bankruptcy proceedings, and any post-judgment collection actions, if applicable. Should any one or more provisions of this Agreement be determined illegal or unenforceable in any relevant jurisdiction, then such provision may be modified by the proper court, if possible, but only to the extent necessary to make the provision enforceable, and any such modification shall not affect any other provision of this Agreement.

GENERAL DISCLAIMER: TFCU hereby disclaims any warranties, endorsements, or representations, either expressed or implied, related to any product, service, advertisement, or other information contained herein. This includes any content contained, distributed, linked, or downloaded from the site. Any products or services from this site are to be used at your own risk, with no obligations or liabilities by TFCU except as previously set forth within this agreement. It will be within the sole discretion of TFCU to correct any errors or to omit any portion of the services, products, or materials contained herein.

This Agreement, any separate instructions, and the applicable fees and charges may be amended by TFCU in the future. In the event of amendment, TFCU shall send notice to you either by mail to your last known address or to the email address on record with the Online Banking service. Your use of the TFCU's Online Banking service following the receipt of such notice constitutes acceptance of such amendment.

GOVERNING LAW: This Agreement is made in Arizona and shall be governed by the laws of the State of Arizona to the extent that Arizona Law is not inconsistent with controlling Central Law.

TUCSON FEDERAL CREDIT UNION BILL PAYMENT AGREEMENT

By accepting this Agreement, you are acknowledging that you have read, understood, and agree to the terms & conditions of Online Bill Payment. Besides obtaining account and loan information, you can use TFCU's Online Banking to pay your bills. All you need to do is enter whom you are paying, the amount to be paid, and if the payment is recurring or a one-time payment.

SERVICE PROVIDER: You authorize TFCU to utilize Metavante (or another processor of our choice) to provide this service to you on our behalf.

DEFINITIONS:

Processing date: the date TFCU withdraws the funds from your account to begin the bill payment process.

Payment date: the date the payment will be deducted from your checking account. The payment date you choose must be a business day, if not, the payment date will be deemed as the first business day following the date indicated. 5 Due date: the date your vendor or payee has designated that the funds are due.

Service Fee: TFCU's Online Bill Pay is FREE.

Returned Item Fee: A fee will be deducted from your account for each return item processed. (See our Member Fee Schedule). Returned items are payments rejected by the merchant or financial institution. Possible reasons for return items are: (1) incorrect user account number, (2) incorrect amount due, (3) incorrect vendor, or (4) incorrect vendor location.

Periodic Payments: A periodic payment is established by entering the amount due and due date, specifically for a Payee's individual bill. The processing date for this payment is determined by the payee's requirement. You understand sufficient funds must be available by 11:00 p.m. EST on the day prior to the processing date or your payment(s) will not be made.

Automatic Monthly Payments: If you designate a payment as an automatic monthly transaction, you request that the transaction be made in the same amount to the same merchant or account on the same day every month in the future. These payments will continue until you delete the payment by following the edit/delete commands online. The processing date for this payment is determined by the payee's requirements. You understand sufficient funds must be available by 11:00 p.m. EST on the day prior to the processing date or your payment(s) will not be made.

SCHEDULING AUTOMATIC PAYMENTS: Subject to the terms and conditions of this Agreement, you authorize us, and any third party acting on our behalf, to choose the most effective method to process your payment, including without limitation, electronic (ACH), paper, or some other draft means. When possible, payments will be made electronically. However, some payments will be made by check.

You will allow at least five (5) business days between the processing date and due date (not the late payment date) for electronic payments and at least ten (10) business days for check payments. When establishing a new vendor or payee, you will allow at least ten (10) business days between the processing date and the due date. TFCU is not liable for any service or late charges levied against you, except as specifically set forth in this agreement.

PAYMENT CONFIRMATION: For each properly instructed payment to an eligible vendor, you will receive a transaction confirmation number. Unless you receive a confirmation number, we shall not be liable for any failure to make a payment, including any finance charge or late fees incurred as a result.

Subject to the limitations discussed in this Agreement, if you follow the procedures described in this agreement for payments, and you are assessed a penalty or late charge, we will reimburse you for that late charge up to a maximum amount of $30.00. If you do not adhere to the obligations described in this Agreement, or if you schedule a payment less than five business days (for an electronic payment) or ten business days (for a payment made by check) before a vendor's due date, you will assume full responsibility for all penalties and late fees.

RESTRICTIONS: Any payee you wish to pay through TFCU's Online Banking must be payable in U.S. dollars and must be a U.S. payee or business.

Each payee must appear on the payee list you create with TFCU and the account you are paying must be in your name. It is your responsibility to verify the accuracy of the payee addresses and account numbers when entering payee information.

You may not use TFCU's Online Banking's Bill Payment service to make payments to a federal, state, or local government or tax unit, or to other categories of payees we may establish from time to time.

6 TFCU reserves the right to refuse to make any payments, but will notify you of any such refusal within three (3) business days following receipt of your payment process date.

CANCELING PAYMENTS: You must cancel or modify a payment and/or transfer before 11:00 p.m. EST on the business day prior to the processing date you scheduled.

FAILED PAYMENTS: It is your responsibility to maintain sufficient funds in your account to cover the payments you initiate. If sufficient funds are not available in your checking account on the date you have scheduled a payment to be deducted, that transaction will result in a "Failed Payment." You will be required to make arrangements to pay the vendor by other means if a payment fails. In the event of repetitive failed payments, we reserve the right to terminate your Bill Payment service without prior notice to you.

In the event that funds are not available in your checking account on the date the fee is charged, we reserve the right to collect the NSF fee from any non-IRA account on which you are listed as the Owner or Joint Owner. Insufficient available funds will prevent you from making more payments until resolved. TFCU is not responsible to notify you if sufficient funds are not available in your account.

CREDIT UNION LIABILITY: If TFCU does not complete a transfer to or from your account on time or in the correct amount according to the account agreement with you (including all rules and regulations governing your account), we will be liable for all losses not to exceed the amount of the transfer. However, exceptions exist. TFCU will not be liable for, but not limited to:

 If through no fault of ours, you do not have enough money in your account to complete the transfer

 If the transfer would exceed the limit on your line of credit account

 If circumstances beyond our control (e.g. fire, flood) prevent the transfer, despite reasonable precautions having been taken

 If the funds in the account are subject to legal process or other encumbrance restricting such transfer

 If the TFCU's Online Banking system was not working properly due to the failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, normal maintenance, unauthorized access, theft, operator errors, severe weather, earthquakes, floods and strikes or other labor problems

 If there is an allegation of fraudulent activity concerning the account

 If other rules, regulations or agreements of TFCU so provide

 If transaction instructions are not actually received by us, we may not be held accountable for any loss resulting from the delay or failure to transmit instructions arising from user error, malfunction of equipment, natural impediments and/or inaccurate or incomplete information

TFCU is NOT liable for any damages you incur:

 if the estimated time to allow for delivery to the payee is inaccurate

 if you provide incomplete or incorrect payee information

 due to delays in mailing delivery

7  due to changes of merchant address or account number

 due to the failure of any merchant to account correctly for the payment in a timely manner

 for any other circumstance beyond the control of TFCU

RIGHT TO IMPRESS A LIEN: TFCU shall have a lien or the right to impress a lien on your shares and deposits for sums due TFCU. Such a right will not apply to shares or deposits held pursuant to Individual Retirement Accounts, self-employed plans under the Internal Revenue Code, or any other deposits for which lien rights would disqualify said deposits from special benefits or preferences provided under the Internal Revenue code.

STOP PAYMENTS: Stop Payments may only be requested on or after the date funds are withdrawn from your share draft account. A fee will be deducted from your account for each stop payment request. (Please see Member Fee Schedule).

You agree to be bound by and comply with applicable state and federal laws and regulations. These terms and conditions shall be governed by and construed with the laws of the state of Arizona.

TRANSACTION MODES AND PROCESS DATES: Payments from your credit union checking account(s) may be established either "periodically" or as "automatic monthly" payments. All payments are made periodically unless designated as automatic monthly payments.

DELETING OR EDITING TFCU'S ONLINE BANKING AUTHORIZED PAYMENTS: Bills are either pending or processed. When a bill has been processed, the amount for that bill has been withdrawn from your account. Bills that are pending are those that have not been processed. You may modify or cancel a pending payment, as no funds have been debited from your account, however you must do so before 11:00 p.m. EST on the business day prior to the processing date. You may not modify or cancel a payment that is processed. For questions regarding payments that are processed, contact Metavante at 1-800-825-4321 between 8:00 a.m. and midnight EST, Monday through Saturday.

CANCELATION OF SERVICE: The Bill Payment service may be cancelled at any time by written request to TFCU. The request must include your name, address, social security number, bill payer ID number, signature, and date. TFCU cannot cancel the service until all pending payments have cleared. If you have pending payments and do not want to wait for them to clear, you may individually delete these pending payments by following the edit/delete commands on-line. Payments must be deleted before 11:00 p.m. EST on the business day prior to the processing date.

8 OTHER TERMS AND CONDITIONS: If you cancel your Online Banking bill payment subscription, then you agree to notify us at that time. You will be responsible for all payment instructions made prior to termination and for all other applicable charges and fees. You will cancel all outstanding payment orders before notifying us to terminate this service.

We will process bill payment transfer requests only to those creditors TFCU has designated in the User Instructions and such creditors as you authorize. We will not process any bill payment transfer if the required transaction information is incomplete.

We will withdraw the designated funds from your checking account for bill payment transfer by the designated cut-off time on the date you schedule for payment. We will process your bill payment transfer within the designated number of days before the date you are scheduled for payment. You must allow sufficient time for vendors to process you payment after they receive a transfer from us. Please leave as much time as though you were sending your payment by mail. We cannot guarantee the time that any payment will be credited to your account by the vendor.

An unlimited number of bill payments are allowed per day, subject to applicable fees as set forth in this agreement.

TFCU's Online Banking may be temporarily unavailable due to Credit Union record updating or technical difficulties. You authorize TFCU to charge your designated account(s) for any transactions accomplished through the use of TFCU's Online Banking and/or its Bill Payment service, including any recurring payment that you make.

You regard requests for new account services, instructions to change existing account information or services, and other communication received via TFCU's Online Banking as legal endorsements. As such, all correspondence initiated via TFCU's Online Banking shall command the legal authority of a written request authorized by your signature.

In the event the funds are not available in your account when making a bill payment, you may be charged a NSF fee. You understand all fees are subject to change following notice to you. You agree to comply with the terms and conditions. You accept liability for all transactions made by yourself, joint owners, or anyone else to whom you might give your password. You understand that withdrawals and transfers may affect the dividend and interest earned on your account.

When using the Bill Payment service, I authorize TFCU to post payment transactions generated to the account(s) indicated. I am in full control of my account and if at any time I decide to discontinue this service, I must provide TFCU with written notice. My use of the Bill Payment service signifies that I have accepted all of the terms and conditions of this service. I understand that payments may take up to five (5) days by check or three (3) days by ACH to reach the vendor. TFCU is not liable for failure of payments to reach their destination or any service fees or late charges levied against me except as specifically set forth in this agreement. Other fees may be assessed from time to time based upon the Member Fee Schedule. You will receive notification prior to any new fee or any changes in fees being assessed.

TUCSON FEDERAL CREDIT UNION ONLINE STATEMENTS AGREEMENT

ELECTRONIC DELIVERY OF STATEMENTS AND NOTICES: By accepting TFCU’s Online Statements Agreement you consent and agree that TFCU may provide periodic statements (Online Statements) and certain disclosures and notices to you in electronic form through Online Banking in lieu of a mailed paper statement. 9 DEFINITIONS: As used in this Agreement, the words "we," "our," "us" and "Credit Union" mean TFCU. "You" and "your" refer to the account owner(s) authorized to receive Online Statements under this Agreement. "Account" or "accounts" means your share and/or loan accounts with us. "Business days" mean Monday through Friday. Federal holidays are not included.

SCOPE OF CONSENT FOR ELECTRONIC DELIVERY OF STATEMENTS & NOTICES: Your consent to receive Online Statements covers the periodic statements provided in connection with your share and loan accounts with us. Your consent also covers disclosures that are required with your account statements, including but not limited to, marketing information on our products and/or promotions. We will provide you access to all notices, attachments, and documents through Online Banking. You understand that you will not receive mailed paper statements beginning with the month following your acceptance of this service.

ONLINE STATEMENT AVAILABLE NOTIFICATION: Each statement period TFCU will send an email notification to the email address on record with the Online Banking system when your statement becomes available. You will be required to log into Online Banking in order to access your statements. You understand that these statements will generally be available by the fifth business day at the beginning of each month and will remain available online for up to 12 months. You understand that your first statement will be available beginning the month following your acceptance of this service provided that you have accepted this service by the 25th day of the current month. You further understand that until your first statement is available online, you will receive the following message: "Service is unavailable. Please try again later."

CHANGE OF MAILING ADDRESS, EMAIL ADDRESS, AND OTHER INFORMATION: You agree to notify us immediately of any change in your mailing address, email address, or other important information. Please note that you must provide us with an email address in order to use the Online Statement service. You understand that if your email address is incorrect and the email reminder is sent back to us as undeliverable, you agree it is your responsibility to log on to Online Banking in order to view your statements without any reminders from TFCU of the availability of future statements.

HARDWARE AND SOFTWARE REQUIREMENTS: It is your responsibility to provide and maintain the proper equipment and software that will enable you to view, download, print, and save these statements for your records. You understand that statements will be provided as Internet web pages (.gif) or image documents (PDF requiring Adobe Acrobat software and a minimum of five MB of hard disk space). The minimum hardware requirement is a P.C. capable of supporting an Internet browser with 128-bit encryption. The minimum Microsoft operating software is Windows XP with Service Pack Two or greater. Apple computers must be running Mac OS X. The minimum supported browsers with cookies enabled are: Internet Explorer 6.0, America Online 8.0, Firefox 2.0, Firefox 3.0, and Safari 1.2X or 3.0.

DUTY TO REVIEW PERIODIC STATEMENTS: You understand that your periodic statements will include the account and transaction activity for your deposit, loan, electronic funds transfer services, change in terms and fees notices, and other important information. You agree that it is your responsibility to promptly review your statement activity and notify us immediately in writing of any error, unauthorized transaction, or any other irregularity in accordance with our Account Disclosure. If you allow someone else to access your statement you are still responsible to review the statement for any errors, unauthorized transactions, or any other irregularities. Any applicable time periods within which you must notify us of any errors on your account statement(s) shall begin with the date on which your Online Statement email notification was sent. If you do not immediately report to us any non-receipt of Online Statements notification or any error, irregularity, discrepancy, claim, or unauthorized debits or items, you shall be deemed conclusively to have accepted all matters contained in the Online Statements to be true, accurate, and correct in all respects.

REQUESTING A PAPER COPY OF A STATEMENT: You must visit a branch to request a paper copy of your statement. There may be a fee for this service, please refer to the Member Fee Schedule for more information.

10 JOINT ACCOUNTS: If your share account has a joint owner, one of you may consent to receive disclosures electronically and that person's election to receive Online Statements shall apply to all accountholders.

RIGHT TO WITHDRAW CONSENT: You may opt-out of receiving Online Statements through User Options in Online Banking. If you turn the feature off after the 25th day of the current month, the change will not go into effect until the following month's statement processing. There are no fees or account restrictions for withdrawing your consent for Online Statements.

OUR RIGHT TO TERMINATE: We reserve the right to terminate your Online Statement access at any time for any reason at our sole discretion.

ADDITIONAL TERMS & CONDITIONS: The terms and conditions of your Membership and Account Agreement as well as your other agreements with TFCU continue to apply notwithstanding anything to the contrary in this Agreement.

This Agreement is also subject to applicable Federal laws and the laws of the State of Arizona. If any provision of this Agreement is found to be unenforceable according to its terms, all remaining provisions will continue in full force and effect. The headings in this Agreement are for convenience or reference only and will not govern the interpretation of the provisions. Any waiver (express or implied) by either party of any default or breach of this Agreement must be in writing and shall not constitute a waiver of any other or subsequent default or breach. You may not assign this Agreement. This Agreement is binding upon your heirs and the Credit Union's successors and assigns. Certain obligations of the parties pursuant to this Agreement that by their nature would continue beyond the termination, cancelation, or expiration of this Agreement shall survive termination, cancelation, or expiration of this Agreement.

CHANGE IN TERMS: The Credit Union reserves the right to change the terms and conditions of this agreement at any time, which includes the addition and deletion of the Online Statement services. We shall update this agreement on our website and may notify you of such changes by mail or electronic message. The notice will be posted or sent at least thirty (30) days in advance of the effective date of any additional fees or of any stricter limits on the type, amount or frequency of transactions or any increase in your responsibility for unauthorized transactions, unless an immediate change is necessary to maintain the security of the system. If such a change is made and it can be disclosed without jeopardizing the security of the system, we will provide you with electronic or written notice within thirty (30) days after the change. By using the Online Statement service when the changes become effective, you agree to be bound by the revised terms and conditions contained in the disclosures. You may opt-out of Online Statements and receive mailed paper statements by emailing us via the Secure Support email option within Online Banking or by contacting us by telephone.

DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY: We make no warranty of any kind, expressed or implied, including any implied warranty of merchantability or fitness for a particular purpose, in connection with the Online Statements provided to you under the Agreement. We do not and cannot warrant that the Online Statement service will operate without error or that the Online Statement service will be available at all times. Except as specifically provided in this Agreement, or otherwise required by Law, you agree that our officers, directors, employees, agents, or contractors are not liable for any indirect, incidental, special, or consequential damages under or by reason of any services or products provided under the Agreement or by reason of your use of the Online Statement service, including loss of profits, revenue, data, or use by you or any third party, whether in an action in contract or tort or based on a warranty or any other legal theory.

TUCSON FEDERAL CREDIT UNION FINANCEWORKS & DEBIT REWARDS OFFERS -- END USER LICENSE AGREEMENT

11 In addition to the above content, if you decide to use either FinanceWorks or the Debit Rewards Offers application, you acknowledge and agree to the following terms and conditions of service.

LICENSE GRANT AND RESTRICTIONS. You are granted a personal, limited, non-exclusive, non-transferable license, to electronically access and use the FinanceWorks Service (the “Service”) solely to manage your financial data, and the purchase rewards application (“Debit Rewards Offers”) to benefit from your debit card purchases.

In addition to the FinanceWorks Service and the Debit Rewards Offers, the terms "Service" and “Debit Rewards Offers” also include any other programs, tools, internet-based services, components and any "updates" (for example, Service maintenance, Debit Rewards information, help content, bug fixes, or maintenance releases, etc.) of the Service or Debit Rewards Offers if and when they are made available to you by us or by our third party vendors. Certain Service and Debit Rewards Offers may be accompanied by, and will be subject to, additional terms and conditions.

You are not licensed or permitted to do any of the following and you may not allow any third party to do any of the following: (i) access or attempt to access any other systems, programs or data that are not made available for public use; (ii) copy, reproduce, republish, upload, post, transmit, resell or distribute in any way the material from the FinanceWorks site or from the Debit Rewards Offers program; (iii) permit any third party to benefit from the use or functionality of the Service or Debit Rewards Offers, or any other services provided in connection with them, via a rental, lease, timesharing, service bureau, or other arrangement; (iv) transfer any of the rights granted to you under this license; (v) work around any technical limitations in the Service, use any tool to enable features or functionalities that are otherwise disabled in the Service, or decompile, disassemble, or otherwise reverse engineer the Service except as otherwise permitted by applicable law; (vi) perform or attempt to perform any actions that would interfere with the proper working of the Service or Debit Rewards Offers or any services provided in connection with them, prevent access to or the use of the Service, Debit Rewards Offers or any or services provided in connection with them by other licensees or customers, or impose an unreasonable or disproportionately large load on the infrastructure while using the Service; or (vii) otherwise use the Service, Debit Rewards Offers or any services provided in connection with them except as expressly allowed under this Section 1.

OWNERSHIP. The Service and Debit Rewards Offers are protected by copyright, trade secret and other intellectual property laws. You do not have any rights to the trademarks or service marks.

YOUR INFORMATION AND ACCOUNT DATA WITH US. You are responsible for (i) maintaining the confidentiality and security of your access number(s), password(s), security question(s) and answer(s), account number(s), login information, and any other security or access information, used by you to access the Service, Debit Rewards Offers or any services provided in connection with them, and your accounts with us (collectively, "Licensee Access Information"), and (ii) preventing unauthorized access to or use of the information, files or data that you store or use in or with the Service, Debit Rewards Offers or any services provided in connection with them (collectively, "Account Data"). You are responsible for providing access and assigning passwords to other users, if any, under your account for the Service, Debit Rewards Offers or any services provided in connection with them, and ensuring that such authorized users comply with this Agreement. You will be responsible for all electronic communications, including account registration and other account holder information, email and financial, accounting and other data ("Communications") entered using the Licensee Access Information. It is assumed that any Communications received through use of the Licensee Access Information were sent or authorized by you. You agree to immediately notify us if you become aware of any loss, theft or unauthorized use of any Licensee Access Information. We reserve the right to deny you access to the Service, Debit Rewards Offers or any services provided in connection with them (or any part thereof) if we reasonably believe that any loss, theft or 12 unauthorized use of Licensee Access Information has occurred. You must inform us of, and hereby grant to us and our third party vendors permission to use, Licensee Access Information to enable us to provide the Service, Debit Rewards Offers or any services provided in connection with them to you, including updating and maintaining Account Data, addressing errors or service interruptions, and to enhance the types of data and services we may provide to you in the future.

We may use anonymous, aggregate information, which we collect and store, or which is collected and stored on our behalf by third party vendors, to conduct certain analytical research and help us to create new offerings and services for our customers. As we make additional offerings and online banking services available to you, some of which may rely on banking information maintained in your accounts, you will have the opportunity to participate in the services if you choose. If you choose not to participate, you do not need to notify us. We may also use anonymous, aggregate information which we collect and store, or which is collected and stored on our behalf by third party vendors, to (i) conduct database marketing and marketing program execution activities; (ii) publish summary or aggregate results relating to metrics comprised of research data from time to time; and (iii) distribute or license such aggregated research data to third parties. Additionally, automated technology may be used to tailor messages or advertisements that best reflect your interest and needs.

YOUR INFORMATION AND ACCOUNT DATA WITH OTHER FINANCIAL INSTITUTIONS. Our financial management tools allow you to view accounts that you may have outside our financial institution (this is a process called “aggregation”). When you choose to use online financial services which are applicable to data that you have transacted with other financial institutions or card issuers, you are consenting to us accessing and aggregating your data from those outside financial institutions. That data includes your financial institution account access number(s), password(s), security question(s) and answer(s), account number(s), login information, and any other security or access information used to access your account(s) with other financial institutions, and the actual data in your account(s) with such financial institution(s) such as account balances, debits and deposits (collectively, "Financial Account Data"). In giving that consent, you are agreeing that we, or a third party vendor on our behalf, may use, copy and retain all non-personally identifiable information of yours for the following purposes: (i) as pertains to the use, function, or performance of the services which you have selected; (ii) as necessary or useful in helping us, or third parties on our behalf, to diagnose or correct errors, problems, or defects in the services you have selected; (iii) for measuring downloads, acceptance, or use of the services you have selected; (iv) for the security or protection of the services you have selected; (v) for the evaluation, introduction, implementation, or testing of the services you have selected, or their upgrade, improvement or enhancement; (vi) to assist us in performing our obligations to you in providing the services you have selected.

If we make additional online financial services available to you which are applicable to data that you have transacted with other financial institutions or card issuers, and which we will aggregate at this site, we will separately ask for your consent to collect and use that information to provide you with relevant offers and services. If you give us your consent, you will be agreeing to permit us to use Financial Account Data to help us suggest savings opportunities or additional products and services to you.

If you select services that are offered by third parties or merchants through such offers or on our behalf, you will be agreeing that we have your consent to give such third parties or merchants your geographic location, and other data, collected and stored in aggregate, as necessary for such third parties or merchants to make their offerings and services available to you and to permit us to use Financial Account Data to help us suggest savings opportunities or additional products and services to you. Except as specified here, we and the third parties or merchants acting on our behalf shall not use or keep any of your personally identifiable information.

13 USE, STORAGE AND ACCESS. We shall have the right, in our sole discretion and with reasonable notice posted on the FinanceWorks site and/or sent to your email address provided in the Registration Data, to establish or change limits concerning use of the Service and any related services, temporarily or permanently, including but not limited to (i) the amount of storage space you have available through the Service at any time, and (ii) the number of times (and the maximum duration for which) you may access the Service in a given period of time. We reserve the right to make any such changes effective immediately to maintain the security of the system or Licensee Access Information or to comply with any laws or regulations, and to provide you with electronic or written notice within thirty (30) days after such change. You may reject changes by discontinuing use of the Service and any related services to which such changes relate. Your continued use of the Service or any related services will constitute your acceptance of and agreement to such changes. Maintenance of the Service or any related services may be performed from time-to-time resulting in interrupted service, delays or errors in such Service or related services. Attempts to provide prior notice of scheduled maintenance will be made, but we cannot guarantee that such notice will be provided.

THIRD PARTY SERVICES. In connection with your use of the Service, Debit Rewards Offers, or any other services provided in connection with them, you may be made aware of services, products, offers and promotions provided by third parties, ("Third Party Services"). If you decide to use Third Party Services, you are responsible for reviewing and understanding the terms and conditions governing any Third Party Services. You agree that the third party is responsible for the performance of the Third Party Services.

THIRD PARTY WEBSITES. The Service may contain or reference links to websites operated by third parties ("Third Party Websites"). These links are provided as a convenience only. Such Third Party Websites are not under our control. We are not responsible for the content of any Third Party Website or any link contained in a Third Party Website. We do not review, approve, monitor, endorse, warrant, or make any representations with respect to Third Party Websites, and the inclusion of any link in the Service, Debit Rewards Offers or any other services provided in connection with them is not and does not imply an affiliation, sponsorship, endorsement, approval, investigation, verification or monitoring by us of any information contained in any Third Party Website. In no event will we be responsible for the information contained in such Third Party Website or for your use of or inability to use such website. Access to any Third Party Website is at your own risk, and you acknowledge and understand that linked Third Party Websites may contain terms and privacy policies that are different from ours. We are not responsible for such provisions, and expressly disclaim any liability for them.

EXPORT RESTRICTIONS. You acknowledge that the Service may contain or use software that is subject to the U.S. Export Administration Regulations (15 CFR, Chapter VII) and that you will comply with these regulations. You will not export or re-export the Service, directly or indirectly, to: (1) any countries that are subject to US export restrictions; (2) any end user who has been prohibited from participating in US export transactions by any federal agency of the US government; or (3) any end user who you know or have reason to know will utilize them in the design, development or production of nuclear, chemical or biological weapons. You further acknowledge that this product may include technical data subject to export and re-export restrictions imposed by US law.

DEBIT REWARDS OFFERS. If you decide you wish to participate in the Debit Rewards Offers application, you acknowledge and agree to the following terms and conditions of service.

Debit Rewards. You will earn rewards for your participation in the Debit Rewards Offers program based on total purchases. If you participate in the Debit Rewards Offers, we will credit all cash or point rewards earned to your rewards balance and send you a lump sum of all rewards due to you. For any qualifying purchases during the current month, we will distribute the lump sum amount to you during the following calendar month. For example, if the 14 payment date of all rewards end user disbursements is August 30, the applicable Measurement Period would be the calendar month ended July 31. Cash rewards will be deposited in the Debit Rewards Offers deposit account which is associated with the Debit Rewards Offers program. Debit Rewards Offers Account. You must use the debit card associated with the Debit Rewards Offers account in order to receive the offers which qualify for the rewards. Rewards will not be earned for any portion of your purchase that you pay for with store credit, gift certificates or other payment types.

Purchases must be made as indicated in the offers made available under the Debit Rewards Offers program. Each offer will specify whether the purchase can be made online, at a store location, or by telephone to be eligible for rewards. You must also comply with any guidelines included with the offer, such as offer expiration dates, minimum purchase amounts, purchase limits, etc. You must also pay using the debit card associated with the account that received the Debit Rewards offer in order for the purchase to qualify.

While we and the merchants work hard to properly track and credit all eligible purchases, there may be times that we are unable to do so because of problems with your internet browser, the merchant's web site or our system. Please contact our support team if you believe you have made a qualifying purchase for which you did not receive Rewards.

Please note that you will not earn rewards as part of this program if you use a debit card not issued by us or do not have the designated deposit account opened with us at the time of disbursement.

You understand and agree that we make no warranties and have no liability as to:

● Any offers, commitments, promotions, money back, or other incentives offered by any of the merchants in the Debit Rewards Offers program.

● The rewards information that we provide to you, which is provided “as is” and “as available”.

● (i) your inability to comply with offer guidelines, (ii) the accuracy, timeliness, loss or corruption, or mis-delivery, of any qualifying purchase information or any other information, (iii) unauthorized access to your account(s) or to your account information and any misappropriation, or alteration, of your account information or data, to the extent that the unauthorized access results from your acts or omissions, or (iv) your inability to access your account(s) including, but not limited to, failure of electronic or mechanical equipment, interconnect problems with telephone providers or internet service providers, acts of God, strikes, or other labor problems.

● Some states do not allow limitations on how long an implied warranty lasts, so that the above limitations may not apply to you, and that you may also have other rights, which vary from state to state.
