I studied Intellectual Property Law, Commercial Law, Delict, Administrative Law, and Company Law at honours. I also studied Intellectual Property Law, Constitutional Law, International Relations and Economics at the University of Poitiers, from January to June 1994. Kings College London, The University of London. 2. RELEVANT EXPERIENCE Trainee Solicitor. Wright Johnston and Mackenzie . September 1996 to August 1998. As a trainee I had seats in the Private Client, Commercial Property, Corporate and Litigation Departments of the Firm. Assistant then associate. Shepherd + Wedderburn. August 1998 – June 2004. Experience includes advising on matters including. European and UK Competition Law • Making and dealing with complaints and investigations under EC and UK Competition Law. • Competition Law aspects of mergers, acquisitions and joint ventures. • Competition Act compliance programmes. • Clearance of significant contractual arrangements under EC and UK regulatory rules through the EC Commission, the Department of Trade and Industry and other regulatory and government bodies. Public and regulatory law • Judicial review of government and regulatory decisions including in respect of determinations of utility regulators, such as the Gas and Electricity Markets Authority. • Advising on enforcement actions by regulators such as the Gas and Electricity Markets Authority. This included regulatory action that could lead to significant multi million pound fines. • The drafting of new legislation and regulations. • Regulatory reforms in the energy sector, including key aspects of the restructuring of a major Scottish plc pursuant to EC and UK legislation. Commercial transactions • The drafting and negotiation of a wide range of commercial contracts including in respect of purchase and supply of goods and services, capital projects, joint ventures, outsourcings and energy trading contracts. • Capital projects including the £300m electricity interconnector between Scotland and Northern Ireland. • Information technology contracts. Corporate transactions • Due diligence and other aspects of mergers and acquisitions including aspects of listed company transactions. • Corporate law, including advising listed companies on corporate governance. • The restructuring of Scottish Power plc into several separate group companies including negotiations with the Department of Trade and Industry, the Gas and Electricity Markets Authority and major contractual counterparties. • Joint ventures including the joint venture between Baillie Gifford and The Toyo Bank of Japan. Commercial disputes The assessment, negotiation and settlement of commercial disputes, including obtaining counsel’s opinion. Insolvency Advising a major plc on the insolvencies of Enron, Independent Energy and British Energy. EC law • The implementation of EC regulations and directives. • Compliance with EC directives. I also spoke at seminars organised by the Firm, and was regularly invited to speak at other conferences and seminars in particular in relation to energy related matters. Solicitor. ScottishPower. July 2004 to March 2007. Experience includes advising in respect of:- • An investigation by the Gas and Electricity Markets Authority into compliance with the Competition Act 1998 and negotiating and agreeing commitments to the Authority in order to close the investigation. • Formal investigations by the Authority under the Electricity Act 1989. • The acquisition by ScottishPower of Core Utility Solutions Limited. • The proposed UK reforms to the law relating to corporate homicide. • Drafting and negotiation of commercial contracts including the purchase of significant IT systems. • The assessment, negotiation and settlement of commercial disputes. • The Energy Act 2004, and reforms pursuant to that Act, including the transfer of ScottishPower’s transmission system operation function to National Grid plc. • Judicial review of government and regulatory decisions. My work included provision of advice and papers to the plc board of the listed company, Scottish Power plc. Devilling. October 2007 to July 2008 . Devilmasters: Alan W.D. McLean, Chris Shead, Ronnie Renucci and Ailsa Carmichael. During my devilling I have gained experience of commercial disputes, arbitration, judicial review, professional negligence and personal injury work.
