ANNUAL GENERAL MEETING 25th August 2004

1. WELCOME The incoming Chairman, David Harvey, welcomed those present to the SIAA 2004 AGM. The attendees (refer to Attachment A) introduced themselves.

2. APOLOGIES Refer to Attachment A.

3. PREVIOUS MINUTES The previous minutes of the AGM of 21st August 2003 were accepted (motion moved David Harvey, seconded Geoff Northam – carried unanimously).

4. CHAIRMAN’S REPORT David Harvey presented the Chairman’s Report, consisting of the power-point presentation “SIAA 2004 AGM” (attached). Included in the presentation were items 5 and 6 of the Agenda:

5. INDUSTRY SURVEY RESULTS Only 25 or so replies were received from 100 forms sent out. The industry is growing – and employing more people Self-funded R&D is strong – particularly considering the mix of large, multi- national companies and smaller SMEs.

Two companies won the lucky entry prize: 1. CSIRO ICT 2. Alltech Communications They will each receive a complimentary SimTecT Registration.

6. STRATEGIC PLAN There were no questions during or after the presentation.

7. ELECTION OF EXECUTIVE COMMITTEE MEMBERS Nomination forms were received, as listed in Attachment B. There being no contested positions, and upon an enquiry of those present, no objections, and following a motion (proposed Peter Hill, seconded David Harvey – carried unanimously), the nominated members were elected to the Executive Committee, and therefore the Board of SIAA Ltd.

8. BUDGET AND PROGRAMS Refer to the budget in the Chairman’s presentation. Highlights are: Operating Expenses Executive officer (SIAA & SimTecT) $70,000 Insurance / Fees / Expenses $27,000 Existing budgetary commitments Academic Scholarship $10,000 Web-site Redevelopment $4,000 Best paper presentation at I/ITSEC $5,000 Best Student paper award $2,000 Learning & Development Officer $60,000 Sub-Total $81,000 Proposed new budgetary commitments Strategic Plan Development and Implementation $100,000 Revenues Membership fees $40,000 SimTecT 2004 and 2005 surplus $80,000 Profit / Loss -$158,000

The budget was accepted (motion proposed Peter Hill, seconded Lex Trotman – carried unanimously). The retiring Chairman, David Harvey, continued presenting the Agenda, as the new Chairman, Alan Johnson, was fog-bound in Sydney.

9. MEMBERS’ MOTIONS

9.1. Proposed Changes to the SIAA Constitution Peter Hill outlined changes to the Constitution, to bring it in line with the way the SIAA was doing business, and following legal advice. The Constitution, and the proposed changes, had been made available to members on the SIAA’s web-site, with notifications by email, for the required notice period, in accordance with the requirements for a Special Resolution. The Special Resolution was “The original Constitution, defined when the SIAA Ltd was registered, be replaced with the Constitution dated March 2004.” There were no questions, and the proposed changes were accepted (motion proposed Peter Hill, seconded Geoff Northam – carried unanimously)

9.2. Members’ Fees It was proposed, and accepted, that Members’ fees remain at the same levels (motion proposed Peter Hill, seconded Lex Trotman – carried unanimously).

10. PROFESSIONAL DEVELOPMENT ACTIVITIES Geoff Northam presented Phil Wallace’s report (attached). Shane Garrett, the SIAA’s newly appointed part-time Learning & Development Officer, was introduced to those present.

11. HEALTH CARE SIMULATION SOCIETY Brendan Flanagan, from Southern Health in Victoria, and convenor of the Health Care Simulation Society, gave a presentation (attached).

12. OTHER BUSINESS 12.1. SimTecT 2005 Demonstration Peter Hill outlined the concepts behind a proposed demonstration of SIAA Members’ capabilities at SimTecT 2005 (being organised by Jawahar Bhalla of CAE), and solicited interest in participation.

12.2. ADSO Business Cases Cliff White, Director-General, Simulation, Australian Defence Simulation Office, described the background behind his request, which the SIAA fully supports, for case studies showing the tangible benefits of simulation. Australian industry was urged to support this initiative.

12.3. Appointment of the Auditor Peter Hill outlined the previous audit process (where RSM Bird Cameron audit the Canberra-based SimTecT and Professional Development accounts, and Robert Mitchell & Company performed the overall audit. For the sake of efficiency, Peter Hill proposed that Robert Mitchell & Company perform the entire audit (motion proposed Peter Hill, seconded Lex Trotman – carried unanimously).

12.4. Thanks to Retiring Chairman David Harvey thanked the Committee for their hard work over the year. Peter Hill, on behalf of Alan Johnson and the Committee, also thanked David Harvey for his energy, vision and leadership over the past year. This was supported by applause from the audience.
