Parties: [Insert name, address and company number of Partner] on behalf of the Consortium CERT-TTT-M (the “Partner”)

[Insert name, address and company number of Training Provider] (the “Training Provider”);

Background: (a) The European Commission funded a research project to create a training framework for technology transfer managers in order to professionalise their role, to help to create a more defined career structure for them and to assist with mobility of managers within the European Union; (b) In order to continue with this project, the European Commission requires a minimum number of training providers to agree in principle that they are willing to provide courses based on that framework and to administer related examinations; (c) The Consortium CERT-TTT-M has provided a list of quality criteria for the selection of Training Providers representing the minimum requirements that are considered necessary for providing courses in accordance with the framework; (d) The Training Providers have to satisfy the quality criteria set out by the Consortium CERT-TTT-M and have to agree in principle to provide courses that follow that framework on the terms set out below; (e) Attempts are being made to establish a professional body (or an agreement between professional bodies) to oversee the updating of the framework and to set and monitor associated professional standards. If the supervisory body described is established, it is intended that this body will consider the Training Provider’s suitability to provide training and to administer examinations as described above and will define the quality procedures through which it will operate.

It is intended as follows:

1. Definitions In this Document the following expressions shall have the following meanings: “Quality Criteria” shall mean the check list of criteria referred to in Background section (c) which constitute the Annex 1 of this Document; “Framework” shall mean the parts of the Framework for the education and examination of technology transfer managers in the European Union in the course of the Project, which constitute the Annex 2 of this Document; “ Project” the project established under the European Union Framework Programme 6, known as “Certified Trans-national TT Manager – Building up a framework to qualify TT – Managers on a trans-national level with mutual recognition”; “Supervisory Body” shall mean the supervisory body referred to in Background section (e) above. “ Services” shall mean the provision of training and administration of examinations in accordance with the Framework.

2. Letter of Intent

2.1 The Training Provider has sufficient expertise and resources to deliver the Services and to do it within 2 years from the date of this Agreement. 2.2 If the Training Provider satisfies the Quality Criteria, the intention of the Partner is that the Training Provider will deliver the Services. 2.3 Following what is described in paragraph 2.2, the Training Provider shall mutually recognise the training and examinations provided in accordance with the Framework by other training providers. 2.4 The Training Provider shall mention the project and the funding programme when publishing information of courses developed on the basis of the Framework. The sentence to be used shall be the following: “The contents of this course have been designed in accordance with the training framework for technology transfer managers identified by the Consortium CERT-TTT-M within the project “Certified Trans-national TT Manager – Building up a framework to qualify TT – Managers on a trans-national level with mutual recognition”, funded by the European Commission, Framework Programme 6”.
