1.0 The meeting was called to order at 08.25am

Mrs. Neltah King opened the meeting with a short prayer.

3.0 Introductions

3.1 The Master of Ceremony introduced the Chairperson and Vice Chairperson of the Board of Directors and members of the Board, members of the Supervisory, Nomination and Credit Committees.

3.2 She further introduced the invited guest from the Department for Co-operative Development, Mrs. Patricia Modise and Mrs. Kopano Mikono.

4.0 Adoption of the Agenda

4.1 The MC observed that the present membership formed a quorum.

4.2 Mr. Lesetse Mogae (member number 23) proposed for the adoption of the agenda and was seconded by Mr. John Maseko (member number 107)

5.0 Welcome Remarks

14 5.1 The Board Vice - Chairperson observed all protocol and welcomed all members present, representatives from the Department for Cooperatives and staff members.

5.2 The Board Vice Chairperson thanked attendees for bracing the bad weather to honor this meeting and thanked everyone for coming on time.

5.3 He mentioned that the Board’s aim is to ensure that the Society as a business, operates with audited books of accounts all the time and indicated that this enables better decision making. . 5.4 He encouraged the Board to ensure that the Society is always at par with modern times so that operations are easier and flexible. He reminded the members that the AGM is due to be held in a few months and that one of the intended reasons for having this special meeting was to amend the bye-laws to align them to the Cooperative Act.

5.5 He further went on to say that at the last AGM, it was resolved that the Society must have a Nominations Committee. He noted that the Committee has since been formed and added that this meeting will ensure that members appreciate the functions of the Committee and understand the duty they will play at the next AGM as they are now in operation.

5.6 He went on to inform the meeting that, after these proposed changes have been made, they will be sent for approval by the Director for Co-operative Development before they can be in use. He requested the members to follow the agenda items and leave any other issues for the upcoming AGM.

5.7 The Vice Chairperson declared Special General Meeting officially opened.

6.0 Presentation of the Proposed Amendments

6.1 When starting her presentation, the Board Chairperson recognized the presence of former officials of the Cooperative Movement, Mr Lesetse Mogae and Mr. David Matsetse amongst the attendees and commended them for the good work they did during their tenure.

6.2 She also took the opportunity to introduce to the membership the newly appointed Deputy Manager of the Society Mrs. Malebogo Sepopa.

6.3 The Chairperson brought it to the attention of the members that when the old Cooperative Act of 1980 was replaced with the Cooperative Act of 2013, some items were left out and that by so doing, the Act required different Co-operatives to have more detailed bye-laws that will suit their Co-operative’s businesses, hence why the Board came up with these proposed amendments, to align them with the new Act. She mentioned that although the bye-laws were amended in 2015, some items still needed to be aligned with the new Cooperative Act as they had been overlooked at the time. She reminded the members that it is only after their approval by the Director For Cooperatives that these bye-laws could be amended as proposed.

7.1 On Article 30(c) Funds Suggestion: One member suggested the addition ‘’……registered and operating in Botswana.” After the proposed amendment.

Answer: The Officer from the Department for Cooperatives advised that it is better to leave it as open as it is, as it will not have any restriction. She added that however, the cost of borrowing should always be considered.

7.3 On Article 31.1 Deposits and Investments Question: One member asked if this interest will also apply to SAYE and Christmas Savings

Answer: It was clarified that this interest will only be for the core member Savings, not the optional ones.

7.3.1Suggestion: One member suggested that it should then read ‘…..5% and above.’

Answer: To clear the confusion, emphasis was made on the word minimum which essentially meant it would not go below the stated percentage.

7.5 On Article 46 General Meeting Of Members Suggestion: Some members suggested an increase from the current number of 25 people required to be present to form a quorum at the AGM to 150, while some suggested 25, 250 and 300.

7.5.1Suggestion: One member also suggested 47 (b) to be amended to increase from 20 to 150

Answer: After all the suggestions, the Chairperson decided that there shall be voting to determine the number of members who wanted this change to be included in the proposed amendments. Voting was done by show of hands and staff members present were asked to count the hands, while the Department for Co-operative Officers verified the numbers.

7.6 VOTING RESULTS

Those who voted for quorum to be formed by 250 members – Nil Those who voted for quorum to be formed by 150 members – 200 Those who voted for quorum to be formed by 25 members – 3

It was therefore agreed that 150 will be the minimum number required to form a quorum at General Meetings.

19 7.7 On Article 47 (b) A special General Meeting Suggestion: Some members proposed that the number be increased from 20 to 50.

Answer: The Officer from the Department for Cooperatives suggested that this is in line with Section 10 of the Act. And that the Society must not move away too much from this number.

The Chairperson suggested that this item be a motion to be carried forth to the AGM and brought back focus on the proposed amendments.

7.8 On 62 Capital Expenditure

Suggestion: Some members suggested that there must be a limitation on the amount of expenditure the Board should authorise and that the said Amendment must have an addition ‘ ……..subject to approval by the General Members.’ Members showed concern on giving the Board too much power and referred to past incidents where the Board invested in a computer system which resulted in a legal battle.

Answer: The official from Department for Cooperatives read out the relevant section from the Act and stressed that this proposed amendment is actually specified in the Act and must be followed.

7.9 Comment: When giving the amendment a nod, one member said that what was proposed is in line with the actual duty of the Board of Directors, he added that all Boards elsewhere are tasked with capital expenditure of ventures they oversee, and that the Society Board be allowed to do the same as is law.

When given the floor, most members Agreed that all capital expenditure must be approved by the members.

7.10 Question: One member wanted to know whether the Board has an Investment Policy that guides this Section. One member said much as he views the majority concerns, he agreed with the proposed amendment but suggest that there should be an Investment Policy and Code of Ethics

Answer: After a lengthy debate on the issue, the Chairperson moved that the general membership agree that they have rejected this amendment. The membership resolved that this amendment will not be considered.

7.11 On conclusion of her presentation, the Chairperson she thanked the members for their participation and level of engagement. She said she was happy that members were able to make their own decisions and encouraged them not to always agree with what the Board says, even if it’s not what they want. She said issues must be debated but what is important is to reach a mutual agreement. 8.0 Implementation of Nominations Process

8.1 When starting his presentation, the Committee Secretary informed the members that currently the Committee operates with two members instead of the required three since the resignation of the other Committee member.

20 8.2 He said that the Nominations Committee was established in 2015 but has not been very functional since then. He said he hoped that after the adoption of these bye law amendments, there shall be more concentration on his presentation as compared to the last time at the AGM, where his presentation started late at night and got less attention as a result.

8.3 Questions and Comments From Members

8.3.1 Comment: After explaining their processes, one member thanked the Committee for their presentation but was confused as the duties mentioned seemed to be no different from the ones of the Elections Committee. He showed concern that one of the rights of the Society members is to vote and elect other members they wished to represent them, into the Board, and therefore felt that the mandate of this committee would infringe on this right. He said members must nominate each other and have other members second their nominees as has always been the case.

Answer: the Board Chairperson mentioned that, this Committee was established and elected in 2015. Therefore she did not expect that at the time when their processes were to be implemented, some members could still be debating the duties of this committee which were communicated to all during the formation of the committee. She stressed that this Committee will assess nominations made, while the Election committee will oversee the election process.

8.3.2 Suggestion: One member appreciated the Chairperson’s words when clarifying the Committee mandate, but suggested that Motswedi Staff be the ones who do the nominations instead of this committee.

Answer: one member said that Motswedi Staff duties have nothing to do with elections and nominations and that it is outside their boundaries. He noted that there is nothing wrong with up skilling Committee members in areas needed to enable them to run the Society affairs efficiently. He said when they come into the Board, they bring their own skills and use them for the betterment of the Society and in return all members benefit from their skills.

8.3.3 Comment: One member Showed concern on why the Nomination Committee will be the one assessing the Board Members. He encouraged transparency in the whole process

8.3.4 Comment: One member applauded the presentation.

9.0 CLOSING REMARKS

9.1 Mrs. Patricia Modise in closing said that Motswedi SACCOS is recognized as a model Society in the Country. She encouraged its growth and asked members to look into having a Cooperative bank and Cooperative Insurance, where they will bring the business to themselves instead of enriching other businesses.

9.2 She added that in other countries, SACCOS are so successful that they control a good part of the economies within which they operate and encouraged Motswedi to go the same route.

9.3 She noted that there used to be a Co-operative bank which has since collapsed and

21 advised that Cooperative Goals should be aligned with Government’s goals for SACCO growth. In closing she said todays’ times allow for that to be possible.

10.0 Closing Prayer
