RESPONSES TO VERBAL QUESTIONS

Q1) Please explain the Small Business requirement. A) Bidders that are not an Alameda County certified Small, Local, Emerging Business (SLEB) as defined in the RFP must subcontract with one or more County certified small and/or emerging local businesses for at least twenty percent (20%) of the total bid amount in order to be considered for award.

The County reserves the right to waive these small/emerging local business participation requirements if the additional estimated cost to the County, which may result from inclusion of these requirements, exceeds five percent (5%) of the total estimated contract amount or Ten Thousand Dollars ($10,000), whichever is less. Please refer to pages 35-36 of the RFP, Paragraph W (COUNTY PROVISIONS), Item 2 (Small and Emerging Locally Owned Business).

Q2) Please explain the purpose of Exhibit I – Exceptions, Clarifications, Amendments. A) Bidders may use this form to list any clarifications, exceptions and amendments to the requirements of the RFP. However, the County is under no obligation to accept any exceptions and such exceptions may be a basis for bid disqualification.

Q3) Is the County seeking to purchase a complete system with different modules? A) Yes. The County is seeking to purchase a complete system with different modules. Each bidder must decide how that system should be configured and submit a proposal accordingly. Bidders should refer to pages 9-19 of the RFP, Paragraph D (VENDOR QUALIFICATIONS\SPECIFIC REQUIREMENTS) for system requirements and optional modules.

Q4) Will the billing reports include charges for use of the voice-mail system? A) Yes. The reports will include a fixed monthly charge for each voice mailbox.

Q5) Will the billing reports include charges for conferencing services? A) Yes. The County currently uses CALNET conference services. The County receives one monthly statement. The statement is manually processed to determine the total charges that should be assessed to each County department.

Q6) Is the County interested in purchasing a database to input the individual charges on the CALNET statement? A) The County is interested in purchasing a billing software program or system that can track usage as listed on the CALNET monthly statements for the purposes of billing the associated charges to the responsible County agencies and departments.

Q7) Does the CALNET statement allocate cost per user or as a lump sum? A) The CALNET statement allocates cost per each agency or department’s “organization number.”

Q8) What information is on the CALNET statement? A) The CALNET statement reflects charges for lines, trunks, circuits, direct inward dial (DID) numbers, local and long distance calls, one time installations, time and materials repairs, other voice communication related services, voice system maintenance, a dedicated technician, and recurring software licensing.

Q9) How does the County gain access to the CALNET statement? A) The County accesses the monthly CALNET statement online.

Q10) Does the County charge its agencies and departments by telephone set? A) No. The County charges the agencies and departments based on DID numbers, non- DID numbers, and routing codes assigned to each individual County agency or department. Please refer to page 6 of the RFP, Paragraph B (SCOPE). County of Alameda, General Services Agency – Purchasing RFP No. 900585, Addendum No. 7

Q11) How are repair tickets generated? A) Repair requests are initiated by County agencies or departments via e-mail or phone. The repair ticket is then generated manually.

Q12) Is the County interested in expanding the system in the future? A) Yes. Please see page 2 of Exhibit B, Bid Form – Informational Purposes Only for details on possible future system upgrades and expansions.

Q13) Please provide a sample of the asset database. A) Please see Exhibit O – Asset Database Sample at the end of this Addendum.

Q14) Please explain what the County means by “future chargeable items” on page 12 of the RFP, Paragraph D (SPECIFIC REQUIREMENTS), Item 2.k. A) The County may begin charging County agencies or departments for the listed services in Paragraph D, Item 2.k. at some time in the future. The County does not charge County agencies or departments for the listed services at this time. The system must have the ability to accommodate these possible future requirements.

Q15) Is the County interested in the possibility of piggybacking or participating in an existing contract with other government agencies? A) The County has decided to independently bid the services.

Q16) Are the two bidder conferences the same meeting? A) Yes. The bidder conferences have the same meeting format.

Q17) Does the County have a list of qualified SLEBs? A) Bidders can access the certified SLEB database by clicking the following link, http://www.acgov.org/auditor/sleb/.

Q18) What is the County’s provision if bidders are not able to locate and subcontract with a qualified SLEB? A) The County expects bidders to make every effort to comply with the SLEB requirement including contacting Auditor-Controller’s Office of Contract Compliance (OCC) for assistance (contact information for the OCC can be found on page 36 of the RFP, Paragraph W (COUNTY PROVISIONS), Item 2. After all efforts have been exhausted, bidders who are still not able to locate and subcontract with a SLEB vendor should detail their efforts on Exhibit I - Exceptions, Clarifications, Amendments. The County will review the bidders’ exception statement but is under no obligation to accept the request.

Q19) Does this project require 20% participation by a SLEB? A) Bidders not meeting the small or emerging local business requirements set forth on page 35 of the RFP, Paragraph W (COUNTY PROVISIONS), Item 2, must subcontract County of Alameda, General Services Agency – Purchasing RFP No. 900585, Addendum No. 7

with one or more County certified small and/or emerging local businesses for at least twenty (20%) of bidder’s total bid amount in order to be considered for the contract award.

Q20) What is the timeframe to get certified as a SLEB? A) The SLEB certification process can take as little as two weeks or as long as 90 days, depending on a number of factors.

Q21) Does a vendor have to be located in Alameda County to become a certified SLEB? A) Yes.

Q22) Can a vendor get certified if it has a branch in Alameda County but its headquarters is located somewhere else? A) The certification process includes a number of factors including the overall size of the company. Vendors should review Exhibit E – Certification Instructions and Application for qualification information. However, vendors with a branch located in Alameda County may qualify for the 5% local preference (see Exhibit G – Request for Bid Preference).

Q23) Can Bidders that do not qualify for the SLEB program and are not able to subcontract with a certified SLEB submit a bid? A) Bidders should make every effort to meet the requirements of the RFP when submitting a bid. Any exceptions to the RFP requirements should be stated on Exhibit I - Exceptions, Clarifications, Amendments. All exceptions will be considered by the County; however, the County is not obligated to accept exceptions and such exceptions may be a basis for bid disqualification.

Q24) What are NAICS codes? A) NAICS codes are small business size standards matched to industries as described by the North American Industry Classification System (NAICS).

Q25) How will the successful bidder obtain the data from the County? A) The County will forward the data as an Excel spreadsheet.

Q26) Please explain the County’s web-based training requirement (Exhibit B - Bid Form, page 2). A) The County may decide to provide web-based training to the staff that inputs the data and uses the system after it has been installed. SUBMITTED WRITTEN QUESTIONS

Q27) Would the County consider a hosted solution? A) No.

Q28) Will the new solution be replacing the existing CDR solution including collection buffers? A) No.

Q29) What are the monthly charges for all voice services to be billed back to the County agencies or departments? A) The average monthly charges for July, 2009 through December, 2009 were $270,400.

Q30) Does the total amount charged back to the County agencies or departments have to equal the total invoiced amount? A) The amounts charged back to the County agencies or departments should be approximately equal to the amount billed plus any surcharges.

Q31) How will prorated charges be calculated? A) The County publishes a fixed percentage at the beginning of the fiscal year. Prorated charges are calculated using this fixed percentage which can change any time during the year.

Q32) Will the County enter different rate types for projections such as a single cost per minute or different rates for inter/intra LATA, local, international? A) The County currently participates in the CALNET II contract which uses an average cost per minute based on current contract rates. With the implementation of a new system, the County will implement one rate for local calls, one rate for calls within the USA and Canada, and another for international calls. The County will consider creating multiple rates for international calls.

The County restricts most lines from making long distance calls. International calling is allowed from certain agencies and departments that have demonstrated a specific need.

Q33) Does this capability have to include charges for all circuit fixed costs or just usage costs? A) The County will prorate some fixed monthly circuit costs. Circuits assigned to specific agencies or departments will be charged back accordingly.

Q34) Is it expected that the charges will be read electronically by the import carrier data? A) Initially no. The County will not import carrier data electronically. Initially the charges will be input manually. County of Alameda, General Services Agency – Purchasing RFP No. 900585, Addendum No. 7

In the future, the County intends to receive invoices electronically and use them to import data for invoice payment and charging back costs to internal agencies and departments.

Q35) How will the awarded bidder get the pay phone data? A) Initially the County will forward all data to the award bidder on Excel spreadsheets.

Q36) Are bidders expected to have a place to store hourly rates for telecommunications consulting services? A) Yes. An hourly rate for telecommunications consulting services must be stored in the billing system application. Ideally, the County will enter the monthly billable hours for each telecommunications department employee and charge-back those hours to the responsible agency or department.

Q37) Please provide the approximate size of the existing database records. A) The Access database that holds the County’s inventory of lines, circuits and voice mail boxes has approximately 12Mbs of data.

Q38) Please provide clarification as to whether a bidder can use MS Access to control the data stored in SQL Server. A) Bidders are being asked to propose a system to the County. Please note that the County will not accept Microsoft Access as a viable software package. Please see page 9 of the RFP, Paragraph D (VENDOR QUALIFICATIONS\SPECIFIC REQUIREMENTS), Item 2.

Q39) Please describe the billing procedure today in order to fully understand the variables of the data that bidders will be collecting and reporting on. A) Please refer to page 6 of the RFP, Paragraph B (SCOPE) and pages 7-8 of the RFP, Paragraph C (BACKGROUND).

Q40) Is there a consultant that the County regularly uses for a specific project that is being included in this bid? A) No.

Q41) Will the external and internal invoices be in the same format? A) Currently, the invoices are in different formats.

Q42) Can the County provide more technical information about the E911 Xtend™ solution. What type of interface are bidders expected to provide? A) The Xtend E911 System™ contains a database of County phone numbers and their locations including street address, floor and in some cases cubicle numbers. The Xtend™ system database is periodically updated from the Telephone System Divisions’ Access database. Though the Access Database is used for inventory and billing purposes, it is also designed to include PBX station numbers and associated location County of Alameda, General Services Agency – Purchasing RFP No. 900585, Addendum No. 7

information. The updates from the Access Database to the Xtend™ database are manually initiated. The steps are as follows:

1. Data from the Access Database is exported as a text file.

2. The text file is stored in a folder that is monitored by the Xtend™ system.

3. When the Xtend™ system sees a new updated version of the text file, it reads it, identifies changes, and incorporates changes into a smaller file that is then used to update the Xtend™ database of information.

This process was set up so the Telecommunications Department would not have to update both databases each time a change was made.

Q43) Is the County interested in receiving proposals on how to replace their current Access™ database with another billing database that includes fields for addresses, floor numbers, cubicle numbers and names? A) Yes. Bidders must submit their sealed proposals to the Office of the Purchasing Agent of Alameda County BY 2:00 p.m. on Thursday, September 16, 2010. Q44) Will the County create a nightly process to duplicate the current update process? A) The County will work with the awarded bidder and the County’s E911 system vendor to create a process whereby the E911 system database is updated using the new billing system database.

Q45) Does the County already have an Intranet that is available to all County employees who would be requesting service or automatic call distributions (ACDs)? A) Yes. GSA-Communications will work with the County’s Information Technology Department to make online ordering of phone service available to County employees through the County Intranet.

Q46) Does the County use a Microsoft IIS or some other server? A) The County uses Microsoft IIS.

Q47) Does the County prefer ASP.net, PHP, or HTML software? A) Bidders should propose the appropriate software type as part of their bid.

Q48) Will the awarded bidder be allowed access to the County’s intranet site, or will the building and maintaining of the site be done by the County? A) The awarded bidder will not be allowed access to the County’s intranet site. All building and maintenance of the intranet site will be done by the County.

Q49) Will the County allow the intranet website to connect to the same SQL Server as the telephone billing system or will some intermediate database server be required? County of Alameda, General Services Agency – Purchasing RFP No. 900585, Addendum No. 7

A) The County does not typically allow custom developed third party applications to access the County’s enterprise SQL service. If the software is an off-the-shelf product with a maintenance agreement, then the database could be hosted on the County enterprise solution.

Q50) Will the County be maintaining physical asset inventory information in the new system? A) No.

Q51) How many active DID numbers does the County have altogether? A) The County has approximately 12,000 active DID numbers.

Q52) How many services will be maintained in the new system including T1's, DID's, Non-DID's, Circuits, ISDN lines, DSL lines, Centrex? A) The County has approximately 27,000 records in the Access™ database. The records include, but are not limited to, the following:

 DID and non-DID numbers  ACD agent numbers  Hunt group numbers  Announcement numbers  AT&T BTNs for circuits  AT&T BTNs for trunks  Some ISDN lines  56K lines, and  DSL lines

The County tracks numbers not assigned to sets for the following reasons:

 To prevent double assignments, and  To provide future chargeable options

The County has 1,877 1MBs (which include ISDN lines), twelve 56K lines, and a small number of DSL lines.

Q53) How many Centrex lines does the County currently manage? A) As of June 30, 2010, the County manages 508 CTX lines.

Q54) What is the current total monthly charge-back dollar amount to the agencies? A) The total charge-backs for telephone services averaged approximately $537,000 per month during the last fiscal year (July 1, 2009 - June 30, 2010). This figure includes the cost of the telephone system surcharge applicable during the second half of the last fiscal year. These charge-backs are for carrier invoices for phone lines and trunks, usage, on-time installations, features and other services such as the following:

 Software license renewals on various systems  Monthly maintenance on the phone systems  T & M for repairs and upgrades, and  The monthly charge for a dedicated Avaya technician

The average monthly charge-back for depreciation of telephone equipment is $41,100 and includes the telephone systems surcharge.

Please note that the County is not interested in purchasing a hosted solution. The County will not entertain proposals which base cost on what the County pays to other vendors or what the County charges back to its agencies and departments for telephone services.

The County of Alameda is soliciting bids from qualified vendors to furnish its requirements per the specifications, terms and conditions contained in the above referenced RFP number. This Bid Acknowledgement must be completed, signed by a responsible officer or employee, dated and submitted with the bid response. Obligations assumed by such signature must be fulfilled. 1. Preparation of bids: (a) All prices and notations must be printed in ink or typewritten. No erasures permitted. Errors may be crossed out and corrections printed in ink or typewritten adjacent and must be initialed in ink by person signing bid. (b) Quote price as specified in RFP. No alterations or changes or any kind shall be permitted to Exhibit B, Bid Form. Responses that do not comply shall be subject to rejection in total. 2. Failure to bid: If you are not submitting a bid but want to remain on the mailing list and receive future bids, complete, sign and return this Bid Acknowledgement and state the reason you are not bidding. 3. Taxes and freight charges: (a) Unless otherwise required and specified in the RFP, the prices quoted herein do not include Sales, Use or other taxes. (b) No charge for delivery, drayage, express, parcel post packing, cartage, insurance, license fees, permits, costs of bonds, or for any other purpose, except taxes legally payable by County, will be paid by the County unless expressly included and itemized in the bid. (c) Amount paid for transportation of property to the County of Alameda is exempt from Federal Transportation Tax. An exemption certificate is not required where the shipping papers show the consignee as Alameda County, as such papers may be accepted by the carrier as proof of the exempt character of the shipment. (d) Articles sold to the County of Alameda are exempt from certain Federal excise taxes. The County will furnish an exemption certificate. 4. Award: (a) Unless otherwise specified by the bidder or the RFP gives notice of an all-or-none award, the County may accept any item or group of items of any bid. (b) Bids are subject to acceptance at any time within one hundred-eighty (180) days of opening, unless otherwise specified in the RFP. (c) A valid, written purchase order mailed, or otherwise furnished, to the successful bidder within the time for acceptance specified results in a binding contract without further action by either party. The contract shall be interpreted, construed and given effect in all respects according to the laws of the State of California. 5. Patent indemnity: Vendors who do business with the County shall hold the County of Alameda, its officers, agents and employees, harmless from liability of an nature or kind, including cost and expenses, for infringement or use of any patent, copyright or other proprietary right, secret process, patented or unpatented invention, article or appliance furnished or used in connection with the contract or purchase order. 6. Samples: Samples of items, when required, shall be furnished free of expense to the County and if not destroyed by test may upon request (made when the sample is furnished), be returned at the bidder’s expense. 7. Rights and remedies of County for default: (a) In the event any item furnished by vendor in the performance of the contract or purchase order should fail to conform to the specifications therefore or to the sample submitted by vendor with its bid, the County may reject the same, and it shall thereupon become the duty of vendor to reclaim and remove the same forthwith, without expense to the County, and immediately to replace all such rejected items with others conforming to such specifications or samples; provided that should vendor fail, neglect or refuse so to do the County shall thereupon have the right purchase in the open market, in lieu thereof, a corresponding quantity of any such items and to deduct from any moneys due or that may there after come due to vendor the difference between the prices named in the contract or purchase order and the actual cost thereof to the County. In the event that vendor fails to make prompt delivery as specified for any item, the same conditions as to the rights of the County to purchase in the open market and to reimbursement set forth above shall apply, except when delivery is delayed by fire, strike, freight embargo, or Act of God or the government. (b)Cost of inspection or deliveries or offers for delivery, which do not meet specifications, will be borne by the vendor. (c) The rights and remedies of the County provided above shall not be exclusive and are in addition to any other rights and remedies provided by law or under the contract. 8. Discounts: (a) Terms of less than ten (10) days for cash discount will considered as net. (b) In connection with any discount offered, time will be computed from date of complete, satisfactory delivery of the supplies, equipment or services specified in the RFP, or from date correct invoices are received by the County at the billing address specified, if the latter date is later than the date of delivery. Payment is deemed to be made, for the purpose of earning the discount, on the date of mailing the County warrant check. 9. California Government Code Section 4552: In submitting a bid to a public purchasing body, the bidder offers and agrees that if the bid is accepted, it will assign to the purchasing body all rights, title, and interest in and to all causes of action it may have under Section 4 of the Clayton Act (15 U.S.C. Sec. 15) or under the Cartwright Act (Chapter 2, commencing with Section 16700, of Part 2 of Division 7 of the Business and Professions Code), arising from purchases of goods, materials, or services by the bidder for sale to the purchasing body pursuant to the bid. Such assignment shall be made and become effective at the time the purchasing body tenders final payment to the bidder. 10. No guarantee or warranty: The County of Alameda makes no guarantee or warranty as to the condition, completeness or safety of any material or equipment that may be traded in on this order.
