SEMNET REQUEST FOR QUOTE FOR TRANSPORT AND INTERNET SERVICES
Introduction Southeast Minnesota Network, SEMNET, a telecommunications access cluster of member school districts is requesting vendors to provide a response for the following services.
Transport services - dark fiber and lit capacity Internet services - district specific and aggregated.
Additionally, an quote for providing Internal Broadband Equipment and Services is being requested for as an alternate.
SEMNET intends to be the service provider to the school districts and will contract with one or multiple vendors as appropriate to deliver the services needed.

Request issued on December 18th, 2014. Vendor Questions should be submitted by 4 pm local January 5th, 2015 to the email above. Answers will be provided by January 12th, 2015 Vendor response should be submitted in a sealed envelope before 4:00 pm January 19th, 2015 to the following address:

Vendor Selection SEMNET will review the responses received based on cost, RFP fulfillment, installation time-frame, building delivery and support as well as any other considerations SEMNET deems appropriate.
Transport Services - Dark Fiber and Lit Capacity SEMNET is looking for two types of transport service - dark fiber and lit capacity.
Appendix A lists the school district buildings that needs to be connected and the type of service requested.
Additional Appendix A identifies a need for transport services (lit or dark) from Chatfield Elementary to any one of the five sites collectively referred to as MN South sites.
1 Internet Transport and Services SEMNET is looking for vendors to provide differing level of internet service delivered at a hub location to allow pooled sharing by all of the Districts. SEMNET has identified Chatfield as a hub location where the aggregated internet is to be delivered. SEMNET is also looking for cost to one of the MN South schools as an internet hub. See Appendix A for name of a MN School. Vendors may suggest an alternate hub location in which case, vendors should provide space for a SEMNET Ethernet switch requiring 110 AC power. Vendors should also be willing to allow SEMNET access to the equipment 24x7 for maintenance purposes.
Under Configuration B, SEMNET is requesting that vendors provide either dark fiber or lit capacity (one gigabit) from each of the district internet site listed to the Chatfield hub or vendor proposed hub.
As part of their response, vendors are asked to respond to the following.
How many IP addresses are included with the service proposed? Can usage statistics be provided using a web page? Identify any additional cost for IP addresses or Domain Name Services.
Alternate for Internal Broadband Equipment and Services SEMNET is interested in providing internal broadband service to its members. In order to provide that, SEMNET in interested in obtaining quotes for the following.
1. Wireless Access Points including any license support 802.11ac standard. 2. Unit cost for installing Cat 6 and Cat 6A data cabling - assume a 300 feet cable run. 3. Unit cost to install a 12 fiber multimode OM3 cable with fiber terminated and tested - assume a 300 foot run. Multimode cable shall be interlocking armored. 4. 24 and 48 port Ethernet data switch w/Power over Ethernet+ and Quality of Service capability. 5. Firewall with one gigabit and 10G port. 6. Internal Broadband (wireless) as a service.
Cost Information Please provide cost as follows:
1. Attachment A and A1 is requesting cost for the transport services for 3 and 5 year terms for dark fiber and lit capacity between specified buildings in Appendix A. 2. Attachment B is requesting cost for internet services to the Chatfield Aggregation hub for 3 and 5 year terms. 3. Attachment C is requesting lit capacity from each site to Chatfield hub for 3 and 5 year terms. If 10G capacity is available, please provide it is a separate Attachment labelled. 4. Attachment C request unit cost for internal broadband equipment, service and installation pricing.
Vendors may choose to respond to any of the services, for any of the locations and for either three or five year term or both. The contract should have an option to renew for another three or five year term. Additionally, the contract should allow SEMNET to increase the transport or internet capacity.
2 In developing cost, vendors should not assume that all of the services requested by the districts will be selected. Any assumption in providing cost must be clearly listed.
Service Agreement Attachment E is a service agreement that SEMNET proposes to use between the service provider and SEMNET.

12 ATTACHMENT E - SERVICE AGREEMENT
DARK FIBER TRANSPORT AND INTERNET SERVICE AGREEMENT
THIS contract, amendments and supplements thereto subject to the laws of Minnesota, is between the SEMNET, 210 Wood Lake drive SE, Rochester, MN 55904 and ______address ______(hereinafter “PROVIDER”).
WHEREAS, SEMNET is interested in acquiring fiber dark transport and internet services to serve school districts,
WHEREAS, the PROVIDER represents that it is willing to provide the services set forth herein.
NOW, THEREFORE, it is agreed:
I. PROVIDER'S DUTIES: The PROVIDER shall
1. Install and provide fiber based transport and internet services as described between sites listed in Attachment A to this contract. 2. Coordinate installation activities with SEMNET.
II. SEMENT’S DUTIES: SEMNET shall
1. Provide access to the School buildings sufficient to allow performance of PROVIDER duties, during regular business hours, or as mutually agreed by PROVIDER and SEMNET. 2. Assist the PROVIDER during installation by providing appropriate configuration information.
III. CONSIDERATION AND TERMS OF PAYMENT:
1. Consideration for all services performed by the PROVIDER pursuant to this contract shall be paid by the SEMNET as shown in Exhibit A:
2. The PROVIDER shall invoice for services starting July 1, 2015 or when the services have been installed but no earlier than July 1, 2015.
IV. CONDITIONS OF PAYMENT. All services provided by the PROVIDER pursuant to this contract shall be performed to the satisfaction of SEMNET, as determined at the sole discretion of its authorized representative, and in accord with all applicable federal, state, and local laws, ordinances, rules and regulations. The PROVIDER shall not receive payment for work found by the SEMNET to be unsatisfactory, or performed in violation of federal, state or local law, ordinance, rule or regulation. In the event of work found by SEMNET to be unsatisfactory, SEMNET will provide PROVIDER with written notice describing the work found to be unsatisfactory. PROVIDER shall correct the problem to the satisfaction of SEMNET within thirty (30) days of said notice.
13 V. TERM OF CONTRACT. The term of service is for a period of _____ years from the date of first billed date.
VI. RENEWAL. SEMNET may choose to renew this contract at the end of the term of this contract for another _____ years. The Parties agree to renew the contract at a mutually agreeable rate not to exceed the current contract rate.
VII. NON-PEFORMANCE. This contract would be may be canceled by SEMNET for non- performance, upon sixty (60) days written notice to the PROVIDER after failure by the PROVIDER to correct a material breach within ninety (90) days of written notice from SEMNET. In the event of such a cancellation, the PROVIDER shall be entitled to payment, determined on a pro rata basis, for work or services satisfactorily performed.
SEMNET may cancel the contract without cause in which case SEMNET shall be liable for the remaining payments in the contract plus any one time charges incurred by the PROVIDER.
VIII. OTHER USERS, SUB_PROVIDERS AND NON-EXCLUSIVITY: SEMNET acknowledges that as a provider of transport services, the PROVIDER may serve other users and install additional facilities. PROVIDER acknowledges that there is no exclusivity conferred by this Agreement and that SEMNET may use services from other providers. Use of other providers does not relieve either party of its obligations to the other.
IX. SEMNET AUTHORIZED REPRESENTATIVE. SEMNET'S Authorized Representative for the purposes of administration of this contract is Director of SEMNET. The PROVIDER'S Authorized Representative for the purposes of administration of this contract is ______. SEMNET’S Authorized Representative shall have final authority for acceptance of the PROVIDER'S services and if such services are accepted as satisfactory, shall so certify on each invoice submitted.
X. ASSIGNMENT. The PROVIDER shall neither assign nor transfer any rights or obligations under this contract without the prior written consent of SEMNET which shall not be unreasonably withheld.
XI. AMENDMENTS. Any amendments to this contract shall be in writing, and shall be executed by the same parties who executed the original contract, or their successors in office.
XII. LIABILITY. The PROVIDER shall indemnify, save, and hold SEMNET, its representatives and employees harmless from any and all claims or causes of action, including all REASONABLE attorney's fees incurred by SEMNET, arising from the BREACH OF THIS CONTRACT BY THE PROVIDER. This clause shall not be construed to bar any legal OR EQUITABLE remedies the PROVIDER may have for SEMNET'S failure to fulfill its obligations pursuant to this contract.
If SEMNET damages PROVIDER facilities, causes interruption of the business of the PROVIDER, or causes any other breach of this Agreement, SEMNET's liability for damages shall be limited to the actual and direct costs of repair and shall specifically exclude any recovery for exemplary damages, lost business or profit, future expectation of profits, or related damages.
XIII. GOVERNMENT DATA PRACTICES ACT. The PROVIDER must comply with the Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13, as it applies to all
14 data provided by SEMNET in accordance with this contract, and as it applies to all data, created, collected, received, stored, used, maintained, or disseminated by the PROVIDER in accordance with this contract. The civil remedies of Minnesota Statutes Section 13.08, apply to the release of the data referred to in this Article by either the PROVIDER or SEMNET. In the event the PROVIDER receives a request to release the data referred to in this Article, the PROVIDER must immediately notify SEMNET. SEMNET will give the PROVIDER instructions concerning the release of the data to the requesting party before the data is released.
XIV. PUBLICITY. Any publicity given to the program, publications, or services provided resulting from this contract, including, but not limited to, notices, informational pamphlets, press releases, research, reports, signs, and similar public notices prepared by or for the PROVIDER or its employees individually or jointly with others, or any sub-PROVIDERs shall identify SEMNET as the sponsoring agency and shall not be released prior to receiving the approval of SEMNET’S authorized representative in writing.
XV. FORCE MAJEURE. SEMNET agrees that PROVIDER is relieved of all obligations, and will incur no liability or responsibility for any liquidated damages or any other damages contained herein, beyond payment of insurance proceeds, if the performance of any obligation is prevented or restricted or interfered with by reason of: Explosion, epidemic, hurricane, cyclone, flood, other acts of God, power failure, riots, or war.
XVI. JURISDICTION AND VENUE. This CONTRACT, and executed amendments thereto, shall be governed by the laws of the State of Minnesota. Venue for all legal proceedings arising out of the Contract, or breach there of, shall be in the state of federal court with competent jurisdiction in Olmstead, Minnesota.
