Club Rules (Updated March 2011)

1. The name of the Club is Empingham Cricket and Social Club, incorporating Empingham Bowls Club and its colours are cream and green. The Officers of the Club shall consist of the President, Chairman, the Treasurer, one or more Secretaries and the Captains of the teams. Such Officers shall be elected at the Annual Meeting in each year. 2. The Annual Meeting of the Club shall be held in the months of February or March in every year at a date and time fixed by the Committee, for the election of Officers and Auditor, the presentation of the accounts and the reports of the Committee and Captains of the teams and for the transaction of such other business (if any) as shall be stated in the notice of the meeting. 3. The Committee shall consist of Officers and such Members as deemed necessary by the appointed Officers. The Committee composition must represent both the Cricketers and the Social Members. 4. The Club may in the Annual Meeting elect such members to be Vice-presidents as may be thought fit. A Vice-president shall hold office until he shall cease to be a Member. 5. Any casual vacancy arising in the Officers or other Members of the Committee may be filled by the Committee. 6. All Officers and Members of the Committee shall cease to hold office at the close of the Annual Meeting next following that which they were elected but shall be eligible for re-election. 7. Subject to the express provisions of these Rules and to any resolution of a General Meeting, the management of the Club shall be vested in the Committee. All regulations of the Committee relating to the use of the Clubhouse and ground or otherwise affecting the Members shall be posted in the Clubhouse. All moneys generated by the club will be reinvested in to the club. 8. The Committee may appoint sub-committees and may determine their duties and powers and prescribe regulations for the conduct of their meetings. Such committees may consist of such Members whether or not Members of the Committee as it may determine. 9. Any candidate for admission to the Club shall complete such application form as the Committee may prescribe and shall be proposed and seconded by two Members. The Committee shall be entitled to elect or reject any candidate. Persons may not be admitted to membership, or be admitted as candidates for membership to any of the privileges of membership, without an interval of at least two days between their nomination or application for membership and their admission. If any candidate so elected shall fail to pay his first Subscription within 28 days after 1st April following his election, such election shall be void unless sufficient cause can be shown to the satisfaction of the Committee (see below). 10. Any Playing Member shall be entitled to become a non playing Member by giving notice in writing in that behalf to the Secretary before 1st May in any year. A non playing Member may by the right notice in writing and on payment of the appropriate fee (if any) unless already paid by him, become a Playing Member. 11. The Annual Subscription payable by the Members shall be such as shall from time to time be fixed by resolution in General Meeting. 12. Subject to any regulation, which may be made by the Committee, each Captain will select his own team. 13. An auditor shall be appointed at the Annual Meeting as auditor for the ensuing year who shall audit the Treasurer’s accounts before the same are presented to the Annual Meeting next following. A vacancy occurring in the office of the auditor during the year shall be filled by the Committee. 14. The accounts of the Club shall be made up annually to the 31st December in every year and a copy thereof shall be posted on the Club notice board along with the notice convening the Annual Meeting at which the same shall be presented. 15. The Chairman, if present, shall preside at all General Meetings of the Committee, but if he shall not be present at the time fixed for the Meeting, then whoever else is present shall decide who will preside. In case of equality the Chairman shall not have a casting vote. 16. Voting at all General Meetings shall be by show of hands and each Member shall have one vote. A ballot shall be taken in the discretion of the Chairman. 17. 12 Members or 10% of the total membership whichever is greater shall be the quorum for a General Meeting. Five members present shall be a quorum for a Meeting of the Committee. 18. The Secretary shall convene a General Meeting to be held at such time and place as the Committee shall decide, or as the President or Chairman of the Committee shall decide. 19. Adequate notice of meetings shall be given by the Secretary to all Members of the Committee. 20. The Secretary shall, on a requisition in writing by not less than ten Members, convene a General Meeting for a date not less than 14 nor more than 21 days after the date of such requisition for the purposes stated therein. 21. The property of the Club (other than cash which shall be under the control of the Treasurer and two named Members of the Committee for the time being) shall be vested in the Committee and dealt with as the Committee may direct by resolution (of which an entry in the Minute Book shall be conclusive evidence). 22. The Membership of a Member shall terminate in any of the following events :-

(i) Upon his resignation in writing delivered to the Secretary. (ii) If he shall fail to pay his subscription in any year before the 31st December in that year and the Committee do resolve that his Membership be terminated. (iii) If he be expelled under the provision of Rule 24.

23. If any Member shall be guilty of such misconduct as shall in the opinion of the Committee render him unfit for Membership, the Committee may give notice thereof in writing to such Member inviting him either personally or in writing to offer an explanation of such conduct for consideration at a Meeting of the Committee to be held at the time and place stated in such notice and if after considering any such explanation, the Committee shall think fit, they may by resolution expel such Member, and thereupon he shall cease to be a Member and be ineligible for future re-election. In lieu of expulsion as aforesaid the Committee may for a first offence suspend Membership of such Member and exclude him from the exercise of his rights as a Member for such a period not exceeding 8 weeks as it may think fit. 24. Every Full Club Member or Vice President shall be allowed to introduce visitors subject to such regulations as shall be made from time to time by the Committee, provided that no person shall be introduced as a visitor into the Club who shall have been expelled from Membership or whose conduct or presence shall be considered by the Committee objectionable or prejudicial to the interests of the Club. 25. The sale of intoxicants to guests of members and members and officials of visiting teams shall be permitted for the duration of their visit, subject to their having satisfied the criteria for the introduction of guests as specified in Rule 24, and in compliance with the current licensing regulations. Guests full names should be recorded 48 hours before an event and a temporary membership issued, unless a Temporary Events Notice has been issued. 26. Social Members shall be allowed to introduce guests to the Club, the number of which and allowed frequency of visits will be determined by the Committee and may vary from time to time. 27. On the recommendation of the Committee ordinary Members may be elected Life Members at any General Meeting of the Club and shall thereafter be entitled to all privileges of Membership without paying the yearly subscription or any special payment for such Life Membership. A unanimous vote at the General Meeting shall be necessary to ensure election. 28. The permitted opening hours of the club bar will be determined by the Committee and will be compliant with the current license. (i) The nominal bar opening times will be; Monday to Thursday 07.00 hrs to 24.00 hrs Friday 06.00 hrs to 24.00 hrs Saturday 00.00 hrs to 02.00 hrs Saturday 06.00 hrs to 24.00 hrs Sunday 00.00 hrs to 03.00 hrs Sunday 07.00 hrs to 24.00 hrs Monday 00.00 hrs to 01.00 hrs

Alcohol will only be available for sale to Club Members, guests (if applicable), and visiting club members, all of whom having attained the age of 18 years 29. For the supply of alcohol (so far as not managed by the club in general meeting or otherwise by general body of members) the purchase of alcohol for the club, and the supply of alcohol by the club, are managed by the Committee, whose members are; (i) Members of the Club (ii) All having attained the age of 18 years (iii) Are elected by the members of the club 30 No arrangements are, or are intended to be, for any person to receive at the expense of the club any commission, percentage or similar payment on, or with reference to, purchases of alcohol for the club. 31 No arrangements are, or are intended to be, made for any person directly or indirectly to derive any pecuniary benefit from the supply of alcohol by or on behalf of the club members or guests, apart from; a) Any benefit accruing to the club as a whole, or b) any benefit which a person derives indirectly by reason of the supply giving rise or contribution to a general gain from carrying on of the club. 32 The Clubhouse and or the Club Grounds may be closed to Members from time to time. On such occasions the committee must notify members at least 2 days prior to the closure of the Clubhouse and or the Club Grounds 33 All food and drink consumed on the premises must be purchased from the premises, unless authorised by the Committee. 34 Dogs are permitted inside the Clubhouse but they must be retained on a lead. Owners will be liable for their pets should any damage be caused by them.

These Rules may be amended by resolution passed by a majority of the Members present, voting thereon at any Annual or Special General Meeting of which the notice specifies the nature of proposed amendments.
